F

lorida Capital Bank, one of only two commercial banks headquartered in Jacksonville, always has operated with a minimal number of offices. But the bank’s footprint has become even smaller in recent years.

“Four or five years ago, we decided we needed to downsize our branches,” said Stew Baker, Florida Capital managing director, banking. The bank went from eight branches in 2015 to five today, including its headquarters office. Besides a Jacksonville branch, it has one each in Gainesville, Tampa and Orlando. SEE BRANCHES, PAGE 4

PNC Bank now fourth-largest in region after BBVA acquisition The Pittsburgh-based financial institution has 2,700 branches in the U.S. BY MARK BASCH CONTRIBUTING WRITER

Driving around Northeast Florida in recent days, you may have noticed PNC Bank banners covering the former BBVA signs at some area bank branches. PNC Financial Services Group Inc. completed its conversion of former BBVA USA branches into its PNC Bank over Columbus Day weekend, after formally acquiring the offices June 1. Pittsburgh-based PNC touted the deal as turning the bank into a national franchise, as it brought the bank an additional 600 branches in seven states. It also made PNC a significant player

It did not hurt business. While the branch network did shrink, deposits nearly doubled from $132 million in mid2015 to $245 million as of June 30, 2021. As a bank that deals mainly with businesses, as opposed to consumers, Florida Capital does not need brickand-mortar offices to serve most of its customers. “We don’t have any drive-thrus. We don’t have any ATMs,” said Baker. “Our mantra is we bring the bank to you.” However, with more and more consumers doing business online, other banks could be following Florida Capital’s mantra and downsize their branch networks. “We were a little ahead of the game,” Baker said. The number of bank branches in the Jacksonville market has been shrinking gradually in recent years. There were 245 offices among the 31 banks with branches in the metropolitan area of Baker, Clay, Duval, Nassau and St. Johns counties as of June 30, down from 317 five years earlier. Some of that is due to continued consolidation in the banking industry, as mergers eliminated six banks in the market since 2016. For example, SunTrust Bank and BB&T merged in late 2019 into Truist Bank, and the combined bank has closed some offices. The merged bank closed six branches in the Jacksonville market this year and intends to close one of its remaining 27 offices in 2022. “As a result of the merger, there’s

With $2.7 billion in deposits in its Jacksonville area branches, PNC now has the fourth-largest market share behind Bank of America, TIAA and Wells Fargo. PNC did not have any bank branches in the Jacksonville market before acquiring the BBVA offices but it did establish a regional office in Jacksonville in 2017, handling areas such as corporate banking, commercial banking, equipment finance and consumer lending. PNC announced the agreement to buy the U.S. banking operations of Spain-based Banco Bilbao Vizcaya

Argentaria, S.A., in November 2020. As PNC reported quarterly earnings Oct. 15, CEO Bill Demchak said it was a significant achievement to complete the acquisition and integrate the BBVA offices in less than a year. The integration involved 9,000 former BBVA employees and 2.6 million customers, Demchak said in a conference call with analysts. BBVA had been in the Jacksonville market since acquiring Compass Bancshares Inc. in 2007. Nationally, the addition of BBVA grew PNC from $462 billion in assets a year ago to $554 billion as of Sept. 30, making it the sixth-largest U.S. banking company. The bank has about 2,700 branches across the country.

quite a bit of redundancy between many BB&T and SunTrust branches,” a Truist spokeswoman said by email. “In many cases, there’s a branch available for clients just a few minutes away. All teammates from redundant branches are transferred to nearby locations, so there are no job losses.” Truist does have data showing more customers are banking online. It said clients active on mobile applications grew by 11% from the second quarter of 2020 to the second quarter of 2021 and mobile check deposits rose by 26%. Bank of America, the largest bank in the Jacksonville market with $50.5 billion in deposits credited to area branches, said in an emailed statement that 90% of customers interact with the bank digitally, with Jacksonville showing particularly strong digital adoption in the past 20 months. Although customers use branches less frequently for their general banking needs, banks said there will continue to be a role for offices in the digital world. “Many times customers walk into a branch to talk to a banker about a complex financial need or a life milestone like home buying,” said an emailed statement from Wells Fargo Bank, the largest institution in terms of branches in the Jacksonville market with 42. “In the future we believe the branch visit will be even more about the relationship where customers engage in financial checkups with bankers to create and finetune long-term financial plans,” it said. The other institution headquartered in Jacksonville, TIAA Bank, is different from other banks because most of its business is done online with customers across the country. But TIAA does have a handful of branch offices that customers find

useful, said Scott Verlander, head of retail and affiliate banking. “Many of our clients in Florida like to use our financial centers for more complex banking activities and use our digital channels for repetitive-service activities,” Verlander said. “The pandemic clearly expedited the increase in our clients utilizing our digital channels more frequently. But our clients continue to emphasize how much they appreciate an engaged relationship with their financial center bankers,” he said. The COVID-19 pandemic has changed branch operations for most banks, with a greater focus on health and safety. Verlander said the pandemic also has changed the role for some TIAA employees. “During the pandemic, we’ve trained our financial center employees to perform other activities outside of traditional branch activities – such as trust administration and deposit operations – to ensure we’re as productive and efficient as possible as a banking organization,” he said. Some bank offices remain closed temporarily during the pandemic but are not shut permanently. Bank of America has three offices closed in the Jacksonville area, including its branch in the Downtown Bank of America Tower at 50 N. Laura St. All three are expected to reopen by the end of the year. “When a Financial Center temporarily closes, we work to reopen it as soon as possible,” Bank of America said. “We appreciate our clients’ understanding and flexibility during these unprecedented times.”

While some banks are reducing their physical bank branch footprints, TD Bank plans to add more in Northeast Florida. But they may not look the same as before. Nick Miceli, TD Bank regional president, Florida Metro, said that in addition to the bank adding a 30,000-square-foot operations center in Jacksonville, it also will add several new retail branches to the market. Miceli said he and his team “feel very strongly” that there still is a need for bank branches, but not in the way they historically have been used. “We’re seeing less Miceli transaction volume,” he said. “We are seeing a level of people coming into our stores for advice, for conversation, for planning, for strategy.” The new stores will be smaller, he said. Now, a bank branch is about 3,400 square feet. New locations will be 1,700 to 1,800 square feet. New bank branch sites could be announced in the next 90 days, Miceli said Oct. 13. TD Bank, with its U.S. headquarters in Cherry Hill, New Jersey, has three bank branches in Northeast Florida. “It’s a very strong market where there’s a lot of opportunity for growth,” Miceli said. Aside from branch locations, TD Bank is renovating 30,000 square feet in Deerwood North for an operations center. It is expected to be completed by spring 2022. Miceli did not have an estimate of the investment the bank is making to build out the center and add new branches. Between the service center and future bank branches, TD Bank plans on adding 250 jobs in the market. Miceli said as Jacksonville grows, it makes sense to add more services to keep up with demand and take advantage of a strong labor market. “There is a need for us to be able to add to our physical presence as Jacksonville has grown to be able to service the community,” Miceli said. “The growth that Jacksonville has seen from a population perspective has only encouraged our desire, and the workforce there has only encouraged our desire to expand.” KGARWOOD@JAXDAILYRECORD.COM (904) 356-2466

Mark K. Bennett, Bank of America’s Jacksonville market president, predicts a bright future for Northeast Florida’s economic growth, based on the housing, investment and corporate relocation markets. “The overall economic optimism is high all over but here in Jacksonville especially,” Bennett said. “Following the monetary stimulus, consumer relief and completing the PPP program, consumers and business are in great shape to navigate the coming cycle with a strong financial sector to support their growth and digital need,” he said. “Despite the notion that the stimulus has been spent, consumers still have significant savings and money to sustain this spending.” PPP is the Paycheck Protection Program of small business loans administered by the U.S. Small Business Administration as part of the federal coronavirus rescue plan. Bank of America named Bennett, 41, in March as president of Bank of America Jacksonville. He succeeds Greg Smith, who retired. Bank of America, based in Charlotte, North Carolina, has the strongest market share of North Florida deposits at almost 51.7% with its 30 offices among Baker, Clay, Duval, Nassau and St. Johns counties. That is based on Federal Deposit Insurance Corp. data as of June 30, 2021. Bennett continues to serve as the Southeast region executive for Business

Emily Dawkins, North Florida regional president of Truist Financial Corp., says Jacksonville is well positioned to continue to grow in terms of business, residents and assets. “There is an influx of families and professionals and a continuing commitment from the city to bring more headquarters to Jacksonville. There are strong industries like logistics, fintech and healthcare. Those industries create opportunities for other small businesses,” Dawkins said. “There is great opportunity ahead of us in this market.” Charlotte, North Carolina-based Truist named Dawkins, 41, as North Florida regional president Sept. 7. She succeeded Scott Keith, who retired. Dawkins grew up in the banking business. The Pennsylvania native and her family moved south when her father, also a financial services professional, went to work for SunBank in South Florida. “I remember Take Your Daughter to Work Days,” Dawkins said. After receiving a degree in finance at the University of Florida, she began her career with SunTrust, which merged with Branch Banking & Trust in 2019 to form Truist. Dawkins started interviewing with

banks in her senior year and all the jobs she was offered were in Jacksonville. “It was like an arrow pointing to the city,” she said. Dawkins came to Jacksonville in 2003 and when Keith announced he was retiring, she knew where she wanted to be. “I didn’t want to leave Jacksonville. It’s my home and regional president is the perfect job for me. We have the right people on the team with the drive and desire to serve our clients,” Dawkins said. Advancing up the corporate ladder at SunTrust, Dawkins was a vice president and middle market relationship manager and then capital markets originator when she was selected to succeed Keith. “I had been working regionally, so I already knew all of the heritage teammates in Florida and Georgia,” Dawkins said. Almost all of her 18-year career has been involved with helping midsize companies and their owners advance their assets and business. After SunTrust and BB&T merged, the “local presence with the expertise you expect a bank of our size to have” was preserved in the Truist brand, Dawkins said. There are 49 Truist branch locations in Dawkins’ region from Amelia Island to Ormond Beach. Trust has 27 branches in the fivecounty Northeast Florida area of Baker, Clay, Duval, Nassau and St. Johns counties, according to the Federal Deposit Insurance Corp. as of June 30, 2021, with a market share of 2.43%. Dawkins said Truist is dedicated to building better lives and communities by developing local relationships.

The deal anticipates a future IPO for the specialty insurance company.

After canceling plans in April for an initial public offering, Fortegra Group’s owner announced a significant investment in the Jacksonvillebased company that could lead to an IPO in the future. Tiptree Inc. announced Oct. 12 that investment firm Warburg Pincus will buy $200 million of Fortegra securities, giving it a 24% stake in the specialty insurance company. “Our primary strategic objectives in this transaction are to source growth capital for Fortegra, to refine and recapitalize our balance sheet and to create greater transparency of Fortegra’s value and thereby seek to close the gap between Tiptree’s stock price and our intrinsic value,” Tiptree Executive Chairman Michael Barnes said in a conference call. New York-based Tiptree

bought Fortegra in 2014, and Fortegra is its major operating business. Fortegra’s revenue rose 54% in the first six months of this year to $475 million. Tiptree’s total revenue in the first half of the year was $594 million. When Tiptree announced plans in March for a Fortegra IPO, it said it was hoping the deal would unlock unrecognized value for Tiptree’s stock. During the Oct. 12 call, Tiptree Chief Financial Officer Sandra Bell said the Warburg Pincus investment values Tiptree’s stake in Fortegra at $16.40 per Tiptree share. Bell said that brings the sum-of-the-parts value of Tiptree’s stock to $23.50, but the stock’s trading price closed at only $10.48 the week before the new investment announce-

Tiptree’s stock jumped to a high of $16.32 by Oct. 18 after the announcement. “As we have discussed with our investors since we pulled the Fortegra IPO in April, we were looking to find the right strategic intermediate step that would lead to long-term value creation for Tiptree shareholders,” Barnes said. “We believe this partnership achieves that objective.” Tiptree indicated when it pulled Fortegra’s IPO off the market that it could not get the price it wanted to sell shares in the insurance company. The agreement with Warburg Pincus anticipates another attempt at an IPO in the future. Four years after closing the deal, expected in the first quarter of 2022, Warburg Pincus “may request a qualifying initial public offering of Fortegra,” Tiptree said in a Securities and Exchange Commission filing. Barnes said Tiptree is keeping its options open for Fortegra. “We also believe this investment will position Fortegra well for any future strategic transaction,” he said.

International Baler brings back CEO International Baler Corp. said in an Oct. 15 SEC filing that D. Roger Griffin was appointed president and CEO. Griffin previously served as CEO of the Jacksonville-based

maker of balers used for waste disposal and recycling from 2008 to January 2017. After leaving International Baler, Griffin became vice president of manufacturing for Avis Industrial Corp., the largest shareholder of International Baler with 81% of the stock. The SEC filing said Griffin did not enter into an employment contract and is an at-will employee of the company. Victor Biazis resigned as CEO on Sept. 24 to return to his position as president and CEO of Coastal Industrial Products Inc., a Ponte Vedra Beach-based industrial adhesives company he founded. International Baler Chief Financial Officer William Nielsen, who also is a former CEO of the company, had been serving as interim CEO before Griffin’s appointment.

Salt Life to open more Florida stores Salt Life, the beach-themed lifestyle brand started in Jacksonville Beach, plans to open three new Florida stores in 2022. Parent company Delta Apparel Inc. announced Oct. 13 it will open stores in Fort Lauderdale, Boca Raton and Sarasota. The company also is planning Salt Life stores in Hilton Head, South Carolina, and Foley, Alabama. Salt Life, which Delta says was “founded in 2003 by four

avid watermen from Jacksonville Beach,” already has 13 stores, including eight in Florida, according to its website. The company opened its newest store in September in Myrtle Beach, South Carolina, “with strong initial results,” it said in a news release. It will open a store in Texas City, Texas, in November. Greenville, South Carolinabased Delta bought the Salt Life retail brand in 2013 for $37 million. It does not own the three Salt Life Food Shack restaurants in the Jacksonville area. “Year after year, Salt Life retail stores consistently exceed sales and operating performance targets,” Delta CEO Robert Humphreys said in a news release. “These additional branded retail doors will offer a dynamic setting for consumers to engage and interact with the Salt Life brand and experience the beach lifestyle that resonates with such a large and growing audience.” Sales in Delta’s Salt Life Group reached $42.7 million in fiscal 2019 but fell to $37.1 million in the fiscal year ended Oct. 3, 2020, due to pandemicrelated store shutdowns. The Jaguars and the city also are in the early planning stages for what Lamping said likely will be a major stadium renovation as the team’s 2030 lease expiration approaches. Lamping said, for now, those projects are Khan’s off-the-field focus. He said the Jaguars executive leadership still sees market demand and “a big need” for a Downtown entertainment complex similar to what was proposed for Lot J at the stadium. Lamping spoke Oct. 13 after the Four Seasons vote about the Jaguars plans and future in Jacksonville. A proposed $450 million mixed-use development with Baltimore-based The Cordish Companies was abandoned after it failed to win $245 million in city incentives. “It’s just a question of when versus if and where that should happen,” Lamping said. Despite the Lot J setback, Lamping said the Jaguars leadership still considers Cordish a development partner in Jacksonville. “But we’re firm in our belief that Downtown Jacksonville needs a healthy mix of office, residential, hospitality and entertainment offerings in order to reach its full potential,” Lamping said in a subsequent email. “Whether that happens on Lot J with our partner Cordish, which we prefer, or someplace else, it’s too soon to tell,” he said. BEYOND THE SHIPYARDS

The JAX Chamber chose St. Louis for its annual leadership trip in September. The visit included Ballpark Village, a joint Cordish-St. Louis Cardinals entertainment development next to Busch Stadium. Before the trip, JAX Chamber President and CEO Daniel Davis said who develops an entertainment area near the stadium is a decision for the city. “Let’s be very clear, a parking lot is not the highest and best use of that piece of property,” Davis said Sept. 20 after a Meninak Club of Jacksonville meeting. “I think that this will spur a lot of conversation.” As St. Louis Cardinals president from 1994-2008, Lamping was involved in the Busch Stadium master planning, construction and the Cardinals’ initial agreement with Cordish to develop Ballpark Village. He said the project’s commercial success for the Cardinals and city of St. Louis is tied to creating a “full entertainment experience” for customers. “Right now, I think we (Jacksonville) fall a little short. But it’s not something that cannot be addressed,” Lamping said.

‘STADIUM OF THE FUTURE’

As the stadium lease nears its 2030 expiration, Lamping said the Jaguars’ objective is for a substantial remodel of TIAA Bank Field as opposed to demolishing it for a newly built facility. Lamping said a structural analysis of the stadium completed this year by engineering firm Haskell shows it is stable and can be upgraded. He said the Jaguars and city are in the third phase of a five-step process before a

Khan and his companies are working toward an agreement with the Four Seasons flag to brand the future riverfront hotel. Lamping said talks were ongoing as recently as Oct. 12. The development agreement approved by Council would allow a different fivestar or four-star hotel to flag the project with the approval of the Downtown Investment Authority board. “We are confident that we will deliver a Four Seasons hotel on the Shipyards property,” Lamping said. Khan’s development company, Iguana Investments Florida LLC, plans to break ground on the Four Seasons, an office building and city marina facilities in mid2022 and finish by 2025. Lamping said the Four Seasons condominiums will fill a residential gap for a “super high-end luxury” product Downtown. For the hotel, Lamping said Khan and Iguana are confident it will draw leisure travelers coming to the Sports Complex for events and concerts and capture business travelers who are “not fully satisfied” with existing Downtown hotels. “I think there are some that choose not to stay Downtown because there are not hotel offerings that meet their needs,” Lamping said. “There’s others that will now choose to come to Jacksonville and host a meeting, spend the night that perhaps in the past did just day trips in and out of the city.” Lamping said Iguana is not ready to announce when it will break ground with Baptist Health on phase two of the Shipyards — a proposed 42,000-square-foot orthopedic sports medicine facility. “There are continued discussions. Baptist is working that project really hard,” Lamping said. “Development and major capital projects in the health care industry simply don’t come together as quickly as they do with hotels or office buildings. It’s a much more complicated process.”

Bank of America plans $150 million renovation

It intends to update its five-building Southside Jacksonville Operations Center. In a sign of market commitment, Bank of America intends to invest an estimated $150 million in renovating and updating its Jacksonville Operations Center at 9000 Southside Blvd. in The Avenues area. The North Carolina-based financial services organization will renovate and update the 800,000 square feet of space it leases among five buildings. The company confirmed it will add a parking garage, but that is not part of the $150 million. Bank of America Jacksonville President Mark Bennett said Oct. 18 the three-year renovation project “demonstrates

our ongoing commitment to being part of the Jacksonville community and our continuous efforts to make Bank of America a great place to work for our employees.” The center houses part of the bank’s customer contact operations call center and technology-operations support. Bank of America has the largest market share in metro Jacksonville with 51.7% of deposits as of June 30, according to the Federal Deposit Insurance Corp. It has 30 offices in Baker, Clay, Duval, Nassau and St. Johns counties. The first phase of renovations comprises about 171,475 square feet among four buildings at permit job costs of $18.1 million. Those projects comprise individual and partial floors. Construction work is beginning in Building 200.
