he deal between Shad Khan’s Jacksonville Jaguars and Mayor Lenny Curry’s administration for the $445 million mixed-use Lot J development calls for nearly half of the project to be paid for with taxpayer money. That will require City Coun-
cil approval before one dollar is spent. Eleven of Jacksonville’s 19 Council members attended the joint city-Jaguars news conference Oct. 5 to announce the Lot J project. Council President Tommy Hazouri and member LeAnna Cumber sent statements of support, read by Curry during the event at Daily’s Place Flex Field. Several Council members SEE LOT J, PAGE 8

Now under construction, online retailer Amazon.com Inc.’s new Imeson Park fulfillment center is at least a $106.1 million project. Approved and pending building and related permits show the almost 1.1 million-square-foot e-commerce facility will cost that amount and there likely will be further investment as conveyors and other equipment are installed. Seattlebased Amazon announced Sept. 2 that it will open a 500-job Jack- Davis sonville fulfillment center in fall 2021 at 10501 Cold Storage Road in the North Jacksonville industrial center. Construction plans call it a Softlines fulfillment center. Amazon said the center will pick, pack and ship small items, including apparel, accessories and footwear. “Building this site in Jacksonville gives us the opportunity to better serve our customers in the region,” said Alicia Boler Davis, Amazon vice president of global customer fulfillment, in the news release. Forcura continues growth amid COVID-19 HEALTH & BUSINESS
While its employees work from home, the company is hiring and offering “virtual esprit de corps” activities. BY MAX MARBUT ASSOCIATE EDITOR
Special to the Daily Record
Forcura founder and CEO Craig Mandeville says his company is growing and soon will have a new headquarters in Deerwood South.
“The industry has taken on an appreciation of health care in the home. We’re growing faster now than in the history of the company, despite the global pandemic.” CRAIG MANDEVILLE FORCURA FOUNDER AND CEO
calls the “Culture Team” that works to promote “virtual esprit de corps” that fills the void created by the loss of personal contact in the workplace. “It’s a breeding ground for excellent ideas to improve engagement,” Donahue said. There’s a weekly virtual guided meditation that Forcura calls “Mindfulness Monday.” The cutest dog contest is on Tuesdays. The company also provides virtual cooking classes, had a virtual 5K run and delivers Forcura-branded swag to the staff every Wednesday. “It’s all about creating moments,” Donahue said. One of the moments was when the company shipped everyone a “cocktail package”
with all the ingredients to make watermelon margaritas, guided by a virtual bartender, Mandeville said. He said he expects the company to continue to grow by as many as 200 people in the next several years. When the staff returns to working in the office, Forcura will move into its new headquarters in the Deerwood South office park at Butler and Southside boulevards. The city issued a permit in August for the $1 million buildout of 27,000 square feet of space at Deerwood, about double the company’s current office size. Forcura announced May 27 it will add 115 jobs by the end of

2022 and open a new headquarters in the city with help from an economic development agreement that City Council unanimously approved in March. According to a city Office of Economic Development project summary, the company requested $690,000 in incentives. It will receive a $6,000 tax refund per job. The state will pay 80% of the total incentive and the city will pay 20%. The 115 jobs will have an aver-
age annual wage of $71,663. Forcura will invest $2.15 million in real estate improvements, information technology equipment, furniture and fixtures. Its expanded 30,000-squarefoot headquarters is at 10151 Deerwood Park Blvd. Forcura now leases at 4600 Touchton Road in the Deerwood North office complex.

Since Forcura founder and CEO Craig Mandeville showed his idea for a software platform at a trade show in 2012 in Orlando, the company has grown to 82 full-time employees and more than 400 health care provider customers in all 50 states. Forcura manages document workflow and provides secure communication for post-acute care providers. “Our mission is to empower patient care and make sure information is transferred in real time,” Mandeville said Oct. 1 during a virtual meeting of JAX Chamber’s Health Council. Forcura software allows all of a patient’s medical documents and records to seamlessly transfer to health care providers as the patient’s care evolves, from the hospital to a skilled care facility, then to their home and even to hospice or palliative care, he said. The COVID-19 pandemic has helped the company grow. Mandeville said the staff began exclusively working remotely March 15. The company has since hired 14 people and plans to add five more within a month, he said. The health quarantine aspect of dealing with the novel coronavirus also has led to faster adoption of telehealth and patient diversion from residential facilities to home care. “The industry has taken on an appreciation of health care in the home. We’re growing faster now than in the history of the company, despite the global pandemic,” Mandeville said. Bringing new people into the company while everyone is working at home instead of in a central office presented challenges, said Jocelyn Donahue, Forcura vice president of people, who joined Mandeville for the presentation. The process is faithful to the company’s pre-COVID philosophy. “We don’t hire people unless they are passionate, bold, innovative and fun,” Donahue said. The remote working environment led to creation of what she

THE MATHIS REPORT
Maximus seeking to expand at One Imeson What: Offers government health and human services programs. Employees: More than 30,000 KAREN BRUNE MATHIS EDITOR
Revenue: $2.9 billion
The government contractor that operates call centers wants to more than double its space with a $1.2 million project. Maximus Inc., a Reston, Virginia-based government contractor, wants to expand its third-floor operations at One Imeson in North Jacksonville by adding 53,800 square feet of space. That would boost Maximus to almost 83,000 square feet of space at 1 Imeson Park Blvd. The city is reviewing a permit application for the interior build-out. Dav-Lin Interior Contractors is the contractor for the almost $1.2 million project. Plans show about 500 workstations, 12 offices, and training and conference rooms. Maximus Inc. wants to add 53,800 square feet of space to its offices at One Imeson in North Jacksonville.
of Louisville, Colorado, owns the property through RCS – Imeson LLC. One Imeson Center is an almost 1.7 million-square-foot office-warehouse developed in 1974 as a Sears catalog distribution center. The office portion has a first story, a mezzanine and another floor. In May 2018, Maximus confirmed it would open a call center at One Imeson that could employ up to 200 people. The city issued a permit then for Dav-Lin to build-out 29,153 square feet of space on the
third floor at a cost of $365,195. Those build-out plans showed 13 offices; conference, training, computer and break rooms; open spaces for workstations and collaboration; a waiting area; security and locker rooms; and a command center. Lisa Miles, senior vice president of investor relations and corporate communications, said then that the job count will depend on the volume of calls. Miles has not responded to emails or phone calls for comment about the additional
space. Maximus posted job listings for Jacksonville for customer service representatives. Miles said in May 2018 the Jacksonville location will help Maximus continue its work to support the U.S. Department of Education Office of Federal Student Aid. The job listings then showed Maximus would operate a call center and customer contact center for its Federal Services functions, one of its three areas of focus. Miles said then that FSA is the largest provider of student
financial aid in the nation. “A critical role of FSA is managing the outstanding federal student loan portfolio and securing repayment from federal student loan borrowers,” Miles said. “FSA utilizes this contract to support student borrowers,” she said. She said Jacksonville was chosen because of its workforce availability. Maximus, a public company founded in 1975, describes itself as a leading operator of government health and human services programs in the United States. It says it is a partner to government agencies in the U.S., Australia, Canada, Italy, Saudi Arabia, Singapore, Sweden and the United Kingdom. Starting in 2006, it narrowed its focus on business process services primarily in the health services and the human services markets. Its annual report explains it is organized and managed based on the services it provides: health services, U.S. federal services and human services. As of Sept. 30, 2019, it had about 29,600 employees worldwide. It says it now has more than 30,000 workers. It reported annual revenue of almost $2.9 billion in the fiscal year that ended Sept. 30, up from almost $2.4 billion the previous year. Maximus also connected with One Imeson in Novem-

confirmed Oct. 6 that Jaguars President Mark Lamping and attorney Paul Harden met with them individually about the proposed mixed-use residential, office, hotel and entertainment complex west of TIAA Bank Field. Lamping and Khan have been the public face of Lot J since the concept was announced in 2018, but the Jaguars are equal development partners with Baltimore, Maryland-based The Cordish Companies. Council Finance Committee Chair Matt Carlucci, who did not attend the event, said Oct. 6 he suspects the $218 million to $233 million city incentives package will be approved. “My initial impression at first blush — I still have a lot more work to do on it — I thought it looked good. It’s a lot of money. I want to know how we’re going to come up with that money, period,” Carlucci said. The legislation was expected to be filed with Council as early as Oct. 7. The term sheet released after the event includes city borrowing and tax rebates to pay for $152.7 million in direct public contributions. Carlucci said he doesn’t want the Lot J debate to take the focus off infrastructure needs in Jacksonville neighborhoods. “I would like to see us use this opportunity and really see us drill down on priorities for the city of Jacksonville,” Carlucci said. “The person living in a house with a failing septic tank and no curb and gutter is not going to be jumping all up and down about Lot J.”
He wants to determine how best to address those issues. “I think we need to work really hard to do both of these things in a comprehensive way and that takes money,” he said. During the Council’s July budget debate, Carlucci proposed a ¼-mill property tax increase that would have generated an estimated $16.6 million. One of Carlucci’s questions is how borrowing for Lot J will impact the city’s bonding capacity for future projects. In any event, Carlucci considers the NFL franchise essential for Jacksonville’s identity and economy. “We must never lose the Jaguars in Jacksonville, and whether Lot J is one of those things that must happen to keep the Jaguars, I don’t know,” Carlucci said. RETURN ON INVESTMENT
Council Finance Committee Vice Chair Randy DeFoor didn’t attend the Lot J announcement. She is undecided on the proposed city incentives deal but wants it coupled with a commitment by Khan to keep the Jaguars in Jacksonville through the life of the deal. The term sheet does not clearly define an end date for the eventual development agreement. She said tax revenue from Lot J needs to provide a return to the city large enough to cover any revenue bond payments created by the incentives. The Lot J public financing package commits the city to the maximum $152.7 million direct contribution, but that excludes a $65.5 million, no-interest loan

and another $15.1 million for additional parking costs that could be decided later. Curry said the city would borrow to pay for the $77.5 million in site infrastructure improvements and $50 million for construction of the Live! District entertainment center. The mayor expects Lot J would provide $100 million in annual economic impact to the city. DeFoor likes the use of revenue bonds for infrastructure, but said she wants more information. “I need an economic model showing what the city is going to receive,” DeFoor said.
The Curry administration proposed a 20-year, 75% property tax rebate as a Recaptured Enhanced Value Grant and completion payments for the hotel and two midrise residential buildings at Lot J totaling no more than $25 million. “There’s a REV grant for 75%, so what will we receive for 25%? I don’t know,” DeFoor said. “How much sales tax are they estimating? These are the kind of things I need.” The city will own the infrastructure and the parking at Lot J. The deal gives the city parking revenue from daily transient parkers and from special events
including NFL games; the Florida-Georgia game; the Taxslayer Gator Bowl; Monster Jam; and other stadium events. If the legislation passes, Lamping said in an Oct. 7 email he expects site work to begin in the first half of 2021 and the project to be completed within 36 months. The city could start collecting property taxes by 2024. The timeline could change. The term sheet states Lot J construction will finish within 48 months of vertical construction commencing. The U.S. hospitality industry took a hit to revenue and profits in 2020 because of the COVID-19 pandemic. Lamping said factors to delay the hotel would be mutually agreed upon by the city, Jaguars and Cordish with more details in a future development agreement. The Jaguars president said the development team plans to release a resiliency study in the coming weeks that will address flooding, storm surge and sealevel rise impacts at Lot J. DeFoor also questions the $65.5 million loan promised to the developer. City spokesperson Nikki Kimbleton said in an email Oct. 6 that the “breadbox loan” would be repaid through growth on a $13.1 million trust funded by the developer. The city cannot touch the trust earnings until the account reaches $65.5 million or after 50 years. LOCAL FEEDBACK

incentives up to $233 million. In addition to responding to the global pandemic, the city is working on neighborhood infrastructure. Lamping said that a development project’s long-term impact requires economic viability. He said a project of Lot J’s scope “does not happen without a private-public partnership.” “The agreement is outstanding for Jacksonville, and the benefits to the community, both tangible and intangible, are many,” Lamping said. “There will be construction jobs, temporary jobs and permanent jobs that will pay good wages and provide career oppor-

diverse districts in Duval County. She said after the Oct. 5 event that she was “hopeful and encouraged” by the presentation. Her “line in the sand” is an assurance from the Jaguars that current Duval County residents will be hired for the jobs, she said. Curry and the Jaguars said Lot J would create 2,300 construction jobs and 1,000 permanent jobs. “My focus is on residents. Everyday Jacksonville folks. So, are we going to give them above a living wage, jobs long-term here to support their families? That’s what I want to see,” Priestly Jackson said. She wants a set percentage of people employed at Lot J to be residents of Duval County before construction. The Jaguars committed in the Oct. 5 presentation to contract 25% or more with woman- and minority-owned businesses and small and emerging enterprises. The developer intends to release a summary of the economic impact report commissioned by the Jaguars and Cordish in the coming weeks, according to Lamping. He said the report will contain an estimated range of wages for permanent jobs. MMENDENHALL@ JAXDAILYRECORD.COM

The city and state approved almost $27 million in assistance for the first two Jacksonville fulfillment facilities that opened in 2017. In addition to full-time associate positions, the online retailer will hire for roles in human resources, operations management, safety, security, finance and information technology. JPMorgan Chase Bank of Los Angeles made a construction mortgage and a fixture filing financing statement to developer JI Imeson Industrial Building E LLC for $55,496,000 on July 29. VanTrust Real Estate is developing the building for Amazon on about 51 acres in Imeson Park, at northeast North Main Street and Zoo Parkway. VanTrust owns Imeson Park. JLL Executive Vice President Luke Pope represented VanTrust in the lease negotiations with Amazon. The second, for larger goods, opened the following month in AllianceFlorida at Cecil Commerce Center in West Jacksonville. THE BASCH REPORT
Pandemic sales boom may pave way for IPO by Winn-Dixie parent
MARK BASCH CONTRIBUTING WRITER
Southeastern Grocers takes a step toward going public after its 2018 bankruptcy. Six years after withdrawing its original registration for an initial public offering, Southeastern Grocers is again considering an IPO. The Jacksonville-based parent of Winn-Dixie and three other supermarket chains last week filed a confidential registration statement for an IPO, without giving any details. It could be the COVID-19 pandemic that is paving the way to go public. Grocery store sales have been surging this year as Americans eat more meals at home. Some analysts say that helped Albertsons Companies Inc. go public in June, five years after its original IPO filing. Albertsons is the secondlargest U.S. supermarket operator (behind The Kroger Co.) with 2,252 stores in 34 states under a number of banners, but none in the Southeast. It left the Jacksonville market in 2005. In its first quarterly report after the IPO, Albertsons said sales jumped 21.4% in the quarter ended June 20. That trend is creating positive sentiment for the supermarket industry on Wall Street, making 2020 a good time to sell stock. “We understand the desire to assume that food at home demand and consumer shop-
ping patterns will normalize post-COVID, but there is a case to be made for some sustained lift,” Wells Fargo analyst Edward Kelly said in a research note on Albertsons last month. Southeastern Grocers has not publicly released any financial data since its last IPO filing in 2013. But in an interview published last week in the Tampa Bay Times before the IPO filing, CEO Anthony Hucker said the company has had six consecutive quarters of positive sales growth at stores open for more than one year. Southeastern Grocers would have to publicly file a registration statement with the Securities and Exchange Commission before going through with an IPO. The company filed a confidential draft registration statement under SEC rules for large companies that went into effect in July 2017. Previously, nonpublic registration was used by emerging growth companies. The SEC said the confidential filing allows stock registrations to be reviewed without concern for market fluctuations during the process. “We are striving for efficiency in our processes to encourage more companies to consider going public, which can result in more choices for investors, job creation, and a stronger U.S. economy,” SEC Chairman Jay Clayton said in a news release about the rules. Southeastern Grocers said in a news release that shares in an IPO would be sold by existing stockholders. The company has been owned by a group of investment firms since it went through a prepackaged Chapter 11 bankruptcy reorganization in 2018. A group of creditors received stock in the company in exchange for debt. Court documents suggested investment firms Fidelity Management & Research Co.

and Osterweis Capital Management were in line to own more than 15% of Southeastern Grocers’ stock when it emerged from bankruptcy, but the documents never specified distribution of the shares. Funds affiliated with investment firm Lone Star Funds owned the company before the Chapter 11 filing, but its equity was wiped out in the reorganization. After announcing its IPO filing last week, Southeastern Grocers said Oct. 5 it is issuing $325 million in senior secured notes. The proceeds from the notes will be used to pay off debt under a term loan facility. Southeastern Grocers was formed by the 2012 merger of Jacksonville-based Winn-Dixie Stores Inc. and Bi-Lo Holdings. The company operates about 550 supermarkets in seven states under the Winn-Dixie, Bi-Lo, Harveys and Fresco y Mas banners. However, the company in June announced plans to sell 62 stores and discontinue the Bi-Lo brand.
Waste Management yet to close on Advanced Disposal
Waste Management Inc. had hoped to close its acquisition of Ponte Vedra-based Advanced Disposal Services Inc. by the end of the third quarter. The quarter ended with the companies still waiting, nearly 18 months after the original merger agreement was signed. The deal was expected to take about a year to complete because of antitrust issues. Waste Management is the largest U.S. solid waste disposal company with about 28% of the market at the time of the merger agreement, while Advanced Disposal ranked

Despite encouraging trends in the trucking industry and an increased earnings forecast by the company, Susquehanna Financial Group analyst Bascome Majors last week downgraded Landstar System Inc. from “positive” to “neutral.” “Truckload’s fundamental surge is abundantly clear entering 4Q,” Majors said in a research report on the trucking and logistics industry. “With this situation now very much a ‘known known’ and shares performing well year-todate, shorter-term sentiment has shifted against the group in recent weeks,” he said. Landstar CEO Jim Gattoni increased the Jacksonville-based trucking company’s thirdquarter earnings forecast at an investor conference last month, citing strong freight traffic. That forecast sent Landstar’s stock to a record $139.99 a month ago, but it has since dropped and was trading close to $125 last week. “Despite a substantially positive preannouncement

fourth with about 3%. The companies thought they had resolved those issues by agreeing in June to sell $835 million in assets from the merged company to GFL Environmental. However, the companies said in separate SEC filings last week they still are waiting for the U.S. Department of Justice to complete its regulatory review. The companies said they are hoping to close the deal early in the fourth quarter. Waste Management agreed in April 2019 to buy Advanced Disposal for $33.15 a share. However, with the long delay, the companies agreed in June 2020 to lower the price to $30.30.
earlier in September, Landstar shares have sold off with the rest of the group,” Major said. “While we also see the company substantially exceeding current consensus in 2021-22 (some forecasts admittedly stale since preannouncement), their model benefits most directly from spot rate inflation compared to other assetbased or asset-light carriers, and we fear shares risk earlier and lasting multiple compression when spot rates reach their apex,” he said. Majors has a $141 price target for the stock but said he doesn’t “see enough remaining upside to support a continued Positive rating.”
Fidelity selling F&G Reinsurance to Aspida Holdings
Fidelity National Financial Inc. last week said it agreed to sell its F&G Reinsurance Ltd. subsidiary to Aspida Holdings Ltd. Jacksonville-based Fidelity acquired the company in June when it bought FGL Holdings, which provided annuities and life insurance through a company called F&G. Title insurance company Fidelity bought FGL to diversify its business. F&G Reinsurance provides reinsurance solutions to thirdparty life and annuity companies. Historic redevelopment incentives rewrite advances to City Council The bill would increase the amount of public money available for restoration and adaptive reuse Downtown. BY MIKE MENDENHALL STAFF WRITER
A bill that seeks to boost historic building redevelopment and adaptive reuse in Downtown Jacksonville is headed to the full City Council for a final vote. Ordinance 2020-0527 expands city programs that offer incentives for the renovation and redevelopment of historic properties and contributing structures to Downtown’s historic district that are at least 50 years old. Hearings for the bill at the Oct. 6 Council Finance and Rules committees had little to no debate. Both panels approved the ordinance 7-0. The program, created by the Downtown Investment Authority staff, increases the city’s buy-in for historic projects. Here are the bill’s components if approved by the full Council on Oct. 13: n It keeps the existing Downtown Historic Preservation and Revitalization Trust Fund for forgivable loans of $100,000 or less. The incentive can be approved by the DIA without Council approval. n The DIA wants to give smaller projects eligibility for grants with funding limits capped at 40% of the total development costs. According to a report from the Council Auditor’s Office, that level of taxpayer investment would require a minimum of 10% developer equity in the project. n The legislation would create a Downtown Preservation and Res-
toration Program for projects above $100,000 that would require Council approval. The program offers forgivable and gap loans to cover development costs. City funding is limited to 25% to 70% of the eligible costs, depending if the developer is restoring a designated historic structure or returning an older, vacant building to use. Developers could receive a forgivable loan for up to 30% of the total project cost for a local historic landmark. n The plan offers money for fire and other building code compliance upgrades, like sprinkler systems, that developers have told the DIA is a roadblock to redeveloping older and historic structures. Developers could be reimbursed for up to 75% of code compliance costs for designated historic structures and up to 25% for aging buildings that are not designated. The city would cover up to 75% of costs associated with interior and exterior restorations, such as a historic elevator or plastered cornices. The city would cover 30% of the cost of interior renovation including new gypsum, granite or flooring, elements that DIA CEO Lori Boyer said Sept. 9 could be needed to make a building viable. The incentives would require the developer to take a 20% gap loan to qualify. n The bill removes the $1 million cap on historic incentives, which has been waived in recent years. KIMBERLY HELD ISRAEL BY MAX MARBUT • ASSOCIATE EDITOR
Kimberly Held Israel is the Jacksonville Women Lawyers Association’s 2020-21 representative to the Florida Association for Women Lawyers. Who or what inspired you to become a lawyer? The path to law started early for me. I wanted to be a lawyer from a young age, probably around 8 or so. My father, Eddie Held, was a highly regarded attorney in Jacksonville and I spent summers and school breaks working for his law firm before I graduated from high school. When I was a child, I used to write pretend lawyer letters. How do you relate your undergraduate degree to your practice of law? I graduated with a degree in psychology and a minor in communications and both have proven to be valuable in the practice of law. I spent my college years studying aspects of human behavior as well as effective methods of communication. Being able to communicate effectively and persuasively, both verbally and in writing, is critical in the practice of law, whether in communications with my clients, my opponents or the court. Being able to recognize and identify certain behaviors and personality traits also is extremely helpful, especially in a litigation-based practice. How did you decide your practice area? And why have you chosen that? I started in litigation and have enjoyed it throughout my career. In 2004, I was fortunate to have the opportunity to start a firm with my father, and we practiced together before he became ill and passed away. I learned from him before I even became a lawyer and then had the joy to work with him in commercial litigation and bankruptcy matters. When I started practicing in those areas, I realized how much I enjoyed those aspects of the law. What has been the biggest change in your practice area since you passed the Bar? The pace of the practice has changed

dramatically. Cellphones were still relatively new and emails weren’t routinely used for the daily practice. Faxes were still the primary means of “speedy” communications. Today, people expect immediate responses, no matter the circumstances. What do you think will be the next biggest change in your area of law? The areas I practice in are so broad that it is hard to identify particular changes that may be coming. But in the area of mortgage litigation in particular, the courts continue to navigate issues surrounding that practice. With the pandemic
having resulted in moratoria being imposed and cases being put on extended holds, next year may prove to bring even more change as foreclosure and eviction actions resume. What’s your advice for new lawyers? Take deep breaths often. Recognize that there is still a lot to learn and don’t put pressure on yourself to know all and be all. Take time away from work to do things that you enjoy, and try to see the positives in each and every situation, even when it feels impossible. There is a valuable lesson to be learned in every success, but also every failure.
Books I’m reading now: Who has time to read other than for work? My best bet is a magazine Website I can’t live without: Amazon, especially these days Favorite nonwork activities: Spending time with my family, being on the beach, hiking and heading to the mountains
