Top Dawg Tavern coming to Shoppes at Bartram Park

It’s the sixth location for the restaurant chain that started in Bethlehem, Georgia.

Top Dawg Tavern founders and owners Renee and Brett Summers with their daughter, Genevieve, 9. Top Dawg features a children’s area with an interactive floor and activities, a full-service bar and menu items including burgers, bourbon salmon and wings. “Most of all, we are affordable,” Renee Summers said.

Top Dawg Tavern intends to open its first Jacksonville area restaurant in January in the Shoppes at Bartram Park. It will be the sixth location for the family-owned company, which started in 2013. Founders and owners Brett and Renee Summers work from their home in Mount Pleasant, South Carolina, a Charleston suburb. They opened their first restaurant March 4, 2013, in Bethlehem, Georgia, outside Athens, because they lived nearby. Athens is the home of the University of Georgia and its Georgia Bulldogs. “We were both working and traveling quite a bit. When we decided to start a family, we realized we wanted a different lifestyle,” said Renee Summers on Sept. 24. “So we decided we would

start our own business.” The latest opened in July in Hilton Head, South Carolina, with the others in Columbia and Summerville, South Carolina, and in Augusta, Georgia. In Jacksonville, the city is reviewing a permit application for Duncan & Duncan Construction Management of Palm Coast to renovate the former Panera Bread at a cost of $276,480. The Shoppes at Bartram Park brochure shows Top Dawg in 4,800 square feet at 13820 Old St. Augustine Road, in the Publix Super Marketsanchored center. Panera Bread moved into a stand-alone building. Topdawgtavern.com says Brett and Renee Summers “dreamed up the idea of creating the perfect place for

them to grab a bite to eat, have a drink and enjoy time together with friends and family.” It says they wanted a gathering place for everyone that was casual, comfortable, welcoming and fun. “Being die-hard sports fans – it also needed to be a place to watch all their favorite sports.” Owner and Vice President Renee Summers said her parents previously lived in Jacksonville, so she is familiar with the area. Summers said Jacksonville is a strong location, with the Bartram Park area of South Jacksonville “a perfect spot.” “We are always looking to see if there is a good site,” she said. “Right now, we have the one.” Summer said the Bartram

Park location is in an established area with nearby homes and businesses. The shell space allows Top Dawg to create the dining area and kitchen along with an indoor-outdoor bar, a private dining area, kids room and a patio. Summers estimates 320-340 seats, making it the largest Top Dawg Tavern. She said Top Dawg opens at 11 a.m. daily and serves lunch and dinner. Sunday brunch is 11 a.m.-4 p.m. Daily closing hours have not been set. Summers said the company hires about 55 people to open. The menu features starters that include filet bites, ahi tuna, shrimp, fried green tomatoes, fried green beans and more, ranging in price

from $4 for chips and salsa to $14 for BBQ Nachos with barbecue pork or chopped brisket. Traditional and boneless wings are $10 to $29. Tavern burgers start at $9.50; sandwiches at $8; and a buildyour-own salad at $9. Favorites range from $9 for a veggie stir fry to $16 for sweet bourbon salmon. There are sides, a kids menu, lunch specials, desserts and brunch. “We can accommodate most appetites,” Summers said. “Most of all, we are affordable.” Top Dawg has a children’s area with an interactive floor and activities. The couple has a daughter, Genevieve, 9, who was an inspiration for it. It also has a full-service bar, including local craft beers, and it caters to sports fans with TVs and the SEC Network, ACC Network and Big Ten Network as well as NFL Sunday Ticket. It has a DirecTV package. Summers said she and her husband want to expand the business within their corporate footprints in South Carolina, Georgia and Florida. The name reflects Renee Summers’ college support. “Go Dawgs!! I’m a Georgia fan and so is my daughter,” she said by email. Genevieve was born in Athens, Georgia. Brett Summers “is an Oklahoma fan,” she said. KMATHIS@ JAXDAILYRECORD.COM @MATHISKB

development in the area. The projects comprise 743 multifamily residential units and more than 85,730 square feet of retail/office space. Sifakis said the groups are coordinating to build up the neighborhood. “We think it’s really important to cluster development to make it successful, especially in Downtown,” Sifakis said. They also coined the unofficial North Core name for the nineblock area bordered by Duval, Hogan, Clay and Beaver streets. Sifakis said when JWB began looking at real estate in the North Core in 2019, the area’s appeal was the density of historic buildings, the location on the future Emerald Trail and the group of developers who wanted to create a neighborhood. “Knowing that there were a number of developers that already owned property or were eyeing property in the area, that was really important,” Sifakis said. He also noted the proximity to the center of Downtown. Jim and Ellen Wiss sold the Federal Reserve Building to JWB in August 2020. That structure is being renovated into restaurant and event space. The Wisses now propose a multifamily historic building renovation with a new addition on Hogan and Ashley streets. Jim Wiss said they are “big believers in urban cores.” “A lot of the peripheral Downtown areas (in Jacksonville) are getting some stronger focus,” he said.

THURSDAY, SEPTEMBER 30, 2021

“Our hope is we’ll bring more focus to the core with our projects and some of the other projects on the drawing board.” Augustine Development Group CEO George Bochis and President Bryan Greiner are develop- Jim Wiss ing two multifamily mixed-use projects in the North Core, including renovating the historic Independent Life Building. Augustine also is restoring the historic Ambassador Hotel. Bochis said he has been asked why Augustine Group is focused on Downtown Jacksonville and the North Core. “To me, it feels like Nashville felt like a decade ago. And now you can’t buy anything in Nashville,” Bochis said. “You try to Bochis find the next Nashville,” he said. Bochis said the Downtown Investment Authority and mayor’s office “are really, really starting to pull Jacksonville along to where it deserves to be.” BOOST FROM TAXPAYERS

The developers say the city’s willingness to use tax dollars to help the private sector revitalize the North Core is essential to making historic renovations financially viable. The DIA and City Council have awarded more than $13.1 million in historic preservation grants and forgivable and deferred loans

for North Core projects over the past three years. Another $670,000 for JWB’s Porter House Mansion renovation is awaiting a Council vote. The city money is from the Historic Preservation Trust Fund and the Downtown Preservation and Revitalization Program. More tax dollars could flow into the area in the next two years. Corner Lot Companies CEO Andy Allen and ACE JAX manager Elias Hionides have been working since 2018 to adapt the historic Jones Brothers Furniture Co. building. Allen said their latest plan adds new construction to transform the property into 100 apartments. He said that density makes the project financially feasible. DIA CEO Lori Boyer said in August 2020 that the Jones Brothers adaptive reuse was one of several projects that prompted the authority to revamp city historic incentives. Allen said his group also plans to apply for a Recapture Enhanced Value Grant property tax refund from the city on the Jones Brothers addiAllen tion. Other projects in the North Core also could be eligible for tax breaks. Allen hopes DIA officials will target any new multifamily construction in the North Core for REV Grant funding. “In order to make those densities work you need a new construction segment,” Allen said. He expects a continued need for incentives “to make these numbers work.” Developers say city incentives

are needed because restoring historic buildings is expensive and can have lower margins of return in the short term for investors. Many historic renovations Downtown have required structural and code compliance work. Christian Harden, managing partner at real estate firm NAI Hallmark, voted on design approvals for several of the North Core projects as a member of the city’s Downtown Development Review Board. He said the North Core reminds him of the Downtown Brooklyn neighborhood 15 years ago at the beginning of a surge in retail and multifamily Harden construction. “I think that there is just an open opportunity in that area of Downtown where you can acquire an entire block without too much trouble,” Harden said. “It’s a great combination of empty blocks with historic assets that make it a good area for placemaking.” Harden said North Core development will benefit from market-driven lease prices and migration to Jacksonville and the Southeast U.S. influenced in part by the coronavirus pandemic. “Population centers and employment are popping up so we don’t see a slowdown in the near future.” RECRUITING RESTAURANTS

Sifakis said JWB’s North Core projects are long-term investments and not designed to be quick turnarounds to sell. He said Downtown restaurants are not moneymakers but are need-

ed to establish the neighborhood as a pedestrian-friendly area. Sifakis said if developers can cluster such uses, they can create a neighborhood, and the restaurants “can become moneymakers in five, 10, 15 or 20 years.” Bochis says Augustine Group is negotiating and under a nondisclosure agreement with a national chain to fill the 21,000-squarefoot “neighborhood market” grocery planned for the ground floor of the Independent Life Building. Greiner said in July that the Ambassador Hotel will have a “SoHo concept” restaurant operated by Doral-based Victory Hospitality LLC owner Mark Mughabghab. Allen said developers want local restaurateurs to operate in the North Core, but he and Sifakis plan to start a “recruitment mechanism” to bring restaurants and retail operators from other established downtowns in the Southeast. “You’re going to see new business actually taking the risk to start Downtown that have establishments that have been around Savannah and Charleston,” Allen said. “The only way that we’re going to (revitalize) Downtown is to get those people to come be a part of the energy.” MMENDENHALL@ JAXDAILYRECORD.COM @MIMENDENHALL (904) 356-2466

Why the North Core?: “You have the State Attorney’s Office, the county courthouse, the federal courthouse, City Hall all adjacent to (the North Core). It’s the natural expansion of a solid development core,” said George Bochis, Augustine Development Group CEO. “Those assets adjacent to it are never going anywhere.” Timeline: Construction is expected to be completed by early summer 2022.

Strong results offset disappointing sales at parent company Cracker Barrel. Sales at Cracker Barrel restaurants were disappointing in the company’s fourth quarter ended July 30. However, Cracker Barrel Old Country Store Inc. said strong results at its Maple Street Biscuit Company subsidiary helped offset sales declines at its other restaurants. “We are encouraged with the pace of sales recovery and our sequential monthly restaurant sales improvements through April. However, May sales were softer than we expected, and unfortunately, this softness persisted through most of the fourth quarter,” CEO Sandra Cochran said in Cracker Barrel’s quarterly conference call last week. “We are pleased, however, that both retail and Maple Street revenues exceeded our expectations and helped to

offset some of the restaurant declines,” she said. The company has 37 company-owned Maple Street restaurants and seven franchised locations in eight states. Two years ago, Cracker Barrel acquired the chain formerly headCochran quartered in Jacksonville. The company has 664 Cracker Barrel locations with a restaurant and retail store. Sales at comparable Cracker Barrel restaurants that were open more than two years ago, before the COVID-19 pandemic, were 6.8% lower in the fourth quarter of fiscal 2021 than in the fourth quarter of

fiscal 2019. Retail sales at those stores were 18.2% higher. The company does not report sales data for Maple Street but Cochran said average annualized sales at Maple Street restaurants were more than $1.2 million in the fourth quarter. Cracker Barrel restaurants averaged $3.3 million in restaurant sales in fiscal 2021 and $890,000 in retail sales. Cochran said a summer travel season “that did not follow traditional patterns” and staffing challenges affected Cracker Barrel restaurant sales. Also, “a general consumer preference coming out of the pandemic for more celebratory higher check occasions than we are known for” hurt sales, she said.

While not giving data, Cochran said “Maple Street again delivered significant sales growth with sequential improvements in average weekly sales for each month.” “Throughout the fiscal year, Maple Street’s business and financial performance further reinforced our confidence in the acquisition and the brand,” she said. Cracker Barrel expects to open 15 new Maple Street locations in fiscal 2022 and Cochran said the company thinks “new unit development can accelerate meaningfully in the years to come.”

Jacksonville-based blockchain SPAC files for IPO

A Jacksonville-based special purpose acquisition company, or SPAC, filed for an initial public offering last week as it seeks a business involved in blockchain technology. Blockchain Moon Acquisition Corp. intends to sell $100 million in securities and said in its Securities and Exchange Commission filing “it is our intention to pursue prospective targets that are high growth businesses in blockchain technologies in North America, Europe, and Asia.” The company’s office is at 4651 Salisbury Road on Jacksonville’s Southside but it has no full-time employees. CEO Enzo Villani and a chief financial officer are its only employees and they expect to

devote about 10 hours a week to the business as they look for an acquisition target, the filing said. Villani is CEO of Alpha Sigma Capital, an investment fund focused on blockchain technology. SPACs have become a big deal on Wall Street this year as companies with no business operations raise capital in an IPO and then seek a business to buy, making the target company a publicly traded firm. Villani A good example is Jacksonville-based space technology company Redwire Corp., which recently went public by merging with a SPAC called Genesis Park Acquisition Corp. Blockchain Moon is the first SPAC headquartered in Jacksonville to file for an IPO. Like SPACs, blockchain technology also is becoming a big deal. If you’re unaware, blockchain is “a shared, immutable ledger that facilitates the process of recording transactions and tracking assets in a business network,” according to a definition posted by IBM. “Virtually anything of value can be tracked and traded on a blockchain network, reducing risk and cutting costs for all involved,” it said. Blockchain Moon intends to sell 10 million units at $10 each

in its IPO. The units consist of one share of stock, one warrant to buy a half-share of stock and one right to receive one-tenth of a share of stock. The company has applied to list its units on the Nasdaq Capital Market under the ticker symbol “BMACU” and expects its common stock to list under “BMAC.”

Everything Blockchain is seeking uplisting

Blockchain Moon will not be the only publicly traded blockchain company headquartered in the Jacksonville area. A Fleming Island-based company called OBITX Inc. changed its name in May to Everything Blockchain Inc. Its stock is traded in the OTC Markets but the company announced last week it intends to apply to move up to the Nasdaq market or the New York Stock Exchange. Everything Blockchain reported revenue of $6.7 million and net income of $3.3 million in the six months ended July 31. The company was spun off from medical cannabis company mCig Inc. in December 2019. At the time, it was a marketing and advertising software company. However, it sold that software in April 2020 to focus on developing blockchain technology. Ironically, Jacksonvillebased mCig moved its headquarters to Puerto Rico last year and said it was getting out of the cannabis business to focus on robotics and blockchain technology.

TRC Capital Investment Corp. made an unsolicited “mini-tender” to buy up to 1 million shares of FIS at $118.25 each, which was 4.4% lower than the closing trading price of FIS on the day of the offer.

That company is now known as BOTS Inc.

Company offers below market price for FIS shares

Fidelity National Information Services Inc., or FIS, said last week a company known for making below-market offers to stockholders is seeking to buy a small percentage of FIS shares. Jacksonville-based FIS said TRC Capital Investment Corp. made an unsolicited “minitender” to buy up to 1 million shares of FIS at $118.25 each, which was 4.4% lower than the closing trading price of FIS on the day of the offer. The shares represent just 0.16% of FIS’s outstanding common stock and would not impact the company, but FIS decided to publicly advise its shareholders on the offer. “FIS does not endorse TRC’s mini-tender offer and recommends that FIS’ stockholders do not tender their shares in response to the offer because the offer is at a price below the current market price for FIS’ shares,” the company said in a

news release. FIS said TRC has made similar offers for shares of public companies. It did not offer examples but most recently, Colgate-Palmolive Co. in July announced TRC made a below market offer to buy up to 0.18% of its outstanding shares. FIS said the SEC has cautioned investors about offers like these, saying “some bidders make mini-tender offers at below-market prices, hoping that they will catch investors off guard if the investors do not compare the offer price to the current market price.”

Rayonier AM reduces debt Rayonier Advanced Materials Inc. said last week it is reducing its debt by more than $150 million, using the proceeds from the recent sale of its lumber and newsprint assets. Rayonier AM sold those assets in August to GreenFirst Forest Products Inc. for $235 million in cash and stock, including about $200 million in cash. The company said it is redeeming and repurchasing

some secured and unsecured notes. “With the transactions announced today resulting in more than $150 million of deleveraging, the Company has demonstrated its commitment to focusing on debt reduction as a primary use of near-term cash,” it said in a news release. Rayonier AM still has a large amount of debt, with nearly $1 billion in those two levels of notes on its balance sheet at midyear. Rayonier AM had acquired the lumber and newsprint businesses as part of its 2017 acquisition of Canada-based Tembec Inc. However, Rayonier has been divesting noncore business acquired in the Tembec deal to focus on its main business of high purity cellulose products.

Clearsense buys AI analytics firm Jacksonville-based Clearsense said last week it acquired Compellon, a California-based artificial intelligence analytics company. Clearsense provides data and analytics technology for the health care industry. The company said in a news release Compellon’s technology is a “hand in glove complement” that will help make its technology more user-friendly for clients. Terms of the deal were not announced. Clearsense said in March it received $30 million in financing from a partnership led by Health Catalyst Capital, a fund manager that invests in growth-stage health care technology businesses.

Fortegra expands to Czech Republic Jacksonville-based Fortegra Group said last week it is expanding its European operations by opening a branch office in Prague, Czech Republic. The specialty insurance company in 2018 established its Fortegra Europe Insurance Co. subsidiary, headquartered in Malta. The company said the location of a branch in Prague will help it expand its business in Central and Eastern Europe. The European business still is a relatively small part of Fortegra’s operations, accounting for about $23 million of its $693 million in 2020 revenue, according to an IPO filing. Fortegra had filed plans to go public but parent company Tiptree Inc. canceled the IPO in April.

Professional Bank opening loan office Coral Gables-based Professional Bank said Sept. 27 it leased space to open a loan production office in Jacksonville. The bank established in 2008 has 10 full-service branches in South Florida. It said the opening of a Jacksonville office, and another loan office in Tampa Bay, marks its first expansion outside of South Florida. Parent company Professional Holding Corp. went public with an IPO in February 2020. The Jacksonville office is on the Southside at 12724 Gran Bay Parkway W. MBASCH@ JAXDAILYRECORD.COM

THE MARBUT REPORT

Judge Roberto Arias honored by The Florida Jurist

MAX MARBUT ASSOCIATE EDITOR

The Cuban immigrant began his legal career as an assistant public defender and then was appointed to the Duval County bench in 1995. Duval County Judge Roberto Arias was recognized during the second annual “The Florida Jurist: Recognizing Hispanic Excellence.” He is one of six judges honored Sept. 23 by the Broward County Bar Association, Broward County Hispanic Bar Association, Escambia-Santa Rosa Bar Association, Hispanic National Bar Association, North Dade Bar Association, Tampa Hispanic Bar Association, Orange County Bar Association, Puerto Rican Bar Association of Florida, Sarasota County Bar Association, Hillsborough County Bar Association, Cuban American Bar Association, Hispanic Bar Association of Central Florida and the Jacksonville Bar Association.

Special to the Daily Record

Duval County Judge Roberto Arias is honored during a virtual ceremony Sept. 23. Arias said he plans to retire from the bench late next year.

Arias and his family fled Cuba in June 1965 after Fidel Castro took over the country and established communist government. They waited for permission from the government to leave the country as tourists because his father did not want to endanger the family by “putting us on a raft,” Arias said. Their first stop was Mexico, one of the few countries Cubans were allowed to visit. “Everyone in Cuba knew that if you went overseas to visit, you weren’t coming back,” Arias said. The day after they arrived, they went to the U.S. Embassy in Mexico City and applied for asylum. “It took four months for our application to be approved,”

Arias said. After the family became residents of Miami, Arias attended high school and community college, then received a degree in political science from Florida International University in 1977. One of his uncles in Cuba was an attorney. He was put to work in a factory after Castro took over, part of the communist policy to limit authority in the country to government. Arias said he grew up admiring the respect shown to his uncle and other attorneys, so he applied and was accepted to law school at Ohio State University. After the first snowfall, Arias said he was enlightened beyond his class work and knew what he would do as soon as he graduated. “I knew why people from the north move to Florida and I learned that I should have gone to the University of Florida or the University of Miami when they accepted me for law school.” After passing the Florida Bar Exam in January 1981, Arias began his career as an assistant public defender in Jacksonville. He later went into private practice until the late former Gov. Lawton Chiles appointed him to the Duval County bench in 1995. His community service includes the Hispanic American Business Association, Hubbard House, Lutheran Social Services and mentoring students. Arias said he plans to retire

from the bench in late 2022. “My wife retired a few years ago. We are looking forward to taking a long RV trip around the U.S. and visiting the national parks,” he said.

Box 1429, Palatka FL 32178-1429 (4049 Reid St, Palatka, FL 32177) or by e-mail with the District Clerk at Clerk@ sjrwmd.com, within twenty-one (21) days of newspaper publication of the notice of District decision (for those persons to whom the District does not mail or email actual notice). Failure to file a petition for an administrative hearing within the requisite time frame shall constitute a waiver of the right to an administrative hearing. (Rule 28-106.111, F.A.C.). What makes public notices in newspapers superior to other forms of notices? Public notices in newspapers are serendipitous. When readers page through a newspaper, they will find important public notice information they otherwise would not find anywhere else. Rarely do consumers specifically search online for public notices.
