hen bankrupt Stein Mart Inc. closed its stores in October, real estate brokers predicted the six Jacksonville spaces would be attractive to retailers that include gyms, supermarkets, furniture stores and other shopping uses. They are starting to land tenants.

Plans surfaced for the closed Stein Mart at 13475 Atlantic Blvd. in Harbour Village to become Crunch Fitness, and the vacant store in Point Meadows is slated for lease to Bailey’s Health & Fitness. Landlord Sleiman Enterprises COO Michael McNaughton said July 5 that the 32,000-squarefoot Point Meadows location at 10915 Baymeadows Road has been leased to Bailey’s. The Downtown Investment Authority will likely file legislation with City Council in August for a $114 million incentives package for Jacksonville Jaguars owner Shad Khan’s plan to build a Four Seasons hotel on the riverfront south of TIAA Bank Field. The DIA board voted 8-0 on July 7 to support the deal with Khan development company Iguana Investments Florida LLC for the estimated $321 million project. It also includes an office building and rebuilt public marina. After the vote, Jaguars President Mark Lamping told reporters if the deal gets through Council, “there’s no doubt we’ll have a Four Seasons in Jacksonville.” Khan agreed to a minimum $301,057,548 private investment in the 176-room Four Seasons hotel with 25 for-sale luxury condominiums and a 157,027-square-foot, six-story Class-A office building. The taxpayer contributions include a 20-year, 75% Recapture Enhanced Value Grant up to $47,683,955; a $25,834,887 project completion grant; and a 4.77acre portion of the former Kids Kampus park parcel appraised by the DIA at $12,466,772. The DIA board’s vote also issued a 30-day notice of deposition for the Kids Kampus land — the proposed hotel site. DIA CEO Lori Boyer said she will file a bill with Council if the disposition does not produce other credible offers for the property.

AC Hotels by Marriott continues its path toward opening at St. Johns Town Center with a construction start expected by year-end and completion in spring 2023. The city issued a concurrency reservation certificate May 28 for development of the 118-room, 72,000-square-foot hotel on 2.73 acres along Big Island Drive. The hotel is planned near the RH Jacksonville furniture gallery, formerly known as Restoration Hardware, under construction east of Tesla, Apple and J. Alexander’s. OTO Development LLC of Spartanburg, South Carolina, is the managing partner for the development of the Jacksonville AC Hotel. The project is a joint venture of OTO and Simon Property Group, an owner of St. Johns Town Center. “We are currently in the project’s design phase and anticipate starting construction in December of 2021. Construction is planned to be completed in March of 2023,” said Stephen Daley, vice president of construction of OTO Development LLC, in an email July 6. The site is Parcel 3 of Phase 4 of St. Johns Town Center, at northwest Butler Boulevard and Interstate 295. Indianapolis-based Simon Property Group is the landlord. England-Thims & Miller Inc. is the civil engineer and agent. The project appears to have been on hold because of the COVID-19 pandemic. England-Thims & Miller submitted plans April 7, 2020,

for city civil plan review. Plans show the hotel with a pool and parking. The fourth phase is designed among four parcels on 41.02 acres at the southeast side of the property. The land primarily was undeveloped or used for parking. AC Hotels by Marriott comprises more than 150 hotels worldwide. They feature the AC Kitchen and the AC Lounge. “incorporating a flagship quality gym and increasing the relevance of the center to the community.” Jacksonville-based Bailey’s Health & Fitness, founded in 1981, has grown to 18 locations, including at Point Village, in North Florida and one in Brunswick, Georgia. Brothers Don, David and Darryl Bailey founded the company. David and Darryl Bailey lead the company after Don’s death in August. Bailey’s Health & Fitness employs more than 300 people, has more than 60,000 members and generates annual revenue topping $20 million. Club visits in March, a year after the pandemic, were the highest in company history. Darryl Bailey said July 5 that the

17th location, at Oakleaf Station at 8396 Merchants Way in Southwest Jacksonville, is scheduled to open the week of July 19. That 37,000-square-foot space is in a former Bealls store. He said the 18th, at Point Meadows, is scheduled to open no later than early summer 2022. B a i l ey ’s Health & Fitness o f te n seeks secondge n e ra t i o n space, like the closed Stein Mart and Bealls stores, for area Darryl Bailey expansion. Bailey said the company has a smaller location at Baymeadows Road and Philips Highway. The new location allows it to expand and enlarge into the growing market east of Southside Boulevard. “Our newest location at Point Meadows will offer all of our

membership amenities and will include athletic training, team training and a basketball court,” he said. The Point Meadows gym also will feature a 6,000-square-foot cardio mezzanine, bringing the overall club size to 38,000 square feet. At Harbour Village, Russco Inc. General Contractors of Fall River, Massachusetts, is the contractor. Harbour Village landlord Phillips Edison & Co. shows Crunch Fitness on a property brochure in the 32,670-square-foot former Stein Mart space in the middle of the shopping center at northwest San Pablo Road and Atlantic Boulevard. Crunch Senior Director of Public Relations Jessica Pollack said by email June 29 that nothing was confirmed. New York City-based Crunch sells franchises. It says it has more than 1.6 million members with more than 360 gyms world-

wide in 32 states, the District of Columbia, Puerto Rico, Canada, Spain, Australia and Costa Rica. It has more than two dozen centers open in Florida, including one in Orange Park. Crunch.com says it began as one small basement-studio gym in Greenwich Village in 1989. In January, Crunch Fitness said it ranked No. 52 in Entrepreneur magazine’s Franchise 500. The magazine bases its rankings on costs and fees; size and growth; support; brand strength; and financial strength and stability. In March, McNaughton said the closed Stein Mart stores in two of Sleiman’s centers were in discussions for lease to new tenants. He said Sleiman Enterprises was working with two tenants for the Stein Mart at 1848 University Blvd. W. in Lakewood Promenade. The 30,000-square-foot store would be divided for lease.

He said July 5 Sleiman was working with several prospects for that location. He declined to identify them. Jacksonville-based Stein Mart filed for Chapter 11 bankruptcy protection in August and closed its stores in late October. Stein Mart leased from 30,000 to 46,000 square feet of anchor box space at six area properties. In addition to Harbour Village, Lakewood Promenade and Point Meadows, Stein Mart leased at Roosevelt Square/Ortega Park in West Jacksonville, Riverplace Shopping Center in Mandarin and South Beach Regional in Jacksonville Beach. Site plans for the Roosevelt, Riverplace and South Beach stores show the spaces are available. KMATHIS@ JAXDAILYRECORD.COM @MATHISKB (904) 356-2466

CSX Corp. is taking steps to acquire Pan Am Railways Inc.

The Jacksonville-based railroad company faces additional regulatory scrutiny in its deal for Pan Am Railways. CSX Corp. closed one acquisition and took steps toward regulatory approval for another last week. The Jacksonville-based railroad company completed its acquisition of Tampa-based trucking company Quality Carriers Inc., which was announced in May. CSX also filed an updated application with the U.S. Surface Transportation Board for its proposed acquisition of Pan Am Railways Inc., which would expand its rail network in New England. CSX announced the Pan Am deal in November 2020 and hoped for quick approval, but the STB in March classified the deal as “significant” and said it would need a longer review. The regulatory agency told CSX in May, without com-

menting on the merits of the deal, that the company needed to revise its application with additional information. CSX said in a July 2 news release it submitted an amended application that provides “all of the additional details” requested by the agency. “The proposed transaction is an ‘end-to-end’ acquisition that will integrate the New England rail network owned by Pan Am into CSX’s national rail network, creating seamless single-line service,” CSX Chief Executive James Foote said in the release. “This will provide substantial benefits to shippers with low-cost, environmentallyfriendly rail service with truck-like reliability,” he said. Massachusetts-based Pan Am has an 1,800-mile rail network that would expand CSX’s operations in Connecticut, New York and Massachusetts and add Vermont, New Hampshire and Maine to its 23-state network. CSX said the deal would create efficiencies for freight

customers and it promised to invest an unspecified amount in infrastructure to upgrade the rail network. CSX’s acquisition of Quality Carriers expands its multimodal capabilities for shipping bulk liquid chemicals. Quality Carriers has a network of more than 100 terminals in North America providing service to chemical producers and processors. CSX has not disclosed terms for either the Pan Am or Quality Carriers deal.

Foley, Martire find acquisition target A special purpose acquisition company (SPAC) formed last year by Bill Foley and Frank Martire found its target. Trebia Acquisition Corp. announced an agreement last week to merge with System1, which it described as an “omnichannel customer acquisition platform.” System1 operates more than 40 digital properties, including websites MapQuest and HowStuffWorks. Foley is chairman of Jacksonville-based Fidelity National Financial Inc. and Martire is the former CEO of Fidelity National Information Services Inc., which was spun off from Fidelity National Financial. Foley has formed a number of SPACs in the past couple of years. He teamed with Martire to launch an initial public offering for Trebia a year ago and they had been looking for

SPAC with ties to Jacksonville files for an IPO

Another SPAC with ties to Jacksonville is planning an IPO. Riverview Acquisition Corp. filed an updated registration statement with the Securities and Exchange Commission last week to raise $250 million and seek an acquisition target. Riverview is headquartered in Memphis, Tennessee, but

two of its top officers are executives of a holding company that controls Jacksonvillebased Stillwater Insurance Co. Charles Slatery is chairman and CEO of privately owned WT Holdings Inc., owner of Stillwater, and also is president and chief investment officer of Riverview. Riverview Chief Financial Officer William Thompson is executive vice president of WT Holdings. Stillwater, ironically, was formed as a property and casualty insurance subsidiary of Fidelity National Financial in 2000. But title insurance company Fidelity, which has a history of buying and selling companies under Foley, sold the business to private investors in 2012. The Riverview IPO filling’s only references to Stillwater are its officers’ connections. However, it does mention insurance companies as a possible target. “While our management has unique operating and investment experience in a wide variety of industries, we intend to focus on consumer-focused enterprises, including e-commerce, on the energy services and renewables sector and on the insurance and financial services sector,” the filing said. Riverview is offering 25 million units at $10 each, consisting of one share of common stock and one half of a warrant to buy additional shares. MBASCH@ JAXDAILYRECORD.COM

an acquisition target. Martire said in a conference call that they found System1 in the fourth quarter of 2020 and have been working with its management to complete a deal. “System1 is a leading technology and data driven customer acquisition business with a robust operating model that consistently generates strong organic growth, attractive margins, and profitability, all of which are all driven by a highly differentiated technology platform,” he said, according to a transcript posted by the company. System1 had $580 million in revenue last year and projects that to grow to $763 million this year. Under the agreement, the merger will make System1 a public company called System1 Group Inc. It is expected to trade on the New York Stock Exchange under the ticker “SST.” System1 co-founder Michael Blend will remain CEO. Foley and Martire will serve on the board of directors.

What makes public notices in newspapers superior to other forms of notices? Public notices in newspapers are serendipitous. When readers page through a newspaper, they will find important public notice information they otherwise would not find anywhere else. Rarely do consumers specifically search online for public notices.
