As co-lead of the host committee bringing the Republican National Convention to Jacksonville, JAX Chamber President and CEO Daniel Davis said his focus is helping local businesses secure service contracts for the event. “If you think about the hardest hit industry from COVID-19, it’s our hospitality and our service industry. We have a unique opportunity to welcome thousands and thousands of people to our community,” Davis said. Davis, who filed paperwork June 9 with the state to create 2020 Jacksonville Host Committee Inc., said in a June 16 interview he was asked to serve on the nonprofit committee by Mayor Lenny Curry. The chamber doesn’t have an official role in the event, but Davis said his connections have resulted in emails, texts and calls with business owners interested in registering. In the interview, Davis wouldn’t go beyond the $100 million in estimated economic impact the committee cited in its RNC announcement. “There’s going to be so much, and it’s all of Northeast Florida. You’re going to have from Amelia Island down to Flagler (County) is going to be busy with people.” Davis declined to provide the national GOP’s estimates for people expected to travel to Northeast Florida for the RNC in August. The Republican Party of Duval County said 12,000 to 15,000 people are expected to attend President Donald Trump’s aceptance speech Aug. 27.

here could be new life for an old mall and a new beat in the heart of Arlington’s retail center. Regency Square Mall, developed a halfcentury ago to fanfare as the largest regional enclosed mall, could be redeveloped. Commercial real estate developer Rimrock Devlin said it has a contract to buy the 53-year-old largely vacant Regency Square Mall and redevelop the 77.11-acre property into mixed uses. It’s not a done deal, but it’s on the table. “We believe the redevelopment of The Regency Square Mall will not only have a significant economic impact on the local and surrounding communities, but also create a unique social impact coupled with new job creation,
among other benefits generated with this project,” said a statement from Rurmell Mcgee, Rimrock Devlin vice president of retail development. Jacksonville-based Rimrock Devlin said the property, at 9501 Arlington Expressway, could serve multiple uses. Mcgee Those include medical services, limited service hospitality, fulfillment centers, multifamily space, charter schools, banks, a convenience store, restaurants and retail, the Jacksonville-based developer said in a statement. Rimrock Devlin declined to disclose the contract price or estimate when the sale could be completed. “Rimrock Devlin is still early in the due diligence of SEE REGENCY, PAGE 6

THE BASCH REPORT
Dun & Bradstreet Holdings files for IPO
MARK BASCH CONTRIBUTING WRITER
The business data firm has ties to Fidelity National Financial, Cannae Holdings and Black Knight.
A consortium led by Cannae Holdings Inc. and Black Knight Inc. bought Dun & Bradstreet for $6.9 billion in 2019.
Another company with ties to Fidelity National Financial Inc. is planning an initial public offering. Dun & Bradstreet Holdings Inc. last week filed a registration statement with the Securities and Exchange Commission for an IPO. The filing came 16 months after two companies spun off from Fidelity, Cannae Holdings Inc. and Black Knight Inc., led a consortium that bought the business data firm for $6.9 billion. After the buyout in February 2019, Black Knight CEO Anthony Jabbour took on the additional role of CEO of Dun & Bradstreet. Fidelity Chairman Bill Foley, who also is chairman of Cannae and Black Knight, became
chairman of Dun & Bradstreet. Investment company Cannae owns 24.3% of Dun & Bradstreet and mortgage technology company Black Knight owns 18.1%, according to recent SEC filings by those companies. Cannae announced in January that Dun & Bradstreet filed a confidential registration statement for an IPO, but last week’s filing was its first public IPO statement. Dun & Bradstreet’s IPO filing does not say how much stock will be sold or how much its current investor group will own once the company goes public. Jacksonville-based Fidelity, under Foley’s leadership, has been known for its dealmaking
Dun & Bradstreet
over the years and Dun & Bradstreet’s filing cites Foley’s help in turning the business around after last year’s buyout. “His proven track record is driven by his value creation playbook, which is highlighted by identifying cost savings, undertaking strategy shifts, eliminating siloed organizational structures and accelerating product expansion” it said. It said Foley and the investor consortium brought in new management led by Jabbour which “immediately commenced a comprehensive transformation to improve and revitalize our business for long-term success.” The new management has cut annual expenses by $206 million, the registration statement said. New Jersey-based Dun & Bradstreet reported revenue of $395.3 million and adjusted earnings of $16.7 million in the first quarter this year, according to the filing.
Ex-Treasury official joins FIS board Fidelity National Information Services Inc., or FIS, last week added Jeffrey Goldstein to its board of directors. Goldstein is an economist who served as Under Secretary of the U.S. Treasury for Domestic Finance from 200911. He currently is a senior adviser to venture capital firm
Canapi Ventures. Goldstein’s appointment as an FIS director increases the Jacksonville-based financial technology company’s board to 11 members
Michaels stock soars on upgrade The Michaels Companies Inc.’s stock jumped 58.6% in one day last week after J.P. Morgan analyst Christopher Horvers upgraded his rating from “neutral” to “overweight.” “Given increased optimism around the pace of economic recovery and a wide divide in valuation of haves (essential retailers) and have nots (value/ just reopening/ levered names), we looked at our universe for upgrade opportunities and believe Michaels represents the best upside potential at current prices,” Horvers said in his research note. The Texas-based arts and crafts retailer, which has a distribution center in Jacksonville, reported a sharp drop in first-quarter sales and a net loss, like every retailer dealing with COVID-19 store shutdowns. Horvers sees potential as stores reopen. “Michaels is the market leader in an enthusiast-based category with new management investing in e-commerce, price perception, and innovation to reverse share loss,” he said.
Michaels said about 1,000 of its stores were open as of June 4 and it expects “substantially all” of its 1,273 stores to be open by the end of this month. The company’s stock rose $3.23 to $8.74 on June 8 after Horvers’ upgrade.
Cannabis firm closing Jacksonville distribution center
Greenlane Holdings Inc., a Boca Raton-based seller of cannabis accessories and vaporization products, said in its quarterly report it is closing its Jacksonville distribution center. The company moved a distribution center from Boca Raton to Jacksonville in 2017. Greenlane did not say how many people work at the Jacksonville center, which is closing this month, and its media contact did not respond to an email inquiry. The company employed 350 people at the end of 2019, according to its annual report. Greenlane said in a news release it is closing the Jacksonville facility as part of a plan to close five distribution centers and streamline operations. Greenlane, which went public last year, had sales of $33.9 million in the first quarter and an adjusted net loss of $6.1 million.

this project as a property of this size incorporates various challenges,” said the statement. It said there are active leases in place, easements and other encumbrances that will “ultimately dictate the potential of a redeveloped property.” The developer said it looked forward to working with the city, elected officials and others on the project. Duval County records show the property is assessed at $6 million for tax purposes. Regency Realty LLC, a partnership of Mason Asset Management and Namdar Realty Group LLC, both based in Great Neck, New York, paid $13 million for the mall Feb. 14, 2014. That purchase included the AMC Theatres property and the Belk store. Regency Realty has since sold both. The purchase did not include the Dillard’s or Sears properties, which remain separately owned. Ownership consolidated retailers into the east wing of the mall, which is at 30% occupancy, including the closing J.C. Penney Co. Inc. department store. Another tenant wanted the west wing, but didn’t open and that deal ended up in litigation. SEEING OPPORTUNITY
Rimrock Devlin said mall properties throughout the U.S. are experiencing declines in traffic as consumer purchasing habits changed over the past decade. It said that created redevelopment opportunities because many mall properties are “in the heart of densely populated retail corridors where people live, work and play.” Rimrock Devlin called the Regency Square Mall site “a perfect representation of this and unique in its positioning within the Jacksonville market.” “It’s not often that you find a 70-plus acre tract of land in the heart of a community surrounded by rooftops, local businesses and national brands with frontage on a main thoroughfare encompassing over 100,000 passing cars each day,” it said. Rimrock Devlin said the mall is central in the Jacksonville market because it is a 15-minute drive to Jacksonville International Airport and the Beaches, not far from Downtown and 10 minutes from St. Johns Town Center. Property records indicate the mall property under contract comprises at least 960,000 square feet of space in the east and west wings. Mcgee said Rim-

rock Devlin would buy 77.11 acres. Rimrock Devlin is a commercial real estate development services firm led by Micah Linton and Wallace Devlin. Rimrock Devlin has developed residential and retail projects in Northeast Florida and buildings for Jacksonville University’s use. It also has submitted proposals for Downtown development. Matt Demir, founder and broker of Xera Realty Inc., is the mall’s leasing agent and broker on the deal. He said occupancy in the east wing is about 30%, and that includes J.C. Penney Co., which is closing. The namdarrealtygroup.com site says Regency Square Mall comprises 1.39 million square feet, but that includes the separately owned properties. Dillard Department Stores
than 100 department stores, boutiques, specialty retailers and food vendors. The center doubled in size in 1981-82 and added more space in the early 1990s. Shopping trends changed. By 2012, occupancy dropped to 60%. When Mason Asset and Namdar took over, previous owner General Growth Properties reported occupancy of about 38%. Regency Realty’s acquisition six years ago generated optimism that new owners would revitalize the Arlington landmark. Little changed inside the mall other than brand-name tenants left or relocated. Those included Belk, Kay Jewelers, Victoria’s Secret, Champs and Foot Locker. Smaller tenants came and went. J.C. Penney remains the anchor tenant in the east wing, but the
Inc. owns the clearance center, which is open for business; ESL Investments Inc. owns the forsale former Sears store anchoring the west end; and Impact Church of Jacksonville Inc. bought the closed Belk store in the center. ESL Investments is led by former Sears Chairman Eddie Lampert. Mcgee declined to comment on those properties because Rimrock Devlin does not control them. ONCE A RETAIL LEADER
Regency Square Mall called itself the largest shopping center in the Southeast when it opened in 1967. It was the area’s first major regional shopping center outside of Downtown. Arlington is considered one of Jacksonville’s first suburbs. The mall was filled with more
department store will close as Penney reorganizes under bankruptcy laws. J.C. Penney reopened the store June 12 after the pandemic and started storewide sales. The disposition firms handling the closings said all sales are final starting June 25. Mall ownership said in February 2019 that it was exploring options, including selling the property. “We understand at the moment that the mall needs to be rethought as to where this property will go in the next 50 years,” said Elliot Nassim, president of Mason Asset Management, in February 2019. “We want to do what’s best for the city and the area,” he said. Mason and Namdar specialize in acquiring aging shopping centers and regional malls. In the past five years, Regency Square also has been involved in litigation. One case was a lawsuit filed in July 2017 against Regency’s owners by International Decor Outlet LLC, which planned to lease nearly 200,000 square feet in the west wing for sublease to homeimprovement tenants. The lawsuit said the landlord denied access to the space and it alleged the air conditioning didn’t work, there were roof leaks and reasonable housekeeping and security services were not provided. IDO attorney John Mervin Benton said the litigation is dormant. Demir said June 17 that mall ownership has control of that space. “People want to see it turn around,” Demir said. THE MARBUT REPORT
Young Lawyers Section installs new board Campbell
MAX MARBUT ASSOCIATE EDITOR
Virtual meeting includes administration of oath and a champagne toast. The Jacksonville Bar Association Young Lawyers Section convened its annual meeting June 11 on the internet instead of at a happy hour because of the COVID-19 pandemic. The evening wasn’t entirely nontraditional – there were snacks and champagne for a celebratory toast that members picked up before the virtual meeting from event partner Biscottis. The results of the board of governors election were announced, with Tim Miller Miller reelected for a second term and new members LaTesha Campbell and Kathryn Stanfill. They were sworn in by U.S. District Judge Brian Davis,

along with the rest of the board, including 2020-21 YLS President Ashlea Edwards. Campbell is an assistant state attorney in the 4th Judicial Circuit. Stanfill is an associate with The Hinson Law Firm. Edwards succeeds Alessandro Apolito as president of the organization of attorneys age 36 or younger, or who have been practicing for fewer than five years.
JWLA returns to The River Club After a three-month postponement, the Jacksonville Women Lawyers Association met June 11 for lunch at The River Club. There were fewer tables, fewer seats at each table, face masks and plated service instead of a buffet. The program, originally scheduled for the group’s meeting the week after the pandemic shutdown began, was “The Past, Present and Future of Parental Leave in the Legal Profession.” The panel comprised attorneys who are parents: Alessandro Apolito, Kelli Leuckert, State Attorney Melissa Nelson

and Jennifer Feld, an attorney in Tampa who participated via Zoom. The discussion was moderated by JWLA past President Jennifer Shoaf Richardson. The state Supreme Court recently expanded parental leave benefits related to trial schedules after hearing oral arguments from members of the Florida Association for Women Lawyers, including Richardson, the group’s immediate past president. JWLA’s 2020-21 board was introduced, including President Cyndy Trimmer, who succeeds Sarah Mannion;
President-elect Kelli Leuckert; Secretary Kimberly Woods and Treasurer Kayla Haines. Mannion announced that JWLA was recognized as the 2020 outstanding local chapter by the Florida association and three members, General Magistrate Jamie Ibrahim and attorneys Alice Morris and Kimberly Woods, were recognized as statewide Leaders in the Law.
