JACKSONVILLE LANDING PLANS FROM THE PAST

City takes possession of shopping center as debate over what comes next heats up. BY MIKE MENDENHALL STAFF WRITER

T

he city took possession of The Jacksonville Landing on Wednesday, which means time is brief for its remaining tenants and possibly for the Downtown riverfront shopping center itself. The city’s acquisition of the shopping center comes after the City Council on March 26 approved a $15 million settlement with Toney Sleiman’s Jacksonville Landing Investments LLC. That legislation also includes

Previously unreleased renderings of a 2015 redevelopment plan of the Jacksonville Landing from the Downtown Investment Authority show the property without the existing structure, opening the property and Laura Street to the river. It’s replaced by outdoor concert and green spaces, a museum and mixeduse business, retail and restaurant development. City officials say that because the plans, developed from public meetings, show the Landing structure demolished, no further debate is needed.

$1.5 million to demolish the Landing. In an April 23 interview, Mayor Lenny Curry and Chief of Staff Brian Hughes made it clear they intend to demolish the building. “Demolition has been contemplated for years and was approved by the City Council. Demolition is what comes next,” said Hughes, who also is the interim Downtown Investment Authority CEO. They made their points as incoming council member Matt Carlucci proposes that the community discuss what could be SEE LANDING, PAGE 9

Less than two months after Ulta Beauty Inc. said it will open a Jacksonville distribution center, the city confirmed the company is Project Flamingo. The city released the economic agreement Wednesday with Ulta Salon, Cosmetics & Fragrance Inc., dated April 26. Also, tenant build-out for Ulta Beauty is in construction review at the Park 295 Industrial Park in Northwest Jacksonville. The city is reviewing a permit application for a $3 million buildout of 202,471 square feet of space that the beauty supplies retailer will lease at 2619 Ignition Drive. Ulta will lease part of a new 552,634-square-foot building, the first structure at the business park at Interstate 295 and Duval Road. In March, Ulta Beauty confirmed it will open a fulfillment center in Jacksonville in 2020. Ulta’s fulfillment center fit the description of the Project Flamingo economic development project that City Council approved Jan. 8 for a city grant of $1.425 million. The project description said Flamingo intends to invest $37.5 million to lease and equip 200,000 square feet of space in Northwest Jacksonville to distribute privatelabel skin and hair care products. City legislation calls for the project to create 30 full-time jobs by year-end 2021 at an average annual salary of $46,346. The positions include managerial, logistical, warehouse and support staff. More workers could be hired at lower salaries.

Tiffany Ash, a Harvard University and Harvard Business School graduate, is vice president of leasing and real estate in the family business, Ashco Inc. led by her father, Ed. A Jacksonville native, she negotiates with tenants to lease in the company’s North Florida retail projects. Her office is in the San Marco Train Station, the renovated former City of South Jacksonville waterworks and electric building. I realized I wanted to make a big impact on a global scale. One of the ways I’ve been able to do that is through real estate. It’s a great passion of mine. I feel like when you walk into a shopping center or a boutique center, like this one, you walk out with a shift in mind-set because it takes you to a different space. It’s not a cookie-cutter space. It’s almost a living art.

The market has moved from big-box retailers to a smaller boutique footprint. That’s because people can purchase everything online. People are now looking for the experience of going to a restaurant or a shopping center. You have to have a niche that I think didn’t exist 10 years ago. I believe we’re on the forefront of that. We have a program called the “Next Generation of Shopping Centers. “You’ll see in the development and design that they’re unique. They bring something different to the North Florida marketplace.

Autobahn: ‘ We are always innovating’ KAREN BRUNE MATHIS EDITOR

Five-year-old indoor speedway seeking growth by adding restaurant, virtual reality unit and ax throwing. Autobahn Indoor Speedway & Events in Jacksonville is driving its strategy to add what its customers want: A fullservice restaurant, a bar serving beer and wine and up to 50 arcade games. “We are always innovating,” said Donald Wagner, director of operations. “We try to find what is the next thing we can add for the customer’s experience.” Autobahn opened five years ago in an 80,000-square-foot building it leases at 6601 Executive Park Court N. off Interstate 95 and Butler Boulevard. It offers high-performance electric go-karts that can reach speeds up to 50 miles an hour and also offers parties and corporate events. It added Autobahn Axe Throwing last year. It proposes to renovate the northwest part of its building to convert the conference room and break room into dining, private dining, bar and kitchen space. The southwest track and the track view will be modified, plans show. Auld & White Constructors LLC is the contractor for the $1.2 million project

of about 14,000 square feet. The city is reviewing the plans. Go-carts remain the core business, Wagner said. “People wanted food, so let’s give them some food. People wanted more to do, so we added ax throwing. We are adding arcade games, so that supplements what we do now,” he said. “So you have a racing-theme entertainment destination,” he said. Wagner said the end game in Jacksonville is a lot like the group’s Chicago Accelerate Indoor Speedway, although that location is two stories. He expects to complete the Jacksonville project by year-end. “We are hoping to start construction in the next month or two and we hope to have it open this year.”

Autobahn will remain operational during the construction. Wagner said the project satisfies the needs of the business and the customer: Autobahn needed to add more options for customers in addition to racing, which “makes us more competitive,” and it responds to what the customers have been requesting. He said the renovations will make the destination friendly to all members of a family or a group. “We are going to have this whole complete picture,” he said. It will offer racing, ax-throwing, arcades, food and beverages. It also offers a virtual reality unit, such as the four-player Chaos Jump. It will add new games next month. And if someone just wants to watch sports on TV with a local craft beer, that

works, too. He didn’t have the names of the arcade games or the final number of seats in the restaurant. Plans indicate 112 seats and 26 bar seats in the dining area along with 113 seats for private dining. He said the menu will focus on “good food made well and fresh.” Autobahn might seek a full liquor license next year. The restaurant service will coincide with operating hours. Unless closed for a holiday or a private event Autobahn opens at 11 a.m. Monday-Friday, closing at 10 p.m. Monday-Thursday and at midnight Friday. It opens at 10 a.m. on weekends, closing at midnight Saturday and 10 p.m. Sunday.

THE BASCH REPORT

Fidelity merger timing still uncertain

MARK BASCH CONTRIBUTING WRITER

Jacksonville-based company still seeking federal approval to buy Stewart Information Services Corp. Thirteen months after reaching agreement to buy another title insurer, Fidelity National Financial Inc. still can’t say when the deal might be completed. Jacksonville-based Fidelity’s $1.2 billion deal to buy Stewart Information Services Corp. was rejected in January by the New York State Department of Financial Services, one of a number of state regulators that have to sign off on the merger. The company also needs approval from the U.S. Federal Trade Commission, which has asked for additional information. The merger would increase Fidelity’s dominant share of the U.S. title insurance market to about 42%, so the company has to address antitrust concerns.

“We will continue to respond to the FTC’s second request and maintain discussions with all other relevant regulatory bodies to seek approval of the proposed acquisition.” RANDY QUIRK, FIDELITY CEO

“We will continue to respond to the FTC’s second request and maintain discussions with all other relevant regulatory bodies to seek approval of the proposed acquisition,” CEO Randy Quirk said last week during Fidelity’s quarterly conference call with analysts. Quirk said Fidelity filed a new application with the New York regulators but said little more about the approval process. “We remain confident that

the Stewart acquisition will create meaningful long-term value for our shareholders. We will not be able to further comment or take questions on Stewart,” he said. Fidelity reported firstquarter adjusted earnings of 43 cents a share, a penny higher than the first quarter of 2018 and 3 cents higher than the consensus forecast of analysts, according to Zacks Investment Research.

Ameris merger moving swiftly While Fidelity’s big merger process plods along, a major acquisition for Ameris Bancorp apparently is moving toward a swift completion. Ameris agreed in December to buy Atlanta-based Fidelity Southern Corp. (no relation to Fidelity National Financial) and it expects to complete the $751 million deal by the end of June.

During Ameris’ quarterly conference call last week, CEO Dennis Zember said the integration of Fidelity Southern’s operations is going well even before the deal is completed. “The integration of the two companies is proceeding at a very fast pace and once the legal merger is consummated, we will be very far down the road putting the two companies together financially and culturally,” he said.

Jacksonville Daily Record/Jacksonville Record & Observer Ameris, which has its executive offices in Jacksonville, expects the acquisition of Fidelity Southern to bolster its presence in Atlanta. Zember said the company already is making inroads in that market. “Our presence and our image in Atlanta is driving the inbound phone calls from customers and bankers that we hoped it would,” he said. Ameris reported first-quarter adjusted earnings of 90 cents a share, up from 73 cents the previous year. However, the earnings were below the consensus forecast of 92 cents, according to Zacks.

Deutsche Bank ends merger talks

Another potential bank merger that would have impacted Jacksonville was called off last week. Deutsche Bank said it ended merger talks with another Germany-based bank, Commerzbank. “After thorough analysis, we have concluded that this transaction would not have created sufficient benefits to offset the additional execution risks, restructuring costs and capital requirements associated with such a large-scale integration,” Deutsche Bank CEO Christian Sewing said in a statement. Deutsche Bank confirmed in March that it was talking to Commerzbank after months of rumors that German regulators were pushing for the merger to help financially struggling Deutsche Bank. Deutsche Bank announced the merger talks ended two days before it reported first-quarter earnings, and Sewing said the results show the bank is improv-

ing its finances on its own. “As our preliminary first quarter results demonstrate, we are moving in the right direction under our own steam. In a very difficult financial market environment, we grew net income by more than 65% year-on-year to approximately 200 million euros,” he said. Deutsche Bank employs more than 2,000 people in Jacksonville but has announced plans to reduce U.S. operations to cut costs, as well as cut jobs throughout its global operations. The bank’s total employment was 91,463 at the end of the first quarter, down from 97,130 a year earlier.

BBVA is dropping ‘Compass’ from name BBVA Compass bank branches are dropping the “Compass” from their name, as part of a plan by Spain-based Banco Bilbao Vizcaya Argentaria, S.A. to brand all of its global operations under the BBVA name. The global bank operates under different local brands in the U.S., Argentina, Mexico and Peru. But the company said last week it is dropping all the local names in the coming months to unify its operations. “Becoming BBVA is simply the next step in what we’ve always said is an ongoing digital transformation process,” said BBVA Compass CEO Javier Rodríguez Soler in a news release. “Operating under a single brand further brings the power and strength of BBVA around the world to our clients here in the U.S.” Birmingham, Alabama-based Compass Bancshares Inc. entered the Jacksonville market

in the mid-1990s when it made several acquisitions of small banks, beginning in 1994. BBVA bought Compass for $9 billion in 2007 and has been operating BBVA Compass as its U.S. subsidiary. BBVA Compass is the fourthlargest bank in the Jacksonville market with 25 branches and a 4.37% share of deposits in the metropolitan area, according to Federal Deposit Insurance Corp. data.

Landstar System beats forecast Landstar System Inc. last week reported first-quarter earnings of $1.58 a share, up from $1.37 the previous year and above the company’s forecast range of $1.51 to $1.57. Revenue of $1.033 billion was below the first-quarter 2018 revenue of $1.048 billion, but

expenses also dropped. CEO Jim Gattoni said in a news release that the Jacksonvillebased trucking company is facing a difficult industry environment. “We began the quarter facing very difficult year-over-year comparisons plus decelerating rates of growth in both truck revenue per load and truck loadings that began in late 2018,” he said. “Truck capacity became more readily available at the end of 2018 and that market condition carried through the 2019 first quarter putting additional pressure on rates. Landstar performed very well during the 2019 first quarter given the softening environment.” Landstar projects secondquarter earnings of $1.56 to $1.62 a share, compared with $1.51 in the second quarter of 2018.

Officials of Waste Management Inc. talked publicly last week for the first time since announcing its $4.9 billion agreement to buy Ponte Vedrabased Advanced Disposal Services Inc. But they still aren’t giving much insight about the integration of the two companies. “We can’t say a whole lot about some of the details of it for obvious reasons,” CEO Jim Fish said in Waste Management’s quarterly conference call. “We’ll give details where we can but suffice it to say, this is being looked at as being transformational and the two companies are so complementary from a cultural standpoint that it really makes a ton of sense for us.” Waste Management has not indicated its plans for Advanced Disposal’s headquarters office in Nocatee. Advanced Disposal moved into the office in 2013, and its lease expires in 2020. Fish said the deal gives Waste Management, the largest U.S. waste disposal company, 3 million new customers. “It’s a lot more difficult to get three million organic customers than it is to pick them up through a great acquisition like this,” he said. “We are very, very excited about this,” Fish told analysts. “This is really something that we haven’t done in a period of 20 years, a deal of this size.” MBASCH@ JAXDAILYRECORD.COM

done with the property. Some people suggest preserving the Landing for reuse. “Mayor Lenny Curry didn’t wake up, Brian Hughes didn’t wake up, the DIA didn’t wake up and come up with this notion last week of let’s tear down the Landing. It’s been years, years, years of discussion and we’re finally there,” Hughes said. THE POLITICS AT PLAY

Although the mayor’s office is confident the Landing will be demolished, Carlucci and others want to open the issue to public debate. At a DIA board meeting April 17 and in subsequent media interviews, Carlucci pushed for a public meeting, saying he “has been stormed” by constituents concerned about the Landing’s future. “Even if it’s not a currently viable piece of property, so many people want to have a say in its future. The Landing, for so many people, is like the centerpiece of the Thanksgiving table,” Carlucci said. “For this reason, I believe it would be well to involve the Jacksonville citizens in the decisionmaking process of what to do with the Landing,” he said. Carlucci said the city needs “our citizens’ buy-in, engagement and involvement and, I believe, on the front end of the process.” In an interview Friday, Hughes was frustrated with Carlucci’s view. Hughes said a public discussion already had taken place that concluded demolition was appropri-

ate and that the topic of demolishing the Landing dates back to the previous mayoral administration. He said Carlucci, who served three terms on council from 1987-95 and 1999-2003, is telling media “something hasn’t happened and it has.” Hughes said plans to demolish the Landing date to the administration of Mayor Alvin Brown, who served from 2011-15. Hughes cited a previously unreleased final plan and renderings of a redeveloped Landing site produced from stakeholder and public meetings in June 2015. The city released the documents Friday. The 2015 Landing plan was coordinated by the DIA board, which selected Wakefield Beasley & Associates and Urban Design Associates of Atlanta to facilitate the meetings and draft a plan for the shopping center. The meetings produced rede-

velopment objectives, including opening up the Landing property to create a view of the St. Johns River from Laura Street, and featured green space and mixed-use structures. “We feel it was evident that they meant demolition with what they described in the space,” said Nikki Kimbleton, city director of public affairs. “Especially with what they show in the renderings.” LOOK BACK AT PLANS

Doris Goldstein is a former DIA board member who participated in the completion of the 2015 plans. She resigned from the DIA at the end of 2015 and moved to Los Angeles. In a telephone interview Wednesday, Goldstein confirmed Hughes’ assertion that demolishing the Landing was the intent based on the materials and final design generated from the 2015 stakeholder and public meetings.

She also said that there was sentiment to keep it. “There were certainly some people that suggested reuse of the space,” she said. But it was determined the property was “not viable for long-term use.” Conceptual drawings show a space labeled “Jacksonville Landing” with a fountain and communal concert space, opening Laura Street and Downtown to the St. Johns River. The Landing as it appears now is not part of the final 2015 design. The space is surrounded by restaurant, retail and office structures. A building in the northwest corner was intended for a museum. Goldstein said the DIA and UDA focused on the junction of Laura Street and the river. Curry’s office has not released an updated plan of what will happen to the property post-demolition, but Goldstein said she hopes the

2015 proposal gets a second look. The key difference between Curry’s plan and the UDA design, Goldstein said, is the 2015 version activates the Landing property with amenities and shops, and that shade is incorporated into the outdoor space A rendering of Curry’s proposal released in 2018 shows green space or a park where the Landing stood, flanked by two mixed-use structures. “(Mayor Curry’s proposal) may be lively when there’s a concert or event, but when it goes dark, it goes from an asset to a liability,” Goldstein said. One factor that could change a design is legislation. Council is considering legislation from member Lori Boyer that calls for a comprehensive rezoning of Downtown, which would affect the setbacks from the river in future development. Now that he’s aware of the 2015 public workshops, Carlucci said Wednesday the charrette should be refreshed. “What’s wrong with updating the charrette?” he said. “What’s wrong with building a consensus? There are issues we’re thinking about today that we weren’t thinking about in 2015, like resilience.” Goldstein hopes the 2015 proposal can be used with some adjustments. “In this plan the site itself is iconic,” Goldstein said. “The river, the public art — in this plan, people need to imagine walking through it. It’s meant to be appreciated at the ground level.” MMENDENHALL@ JAXDAILYRECORD.COM @MIMENDENHALL (904)-356-2466

THE MENDENDHALL REPORT

Builders giving back to Beaches Life Saving Corps

MIKE MENDENHALL STAFF WRITER

Lifeguards get upgrades to locker room thanks to NEFBA. Sunday’s annual ceremony in Jacksonville Beach officially opening the Beaches for 2019 doubled as a christening for the Red Cross Volunteer Life Saving Corps’ upgraded facility. The Corps cheered more than $33,500 in upgrades to the building’s locker room facilities completed April 26 with the help of the Northeast Florida Builders Association. According to NEFBA President Sean Junker, the Corps asked the builders association’s Builders Care nonprofit charitable arm two months ago for assistance with its outdated locker room facilities. The Red Cross needed to increase the size of the women’s locker room at its Jacksonville Beach facility because of the increasing number of female Corps members. The building was constructed in 1948 and, according to Junker, it had been 20 years

NEFBA President Sean Junker and B&G Plumbing Co. co-founder Gene Rover led the effort to renovate the locker rooms.

since the locker rooms were upgraded. The plan this time was to remove and replace a wall, reducing the size of the men’s locker room while increasing square footage in the women’s facility. Builders Care was founded in 2001 to provide affordable or no-cost construction services to the elderly, disabled and nonprofit organizations in northeast Florida.

The request didn’t fall under the Builders Care residential framework, but Junker, president and CEO of Providence Homes, and B&G Plumbing Co. co-founder Gene Rover thought it would be a good project for NEFBA members. “We were listening to those guys and it really just kind of touched us as we learned about what these young men and women do to protect our beaches,” Junker said.

Junker and Rover rallied NEFBA members for materials and labor for the project. Lifeguard volunteers took on the initial demolition April 13-14. The group of NEFBA volunteer companies then came for the new construction. Ten NEFBA member companies participated in the improvement project, including providing electrical, plumbing, HVAC, tile, framing, drywall and painting services.

After the NEFBA donation, the Life Saving Corps paid only $3,877, or 15% of the total retail cost of the improvements. Rover said the Corps’ total project budget was $7,500 and it will be able to invest the remaining funds in further Red Cross building upgrades. “These guys stepped up to the plate, used our skill set to reduce prices of materials and labor and pass that along to them for significant savings,” Junker said. Rover added, “These (Corps) kids do so much for this city that people don’t have a clue. Their board is constantly out fundraising. It was just the right time.” MMENDENHALL@ JAXDAILYRECORD.COM @MIMENDENHALL (904) 356-2466

The Jacksonville Bar Association devoted its May meeting Wednesday at the Hyatt Regency Jacksonville Riverfront to the U.S. observance of Law Day. May 1 is set aside each year, by an act of Congress, to consider the importance of the rule of law and the legal process in achieving justice, protecting liberty and contributing to the freedoms guaranteed to Americans by the Constitution. This year's theme, “Free Speech, Free Press, Free Society,” was based on the First Amendment that guarantees, in addition to freedom of speech and the press, freedom of religion, the right to peaceable assembly and the right to petition the government for redress of grievances. Circuit Judge Katie Dearing, president of the association, described the right to free speech and a free press as “the most important foundations for a free society.” The Jacksonville Daily Record presents its annual Lawyer of the Year award at the Law Day meeting. This year's recipient is Kathy Para, who retired in January from Jacksonville Area Legal Aid after a decade of service as

pro bono coordinator and pro bono director. In presenting the award, Matt Walsh, Observer Media Group CEO and publisher of the Daily Record, said Para enrolled at Florida Coastal School of Law after her career as a teacher and

later, a small business owner, because she “felt a calling to do something that would make a difference.” After she was admitted to The Florida Bar in 2001, Para went to work as an outside counsel at JEA and began volunteering her legal

services at JALA before she joined the staff at the organization. “In 10 distinguished years at JALA, she helped thousands of Jacksonville residents secure legal services. She left a lasting legacy,” Walsh said. Dearing recognized the JBA

Law Week Committee for its months of work planning and executing Law Week events, including the annual “Rendezvous on the Rooftop” to benefit the nonprofit Dreams Come True, the annual Law Day poster contest and art supplies collection for students at West Riverside Elementary School and a collection of toiletries that will be donated to Downtown Ecumenical Services. Attorney back at Smith Hulsey & Busey after 18 months at boutique litigation firm. About 18 months ago, attorney Lanny Russell decided that, after 38 years at the law firm where he started his career, he wanted to slow down his practice, so he left Smith Hulsey & Busey to work with two colleagues and Russell friends who had a boutique litigation firm. Russell returned to his home firm in April. “I thought I wanted to deintensify my practice and I had

an opportunity to work with two great friends, Mike Tanner and Tom Bishop. I learned that with the clients I have, I need the group of support that’s available at Smith Hulsey & Busey — nonlitigation areas like real estate and transactional work,” he said. “Lanny has a wide circle of clients who need work like contracts and mergers and acquisitions. All we do is litigation,” said Thomas Bishop of Bishop & Mills, formerly Tanner & Bishop. “He’s going back to his home of nearly four decades with our blessings. We loved practicing and working with Lanny and we’ll continue to work together,” he said. “Lanny is a proven experienced and creative counselor who historically has attracted and maintained unusually loyal clients. Lanny is also a good friend, and we have enthusiastically welcomed his return to our professional family,” said Stephen Busey, chairman of Smith Hulsey & Busey.

ERIC HOLSHOUSER

ERIC J. HOLSHOUSER Shareholder, Rogers Towers

BY MAX MARBUT • ASSOCIATE EDITOR

Age: 64

Eric Holshouser recently became a shareholder at the Rogers Towers law firm in Jacksonville. He is president of the Academy of Florida Management Attorneys and chair of the American Lung Association Southeast Region.

Education: Bachelor’s in economics and master’s in employment relations from the School of Labor and Employment Relations, University of Illinois; J.D. from Duke University School of Law

Who or what inspired you to become a lawyer? My interest in the law emanated from a desire to make a difference in areas of economic policy and to help people as a result. I have a particular interest in labor relations issues. Someone other than my spouse who inspires me: When it comes to practicing law, Daniel R. Coffman Jr. sure pointed a lot of us in the right direction.

Hometown: Urbana, Illinois

How do you relate your undergraduate degree to your practice of law? My undergraduate degree in economics not only impacted my approach to public policy and the law, but I have found statistical analyses I studied in undergraduate and graduate school to be very useful in practicing employment law. Also, before law school, I received a masters’ degree in labor and employment relations which helped prepare me for what I do as a labor and employment lawyer. What has been the biggest change in your practice area since you passed the Bar? The biggest change has been a shift away from traditional labor law, involving union organizing, unfair labor practice proceedings and collective bargaining, to employmentrelated litigation and jury trials. Indeed, since I began practicing, the Americans with Disabilities Act and Family and Medical Leave Act were passed into law, not to mention expansion and changes in other employment laws. What do you think will be the next biggest change in your area of law? Expansion of LGBT rights in the workplace, along with a

continuing migration to alternative dispute resolution for employment-related claims, perhaps even using artificial intelligence.

to be done to support lung cancer research, help those who need to manage lung disease and advocate for clean air.

If I could change anything in the legal system, I would: Adopt ways to make the legal process less expensive and timeconsuming for clients, yet retain a high degree of fairness.

What’s your advice for new lawyers? They should strive to work diligently and efficiently to produce excellent work product and become indispensable to those for whom they work, but also make sure they get involved in civic or Bar activities they are passionate about. Doing so not only helps make a positive difference, but allows new attorneys to enhance their reputations in the Bar and community.

What community service have you pursued and why that? I have had family affected by lung disease so I have been actively involved in the American Lung Association. Breathing is such a critical life activity and more needs

THE DISTRICT COMMUNITY DEVELOPMENT DISTRICT NOTICE OF PUBLIC HEARINGS TO CONSIDER THE IMPOSITION OF DEBT ASSESSMENTS PURSUANT TO SECTIONS 170.07 AND 197.3632, FLORIDA STATUTES -andNOTICE OF SPECIAL MEETING In accordance with Chapters 170, 190 and 197, Florida Statutes, the District Community Development District’s (“District”) Board of Supervisors (“Board”) hereby provides notice of the following public hearings and public meeting: PUBLIC HEARINGS AND MEETING DATE: May 20, 2019 TIME: 2:00 p.m. LOCATION: The Riverside Business Center 501 Riverside Avenue, Suite 700 Jacksonville, Florida 32202 The purpose of the public hearings announced above is to consider the imposition of special assessments (“Debt Assessments”) and adoption of assessment rolls to secure proposed bonds on benefited lands within the District, and, to provide for the levy, collection and enforcement of the assessments. The proposed bonds to be secured by the Debt Assessments are intended to finance certain public infrastructure improvements, including, but not limited to, stormwater management, water and sewer utilities, and other infrastructure projects, all for the “Project,” and as described in more detail in the CDD Engineer’s Report, dated February 25, 2019. The special assessments are proposed to be allocated as set forth in the Preliminary Master Special Assessment Methodology Report, dated March 25, 2019 (“Assessment Report”). At the conclusion of the public hearings, the Board will, by resolution, levy and impose assessments as finally approved by the Board. A special meeting of the District will also be held where the Board may consider any other business that may properly come before it. The District is located entirely within the City of Jacksonville, Duval County, Florida and consists of approximately 32.2 acres. The District is bounded on the north by the St. Johns River, on the west by the Duval County School Board property and Broadcast Place, on the east by undeveloped lands and a minor waterway, and on the south by a substation and undeveloped lands owned by the Jacksonville Electric Authority. A graphic depiction of the District, which includes certain of the lands within the District subject to the proposed special assessments, is shown below. Generally speaking, certain of the lands within the District are expected to be improved in accordance with the reports identified above. Further, a description of the property to be assessed and the amount to be assessed to each piece or parcel of property may be ascertained at the “District Office” located at c/o DPFG Management and Consulting, LLC, 250 International Parkway, Suite 280, Lake Mary, Florida 32746, Phone 321-263-0132, E-Mail: patricia.comings-thibault@dpfg.com. Also, a copy of the agendas and other documents referenced herein may be obtained from the District Office. Generally stated, and as more specifically described in the Assessment Report, the Debt Assessments will initially be allocated on an equal, per-acre basis. Property

*The annual amounts stated herein include estimated collection costs and early payment discounts. Pursuant to the Redevelopment Agreement for Redevelopment of the JEA Southside Generator Parcel dated July 2018 and among the City of Jacksonville, the Downtown Investment Authority and Elements Development of Jacksonville, LLC, the District anticipates receiving “Recapture Enhanced Value Grant” money (“REV Grant”) – essentially a form of tax-increment financing – from the City on an annual basis, once certain development thresholds are met. Such REV Grant money may be used to off-set the District’s annual debt service payment on any debt issued, and may result in a corresponding reduction in the Debt Assessments that are collected each year. Please review the Assessment Report for further information. The assessments may be prepaid in whole at any time, or in some instances in part, or may be paid in not more than twenty (20) annual installments or the maximum installments under Florida law subsequent to the issuance of debt to finance the improvements. These annual assessments will be collected on the County tax roll by the Tax Collector. Alternatively, the District may choose to directly collect and enforce these assessments. The public hearings and meeting are open to the public and will be conducted in accordance with Florida law. The public hearings and meeting may be continued to a date, time, and place to be specified on the record. There may be occasions when staff or board members may participate by speaker telephone. Any person requiring special accommodations because of a disability or physical impairment should contact the District Office at least forty-eight (48) hours prior to the meeting. If you are hearing or speech impaired, please contact the Florida Relay Service by dialing 7-1-1, or 1-800-955-8771 (TTY) / 1-800-955-8770 (Voice), for aid in contacting the District Office. Please note that all affected property owners have the right to appear and comment at the public hearings and meeting, and may also file written objections with the District Office within twenty (20) days of issuance of this notice. Each person who decides to appeal any decision made by the Board with respect to any matter considered at the public hearings or meeting is advised that person will need a record of proceedings and that accordingly, the person may need to ensure that a verbatim record of the proceedings is made, including the testimony and evidence upon which such appeal is to be based. WHEREAS, the District Community Development District (“District”) is a local unit of special-purpose government organized and existing under and pursuant to Chapter 190, Florida Statutes; and WHEREAS, the District is authorized by Chapter 190, Florida Statutes, to finance, fund, plan, establish, acquire, install, equip, operate, extend, construct, or reconstruct roadways, sewer and water distribution systems, stormwater management/earthwork improvements, landscape, irrigation and entry features, conservation and mitigation, street lighting and other infrastructure projects, and services necessitated by the development of, and serving lands within, the District; and WHEREAS, the District hereby determines to undertake, install, plan, establish, construct or reconstruct, enlarge or extend, equip, acquire, operate, and/or maintain all or a portion of the infrastructure improvements comprising the District’s overall capital improvement plan (“Project”), as described in the CDD Engineer’s Report, dated February 25, 2019, which is attached hereto as Exhibit A and incorporated herein by reference; and WHEREAS, it is in the best interest of the District to pay for all or a portion of the cost of the Project by the levy of special assessments (“Assessments”) on all developable lands (“Assessment Area”) within the District using the methodology set forth in that Preliminary Master Special Assessment Methodology Report, dated March 25, 2019, which is attached hereto as Exhibit B, incorporated herein by reference, and on file with the District Manager at c/o DPFG Management & Consulting, LLC, 250 International Parkway, Suite 280, Lake Mary, Florida 32746 (“District Office”); and WHEREAS, the District is empowered by Chapter 190, the Uniform Community Development District Act, Chapter 170, Supplemental and Alternative Method of Making Local Municipal Improvements, and Chapter 197, the Uniform Method for the Levy, Collection and Enforcement of Non-Ad Valorem Assessments, Florida Statutes, to finance, fund, plan, establish, acquire, construct or reconstruct, enlarge or extend, equip, operate, and maintain the Project and to impose, levy and collect the Assessments; NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF SUPERVISORS OF THE DISTRICT COMMUNITY DEVELOPMENT DISTRICT: 1. AUTHORITY FOR THIS RESOLUTION; INCORPORATION OF RECITALS. This Resolution is adopted pursuant to the provisions of Florida law, including without limitation Chapters 170, 190 and 197, Florida Statutes. The recitals stated above are incorporated herein and are adopted by the Board as true and correct statements. 2. DECLARATION OF ASSESSMENTS. The Board hereby declares that it has determined to make the Project and to defray all or a portion of the cost thereof by the Assessments. 3. DESIGNATING THE NATURE AND LOCATION OF IMPROVEMENTS. The nature and general location of, and plans and specifications for, the Project are described in Exhibit A, which is on file at the District Records Office. Exhibit B is also on file and available for public inspection at the same location. 4. DECLARING THE TOTAL ESTIMATED COST OF THE IMPROVEMENTS, THE PORTION TO BE PAID BY ASSESSMENTS, AND THE MANNER AND TIMING IN WHICH THE ASSESSMENTS ARE TO BE PAID. A. The total estimated cost of the Project is $31,284,000 (“Estimated Cost”). B. The Assessments will defray approximately $44,500,000, which is the anticipated maximum par value of any bonds and which includes all or a portion of the Estimated Cost, as well as other financing-related costs, as set forth in Exhibit B, and which is in addition to interest and collection costs. On an annual basis, the Assessments will defray no more than $4,200,263 per year, again as set forth in Exhibit B. C. The manner in which the Assessments shall be apportioned and paid is set forth in Exhibit B, as may be modified by supplemental assessment resolutions. The Assessments will constitute a “master” lien, which may be imposed without further public hearing in one or more separate liens each securing a series of bonds, and each as determined by supplemental assessment resolution. With respect to each lien securing a series of bonds, the special assessments shall be paid in not more than (30) thirty yearly installments. The special assessments may be payable at the same time and in the same manner as are ad-valorem taxes and collected pursuant to Chapter 197, Florida Statutes; provided, however, that in the event the uniform non ad-valorem assessment method of collecting the Assessments is not available to the District in any year, or if determined by the District to be in its best interest, the Assessments may be collected as is otherwise permitted by law, including but not limited to by direct bill. The decision to collect special assessments by any particular method – e.g., on the tax roll or by direct bill – does not mean that such method will be used to collect special assessments in future years, and the District reserves the right in its sole discretion to select collection methods in any given year, regardless of past practices. 5. DESIGNATING THE LANDS UPON WHICH THE SPECIAL ASSESSMENTS SHALL BE LEVIED. The Assessments securing the Project shall be levied on the Assessment Area, as described in Exhibit B, and as further designated by the assessment plat hereinafter provided for. 6. ASSESSMENT PLAT. Pursuant to Section 170.04, Florida Statutes, there is on file, at the District Records Office, an assessment plat showing the area to be assessed, with certain plans and specifications describing the Project and the estimated cost of the Project, all of which shall be open to inspection by the public. 7. PRELIMINARY ASSESSMENT ROLL. Pursuant to Section 170.06, Florida Statutes, the District Manager has caused to be made a preliminary assessment roll, in accordance with the method of assessment described in Exhibit B hereto, which shows the lots and lands assessed, the amount of benefit to and the assessment against each lot or parcel of land and the number of annual installments into which the assessment may be divided, which assessment roll is hereby adopted and approved as the District’s preliminary assessment roll. 8.
