Sugar Factory coming to Town Center THE MATHIS REPORT

The Las Vegas candy, cocktails and food concept that boasts of its celebrity sightings is taking the closed Brio Tuscan Grille space. Las Vegas-based Sugar Factory American Brasserie, known for couture lollipops, celebrity sightings and $43 tropical cocktails, intends to take over the closed Brio Tuscan Grille site in The Markets at Town Center. The company said April 14 it will open at the 4910 Big Island Drive restaurant. The projected opening is in January. It said it has the capacity for 312 seats, comprising 175 inside, 22 at the bar and 115 on the patio, in the property’s total 10,800 square feet of space. Special features include an Instagram feature cafe in the front; indoor-outdoor dining and a bar with operable doors to a large outdoor patio with a trellis and lighting; and video, candy and flower walls. It provided no further details. “I think it will be super successful,” said Kelly Pulignano, vice president of The Shopping Center Group. She and The Shopping Center Group partner Stephanie McCullough represented the owner and landlord, Hines, in the lease deal. They said the Town Center area continues to grow with residential, office space and a new hotel. “The demand continues to increase in this area in general due to the growth, and a unique restaurant offering is always in demand,” Pulignano said April 12. They said they have been talking with Sugar Factory since the fall. They referred questions about the investment to Black Star Hospitality Group, whose

concepts include Sugar Factory. The restaurant, with 7,915 square feet of interior space, was built in 2012 for lease to Brio, which closed in January 2020. McCullough and Pulignano said they expect the property to be renovated. Although it appears to need updating, the sugarfactory. com website says that it operates 19 locations in the U.S. and several internationally. Its Florida sites include Orlando, Miami and in the Tampa Seminole Hard Rock Hotel & Casino. Michael Stern with EDGE Realty Partners in Dallas and Daniel Solomon with Katz & Associates in Miami-Fort Lauderdale represented Sugar Factory, according to McCullough and Pulignano. Stern and Solomon have not responded to emails for comment. The Sugar Factory concept will be expanding. Black Star Hospitality Group says it oversees more than $100 million in revenue and investment through current and future venues, including Sugar Factory. The blackstarhg.com site says it has a more than 15-city exclusive deal with Sugar Factory that will be announced. The Dallas Morning News reported April 8 the chain will open its first Texas location in Uptown Dallas in a former Ruth’s Chris Steak House. Sugar Factory’s LinkedIn site says the company made confections part of the popular culture and turned its Couture Pops into a designer accessory, with stars such as Britney Spears, Drake, Kim Kardashian, Eva Longoria and others photographed with the sparkly lollipops. posted that American rapper and songwriter 50 Cent visited the Atlanta Sugar Factory on March 14. As an example of how Sugar Factory operates, the Sugar Factory Tampa at the Seminole Hard Rock Hotel & Casino opens at 11 a.m. daily and closes at 11 p.m. weekdays and 1 a.m. weekends. The 120-seat full-service restaurant features the brand’s signature confectionery with a 4,000-square-foot, floorto-ceiling candy wall with more than 500 types of candy, including bulk and novelty items and its “world-famous Couture Pops.” The pops come with a “diamond”-studded handle that can be refilled with pops in flavors such as champagne, watermelon and pina colada. Sugar Factory also offers coffees, hot chocolate, frozen hot chocolate, specialty rainbow doughnuts and pastries in addition to homemade gelato and ice cream. The online menu for the Tampa location shows appetizers, soups and sides, sandwiches, burgers, pasta, pancakes and waffles and grilled entrees. Prices include an $11 garden salad, $14 grilled cheese, $17 chicken breast sandwich, $18 signature burger, $28 shrimp Alfredo, $32 pan-roasted salmon and a $48 filet. There also are milkshakes that start at $14, sundaes and other desserts. The “World Famous Sugar Factory King Kong Sundae” is $99 and serves 12. An extensive specialty cocktail menu online includes $39 drinks, such as a raspberry watermelon mojito and a classic watermelon pina colada, and $17 drinks such as a chocolate mudslide martini and Grape Crush.

Center in Brooklyn, Union Square in Washington, D.C., and at McCarran International Airport at the D Gate. “Sugar Factory American Brasserie, complete with retail and the brand’s popular restaurant, can be found globally in New York City, Chicago, Pentagon City, Connecticut at Foxwoods Resort Casino, Orlando and South Beach Miami,” it says. The brand also says it will expand into more domestic markets in Mall of America in Minnesota and in Faneuil Hall Marketplace in Boston. Brio Tuscan Grille closed Jan. 24, 2020, in The Markets at Town Center. A Brio spokesman said then that several factors could have contributed to the closing, including commercial changes in the area around the restaurant and lack of traffic in the restaurant. Developer Scott Gendell, who recently bought the Monument Landing shopping center in Arlington, is a graduate of the University of Illinois Urbana-Champaign. As such, he is familiar with one of what he calls its most revered alumni. “One of the reasons we chose to invest in Jacksonville is if it’s good enough for Shad Khan, it is good enough for me,” Gendell said April 6. “If you are a graduate of the University of Illinois, Shad Khan is someone you look up to and certainly want to emulate.” Gendell is active at the university and has friends in common with Khan. They’ve met a few times. Gendell is a 1979 graduate of the university with a bachelor’s degree in advertising. Khan is a naturalized U.S. citizen who left Pakistan in 1967 at age 16 to attend the university. He graduated in 1971 with a degree in industrial engineering. He later bought and built up the Urbana-based global Flex-N-Gate Corp. automobile parts manufacturer. Khan purchased the Jaguars in 2012. Gendell went on to receive a law degree from the Chicago-Kent College of Law at Illinois Institute of Technology in 1982 and began his career as a real estate attorney in Chicago’s northern suburbs. In 1985, he and his wife, Lisa, formed Terraco Real Estate Development & Management, based in Wilmette, Illinois, a North Shore suburb of Chicago. Terraco specializes in developing, buying and managing retail, office, medical and mixed-use properties with an emphasis on neighborhood and community shopping centers and singlepurpose retail stores. Terra is Latin for land. “My two semesters of college Latin had to be good for something,” Gendell said. Terraco has developed or managed more than 120 properties, primarily in the Midwest. It began buying in Florida in the past decade in Orlando, Tampa and Vero Beach. “And now Jacksonville,” Gendell said. Terraco branched into Jacksonville with the March 19 acquisition of Monument Landing for $13.7 million. The 66,780-square-foot retail center is on 8.85 acres at 2485 Monument Road in the Fort Carolina area of East Arlington. Major tenants include Walgreens, Bailey’s Health & Fitness, UF Health Family Medicine and Dollar Tree. The center was developed in 1988 and Walgreens was built in 2008. Terraco bought the center from The Josephs Group of Orangeburg, New York, which paid $12.2 million for it in June 2017.

“This is going to be one of several properties that we either own or develop in Jacksonville,” developer Scott Gendell says.

Gendell said Dennis Carson of CBRE in Miami facilitiated the transaction, representing the buyer and seller. “This property is in an excellent neighborhood, is close to the water and it has tenants we are familiar with,” Gendell said. The location is near the St. Johns River in the Fort Caroline area and near the beaches by way of the Wonderwood Expressway. The center is fully occupied. David Gallagher is the Terraco property manager. Gendell said he has built more than 35 Walgreens pharmacies and multiple Dollar Tree stores. He said Terraco is familiar with Jacksonville-based Bailey’s, and “the University of Florida medical group is something we thought was an asset to the city and the area.” Terraco expects to make more area acquistions. “This is going to be one of several properties that we either own or develop in Jacksonville,” Gendell said. “We are real estate developers but we will buy a center that we think is a good, stable asset that we can upgrade over time.” Gendell said Terraco wants to look at Downtown and other areas. “We are actively looking for opportunities in the Jacksonville market,” he said, requesting that anyone who wants to reach him do so at shg@terracorealestate.com. ment, with apartments on upper floors. In suburban areas, Terraco would take more of a conventional shopping-center approach, he said. With his experience with the chain, “where there isn’t a Walgreens and there is a corner, we would like that.” Gendell said Terraco is not afraid of building where there is not as much residential density because “we understand the car allows you to broaden the radius of a target market.” Terraco wants to grow its footprint and portfolio throughout Florida. While its properties are concentrated in Illinois, it also has locations in Arizona, Indiana, Michigan, Minnesota, Ohio, Pennsylvania, Wisconsin as well as Florida. The company grew from a neighborhood retail development business to a real estate development and management company with a portfolio of more than 5 million square feet of retail and office properties. Terraco owns and/or manages 75 properties in nine states. In Florida, its properties include two retail centers in Orlando, 300 apartments in Tampa and residential acreage in Vero Beach.

Gendell thinks Jacksonville will draw more interest from investors. “Jacksonville has a bit of an undersized reputation in the Midwest and I am not sure why that is, but I think that will change in the next decade,” Gendell said. He looks at the community and the climate – and the fact it has an NFL franchise with “a proactive owner and now they have one of the great coaches in college football history.” “That might not seem like a huge deal, but it gets people to notice.” The Jaguars hired Urban Meyer as head coach in January. He coached collegiately at Florida, Bowling Green, Utah and Ohio State. He went 187-32 as a college coach, the Jaguars noted. Jacksonville, Gendell said, “feels like a Midwestern city on some levels.” “There is a Midwestern sensibility. People work hard, they are not showy and they are interested in a good life,” he said. Emerald C’s finds new home in Talleyrand The owners plan “pretty major renovations” to the 1950s-era building that offers views of TIAA Bank Field. BY KAREN BRUNE MATHIS EDITOR

Brittany and Jesse Culbreth searched for a new headquarters for Emerald C’s Development Inc., their general contracting firm that focuses on interior build-outs. They found one in the Talleyrand area of Downtown. “We came across this property and saw it had the potential to be something great,” company President and co-owner Brittany Culbreth said April 8. She said the industrial area near TIAA Bank Field “hasn’t had a lot of love,” so the Culbreths decided to share some of their own. Through 1750 E. Duval LLC, they paid $750,000 on March 24 for a vacant two-story, 6,250-square-foot office structure and 8,000-square-foot warehouse that is leased to a tenant, who will remain for now. Both buildings were developed in 1955. Center State Bank issued a $680,000 mortgage. Jesse Culbreth, company vice president and co-owner, said the deal is financed by the SBA through Florida First Capital Finance Corp. and Center State Bank. The property is at 1750 E. Duval St., next to the colorful Toon Town Jax building, a creative and event space covered with cartoon murals. “We’re going to do some pretty major renovations of the interior and exterior. We are hoping to make a pretty cool spotlight for the area,” he said. That could include a mural of their own. The structure also has a 1,250-square-foot deck. They will need Downtown Development Review Board approval and are researching potential incentives. The design team includes Thomas Duke Architect, Micamy Design Studio and Fortress Engineering Group. The stadium and the energy from the Jacksonville Jaguars are a big reason for the site choice. “With the changes in the Jaguars and with Urban Meyer on board, we wanted to stake our

The building’s previous uses include for construction maintenance and accounting firms, but has been vacant since it flooded during Hurricane Irma in 2017. They bought the 0.9-acre property from Talleyrand Properties Inc., led by John Ferlisi. Emerald C’s leases 3,700 square feet of suburban space

at 8400 Baymeadows Way in Baymeadows Business Park. The couple started the company in 2010 and kicked it into high gear in 2013. They have 14 employees and hope to add more. Emerald C’s Development specializes in interior buildout projects, serving corporate/ office, health care, industrial, production, education, recreation and retail. They incorporated Emerald C’s in 2010. Their Emerald-Cs.com site said the company “really grew

wings in 2013 when Brittany and Jesse devoted their full attention to becoming a prominent presence in Jacksonville.” The name stems from their Emerald Coast roots and C’s from the Culbreth family name. Their families have lived in the Florida Panhandle and South Alabama region for more than a century. Clients include Brooks Rehabilitation, Turner Pest Control, Velocity Air Sports and other local and national companies, the site says.

Brittany Culbreth, who was born in Panama City and grew up in Orlando, graduated from the University of Florida in 2006 with a bachelor’s degree in construction management. She started her career with a defense contractor building ground-up projects on military bases throughout the southeastern United States. She became a state-certified general contractor and began renovating houses in her off time. Jesse Culbreth, a native of Destin, graduated from Florida in 2005. He started his career in residential construction and transitioned into commercial in 2007 specializing in interior build-out projects. The couple married in 2009 and have two sons – Mason, 9, and Casey, 1½. The business is available for them when the time comes. “That’s a goal for sure,” Jesse Culbreth said. That said, you’ve got about 85% of executives expecting to make changes to their real estate strategy over the next year, including consolidating office space in premier locations, and/or opening satellite locations.

Office space is now planned where Southbank Crossing was designed to bring restaurants and retail stores to San Marco. BY KATIE GARWOOD STAFF WRITER

Chase Properties Inc., which had been planning to redevelop the Reddi-Arts property as Southbank Crossing, sold the almost 1-acre San Marco site for $2 million, according to a deed recorded April 8 with the Duval County Clerk of Courts. Kings Ave Properties LLC, managed by Dav-Lin Interior Contractors Inc. President Allen Stevens, purchased the property at 1037 Hendricks Ave. Stevens said April 9 that he intends to redevelop it into a 14,000-square-foot mixed-use development. About 8,000 square feet will be used as office space for DavLin and the other 6,000 square feet will be leased. Parts of the property will be demolished, he said. “It’s going to be more of an adaptive reuse project where I’m going to try to retain some of the feel (of the property),” he said. While he doesn’t have plan renderings, Stevens said the project will need Downtown

Dav-Lin is Stevens based at 6811 Phillips Industrial Blvd. Stevens said the Reddi-Arts property will be used as an annex and include Dav-Lin signage.

Kings Ave Properties LLC financed the deal with a $1,785,000 mortgage from Ameris Bank, according to the recording at the clerk’s office. Reddi-Arts is operating in the space as it awaits the completion of its new store at 1731 N. Main St. in Springfield. Chase Properties, managed by Mike Balanky, purchased the property for $1.6 million in January 2020. He bought the property from former Reddi-Arts owner Howard Meiselman. Chase planned two buildings

totaling about 10,500 square feet that included restaurant and retail space. Balanky said he was negotiating with a few restaurants to build at the development when the pandemic hit, stalling those conversations. Balanky said Stevens asked him if he would be willing to sell the property after seeing construction had been delayed. “I said ‘yeah, for the right price we would sell it,’ so we negotiated a deal,” Balanky said. Proceeds from the sale will be moved into another Chase

Stevens said he has held several properties in the area over the years and owns 1024 Kings Ave., adjacent to Reddi-Arts. “I always liked (the ReddiArts) property and always wanted to buy it and finally had my opportunity, so I did,” Stevens said. The City Council approved a bill 18-0 on April 13 to rezone the former Regal Cinemas property on Beach Boulevard to allow for multifamily development. A JEA Service Availability letter dated Oct. 21 from PG Investco LLC states it wants to build a 350-unit community called Presidium Beach Blvd. A JEA report for March 30 said the number of units is 400. Attorney Paul Harden is listed

as the applicant. The rezoning application seeks to rezone the property at 14051 Beach Blvd. from commercial community general to high-density residential. A Regal Cinemas spokesperson could not be reached about when the theater closed, but the location no longer is listed on the company website. Regal operates two locations in Jacksonville at 9525 Philips Highway and 12884 City Center Blvd. in River City Marketplace. The theaters were closed for much of the past 12 months because of the pandemic. Mark Farrell is listed as the registered agent of Dallasbased PG Investco LLC. Farrell

is the president of development for Presidium Group, a Texasbased real estate developer. Farrell did not return a call for comment. Presidium developed the JTB Luxury Apartments at 8876 AC Skinner Parkway and Presidium Town Center at 7738 AC Skinner Parkway. Elda FL Investments LLC owns the 14.01-acre theater and parking lot property. The company is shedding units to focus on its cellulose specialties core. Rayonier Advanced Materials Inc. more than doubled in size and briefly entered the Fortune 1000 in 2019 after acquiring Montreal-based Tembec Inc. in late 2017. However, the Jacksonvillebased company is getting smaller as it sheds some of the Canadian operations acquired from Tembec to focus on its core cellulose specialties products. Rayonier AM announced a deal April 12 to sell six lumber mills and one newsprint mill in Canada to Vancouver-based GreenFirst Forest Products Inc. for $214 million. That deal follows a 2019 sale of a pulp mill in Quebec to South Africa-based Sappi Ltd. for $175 million. After acquiring Tembec, Rayonier AM’s revenue jumped from $961 million in 2017 to $2.13 billion in 2018, vaulting the company into 951st place on Fortune magazine’s annual list of the 1,000 largest U.S. companies. However, the pulp mill sold in 2019 produced $177 million of those sales. Rayonier AM sales have continued to drop since then, largely because of weakness in its core cellulose specialties market. The company reported 2020 sales of $1.74 billion, which included $392 million in forest products sales from the six lumber mills being sold to GreenFirst, and $47 million from the newsprint plant included in the deal. The forest products segment was particularly strong in 2020 because of rising lumber prices, sending sales in the business up 31%. So Rayonier AM will continue to shrink in size when the deal is completed later this year, but it is hoping the cash from the sale will help it improve operations. GreenFirst is paying about 85% of the $214 million sales price in cash and the rest in the company’s stock, which is publicly traded. “The sale of the lumber and newsprint businesses allows us to divest non-core assets at an attractive valuation and positions Rayonier Advanced Materials to further invest in the earnings growth of our core High Purity Cellulose assets and its biofuture while also reducing overall debt,” CEO Paul Boynton said in a news release.

That soon may change as its controlling shareholder has offered to buy the shares of the Jacksonville-based company that is does not already own. According to a Securities and Exchange Commission filing last week, Avis Industrial Corp., which owns 81.1% of International Baler’s shares, has offered to acquire the remaining stock. Indiana-based Avis owns several competitors that make balers, which are used by businesses to bundle waste for disposal and recycling. Avis is owned by the estate of Leland Boren, its former CEO who died in 2018. Boren and his wife began buying shares of International Baler, then known as Waste Technology Corp., in 2005 and became the majority stockholder by 2007, according to SEC filings Boren’s accumulation of stock left few shares available for trading. Avis’ 81.1% stake represents about 4.2 million of the 5.18 million International Baler shares outstanding. The stock was trading at $1.32 but jumped above $2 last week after the SEC filing revealed Avis’ offer. Terms were not disclosed in the filing. International Baler said in the filing its board of directors formed a special committee to evaluate the offer, but no timetable has been set to complete the process. International Baler operates from a 62,000-square-foot building it owns at 5400 Rio Grande Ave. on the Northside. It reported 49 full-time employees at the end of fiscal 2020. The company’s most recent financial filing showed revenue of $2.35 million and net income of $489,389 for its first quarter ended Jan. 31.

CSX-Pan Am deal termed ‘significant’ It turns out that CSX Corp.’s proposed acquisition of Pan Am Systems Inc. is a big deal after all, according to federal railroad regulators.

Jacksonville-based CSX’s application with the U.S. Surface Transportation Board asked the regulators to classify the deal as a “minor” transaction, but the federal agency said in a March 25 ruling that it considers the deal to be “significant.” The acquisition of Massachusetts-based Pan Am’s 1,800-mile rail network would expand the company’s operations in New England. CSX said in its application that if the deal was deemed significant, it would add 75 more days to the regulatory process than if the deal was classified as minor. The regulatory board has three categories for evaluating mergers: minor, significant and major. The board said in a news release that CSX is a Class I railroad and Pan Am is Class II, and only mergers between Class I railroads are considered as major. “The demarcation between ‘significant’ and ‘minor’ turns upon whether the transaction would have ‘regional or national transportation significance,’” it said.

The board decided the Pan Am acquisition would be significant because “several shippers on affected lines might lose competitive access to two railroads” and “certain short line railroads might connect with a single railroad network, as opposed to having multiple connections,” it said. “The Board’s decision to treat the proposed CSXT-Pan Am transaction as ‘significant’ – as opposed to ‘minor’ – provides a greater opportunity to develop a more complete record upon which to consider the transaction’s competitive implications and the public interest in meeting significant transportation needs,” board Chairman Martin Oberman said in the news release. The board said the final application for the merger must be filed by June 25 and it could take up to 10 months to review the application.

JinkoSolar earnings tumble JinkoSolar Holding Co. Ltd. reported disappointing fourthquarter earnings last week, but the China-based company

expressed optimism about its U.S. solar manufacturing operations moving forward. The company serves the U.S. market through a solar panel manufacturing plant in AllianceFlorida at Cecil Commerce Center in West Jacksonville that opened in 2019 as JinkoSolar’s first plant outside of Asia. JinkoSolar said fourth-quarter adjusted earnings dropped 92% to $5.1 million, or 11 cents a share. That was 25 cents a share lower than the consensus forecast of analysts, according to Thomson Reuters. “The solar industry showed a tenacious volatility in the midst of the pandemic’s doom and gloom atmosphere and economic contraction,” Chief Marketing Officer Gener Miao said in a conference call with analysts. However, Miao said an economic recovery and “accelerating decarbonization of the U.S. energy system” will continue to make solar power attractive. “Compared with other renewable energy sources, the price of solar power in the U.S. is very competitive and market competition is more rational because of this unique supplydemand relationship and market entry route,” he said. “We are confident about maintaining our leading position in the U.S. market with stable supply capability, excellent customer service, and high-quality product advantage.” Despite the company’s optimism, Roth Capital Partners analyst Philip Shen downgraded JinkoSolar’s stock April 12 from “buy” to “neutral,” saying the company provided “weak” guidance for first-quarter results. “Although headline 2021 shipment guidance was in line, management redefined the terms to include wafer, cell, and module shipments as opposed to just module shipments, implying a weakerthan-expected outlook for module shipments,” Roth said in his research note. “Look for the stock to be weak until the outlook for volume and margins improves, and it’s unclear when that will happen,” he said. At JWLA’s first in-person meeting of 2021, Kimberly Hosley says not enough women are making partner. The Jacksonville Women Lawyers Association convened its first in-person meeting of 2021 on April 8 at The River Club. It also was the first in-person address during her term for Florida Association for Women Lawyers President Kimberly Hosley, the keynote speaker. A graduate of Stetson University and the Emory University School of Law, Hosley practices real estate law with The Orlando Law Group. She said one of her initiatives leading the state association is to advocate for women lawyers to be compensated equally with their male counterparts in the profession. Hosley said that since 2002, law school graduating classes are virtually half female and half male. With the track to law firm partnership usually less than 10 years, there should be as many women lawyers who are partners as there are men. “That has not been the case so far,” Hosley said. Citing statistics from the American Bar Association, Hosley said women lawyers comprise 47% of associate attorneys, but only 30% of nonequity partners and 20% of equity partners. The inequity is even more pronounced for women of color. They represent 14% of associates, 5% of nonequity partners and 3% of equity partners, Hosley said. When it comes to income, women associates make 94% of what their male counterparts are paid; nonequity partners about 89%; and equity partners, 86%. Hosley said there may be unconscious bias leading law firm decision-makers to regard women as being less dedicated to their jobs because they often have responsibilities at home, such as raising a family. Women also often bill at a lower rate than men, “so their contribution appears lower and there’s less income for the firm with equal hours billed,” Hosley said. She advises women lawyers to make sure they know their value and their worth. “Keep an eye on billable rates as you advance in your firm. It’s better for the firm when women lawyers bring in more money,” Hosley said. FAWL is lobbying The Florida Bar for a permanent seat on its board of governors. Hosley said that campaign began in 1953, when association members started attending the board meetings, even

Audrey Ivory, judicial assistant for Duval County Judge Kimberly Sadler, ended her 35-year career at the Duval County Courthouse. Ivory officially retired March 31, but remained in the office to help train her successor. In 1986, she became Duval County Judge Albert Washington’s judicial assistant after working for him in private practice. After he died in 1998, Ivory worked for Duval County Judge Pauline Drake for 21 years, then for Sadler after Drake retired in 2020. “I always tried to make the legal system easy to understand and be here for people if they need me,” Ivory said. She plans to volunteer in the office at her church, Greater Beulah Missionary Baptist Church. Retirement for Ivory is somewhat bittersweet. “The people I see and work with every day are my family. I’m going to miss my courthouse family,” Ivory said.
