Incorporated for the purpose of operating under the laws of the State of Florida and in compliance with the requirements of Chapter 617 and Chapter 723, Florida Statutes. This corporation willserve the members and residents of FairwaysCountryClub.

ARTICLEIV MEMBERSHIP

Section1. MEMBERS. AllpersonsowningmobilehomeslocatedinFairwaysCountryClub,14205EastColonialDrive, Orlando,Florida32826,shallbecomemembersintheAssociationbysigningtheRegistrationForm(seeArticleV,Section8).

Clarification: Owners become members of the Association by signing a “FHAOI Membership Registration Form”and are considered “members in good standing” as long as current owner of residence in Fairways Country Club All recorded owners sign and all are members. One owner/member becomes the designated voter for the residence on all issues before the general membership. All Association members are eligible to serve on the Board and associated committees.

In Summary: To serve on the Board the person must be a registered owner and have signed the “FHAOI Membership Registration Form” to become a “member in good standing.” They do not need to be the designated voter for the household. No immediate family members or more than one resident ofa household mayserveon theboard duringaterm.

Section2. MEMBERSHIP-CERTIFICATES. No membership certificatesshallbeissuedbytheAssociation.

ARTICLEV MEETINGSOF MEMBERS

Section1. PLACEOFMEETINGS. MeetingsofthemembersshallbeheldattheMastersClubhouse,oratanyotherplace within theStateofFlorida thattheBoardofDirectorsormembers may select.

Section2. MONTHLYMEETINGS. MonthlymeetingsoftheassociationshallbeheldonthesecondThursdayofmonth unlesschangedbytheBoardofDirectors. Noticeofthedate,timeandplaceofallmeetingsoftheassociationshallbemade public.

Clarification: By-Laws state that the annual election of Officers shall be ratified on the firstThursday inNovemberunless it falls on a holiday and also that the current Directors can only serve for the twelve-month term. See Article IX, Section 3. The Board cannot defer the election beyond the twelve-month term of the Directors

Section3 SPECIALMEETINGS. SpecialmeetingsoftheassociationmaybecalledatanytimebythePresidentorbya majorityoftheBoardofDirectors. Specialmeetingsshallbeheldiftenpercent(10%)oftheregisteredmembersentitledto votesign,date,anddeliver oneormorewrittendemandsforthemeetingto theAssociationSecretary. Said demandsmust describethepurpose(s)forwhichthemeetingistobeheldandpostingproceduresshallcomplywithSection6ofthisarticle.

Section4 ACTIONBYWRITTENAGREEMENT. Thememberscanactbywrittenagreementwithoutmeetingonthe condition that the agreementis signed by at least fifty percent plus one (50% + 1) of the members entitled to vote and the agreementispostedinconspicuousplacesinFairwaysCountryClubwithinfourteen(14)daysafterthedateoftheagreement. The written agreementshallbefiledwiththeminutesofproceedingsofthe members.

Section5 NOTICEOFMEETINGS. Noticeofallregularandannualmeetingsofthemembers,statingtheplace,dayand hourofthemeeting,shallbepublishedinthe Eagle. Thenoticeofspecialmeetings,includingthepurpose(s)shallbeposted in conspicuous places in Fairways Country Club at least fourteen (14) days prior to the meeting. The notice of the annual meetingshallbeprovidedbySeptembertomembersatFairwaysCountryClubatleastfourteen(14)dayspriortothemeeting, andthedelivery thereofshallconstitutenotice.

Section6. AFFIRMATIONOFNOTICE. Publicationanddeliveryofthe Eagle shallconstituteofficialnotificationand compliancewith Section 6ofthisarticleoranyotherpublicnoticeprocedure

Section7 VOTINGRIGHTSANDREGULATIONS. Inanyregular,annual,orspecialmembershipmeeting,theowners ofa mobile home unitlocated inFairwaysCountryClubshallbeentitled to castone(1)votefor each unit. When aunitis owned by one(1)person, theright to vote shall be established bythe Registration Form signed by that person. If aunit is ownedbymorethanone(1)person,thepersonentitledtocastthevotefortheunitshallbeidentifiedasthedesignatedvoter

byaMembershipRegistrationFormsignedbyalloftheRecordOwnersoftheunitandfiledwiththeAssociationSecretary.In theeventaunitisownedbyacorporationthepersonentitledtocastthevoteshallbedesignatedbyaRegistrationFormsigned by the officers of the corporation with the formalities required of a deed and filed with the Association Secretary. Such authorizationshallbevaliduntilitisrevoked,supersededbyasubsequentauthorizationoruntiltheownershipoftheunitis changedandrecorded. TheproperfilingofaRegistrationFormdesignatingthepersonentitledtocastthevoteofaunitisa condition precedentto that person'svote. In the event such authorization isnot on file thevoteof such owner shallnotbe considered. ForthepurposesofthisparagraphapurchaserunderaContractforSaleshallnotberegarded asan owner.

MembershipRegistrationformswillbevalidunlesschangeofownershipormemberdesirestochangeregisteredvoter. All membershipswillbeconfirmedasvalidthroughownershiprecordswithHometownAmericapriortothedeadlineforvoting eachyear.

Section8 PROXIES. Membersentitledtovotemayvoteinperson,byproxyorbytheirattorneyinfact. Allproxiesshall beinwritingandfiledwiththeAssociationSecretarybeforetheappointedtimeofthemeetinginordertobeeffective. Any proxygivenshallbeeffectiveonlyforthespecificmeetingforwhichoriginallygivenand/oranylawfullyadjournedmeetings thereof. Innoeventshallanyproxybevalidforaperiodlongerthanninety(90)daysafterthedateofthe firstmeetingfor whichitwasgiven. Every proxy shallberevocableatthepleasureofthememberexecutingit.

Aproxy,limitedorgeneralmaynotbeusedintheelectionofboardmembers,ingeneralelectionsorelectionstofillvacancies causedbyrecall,resignation,orotherwise. Boardmembersmustbeelectedbywrittenballotorbyvotinginperson. Should ballotelectionsbeheld,allsignaturesmustbeverified againstmemberregistrationforms.

Section 9 QUORUM. Thepresence in person orby proxy ofa majority of the members entitled to votewould normally constituteaquorumatallmembermeetings. ItisrecognizedthatAssociationmeetingswillrarely,ifever,haveaquorumfifty percentplusone(50%+1)ofallmembersentitledtovote. Therefore,thepresenceof25registeredmembersentitledtovote shallconstituteaquorum atallmembermeetings.

TheBoardofDirectorsshallseekmemberapprovalfortheBudget. WhiletheBoardofDirectorsdoeshaveauthoritytomake mostdecisionsaffectingtheAssociationanditsmembers,itisnotinthebestinterestofthemembersfortheBoardtoapprove an actionopposed by themembersin attendance ata meeting. Forexample: Ifa membership meetinghaving aquorum in attendanceinvolvesamotionforexpendituresexceeding$1,000andthatmotionisrejectedbythemembersentitledtovote, theBoardofDirectorsshall notapprovethatmotion.

Clarification: All expenditures not in the approved budget must be approved by a majority of the Board.

ShouldtheDirectorsdecidetopursueanymotion,theBoardofDirectorsmayreturnthemotionforreconsiderationatafuture meetingorsubmititforconsideration tothemembersentitledto vote.

Decisionsapprovedbyamajorityofmembersentitledtovoteatameetingorthroughaballotsenttoallregisteredmembersat whichaquorumispresent/receivedshallbetheactoftheAssociation. Atadulyorganizedmeeting,memberspresentmay continuetodo businessuntiladjournment even thoughmemberswithdrawleaving lessthan aquorum.

Section10 LITIGATION. Inallmattersinvolvinglitigation,theDirectorsshallfirstobtainapprovalofamajority,seventy fivepercent(75%)ofthemembershipentitledtovote. However,onlythosemembersvotinginfavorofalitigationissuethat passeswillberequiredtoprovidefinancialsupport. Intheeventofanyquestion,FloridaStatute723willtakeprecedence.

Section11 CONDUCT. AllmeetingsoftheAssociationanditscommitteesshallbeconductedinaccordancewithRobert's RulesofOrderandtheBy-lawsoftheAssociation. Intheeventthereareproceduralquestions,thepresidingofficershallrefer thequestiontotheParliamentarianforarulingthereon. IfnoParliamentarianhasbeenappointed,thepresidingofficershall makethe ruling. t

BOARDOFDIRECTORS: SELECTION-TERM OFOFFICE

Section 1. NUMBER. The business and social affairs of the Association shall be managed and governed by a Board of Directorscomposed ofnotlessthanseven(5)normorethanthirteen(7)Directors, noneofwhomneed bearesidentofthe State of Florida,butallof whommustbe members in good standing. If the By-laws are amended to changethenumber of Directors,anoddnumbershouldbeselectedtoavoid animpassewhen voting.

Section2. TERMOFOFFICE. ThosepersonsnamedintheArticlesofIncorporationasBoardmembersshallholdoffice andcomprisetheBoardofDirectorsuntilreplacedbyelectionofDirectorsatthefirstannualmeetingofthemembersentitled tovote,atwhichmeetinganelectionofBoardmembersfor(2)two-yeartermsshallstaggerd. Thereshallbenorestrictionson thenumberoftermsthatBoardmembersoftheAssociationmay serve.

Section3. REMOVAL-RESIGNATION: AnyBoardmembermayberemovedfromtheBoardbya2/3majorityvoteofthe BoardofDirectors.

AnyDirectormayresignatanytimebygivingwrittennoticetotheBoard,thePresident,ortheSecretary. Suchresignation shalltakeeffectonthedateofreceiptofsuchnoticeoratsuchtimeasspecifiedtherein.Theacceptanceofsuchresignation shallnotbenecessary tomake iteffective.

Section4. COMPENSATION. NoBoardmembershallreceivecompensationforanyservicerenderedtotheAssociation. However, anyBoardmembermay bereimbursedforactualexpensesincurredintheperformanceofduties.

Section5. FIDUCIARYDUTY. EachmemberoftheBoardofDirectorshasafiduciarydutytothememberswhenactingon behalfoftheAssociation.

Section6,IMMUNITYPROVISION. Thereshallbenopersonalliabilityonthepartof,andnocauseofactionofanynature shallariseagainstanymemberoftheBoardofDirectorsbythemembersoftheFHAOI,foranyactiontakenbytheBoardof Directorsintheperformanceoftheirduties,powersorresponsibilitiesinconductingthebusinessoftheFHAOIandwithinthe framework oftheBy-LawsandArticlesof Incorporation.

Section2.SPECIALMEETINGS. SpecialmeetingsoftheBoardofDirectorsshallbeheldwhencalledbythePresidentof theAssociation,orbyanytwo(2)Boardmembers,withatleastthree(3)daysnoticetoeachDirectorofthedate,time,and placeofthemeeting. NoticeofspecialmeetingsshallbepostedinconspicuousplacesinFairwaysCountryClubatleastfortyeight(48)hoursinadvance.Thenoticeofspecialmeetingsshallcontain thepurpose(s)ofthe meeting.

Section3. EMERGENCYMEETINGS. Emergency meetingsoftheBoardofDirectorsshallbeheldwhen calledbythe Presidentofthe Association, orbyany two (2) Board members. Emergency meetingsof the Board ofDirectorsmay be in person,bytelephoneconferenceorvideoconferencing. AnaffirmativevoteofamajorityoftheBoardshallbeconsideredto be the action of the Board. Minutesof any emergency meeting of the Board, whether by telephone conference, telephone polling,videoconferencingorotherwise,shallbefiledbytheSecretaryorotherdesignatedofficer,andthecorrectnessofthe minutes shallbe certified by those attending themeeting. Catastrophic emergencies include but are not limited to hurricanes, tornados and pandemics. During the period of such emergency,theBoardofDirectorsshallhavethepower,attheBoard’ssolediscretion,may abate,postpone,orcancelAnnual Meetings,ElectionsandothermeetingsoftheBoardortheMembership. Becauseofandduringtheemergency,meetingsof theBoardofDirectorswouldnotbeopentomembers,homeowners,ortheirrepresentatives. TtheBoardshallrequiresuch otheractionsasnecessary tocontinue thesuccessfuloperationoftheAssociation.

Section5. MEETINGSBYTELECOMMUNICATIONS. ABoardoraCommitteemembersparticipationinameetingvia telephone,real-timevideoconferencing,orsimilarreal-timetelephonic,electronic,orvideocommunicationcountstowarda quorum,andsuchmembermayvoteasifphysicallypresent. AspeakershallbeusedsothattheconversationofthoseBoard orCommitteemembersattendingbytelephonemaybeheardbytheBoardorCommitteemembersattendinginperson,aswell as by members present at the meeting. Members of the Board of Directors of Committees may use email as a means of communication butmaynotcastavoteon an Associationmatterviaemail.

Section 6. ACTION BY WRITTEN AGREEMENT. The Board of Directors may act or render decisions by written agreementwithoutmeetingontheconditionthatthewrittenagreementisapprovedandsignedbyalloftheBoardofDirectors. The residentsshallbeinformed oftheresultsofthesemeetings atthenextregular meeting

Section 7. OPEN/CLOSED MEETINGS. All meetings of the Board of Directors shall be open to all members of the Association. TheaboverequirementdoesnotapplytomeetingsbetweentheParkownerandtheBoardofDirectorsoranyof the Board’s Committee’s, Board orCommittee meetingsheld for thepurposeof discussing personnelmatters, ormeetings betweentheBoardofCommitteeandtheAssociation’sattorneywithrespecttoproposedpotentialorpendinglitigation,when themeetingisheldforthepurposeofseeking orrendering legaladvice.

Section8. QUORUM. A majority ofthe Directors shallconstituteaquorumforthetransactionofbusiness. Every actor decision done or made by a majority of the Directors present at a duly held meeting at which a quorum is present shall be regardedastheactoftheBoard. IfatanymeetingoftheBoardthereshallbelessthanaquorumpresent,themajorityofthose presentmayadjournthemeetinguntilaquorumispresent. MembersoftheBoardofDirectorsshallbedeemedpresentatany meetingheldbytelephoneconferenceorsimilarcommunicationsequipmentwhereallpersonsparticipatinginthemeetingare abletoheareachother.

Clarification: Fifty percent plus oneof the Directors currently on the Board constitutes the quorum required fortheBoard to take action on an issue. General informational meetings may be conducted without a quorum present.

Section 9. WAIVER OF NOTICE. A Board member may waive in writing notice of aregular or special meeting of the Board of Directors either before or after the meeting, and his waiver shall be deemed the equivalent of getting notice. Attendance of a Board member at any meeting shall constitute waiver of notice of that meeting unless the Board member attendswiththe expresspurposeofobjectingtothetransactionofbusinessorifthemeetinghasnotbeenlawfullycalledor convened.

Section10. MINUTES. MinutesofallmeetingsoftheBoardofDirectorsshallbekeptinabusinesslikemannerandshallbe availableforinspectionbymembers,theirauthorizedrepresentatives,orBoardmembersatreasonabletimes. TheAssociation shallretaintheseminutesforaperiodofnotlessthan five(5)years. MinutesofmeetingscontainingchangesintheBy-laws shouldberetained indefinitely.

Section11. BUDGET. TheTreasurershallsubmitaninterimannualbudgetforapprovalattheBoardofDirectorsmeetingin December. and submit an approved budget and make available to the general membership for acceptance at the January meeting.TheincomingBoardmayapprovetheinterimbudgetattheJanuarymeetingasthepermanentbudget. theincoming Boardmay decidetoprepareanewbudget,.

ARTICLEIX BOARDOFDIRECTORS-OFFICERS

5) This section becomes effective on December 6, 2018. Any member of the board of directors of a homeowners’ associationnotincompliancewiththerequirementsofthissectionmaynotbeconsideredinviolationofthissection untilafterDecember6,2018.

A. President: The President shall preside at all meetings unless President designates another board member; see that orders and resolutions of the Board are carried out; sign checks and have all of the powers and duties which are usuallyvestedin theoffice ofthePresidentofacorporation.

D. Treasurer: The Treasurer shall prepare a budget in accordance with Article VIII, Section 9. The Treasurer shall disburse such funds as directed by resolution of the Board of Directors;signallchecksoftheAssociation;andkeepproperaccountingrecords.Afinancialreportshallbepresented atallmonthlymembershipmeetingsandacopywillbeprovidedforreviewattheAssociationofficeduringregular office hours. FIDUCIARYRELATIONSHIP

Section 1. PERFORMANCE. The Officers and Directors of the Association shall have a fiduciary relationship to the members. Directorsshallperformtheirbasicduties,includingdutiesasamemberofanycommitteeonwhichtheymayserve in good faith andin amanner, they believe to bein thebest interestsofthe Association. Inperformingtheirduties,Directorsshallbeentitledtorelyoninformation,opinions,reportsorstatements,includingfinancial statements andotherfinancialdata, in each casepreparedorpresentedby:

A. OneormoreofficersoremployeesoftheAssociationwhomtheDirectorreasonablybelievestobereliableand competentinthematterspresented.

B. Counsel, public accountants or other persons regarding matters which the Director reasonably believes to be within suchperson'sprofessionalknowledgeor expertise.

C. A committee on which they do not serve, duly designated in accordance with a provision of the Articles of Incorporation or the By-Laws, as to matters within its designated authority, which committee the Director reasonablybelieves to meritconfidence.

Directors shall not be considered to be acting in good faith if they have knowledge concerning the matter in question that would causesuchreliancedescribed abovetobeunwarranted.

Directorswhoperformtheirdutiesincompliancewiththissectionshallhavenoliabilitybyreasonofbeingorhavingbeena Director of the Association. The Association may indemnify and hold harmless any Directors from liability for corporate action. All Directors and Association Representatives are expected to know and support the Articles and its Rules and Regulationswhenservingthemembership.

Section 2. PRESUMPTION OF ASSENT: A Director of the Association who is presentata meeting of its Directors at which action on any Association matter is taken shall be presumed to have assented to the action taken unless the Director votesagainstsuch action orabstains from voting.

Section2. DETERMINATIONBYARBITRATION. ShouldthemembersorDirectorsfailtoagreeonthescopeofthis provisionortheapplicationofthisprovisiontothedeadlock,disputeorcontroversyatissue,thescopeandapplicabilityofthis provisionshallbedeterminedbythe arbitrator.

Section3. NOTICE. Noticeshallbegivenbysuchobjectingordissentingmember(s)thatsuchdeadlockexistswithinfifteen (15)daysofsuchdeadlock,byregularmailwithproofofmailing,postageprepaid,addressedtotheremainingmember(s)at the addresseslistedon the Association books.

Section4. SELECTIONOFARBITRATOR. Themembersshallthenselectanarbitratorwithinsixty(60)daysofreceipt of such notice of deadlock, upon a majority vote fifty percent plus one (50% + 1) of the members entitled to vote. The membersshallreservetherightto replacethearbitratorbyamajorityvotefiftypercentplusone(50% +1)ofthemembers entitledtovote.

Section5. INABILITYTOSELECT. Should themembersbeunableto selectanarbitratoror asuccessor arbitrator,the deadlock,disputeorcontroversyshallberesolvedinaccordancewiththeFloridaArbitrationCode,Chapter682oftheFlorida Statutes.

Section6. FINALDECISION. Thedecisionofthearbitratorshallbefinalandbindinguponallmembers. Themembers shallvote asthearbitratordirects.

Section 7. ENFORCEMENT. To enforce these provisions, the arbitrator may obtain an injunction from a court having jurisdictiontodirect the memberstovote asthearbitratorhasdetermined.

ARTICLEXVII RULESOFCONDUCT ATGENERALMEMBERSHIP MEETINGS

TheBoardorthePresidentshallretaintheauthoritytoremovemembersfrommeetingsiftheirconductisdisruptiveandcould causecancellationofthemeeting. Thisincludes,butisnotlimitedto removalforfailuretodesistfromvideo-taping(ifthe individual being taped objects) audio-taping, loud behavior, etc. In an extreme case, if the individual refuses to leave the meeting,thiscould resultin arrestoftheoffendingparty(s).

Shouldanyactionbeconsiderednecessary,amotionbytheBoardand/ormembersforanaffirmativevoteisrecommended beforeactionistaken. Shouldapprovalforactionnotbeobtained,theBoardmay adjournthemeeting.
