1. ORDERS: All orders are subject to acceptance by Eyeking LLC (hereafter “Eyeking”) conditioned upon Customer’s acceptance of these Terms and Conditions. If these Terms and Conditions differ in any way from the terms and conditions of customer’s order, these Terms and Conditions will be construed as a counteroffer and will not be effective as an acceptance of Customer’s Terms and Conditions that conflict with them. Customer’s acceptance of the goods sold hereunder will manifest Customer’s assent to these terms and conditions. Any modifications of these terms and conditions must be made in writing and signed by an authorized representative of Eyeking.
2. PRICES: Product prices are subject to change without notice to Customer. Customer agrees to pay Eyeking’s published price in effect at the time of shipment. Customer shall pay all taxes, levies, duties or fees of any kind applicable to the sale of products by Eyeking to Customer.
3. TERMS OF SALE: Unless otherwise agreed, all products shall be sold F.O.B. Eyeking. Customer assumes all risk of loss or damage from F.O.B. point. Payment for all Eyeking goods sold on open account will be due and payable pursuant to the terms and conditions stated on Eyeking’s invoice. The Terms and Conditions contained herein, as well as in any Eyeking invoice, sales order or order confirmation take precedence over any terms and conditions set forth in Customer’s purchase order or other similar document. Customer agrees to pay each invoice for product purchased in accordance with terms , and any failure to pay shall entitle Eyeking to add a service charge of 1.5% per month (18% per year), or the maximum amount permitted by law, on any amount past due. No discount will be allowed to any customer having an overdue balance. Customer will pay such costs, collection agency commissions, expenses and reasonable attorneys’ fees as Eyeking may incur in any manner of collecting any sums past due. Collection costs shall be added to the unpaid balance of Customer’s account and shall be due and payable when incurred.
4. INTERNATIONAL ORDERS – International (outside the US) Customers must pay applicable sales tax, duty and customs charges. Duty, taxes and customs charges are determined by local governments and vary by country.
5. BACK ORDERS: Back orders will be created for all un-shipped orders and will stay active until shipped or the Customer’s cancellation date is reached. Back orders will not be created for less than 3 pieces.
6. CLAIMS: Claims deduction must be taken at time of payment and requires submission of appropriate supporting documentation and claim reason, except Cancellation, Return to Stock and Defectives which require Eyeking authorization prior to deduction. Deduction for return can only be taken once authorized return product is physically returned, approved and a credit is issued.
7. CANCELLATION: Any request for cancellation of any Eyeking order must be made through the Customer’s sales representative, in writing, at least 45 days prior to the original Customer Requested Date and is subject to Eyeking’s approval. Eyeking has the right to cancel any purchase order accepted by Eyeking if Customer fails to meet payment schedules or other credit or financial requirements previously.
8. SHORTAGES: All shortages must be reported to Eyeking within 10 days from date of receipt of the shipment. Customer will be required to furnish Eyeking with an invoice or sales order number and an itemization of all shortages or overages by product code and quantity.
9. RETURNS: All returns must be pre-approved by Eyeking and must be issued a Return Authorization number. Return to stock items must be received in the same salable condition as received and credit will be issued at the invoiced net price of Customer’s discounts. Merchandise returned to Eyeking as defective will be subject to inspection. Whether product is defective will be in the sole discretion of Eyeking. Credit on defective merchandise will be issued at the invoiced net price of Customer’s discounts. Merchandise deemed non-defective will not be issued credit. All return freight charges must be paid by the Customer unless Customer receives prior authorization from Eyeking or, if the return is a result of an Eyeking error, credit for freight will be issued upon receipt of freight bill.
10. LIMITATION OF DAMAGES: Under no circumstances shall Eyeking be liable for any loss of profit, interruption of business or any other special, incidental or consequential damages suffered or sustained by Customer.
11. TERMINATION: Eyeking maintains the right to reject any purchase order from Customer, either in whole or in part, and no purchase order shall be binding unless accepted by Eyeking in writing or by delivery of products in whole or partial fulfillment of such purchase order, provided delivery shall constitute acceptance only to the extent of product shipped. Eyeking has the right to cancel any purchase order accepted by Eyeking if Customer fails to meet payment schedules or other credit or financial requirements established by Eyeking.
12. DISPLAYS and POS MERCHANDISE: Customer acknowledges and agrees that all Displays and Point of Sale items received from Eyeking to help sell and promote Eyeking’s brands remain the property of Eyeking. Customer hall use these displays and point of sale items only to promote and sell Eyeking’s brands. In the event the relationship between Eyeking and the Customer is terminated, for any reason, these items are to be returned to Eyeking by Customer within 30 days or Customer hereby authorizes a representative of Eyeking to remove any and all items not returned as agreed. In the event Display and Point of Sale items are not returned to Eyeking, the Customer will be charged the current published pricing. The associated freight charges to ship the display from Eyeking’s facilities to a customer’s location are the responsibility of the Customer.
13. TRADEMARKS / INTELLECTUAL PROPERTY: Customer acknowledges and agrees that all trademarks and other intellectual property used by Eyeking in the marketing, sale or distribution of its products is the property of Eyeking. Customer shall not use any artwork, product image, trademark, or other intellectual property of Eyeking for the purpose of selling product, whether from a retail location, through a catalog, over the Internet or otherwise without the express prior written consent of Eyeking.
14. RESTRICTIONS ON SALES / PURCHASES: Customer agrees to sell products purchased from Eyeking only through Customer’s locations specifically disclosed to Eyeking and agrees not to re-ship, sell or otherwise transfer Eyeking products to another retailer, e-tailer, distributor or broker. Customers may not resell Hobie Polarized products on or through third-party websites, including but not limited to “Amazon,” “Wal-Mart,”“Sears,” and “Overstock.” Customers may not sell Hobie Polarized through auction sites, such as eBay. Customer agrees not to purchase Eyeking products or brands from any source other than Eyeking. Customer also agrees not to directly or indirectly sell or offer to sell Eyeking products or brands through the mail, by catalog, by telephone or through any electronic means, including the World Wide Web, email or other INTERNET channels, without Eyeking’s express written consent.
15. MSRP Policy: Hobie Polarized provides products of advanced quality and performance. For us to maintain this special product attributes, it is essential that Hobie Polarized products and brand be presented to the market in a manner consistent with the premier image they justifiably hold. Except as Hobie Polarized may otherwise specify, advertising and sale of our products at less than manufacturer’s suggested retail price would be inconsistent with that image. You alone determine the prices at which you ultimately advertise and sell our products. Likewise, we alone determine with whom we do business. If you choose to sell or advertise our products at less than Hobie Polarized manufacturer’s suggested retail price, we reserve the right to exercise our unilateral and independent business prerogative to cease doing business with you.
16. MODIFICATIONS: No supplement, modification, or amendment of these Terms and Conditions will be binding unless executed in writing by Eyeking.
17. ENFORCEMENT: The interpretation and enforcement of this Agreement is governed by the laws of the state of New York. Venue and jurisdiction for all disputes shall exclusively be a state or federal court of competent jurisdiction located in Nassau County, New York.
