General Terms and Conditions of Supply Article 1 - Scope of Application 1.1.

1.2.

These General Terms and Conditions govern all present and future supply contracts between the Parties. In the case of written agreements that deviate from these conditions, these General Terms and Conditions will continue to apply to the parts not affected by the deviation. These General Terms and Conditions supersede and replace any other clause and/or General Terms and Conditions attached to or otherwise indicated in purchase orders and/or other documentation transmitted by the Buyer, unless they are expressly accepted in writing by Errecom.

Article 2 - Formation of Contract - Minimum Order

2.1.

The Buyer’s acceptance of Errecom’s offer or order confirmation, however made, entails the application of these General Terms and Conditions to the supply contract.

2.2.

Errecom’s offer shall only be considered firm and irrevocable if it is expressly qualified as such in writing and if a period of validity is specified therein. A Buyer’s response that includes additions or modifications, even if they do not substantially alter the terms of the proposal, will be considered a counteroffer, notwithstanding Errecom’s silence.

2.3.

Orders for products shall be of a minimum amount of €1,500.00 (one thousand five hundred euros)

a) the Buyer does not prove proper use, storage and preservation of the Products; b)

c) the non-conformity defects are caused by an event occurring after the risks have been transferred to the Buyer. 5.3.

Errecom guarantees that the Products conform solely and exclusively to the specifications or technical characteristics it has declared. Any suitability for particular uses must be requested in writing; Errecom shall guarantee such suitability to the extent expressly agreed upon between the Parties pursuant to this article.

5.4.

The warranty has a duration of 12 (twelve) months starting from the date of delivery of the Products to the Buyer and its exercise is subject to a written complaint by the Buyer, detailing the defects and non-conformities claimed, the date of delivery, and the quantity of defective Products. The complaint must be made, under penalty of forfeiture, within 8 (eight) days from the date of delivery in the case of apparent defects, or from the date of discovery, provided it is within the warranty period, in the case of hidden defects, faults, or non-conformities.

5.5.

The Buyer shall forfeit the right to warranty if they do not permit any reasonable inspection requested by Errecom, or if, after Errecom has requested the return of the defective Product, the Buyer fails to return the defective Products within 15 (fifteen) days of the request.

5.6.

Once the defectiveness of the Products is confirmed, Errecom may choose at its discretion to either replace the Products Ex Works or credit the amount of the Products found to be defective. The return of Products is the responsibility of the Buyer.

5.7.

This warranty supersedes and replaces the legal warranties for defects and conformity, and excludes any other possible liability of Errecom arising from the supplied Products. In particular, the Purchaser may not make any other claims for damages, price reductions or termination of the contract. Under no circumstances may Errecom be held liable for indirect or consequential damages, loss of production or loss of profit caused to the Buyer or third parties by the defective or flawed Products.

5.8.

Except for the cases permitted as described above, the Buyer’s right to return the Products is excluded.

Article 3 - Delivery

3.1.

Unless otherwise agreed, delivery of the Products shall take place Ex Works (Incoterms 2020), at Errecom’s premises. The relevant risks shall be transferred to the Buyer in accordance with the applicable Incoterms.

3.2.

The expected delivery time is 7 working days from order confirmation. Errecom will make every effort to meet the agreed delivery deadlines, which cannot be considered essential.

3.3.

The Buyer is always required to accept the delivery of Products, even in the case of partial, early, or delayed deliveries beyond the date agreed upon by the Parties.

3.4.

Under no circumstances may Errecom be held liable for direct and/or indirect damages arising from early or late delivery of the Products.

Article 4 - Prices - Payments

4.1.

Sales prices reflect those stated in Euro in the offer and/or order confirmation and are, unless otherwise agreed, Ex Works.

4.2.

In the case of new business relationships, payment for the first three orders shall be made in advance of shipment. Subsequent payments will be exclusively on a 30-day bank payment order (RiBA) basis. In the event of delayed payment, the Buyer shall be obliged to pay, without the necessity of a default notice, default interest at the rate determined by Article 5 of Legislative Decree No. 231 of 09/10/2002. Any delays in payment shall also entitle Errecom to suspend further sales even if not related to the delays in question until the payments have been settled.

4.3.

The Buyer shall be obliged to pay the price in full even in case of dispute or controversy. The set-off of any amounts owed by Errecom to the Buyer, regardless of their nature, is not permitted.

Article 5 - Warranty

5.1.

Errecom warrants that the Products conform in quantity and quality to what is stated in the order confirmation and that they are free from defects which may render them unsuitable for their intended use.

5.2.

The warranty for defects is limited solely to defects in the Products resulting from material or manufacturing faults attributable to Errecom and does not apply if:

the Buyer has made changes or alterations to the Products without the prior written consent of Errecom;

Article 6 - Force Majeure

6.1.

If the production and/or delivery of the Products by Errecom is made impossible, excessively burdensome, or delayed due to a Force Majeure Event as defined below, Errecom may, at its discretion: (i) suspend the delivery of the Products until the Force Majeure Event has ceased; (ii) terminate the contract, providing timely written notice to the Buyer. Under no circumstances shall Errecom be liable for any damages incurred by the Buyer.

6.2.

A “Force Majeure Event” shall mean any event beyond Errecom’s control that affects its ability to produce or deliver the Products— including, by way of example, strikes, failure or delay in delivery, even partial, of raw materials or processed Products by Errecom’s suppliers, fires, floods, riots, decisions by authorities, regulatory changes, epidemics, pandemics, or other health emergencies.

Article 7 – Intellectual Property Rights

7.1

Unless expressly authorised in writing, the Buyer is prohibited from using and/or reproducing images, films, or logos of Errecom.

Article 8 – Jurisdiction

8.1

Any dispute relating to or in any way connected with the contracts to which these General Terms and Conditions apply, the exclusive jurisdiction shall be that of the Court of Brescia. However, Errecom shall be entitled to take action before the court of the Buyer’s place of business.
