2015 could be the year of redrawing the operating framework in the energy industry, but none of the authorities’ bets did materialize.

015 could be the year of redrawing the operating framework in the Romanian energy industry. In January, companies and the general public contemplated a long list of promises that would have increased flexibility of the legislative framework and would have stimulated activity in all and each of the Romanian energy industry sectors. August is through, none of these bets did materialize. A new fiscal package for the oil&gas industry is still negociated at the ministry of Public Finance. Law of biomass and numerous amendments to the Fiscal Code are sluggish in the Parliament. Investors in renewables still expect a fair resolution to the situation created after the brutal modification of the support scheme in 2014. The feed-in-tariff support scheme is inoperable. And so it is the energy efficiency law. The coal sector is choking. The definition of vulnerable consumers is delayed and the Elcen-RADET merger is stuck for good. The national energy strategy has not been completed. Great investments such as Hidro Tarniţa hydro plant, new reactors at Cernavoda, Giurgiu-Ruse pipeline - advance by inch. There is still hope on the investment plans of the largest companies, while tariffs in the distribution of gas and electricity increased. In the foreground, the consumer. Another generous promise, and in the meantime, business as usual. The restart is delayed.

omania should be more open to attracting important investors in the energy sector and not refuse any infrastructure project transiting Romania, says Răzvan Nicolescu, Executive Lead Advisor Deloitte Central Europe, former Romanian Energy Minister and current Chairman of the Board of Directors of the European Agency for the Cooperation of Energy Regulators, in an exclusive interview with energynomics.ro magazine. Nicolescu talked about the potential of Electrica, which was listed a year ago, and about the lack of performing management in state-owned companies, which could make total annual investments of approximately EUR 1.5bn.
What are the achievements of your mandate as Chairman of the Board of Directors of the European Agency for the Cooperation of Energy Regulators (ACER), which comes to an end this year? I can say that, after almost six years of mandate, it has been a very interesting experience. I managed to contribute to the creation of a reliable institution, which has recently gained a new role in monitoring the functioning of energy markets by adopting of the REMIT regulation (regulation on the integrity and transparency of the wholesale energy market - Ed.), gained new powers in terms of cross-border energy infrastructure, and this trend of transferring new powers to ACER will continue. I am extremely happy that we managed to use the recommendations of the European Parliament and turn ACER into the European institution with the most stringent rules on conflicts of interest.
Cross-border projects require Member States to have ready for export up to 10% of capacities, how do we stand in this regard? Romania fulfills the requirements in terms of electricity. In terms of gas, we still don’t fulfill yet the criteria in Madrid. If we want to have a common European energy policy, we need a functioning European market for electricity and gas. A European market without interconnections and without a common regulatory framework is difficult to exist. I expect in the following period to have a prioritization of energy infrastructure projects that are truly relevant from the European perspective. The EC will also issue a communication called New Energy Market Design, which will announce the need to adopt, in the coming years, the fourth liberalization package necessary for a functional market allowing cross-border exchanges with common rules. There are two types of approaches: a rougher line, which supports the need for a unique European market and a unique energy policy, which I support, and for a unique European regulator, after the model of the U.S. regulator FERC and a more cautious approach, of small steps, from Brussels, with several rules.

I haven’t calculated yet, but I believe we are in a good situation from this point of view, because only the realization of the reverse flow within AradSzeged interconnector will put us in the situation of achieving this European objective, without high costs. Thus, it is not a big problem for Romania from a financial point of view. Of course, if we want to become a regional player, then we will have to invest more in infrastructure. Romania is in a good position from an energy point of view, at regional level, we have the prospect of becoming a regional energy security provider. It’s up to us whether we use this opportunity. First, I believe governance must be improved in the institutional area. It’s up to us how state-owned companies and the energy sector are governed, what are the strategic objectives and how they can be reached, how we can invest more. What is the need for general investments in energy for Romania? According to a calculation made in 2014 in the context of reviewing the energy strategy, it resulted a necessary investment in upgrading of EUR 3-4 billion annually on a time horizon of 10 years, so EUR 30-40 billion. The calculation was made by the team of experts that was part of the project team. I start smiling when I hear that we must pay a consultant to draw up our energy strategy. In the project team there were representatives, at the highest level of seniority, of several important consulting companies. I thank them for accepting to work for free and they have done a very good job with all the others of the project team. Where can we get this money? In theory, this money could come from the state, but in reality this possibility is excluded. Some investments can be made from EU funds. Then, another resource is represented by local private investors. Unfortunately, we were not able in these 25 years to encourage the creation of a critical mass of local investors with potential. State-owned companies in the energy sector have a great potential and, with a performing management, they could make total investments of EUR 1.2-1.5bn per year. But, unfortunately, state-owned companies are still politicized and affected by corruption. It’s true that, in the recent years, some steps have been taken in the right direction, by listing some companies, by adopt-
ing some rules on corporate governance, but there is still much room for improvement. Are you satisfied with Electrica’s progress, post-listing? There is a year since the biggest IPO ever made on the capital market in Romania and I think it was a success, providing a new model for Romania. I would have hoped that change after listing could take place more rapidly and deeper, but I believe that by listing the company entered a new stage and from here it can only move upwards. I hope we will never get back to the time when the company’s procurement policy was dictated by political interest and appointments were made following lists drawn up by governing parties. What happens at Electrica is very important from a strategic point of view. A model is tested in which the state remains the most important shareholder, but without being the majority one. It’s an attempt of change of behavior and business culture for the state. We are talking about a company with over 500 million euros in accounts - so about a huge potential of investments and I hope we can keep our word and do what we promised at the IPO.
Not being members of the OECD, we will not find in famous economic magazines statistical data about Romania.
The problem is that in London there are not many transactions... It’s not necessarily something bad that in Romania there are more transactions and in London less. Of course, it’s very important for the Romanian stock exchange to develop. But if we take a look at the capitalization of companies listed on the Bucharest Stock Exchange, we will notice that it is almost double compared to that on the Budapest Stock Exchange, and, however, in Budapest the volume of daily transactions exceeds by far the one in Bucharest - and then clearly there’s something

wrong. And then, we have another problem: we are not members of the OECD, and I wonder why? Not being members of the OECD, we are not members of the International Energy Agency (IEA), but there is no other public organization more professional in energy than the IEA. Then, not being members of the OECD, we will not find in famous economic magazines statistical data about Romania. And we will not enter the map of large investment funds. In general, frontier investment funds come to us, willing to high risks and profits for a shorter term and we don’t have large
investors, reliable, long-term investors. I wanted Electrica and Romgaz to become the first energy companies in Romania with their own rating. Thus, they would have attracted long-term investment funds which, once entered in a country, they start to pursue other local opportunities. In the region, there are all sorts of projects of new gas pipelines. Which do you believe to be the most viable option of interconnection for
Romania, in the context in which Russia puts pressure on Turkey for Turkish Stream and the Romanian authorities have just supported a meeting on AGRI? It was a very dear subject for me, I talked a lot about interconnectors, but I have reached a point of saturation regarding these discussions. I believe there is too much importance given to these things in relation to their economic reality and they were extremely politicized. There are many ideas thrown as elements of propaganda, there are many false leads. Very much was discussed and very little was done. In terms of gas, only Nord Stream, Baku-TbilisiErzurum were completed and, in terms of oil, BakuTbilisi-Erzurum-Ceyhan. Romania should be concerned about its governance, to manage what we have, better. We shouldn’t oppose any infrastructure project that transits Romania and we should support those projects that bring added value for us and for the region, meaning either the possibility to

There are also companies that want to show that there are alternatives to TAP and TANAP. It can all be a game, but, without economic elements, I am quite reluctant about the future of the AGRI project.

Our situation in energy is likely to help the European Union and not to create problems. What are your expectations from the current position with Deloitte? It’s a very good team, a very professional environment, I like a lot that there is no compromise on the quality of services offered and I also like a lot that this organization has a code of ethics and a code of conduct extremely well defined and well implemented in everything that means client. Ethics and quality are two things that define Deloitte’s business in Romania and I want to give as much as I can to integrate and to help this team for a sustainable growth.

Supporting energy is increasingly becoming synonymous with overall support for the economy: stable and predictable fiscal and regulatory framework.

n 20 years, the energy industry will look completely different than today. More electricity produced from solar energy and a much greater share of distributed micro-generation, supported by easily scalable storage solutions. All these will force - it already does! - large companies to rethink their business models and their role within national systems. The function of national strategies is emerging clear - to decide on the optimal energy mix at state level and to communicate national (self-)imposed targets, such as those related to energy intensity and efficiency. Finally, the authorities should act for the creation and development of competitive markets for electricity and for each of the primary resources. Supporting energy is increasingly becoming synonymous with overall support for the economy: stable and predictable fiscal and regulatory framework, with clear legal provisions and with no arbitrary interpretations. Technical solutions only foreseeable, but the options are numerous and in fierce competition, all relying on information technology. In free markets, at transnational level, the success stories become visible and have better chances to be widely adopted. It is essential maintaining a constant dialogue between companies and authorities, a dialogue energynomics.ro will continue to stimulate within this magazine, the website and the debates we challenge you to be part of.
