2022 - Norte Board of Directors Meeting Tuesday, May 17, 2022 6:30 pm NMC University Center - Room UC 208 2200 Dendrinos Drive, Traverse City, MI Zoom: https://us02web.zoom.us/j/84479590766 Conflict of Interest Declaration. The member of the board who discloses a conflict of interest regarding an agenda item shall refrain from discussing the item with other members and leave the meeting when the board reaches the agenda item. After the board has addressed the agenda item, it shall memorialize in its minutes the conflicted member’s absence from the meeting and invite the member to return.

WELCOME AND ROLL CALL A. Introduction of Tyler Wituszynski as Norte’s new Chief Bike Mechanic Board Present: Ryan Schrock (Director), Sue Paul (Secretary), Eric Mannix (Treasurer), Anthony Rupard (President), Jim Witte (Director), Evan Gray (Vice President), Shawn Stowe (Director), and Jill Sill (Executive Director).

Absent: Marshall Collins(Director).

CONSENT CALENDAR: Action Required A. Approve - Minutes of the April 2022 Norte Board meeting B. Executive Committee Meeting Notes Motion by Mannix to approve the consent calendar with second by Paul.

Motion passed unanimously.

ITEMS REMOVED FROM THE CONSENT CALENDAR REPORTS A. Interim Executive Director Report - Jill Sill B. Financial Report - Eric Mannix (Action Required) C. Fund Development Committee Report Jill Sill—Executive Report: Spring programs underway with an overwhelming support for the new Balance Bike Club. Addition of Tyler and Shea, will bring us to 10 core employees—Norte’s growing!

We celebrated Kiwanis as a returning title sponsorship for Summer Bike Camp. Donor relations continue to develop and a new Pacesetters nomenclature for all donors will be introduced over the next few months. Roll out of a 401k is progressing, with an aim for June 1 start date.

Gary Howe: Gary provided an overview of Norte’s involvement and support for the Grandview/E. Front St. project. If there’s interest by the board to resurrect the Advocacy Committee, please let him know.

Eric Mannix—Financial Report: We're behind budget in revenue, but a plan is in place that will help the organization bridge the gap. Costs are right on budget, with a bit of timing discrepancies between expense and income for some merchandise. YTD is at the break even mark. A mid-year reforecast is recommended.

Motion by Witte to approve the financial report with second by Schrock Motion passed unanimously.

Jim Witte—Fund Development Report: Trying to open up the relationship between the board and the staff and find opportunities. We’re looking for people (internal, external) to add to the committee.

OLD BUSINESS A. Bylaws, Policies & Procedures : Update from Evan/Anthony Evan Gray—Recommending for a small working committee to review a few items in organization’s bylaws. Looking for a quick turnaround. Are their volunteers? Rupard and Schrock volunteered.

As well, Gray, Schrock, and Howe to update COVID-19 Policy.
