Board Meeting March 15, 2022

2022 - Norte Board of Directors Meeting Tuesday, March 15th, 2022 6:30 pm NMC University Center - Room UC 208 2200 Dendrinos Drive, Traverse City, MI Conflict of Interest Declaration. The member of the board who discloses a conflict of interest regarding an agenda item shall refrain from discussing the item with other members and leave the meeting when the board reaches the agenda item. After the board has addressed the agenda item, it shall memorialize in its minutes the conflicted member’s absence from the meeting and invite the member to return.

Interim Executive Director Report, Jill Sill: Sill’s report recapped that demand is high for our programs and Norte continues to level up with training and planning. She highlighted the completion of the Bike Instructor Certification Program (BICP) by Abby and Lauren. Other highlights: ● ●

We’re still looking for ten lead and ten assistant coaches for spring.

Norte’s partnership on a three-mile trail received good news this week with $900k through Federal funding. The ideal trail completion date is 2026 (if all goes well).

Financial Report: Mannix submitted a narrative.

Jim Witte will get the Fund Development committee up and rolling in April.

Motion by Schrock to approve the financial report with second by Gray.

Motion passed unanimously.

Bylaws, Policies & Procedures- Process and plan to update- Anthony Rupard Civic Center Projects- Create talking points for board and staff ED Search Update- Share update with staff, create talking points for board and staff- Evan Gray Board Calendar- Create a calendar (board and committee meetings, ED search timeline, key Norte events, etc.)- Anthony Rupard E. Expenditure request—Jill Sill

A. Rupard invited board members to leave comments on working documents. Updates are needed with Bylaws, Policies & Procedures. First step is to review what we have currently. No action taken.

B. Rupard suggests developing talking points related to the ED Search and the Civic Center projects. No action taken.

C. Gray shared that the board met with HR professionals to develop the process and timeline. No action taken.

D. Rupard asks for a roll call check for proper committee schedule and board calendar. No action taken.

E. Sill requested $26,000 to purchase a 40’ shipping container from Box Pop (Britten Banners). The container would store Norte adaptive bikes and balance bikes.

Motion by Rupard to allocate the expense of up to $26,000 for the purchase of a customized shipping container for bike storage second by Schrock.

Motion passed unanimously.

Motion by Paul to move into executive session to discuss executive director hiring process with second by Schrock. Motion passed unanimously.
