Annual Meeting January 18, 2022

2022 Annual Meeting - Norte Board of Directors Tuesday, January 18th, 2022 6:30 pm Silver Spruce Brewing Co. Conflict of Interest Declaration. The member of the board who discloses a conflict of interest regarding an agenda item shall refrain from discussing the item with other members and leave the meeting when the board reaches the agenda item. After the board has addressed the agenda item, it shall memorialize in its minutes the conflicted member’s absence from the meeting and invite the member to return.

CONSENT CALENDAR: Action Required A. Approve - Minutes of the December 2021 Norte Board meeting B. Approve - Officers to serve on the Norte Executive Committee as approved at the regular November 2021 meeting of the Norte Board of Directors with officers taking their positions at the close of the January 2022 Annual meeting.

1.President - Anthony Rupard 2.Vice President - Evan Gray 3.Treasurer - Eric Mannix 4.Secretary - Susan Paul C. Approve- Board Leadership Committee Report Motion by Luyt to approve the consent calendar with second by Paul.

Motion passed unanimously or didn’t.

REPORTS A. Interim Executive Director Report - Jill Sill B. Communications discussion - Jill Sill/Gary Howe C. Financial Report - Greg Luyt (Action Required) 1. Budget vs Actual 2021 Jill Sill: Opened her report by taking questions from the Board about year end appeal and general operations. Generally, year end appeal has been successful with higher donations than previous years. Troy DeShano gave a summary of program changes coming this spring and summer.

Motion by Gray to approve the financial report with second by Mannix Motion passed unanimously or didn’t.

VI.

NEW BUSINESS A. Appoint - Directors to serve on the Norte Board of Directors - Board Leadership Committee (Action Required) Motion by Luyt to conditionally approve the three nominations by the selection committee (Marshall Collins, Sarah Naparella, Shawn Stowe) subject to approval by the executive committee with second by Schrock. Motion passed unanimously.
