Regular Meeting - Norte Board of Directors Tuesday, November 9, 2021 6:30 pm MEETING HELD VIRTUALLY Conflict of Interest Declaration. The member of the board who discloses a conflict of interest regarding an agenda item shall refrain from discussing the item with other members and leave the meeting when the board reaches the agenda item. After the board has addressed the agenda item, it shall memorialize in its minutes the conflicted member’s absence from the meeting and invite the member to return.

Introduction and welcoming of Troy DeShano, Norte’s New Program and Education Director Evan Gray — Cautionary advice regarding continued COVID-19, personally and professionally. COVID-19 is still present and hospitals are full.

CONSENT CALENDAR: Action Required A. Approve - minutes of the October 2021 regular meeting of the Norte Board of Directors.

B. Approve - Payment of Professional Expenses (attachments) 1. Cornerstone Architects 2. Parker Harvey Law firm 3. Kienbaum Law Firm 4. Lambert Public Relations Motion by Gray to approve the consent calendar with second by Luyt.

Motion passed.

REPORTS A. End of Year Fundraising update - Christie Perdue/Norte Staff B. Norte Interim Executive Director Report - Jill Sill C. Norte Financial Report - Greg Luyt (Action Required) 1. Norte 2021 Restricted Fund worksheet 2. Norte August 2021 Financial Statement 3. Norte September 2021 Financial Statement Motion by Luyt to approve the Year End Appeal mailing not to exceed 6,000 households with second by Mannix. Motion passed.

Norte Interim Executive Director Report - Jill Sill: Provided update of last month at Norte.

Highlights: 1) Onboarding of Troy as Program and Education Director. 2) Norte Rides with the Pros in partnership with TART capped a great Iceman weekend, 3) Awarded grant for DiSC training for staff from Rotary, and 4) Clubhouse remodel.

Norte Financial Report - Greg Luyt: Reviewed Norte financial statements. Organization continues to demonstrate a favorable financial position.

Motion by Mannix to approve financial report with second by Paul. Motion passed.

VI.

OLD BUSINESS A. Norte 2022 Budget - Finance Committee Eric Mannix: Proposed moving from an annual to monthly budget to better plan around anticipated expenses and revenue based on what we know. Anticipated final draft budget available for Board review and approval in December.

NEW BUSINESS A. Norte Board of Directors Slate of Candidates for Board Officer positions - Board Leadership Committee (Action Required) 1. Board Leadership Committee recommendation a) November Board Leadership Committee Report B. Immediate staffing recommendations - Jill Sill (Consider Board and Interim ED Executive Session)

Motion by Luyt to approve the slate of officers for 2022 as recommended by Board Leadership Committee, for President Anthony Rupard, Vice President, Evan Gray, Treasurer, Eric Mannix, and Secretary, Sue Paul, effective January 2022, with second by Hinze. Motion passed.

General Discussion around staff recommendations as presented by the executive director.

Motion by Luyt to approve a bonus for all core staff members with second by Gray. Motion passed.
