Board Meeting Minutes

Regular Meeting - Norte Board of Directors Tuesday, October 12th, 2021 6:30 pm NMC University Center - Room UC 208 2200 Dendrinos Drive, Traverse City, MI Conflict of Interest Declaration. The member of the board who discloses a conflict of interest regarding an agenda item shall refrain from discussing the item with other members and leave the meeting when the board reaches the agenda item. After the board has addressed the agenda item, it shall memorialize in its minutes the conflicted member’s absence from the meeting and invite the member to return.

Jill Sill: Recap of current programs, planning, partnerships, and hiring Greg Luyt: Overall the budget is in a strong position.

Motion by Witte to approve the Current Financial Report with second by Paul.

Motion passed.

Anthony Rupard: General discussion about Board leadership committee process including identifying key candidates for future Board vacancies. ●

2022 Norte budget discussion

Review of contract with CP Consulting (Norte Board and Staff Executive Session) (Action Required)

Norte Capital Campaign (Norte Board and Staff Executive Session)

2022 Norte Budget discussion Broad discussion concerning current staffing and expense needs by staff and need for a process and contingency budget in the short term. Finance committee to work on refining budget projection. General support expressed.

CP Consulting Contract & Norte Capital Campaign Motion by Hinze to go into closed session with Norte Board and staff to discuss Norte Capital Campaign and CP Consulting contract topics seconded by Luyt. Motion passed. ●

Rupard recuses himself from discussion of CP Consulting contract due to a previously disclosed conflict of interest. Rupard exits the executive session at 8:05pm. Rupard returns to executive session at 8:20 pm.

Motion by Hinze, second by Schrock to exit Board and Staff Executive Session.

Norte Executive Director Search process discussion (Board only Executive Session) Motion by Gray, second by Rupard to go into Board only Executive Session to discuss Norte Executive Director search process. Motion passed.
