Regular Norte Board Meeting Tuesday, September 14, 2021, 6:30 pm Great Lakes Discovery Center - Greilickville, MI Conflict of Interest Declaration. The member of the board who discloses a conflict of interest regarding an agenda item shall refrain from discussing the item with other members and leave the meeting when the board reaches the agenda item. After the board has addressed the agenda item, it shall memorialize in its minutes the conflicted member’s absence from the meeting and invite the member to return.

Christie Perdue of CP Consulting was brought on on August 1 to help Norte build a case and manage a capital campaign for a two-phase project including a pump track, educational center, and a traffic garden. She laid out the current planning process and answered questions from the Board of Directors. She's on board to help the organization succeed in this campaign and thrive long term.

Executive Director Report - Ty Schmidt Financial Report - Greg Luyt (Action Required) ■ Current Financial Statement ● Budget vs Actuals

Schmidt: 1) 2020 Summer Bike Camp Report, first-time state-licensed and branching out to other communities. 2) We've broken off into four teams (Program, Communications, Operations, and Development). 3) New realization learned tracking labor costs that programs won't ever likely pay for themselves. 4) Dove into some quick revisions of the strategic plan for future review by the Board.

Greg Luyt, Financial Report: At 58% through the year, Norte's revenue is ahead of budget.

Expenses are about even with a budget and well within expectations.

Motion by Eric Mannix to approve the Financial Report with second by Sue Paul. Motion passed.

Preliminary 2022 Budget discussions - Ty Schmidt ■ Budget Narrative Board Fundraising Support - Fund Development Committee - Eric Mannix

Ty Schmidt: Introduced the budget narrative and priorities for 2022. The report is primarily operational, excluding the capital campaign. There are six goals, mainly addressing increased staff capacity to free up current staff to succeed in their primary job. Personnel and finance committees will meet and bring a refined plan, with cost-benefit analysis, back for board review at the October meeting. Budget scheduled for approval in November.

Eric Mannix: Asks that each board member invite a buddy to the Civic Center for a walk with Ty. Eric will send email reminders to board members.

Norte ED/CEO Employment Agreement and related personnel matters (Board only Executive Session) - Personnel Committee (Action Required)

Greg Luyt motion to go into board only executive session with second by Chelsea Bay Dennis at 8:07 pm. Motion passed.

Bay Dennis exits at 8:35pm

Sue Paul motion to exit the executive session with a second by Anthony Rupard. Motion passed.

Board exits executive session at 10:24pm.
