Board of Directors: June Meeting Minutes

Regular Norte Board Meeting Tuesday, June 8th, 2021 6:30 pm Traverse City Senior Center - Tent Pavilion Conflict of Interest Declaration. The member of the board who discloses a conflict of interest regarding an agenda item shall refrain from discussing the item with other members and leave the meeting when the board reaches the agenda item. After the board has addressed the agenda item, it shall memorialize in its minutes the conflicted member’s absence from the meeting and invite the member to return.

MINUTES APPROVED ON JUNE 14, 2021 1. WELCOME Meeting Called to Order at 6:38 pm Board Present: Chris Hinze, Anthony Rupard, Greg Luyt, Sue Paul, Jim Witte, Ty Schmidt, Chelsea Bay Dennis, Evan Gray, Ryan Schrock, Via Zoom: Eric Mannix Absent: Staff Present: Jill Sill, Wes Sovis, Gary Howe 2. ADDITIONS OR CHANGES TO THE AGENDA ○

Finance Committee. Requests adoption of the Preliminary Operating Reserve Policy.

The operation reserve will be set at a baseline of $130,000 (3 months operating budget). Funds may only be used in an emergency with approval by a majority of the board.

Motion to approve Preliminary Operating Reserve Policy. Motion by Luyt, seconded by Gray.

No objection, motion carries.

Schmidt: Three stories, three minutes—three members of Team Orange.

1) Corbin Wagner, NMC Internship. Norte gave him something to believe in and he knocked it out of the park. Brought in a $4,000 check, organized the Wheelhouse, and he ran with it.

2) Coaches in six counties. #Coachoftheday.

3) The Youth leadership team is rocking. We have our first graduates this year. In the future, a new president (Gwen) will come to the board. *Side discussion about a capital campaign led by Anthony about the Education Center. More information soon as a strategy is developed. Go slow to go fast. A campaign consultant is likely needed. An RFP will be developed and be brought back to the board. Fundraising and Communications timeline needed to help define roles for board and staff.

Main tasks now: Case statement + Timeline + Project team development.

Luyt, Financial Report: Financials not ready for April.

Schrock, COVID-19 Task Force: As communities are loosening up, cases are lowering. The task force recommends continued commitment to modeling good public behavior. Masks remain part of our precautions, but not required in most cases.

General Policy Statement: Norte is committed to the safety and well-being of our community. We confidently deliver programs and events because our staff and families follow preventive measures and monitoring protocols for COVID-19. We stay outside as much as possible. If you are unvaccinated, we require masks and encourage them at different times, even for vaccinated individuals. We encourage everyone eligible to vaccinate as soon as possible. If you are not feeling well, please join us the next time when you feel better. Let's practice healthy habits and make this a fabulous summer. Let's do this together.

Norte Core Values discussion - Evan Gray/Ty Schmidt

Evan Gray led the board in a discussion exploring Norte’s core values? Is the organization on track? Are the stated values still relevant? Current Seven: Empowerment • Innovation • Positivity • Fun • Equity • Adventure • Integrity.

Each board member shared an additional, or current but important, three values that they felt were most valuable and inline with Norte’s work? Some additional themes came out of that exercise: Respect and Inclusion • Health and Wellness • Joy • Empowerment. • Equity. • Inclusion. • Integrity.
