Regular Norte Board Meeting Minutes Tuesday, April 13, 2021, 6:30 pm • Location: Zoom MINUTES APPROVED APRIL 16, 2021 1. WELCOME Meeting Called to Order 6:31 pm Board Present: Chris Hinze, Ryan Schrock, Anthony Rupard, Greg Luyt, Eric Mannix, Sue Paul, Jim Witte, Ty Schmidt, Evan Gray.

Absent: Chelsea Bay Dennis Staff Present: Abby Havil, Gary Howe, Jill Sill, Wes Sovis, Lauren Dake, Ben Boyce.

2. ADDITIONS OR CHANGES TO THE AGENDA None 3. CONSENT CALENDAR Motion by Luyt to approve Consent Calendar consisting of Minutes of the March 2021 Norte Board of Directors meeting and April 2021 Board Leadership Committee Report. Second by Schrock.

Passed without objection.

Executive Director Report - Ty Schmidt Financial Report - Greg Luyt Norte COVID-19 Task Force Report - Ryan Schrock

Summary: Schmidt: 1. Reflecting on Norte’s community impact and the 10-school Safe Routes to School infrastructure grant going in this year. This is what success looks like and Norte is in a position to help. 2. Annual Report is printed. 3. Hired first Bike Mechanic and Wheelhouse Manager. Starts on April 14. Say hi to John Deely when you’re at the Civic Center. Boyce: 4. ) Making steady progress toward becoming a state-licensed day camp for our traverse summer bike camp at the civic center. 5) We’re on track with the hiring of required seasonal staff (50+ mountain bike and adventure bike club coaches) to meet our spring and summer program needs (900+ kids across 6 counties).

Luyt, Financial Report: Nothing significant to report. More cash on hand than last year at this time. Ahead of schedule on revenue, only corporate revenue is behind goals but it’s early in the year.

Motion to approve Financial Report moved made by Rupard and seconded by Witte.

Motion carried without objection.

Note: Norte will be filing Form 990 in May. The proper process includes 1) The Finance Committee review >> treasurer signs >> Submittal to IRS. As the Finance Committee is still in formation, this year the Executive Committee will review, followed by the full Board. __ Schrock, COVID-19 Task Force: Vaccines are available, yet cases are high. We all need to remain diligent and maintain focus on reviewing the best recommendations and data and apply them to Norte programs. Balance speed v. what the science is telling us to do. Currently, upticks in a number of cases among children.

Main points: Be prepared. Walkthrough each event and program and evaluate how much control we have for each event. If we can confidently deploy preventive controls, we move forward.

DRAFT Norte Board of Director’s meeting minutes policy and procedure

Motion to approve a new process to approve and publish monthly Board of Directors minutes on the website made by Hinze and seconded by Mannix.

Motion passed without objection, with friendly amendments from notes below.

Luyt: Widen time frame for minutes to be distributed to the Board within 72 hours.

Mannix: Add Expected approval by the Board within one week.

Notes: Mannix, Fund Development: There was a general agreement that collaboration between Fund Development Committee and Finance Committee is necessary before approving either. Joint structures will be presented at the May meeting. ___ Gray/Luyt: Civic Center Lease and Project Update from The Committee: Developing a timeline and it’s becoming apparent that a Phase 1 for the Traffic Garden and Pump Track and a Phase II Educational Center is the appropriate approach. The current draft of the lease with the County reflects that flexibility.

Motion to approve the substance of the Civic Center Lease and allow The Committee to finalize the terms for presentation to the County Parks and Recreation Commission at their May 2021 meeting.
