Regular Norte Board Meeting Minutes Tuesday, March 9, 2021, 6:30 pm Location: Zoom

Minutes Approved April 13, 2021 1. WELCOME Meeting Called to Order 6:31 pm Board Present: Chris Hinze, Ryan Schrock, Chelsea Bay Dennis, Anthony Rupard,, Greg Luyt, Eric Mannix, Sue Paul, Jim Witte, Ty Schmidt.

Absent: Evan Gray Staff Present: Abby Havil, Gary Howe, Jill Sill, Wes Sovis, Lauren Dake, Ben Boyce.

2. ADDITIONS OR CHANGES TO THE AGENDA None 3. CONSENT CALENDAR Action: Motion by Luyt to approve Consent Calendar consisting of 1) the minutes of the Feb. 9, 2021, Norte Board meeting, 2) Norte Personnel Committee Description, 3) Norte Executive Committee description, and 4) Adoption of the 2021 IRS standard mileage rate of 0.56/mile. second by Mannix.

Passed without objection.

Norte is also about to become licensed as a day camp for the summer.

Community Bike Shop/Clubhouse will be Open 10-6 M-F, 10-2 Sat this spring. $17k grant for SRTS grant in Kalkaska and Kalkaska Bike Library opening soon.

What’s new with Norte? Do you want to be a bike coach? We pay and have volunteer gigs for as little as one day a week. Also hiring full-time Americorps VISTA and a part-time bike mechanic.

Financial Report - Greg Luyt ■ January Financial Statement ■ Budget vs Actuals

Action: Motion by Paul to approve the financial report as presented at the March 9, 2021, Norte Board meeting, second by Schrock.

Motion carried without objection. ○

Civic Center Lease Subcommittee Report - Evan Gray

Summary: The committee discussed recent negotiations with the County and positive lease extension news.

A plan for a future home is a priority, although it may come in stages. ○

Executive Committee update - Evan Gray

Summary: Continues to meet with the Executive Director and make progress on goals.

Norte Board of Directors Conflict of Interest Policy ■ Norte Board Commitment document

Action: Motion by Luyt to approve the Conflict of Interest Policy, second by Paul.

Passed without objection. ○

Consideration of publishing BOD meeting minutes to elgruponorte.org

Action: Board approved the publishing of BOD minutes by general consensus without objection.

7. OLD BUSINESS ○

ED employment contract update

Summary: Schrock provided an overview of the process and negotiation with Schmidt of transition from at-will to a contracted employee as Executive Director.
