GENERAL TERMS AND CONDITIONS OF SALE OFFERS Offers have a 30 days validity from their issue date. When this period of time expires without having received the relative order, Spath Wheels has the right to consider the quotation as annulled. ORDERS Orders are binding and irrevocable after 7 days from the order’s reception. If the customer declines the supply after this time frame, he is required to either pay 30% of the supply amount or pick up the goods. DELIVERIES Delivery times are approximate and they have to be considered in working days. Spath Wheels shall not be held accountable for any delay due to causes that are beyond its control. Deliveries are considered to be carried out with the notification that goods have been picked up by the courier to be transported to their destination. From this moment on, the buyer shall bear all risks and relative expenses. SHIPPING Goods are supplied ex – works, therefore warehousing and transportation costs are on the buyer. Goods sent to Spath Wheels must be free of charge, otherwise they will not be accepted. Claims for any kind of damage that could be occurred during transportation have to be presented to the courier. If goods are delivered to a buyer’s representative, the buyer shall bear all risks. PRICES Spath Wheels has the right to adjust already decided prices any time in the event of particular occurrences that are beyond Spath Wheels’ control. Prices are quoted ex- works, unless otherwise agreed. Prices for special wheels, which are not part of Spath Wheels’ standard products, will be set from time to time. Prices of such wheels are not related to those of standard wheels, even if they have similar features and sizes. PAYMENT Payments will be considered effective only if made according to Spath Wheels’ decided guidelines. Different guidelines have to be agreed upon every time. Delays in payment will be ground for immediate loss of the possible agreed discount or start of bank interest entitlement with an additional cost of 3%. No power of attorney is granted to Agents, Commissioners, and Middlemen. Anything arranged by them has to be considered as unilaterally binding, absolving Spath Wheels from any responsibility. WARRANTY Under the assumption that payment terms and conditions are respected, Spath Wheels provides the customer with a 24 month warranty from the date of shipment. The warranty covers manufacturing mistakes and faulty material. This warranty does not apply if the product has been altered, mounted differently from how instructed, used for purposes which it has not been designed for, or repaired without Spath Wheels’ approval. Should the wheel be defective, claims must be submitted within 8 days from when the flaw first appeared. Defective wheels have to be shipped to Spath Wheels’ factory, carriage paid and free of any equipment. After being inspected, wheels which turn out to be defective will be fixed or replaced. Wheels that have been replaced will become Spath Wheels’ property. Products repaired under warranty will be returned to the customer for free. Shipping costs for wheels which are not under warranty, and possible expenses related to mounting and dismantling the wheel on the car will not be paid by Spath Wheels. Defective products sent to Spath Wheels without its approval will be returned to the customer. DISPUTES Any controversy, including those connected to any other lawsuit placed under others Judicial Authorities, will be exclusive jurisdiction of the Court of Justice of Bergamo.

CONDIZIONI GENERALI DI VENDITA OFFERTE Le offerte hanno una validità di 30 giorni dalla data di emissione. Trascorso tale termine senza che sia pervenuto il relativo ordine, la Spath Wheels si riserva la facoltà di ritenere annullata l’offerta. ORDINI Gli ordini da parte del cliente diventano impegnative e in nessuno modo revocabili trascorsi 7 giorni dal ricevimento dell’ordine. La Spath Wheels si riserva il diritto di accettare o declinare l’ordine pervenuto. Trascorso tale termine, qualora l’Acquirente rifiuti la fornitura, dovrà corrispondere alla Spath Wheels una somma pari al 30% dell’importo di quest’ultima o ritirare la merce. CONSEGNE Il termine di consegna è enunciato a titolo indicativo ed è da intendersi in giorni lavorativi. La Spath Wheels non si ritiene responsabile per ritardi dovuti a cause al di fuori del proprio controllo. La spedizione si intende eseguita a tutti gli effetti quando è stata consegnata al vettore per l’inoltro a destino. Tutti i rischi e le spese susseguenti sono a carico dell’Acquirente. La merce viaggia assicurata ma per danni durante il trasporto la Spath Wheels non è da ritenersi responsabile. SPEDIZIONI La merce è resa franco stabilimento della Spath Wheels, pertanto le spese di trasporto o di giacenza sono a carico dell’Acquirente. Tutta la merce inviata alla Spath Wheels deve essere spedita in porto franco, pena il mancato ritiro. PREZZI La Spath Wheels si riserva il diritto di modificare i prezzi accettati in qualsiasi momento nel caso di alterazioni al di fuori del controllo della Società. Tutti i prezzi sono considerati, salvo esplicite indicazioni, franco stabilimento della Spath Wheels. I prezzi per prodotti speciali e non di serie sono stabiliti di volta in volta e senza rapporto a quelli di produzione normale, anche se di caratteristiche e dimensioni simili. PAGAMENTO I pagamenti saranno validi soltanto se effettuati a norme della Spath Wheels e con le modalità stabilite. Eventuali deroghe a queste prassi saranno stabilite di volta in volta. Il ritardo del pagamento, anche di una sola quota del prezzo, costituirà in mora il debitore senza bisogno di intimidazioni o diffide ed il saldo ancora dovuto si renderà in tale ipotesi immediatamente liquido ed esigibile. Ogni ritardo nel pagamento dà luogo alla decadenza dello sconto se pattuito e alla decorrenza dell’interesse bancario più il 3% salvo maggiori oneri quali IVA, spese relative al ritorno e alla riemissione delle tratte non pagate alla prima presentazione. Nessun potere di rappresentanza è conferito ad Agenti, Commissionari o Intermediari. Gli impegni di qualsiasi natura da essi assunti nei confronti del cliente sono da ritenersi vincolanti unilateralmente, sollevando a priori la Spath Wheels da ogni responsabilità. Le spese di incasso per pagamenti c/tratta si intendono a carico del committente. Nel caso di regolamenti contro rilascio di effetti cambiari, questi si intenderanno dati e accettati pro – solvendo e non pro – soluto e, la relativa emissione non potrà mai costruire novazione del rapporto contrattuale. GARANZIA Con il presupposto che siano osservate le condizioni di pagamento, la Spath Wheels offre al cliente una garanzia di 24 mesi dalla data di spedizione. La garanzia copre errori di fabbricazioni e materiale difettoso. La garanzia cesserà di essere valida se il prodotto è stato alterato, applicato diversamente dalle istruzioni date, utilizzato per scopi per i quali esso non è stato progettato, o riparato senza il consenso della Spath Wheels. L’acquirente è tenuto a fornire alla Spath Wheels notizie scritte del difetto entro 8 giorni dalla sua manifestazione. La Spath Wheels si impegna a riparare o sostituire il prodotto che, al suo esame, risulti difettoso. Il prodotto difettoso deve essere spedito alla Spath Wheels franco di spese e libero da ogni equipaggiamento estraneo. La spedizione del prodotto riparato e le relative spese di smontaggio e montaggio sulla macchina dell’Acquirente non saranno a carico della Spath Wheels. Le parti sostituite saranno di proprietà della casa madre. La Spath Wheels non si ritiene responsabile per qualsiasi danno indiretto o conseguente che potrebbe avere origine da difetti o ritardi nella consegna del prodotto riparato. I pezzi spediti alla Spath Wheels senza autorizzazione saranno restituiti all’Acquirente.
