Cowlitz County Public Works requests approval to solicit proposals from qualified mobile heavy equipment repair companies or individuals to provide on- site maintenance, diagnostics, repairs, and emergency repair services at the Cowlitz County Headquarters Landfill.
The Request for Proposals ( RFP) is intended to establish a pool of qualified service providers available to support landfill operations on an as- needed basis.

I.
INTRODUCTION PURPOSE
AND
BACKGROUND
Cowlitz County is seeking qualified mobile heavy equipment repair businesses or individuals to provide onsite maintenance, diagnostic, repair, and emergency services for heavy equipment operating at the Cowlitz County Headquarters Landfill. The landfill operates a fleet of heavy equipment that is essential to daily operations, including waste handling and site maintenance. To minimize equipment downtime and maintain operations, the County requires responsive, on- site repair services performed by experienced technicians. Work will be requested on an as- needed basis, and no minimum quantity of work is guaranteed. The County intends to establish a pool of qualified service providers. Proposers who meet the requirements of this solicitation will be eligible for consideration
for future contracts and individual service assignments as
the County' s needs arise. Qualification does not guarantee a contract, any minimum amount of work, or any compensation. Assignments will be made at the County' s discretion based on operational needs, contractor availability, expertise, and other factors deemed to be in the County' s best interest. The total anticipated annual expenditure under this solicitation is approximately$ 250, 000. This amount is an estimate for budgeting purposes only and does not represent a guarantee of work or compensation. SCOPE OF WORK The

Work will generally be performed at the Headquarters Landfill, located at 3434 S Silver Lake Road in Castle Rock, WA. In limited circumstances, the County may authorize off-site repair when it is determined to be the most practical or cost- effective option. The Contractor shall respond to service requests during normal business hours and, when requested by the County, provide emergency response outside of normal business hours, including evenings, weekends, and holidays.
The County reserves the right to determine which qualified contractor, if any, will be contacted for a particular service need based on availability, response time, qualifications, specialty expertise, pricing, or other operational considerations. EQUIPMENT

This list is provided for informational purposes to assist Proposers in understanding the types of equipment that may require services under this RFP. The County' s equipment fleet is subject to change during the term of the qualified contractor pool and any resulting contracts. The County does not guarantee that any particular piece of equipment listed above will require services or remain in the County' s fleet. MINIMUM
QUALIFICATIONS
Proposers shall demonstrate that they meet all of the following minimum qualifications. Each minimum qualification is mandatory. A Proposer that does not meet all mandatory minimum qualifications will not be determined qualified and will not be eligible for inclusion in the qualified contractor pool. 1.
Proposer shall have a minimum of five ( 5) years of experience providing maintenance and repair services on Caterpillar ( CAT) heavy equipment. Proposer shall provide a description of its relevant experience, including the types of CAT equipment serviced and the approximate number of years of experience.
2.
Proposer shall demonstrate experience providing mobile, on- site maintenance and repair services for heavy construction, landfill, mining, or similar heavy equipment. The response shall identify representative

customers,
projects, equipment types, and services performed.
Ability to provide qualified technicians capable of independently diagnosing and repairing heavy equipment
in the field.
4.
Ability to provide routine and emergency response services on an as- needed basis, including evenings, weekends, and holidays when requested by the County.
5.
Possession of all licenses, registrations, permits, and certifications required by applicable law to perform the services.
6.
Ability to furnish all labor, supervision, service vehicles, specialty tools, diagnostic equipment, lifting devices, safety equipment, communications equipment, and transportation necessary to perform the work without reliance on County resources.
7.
Ability to obtain replacement parts through established supply channels and coordinate delivery as necessary.
The County may request documentation verifying qualifications, experience, certifications, references, insurance, or other information necessary to determine whether a Proposer meets the requirements of this solicitation. Such documentation may be requested before a Proposer is determined qualified or before execution of any resulting contract. PRICING REQUIREMENTS
Pricing shall be submitted using the County' s pricing schedule. All proposed rates shall remain firm for the initial contract term of any resulting contract, unless otherwise provided in the contract. Pricing submitted by a Proposer may be considered by the County when determining which qualified Contractor to contact for a particular service need. The County is not obligated to select the Contractor offering the lowest price. PERIOD
OF PERFORMANCE
The qualified contractor pool established through this solicitation will have an initial term of one ( 1) year, anticipated to commence October 1, 2026 and expire September 30, 2027. The County may, at its sole discretion and subject to applicable County policy and contract terms, extend the qualified contractor pool and/ or any resulting contract for up to two ( 2) additional one- year periods. Any extension shall be exercised by the County in accordance with applicable County policy and the terms of the resulting contract. Extension of the qualified contractor pool or any resulting contract is not guaranteed.

PROPRIETARY
INFORMATION/
PUBLIC
DISCLOSURE
Proposals submitted in response to this competitive procurement shall become the property of the County and shall be deemed public records as defined in Chapter 42. 56 of the Revised Code of Washington ( RCW). Any information in the proposal that the Proposer desires to claim as proprietary and exempt from disclosure under the provisions of Chapter 42. 56 RCW, or other state or federal law that provides for the nondisclosure of your document, must be clearly designated. The information must be clearly identified and the exemption from disclosure upon which the Proposer is making the claim must be cited. Each page containing the information claimed to be exempt from disclosure must be clearly identified by the words " Proprietary Information" printed on the lower right- hand corner of the page. Marking the entire proposal exempt from disclosure or as Proprietary Information will not be honored. If a public records request is made for the information that the Proposer has marked as " Proprietary Information," the County will notify the Proposer of the request and of the date that the records will be released to the requester unless the Proposer obtains a court order enjoining that disclosure. If the Proposer fails to obtain the court order enjoining disclosure, the County will release the requested information on the date specified. If a Proposer obtains a court order from a court of competent jurisdiction enjoining disclosure pursuant to Chapter 42. 56 RCW, or other state or federal law that provides for nondisclosure, the County shall maintain the confidentiality of the Proposer' s information per the court order. A charge will be made for copying and shipping, as outlined in RCW 42. 56. No fee shall be charged for inspection of contract files, but twenty- four( 24) hours' notice to the RFP Coordinator is required. Proposers should familiarize themselves with these reporting requirements to the County before submitting a proposal that includes former public employees or, if applicable, before entering into a resulting contract. Information regarding these requirements can be found on the WA Department of Retirement System' s Independent Contractor Verification and State Retirement Status Reporting Form located on the last page of this document. RESPONSIVENESS
All proposals will be reviewed to determine compliance with the administrative requirements and minimum qualifications specified in this RFP. A proposal that meets all applicable administrative requirements and demonstrates compliance with all mandatory minimum qualifications will be determined qualified for inclusion in the qualified contractor pool. A proposal that fails to meet an applicable mandatory requirement or minimum qualification may be rejected as non- responsive or determined not qualified, as applicable. The County also reserves the right at its sole discretion to waive minor administrative irregularities. MOST FAVORABLE
TERMS
The County reserves the right to make a determination of qualification based on the information submitted in the proposal without further discussion
with the Proposer. Proposers
should submit complete and accurate
information demonstrating their ability to meet all requirements and minimum qualifications of this RFP. The County reserves the right to contact a Proposer for clarification of its proposal. A Proposer determined to be qualified may be required to enter into the County' s standard personal services contract before performing any services for the County. Qualification does not constitute a contract or authorize the Proposer to perform work for the County. funds. The County is under no obligation to offer a contract or any work to any Contractor determined qualified through this solicitation. REJECTION
OF PROPOSALS
The County reserves the right, at its sole discretion and as permitted by applicable law and County policy, to reject any or all proposals, determine that one or more Proposers do not meet the minimum qualifications, decline to establish or maintain a qualified contractor pool, or decline to enter into any contract as a result of this RFP. OF FUNDS

ELECTRONIC
PAYMENT
Cowlitz County prefers to utilize electronic payment such as EFT ( Electronic Funds Transfer) or ACH Automated Clearing House) in its transactions. The successful Contractor( s) will be provided a form to complete with the contract to authorize such payment methods. INSURANCE
COVERAGE
The Contractor is to furnish the County with a certificate( s) of insurance executed by a duly authorized representative of each insurer, showing compliance with the insurance requirements set forth below. The Contractor shall, at its own expense, obtain and keep in force insurance coverage which shall be maintained in full force and effect during the term of the contract. The Contractor shall furnish evidence in the form of a Certificate of Insurance that insurance shall be provided, and a copy shall be forwarded to the County within fifteen ( 15) days of the contract effective date. The Contractor shall maintain in full force and effect during the term of this Agreement, and until final acceptance of the work, public liability and property damage insurance with companies or through sources approved by the state insurance commissioner pursuant to RCW Title 48, as now or hereafter amended. The County, its appointed and elected officials, agents and employees, shall be specifically named as additional insureds in a policy with the same company which insures the Contractor or by endorsement to an existing policy or with a separate carrier approved pursuant to RCW Title 48, as now or hereafter amended, and the following coverages shall be provided:

Contractor hereby agrees to a waive subrogation with respect to each insurance policy maintained under this Agreement. When required by an insurer, or if a policy condition does not permit Contractor to enter into a pre- loss agreement to waive subrogation without an endorsement, then Contractor agrees to notify the insurer and obtain such endorsement. This requirement shall not apply to any policy which includes a

The County, its departments, elected and appointed officials, employees, agents and volunteers shall be named as additional insureds on Contractor' s and Contractor' s subcontractors' insurance policies by way of endorsement for the full available limits of insurance maintained by the Contractor and subcontractor, and all coverage shall be primary and non- contributory. A statement or notation of additional insured status on a Certificate of Insurance shall not satisfy these requirements. III. SUBMISSION AND QUALIFICATION PROPOSAL
SUBMISSION

By submitting the Proposal Form, the Proposer certifies that the information provided is true and accurate and agrees to comply with the requirements of this RFP and any resulting agreement. QUALIFICATION
REVIEW
The County will evaluate each proposal to determine whether the Proposer meets the minimum qualifications and requirements established in this RFP. Proposals will not be numerically scored or ranked against one another. Evaluation will be conducted on a pass/ fail basis. To be considered qualified, a Proposer must demonstrate compliance with all minimum qualifications, requirements, and conditions identified in this RFP and provide all information
requested in Exhibit A— Proposal Response Form.
The County reserves the right to request clarification or additional information from a Proposer as necessary to determine whether the Proposer meets the requirements of this RFP. The County may determine that a Proposer is not qualified if the Proposer fails to demonstrate that it meets the minimum qualifications or other requirements of this RFP. QUALIFIED
CONTRACTOR
POOL
Proposers that meet all mandatory requirements and minimum qualifications will be determined qualified and eligible for inclusion in the County' s qualified contractor pool. Inclusion in the qualified contractor pool does not constitute a contract with the County and does not guarantee that the County will enter into a contract with the Contractor. Inclusion also does not guarantee any minimum amount of work, compensation, number of service calls, or other business opportunity. When the County has a need for services covered by this RFP, the County may contact one or more qualified Contractors to determine availability and suitability for the service need. The County may consider factors including, but not limited to, availability, response time, qualifications, specialized expertise, equipment familiarity, location, pricing, and the nature and urgency of the work.
A qualified Contractor must execute a County- approved contract before performing services for the County. The County reserves the right not to contract with any qualified Contractor and may obtain services from other sources as permitted by applicable law and County policy. NOTIFICATION

The debriefing will be limited to discussion of the County' s determination regarding the Proposer' s compliance with the requirements and minimum qualifications of this RFP. The debriefing will not include comparison of the Proposer' s response to the responses of other Proposers. PROTEST
PROCEDURE
Protests may be made only by Proposers who submitted a response to this solicitation document and who have participated in a debriefing conference. Upon completing the debriefing conference, the Proposer is allowed three ( 3) business days to file a protest of the procurement with the RFP Coordinator. Protests must be received by the RFP Coordinator no later than 5: 00 PM, local time, at 1600 13th Avenue S, Kelso, WA 98626 on the third business day following the debriefing. Protests may be submitted by e- mail or facsimile but must then be followed by the document with an original signature. Proposers protesting this procurement shall follow the procedures described below. Protests that do not follow these procedures shall not be considered. This protest procedure constitutes the sole administrative remedy available to Proposers under this procurement. All protests must be in writing, addressed to the RFP Coordinator, and signed by the protesting party or an authorized agent. The protest must state the RFP number, the grounds for the protest with specific facts and complete statements of the action( s) being protested. A description of the relief or corrective action being requested should also be included.
Only protests stipulating an issue of fact concerning the following subjects shall be considered: 1. 2.
A matter of bias, discrimination, or conflict of interest on the part of an evaluator. An error in determining whether a Proposer meets a mandatory requirement or minimum qualification.

Non- compliance with procedures described in the procurement document or County policy.
Protests not based on procedural matters or the application of the stated requirements of this solicitation will not be considered. Protests will be rejected as without merit if they address matters such as the County' s reasonable determination of whether a Proposer meets the stated minimum qualifications or the County' s assessment of its own needs or requirements,
except where the Proposer alleges that the determination was
based on an error of fact or an improper application
of the requirements of this solicitation.
Upon receipt of a protest, a protest review will be held by the County. The County Purchasing Manager or an employee delegated by the Purchasing Manager who was not involved in the procurement will consider the record and all available facts and issue a decision within five ( 5) business days of receipt of the protest. If additional time is required, the protesting party will be notified of the delay. In the event a protest may affect the interests of other Proposers that also submitted a proposal, such Proposers will be given an opportunity to submit their views and any relevant information regarding the protest to the RFP Coordinator. Services shall be performed at Cowlitz County Corrections Department facilities and in strict accordance with the terms, conditions, requirements, and specifications set forth in the applicable Lesson Plans attached hereto, including the New Hire Defensive

COMPENSATION
For services rendered in accordance with this Agreement and Attachment A, the County shall compensate the Contractor
as follows:
a) Training Sessions. The County shall pay the Contractor a fixed fee of four thousand five hundred 4, 500. 00) for each completed sixteen ( 16) hour Defensive Tactics training session.

b) Hourly Services. For services authorized by the County that are not compensated under the fixed training session fee, the County shall pay the Contractor at the rate of two hundred eighty- one dollars and twenty- five cents ($ 281. 25) per hour. The total
compensation payable under this Agreement shall not exceed forty thousand dollars ($ 40, 000. 00) during each annual term of the Agreement. This amount is a not- to- exceed limit only and does not guarantee any minimum payment or minimum number of training sessions. The County shall pay only for training sessions that have been completed and performed in accordance with this Agreement.
Any unused portion of the annual not- to- exceed amount shall carry forward and remain available during subsequent annual terms of this Agreement, unless otherwise modified by written amendment, provided that all payments remain subject to the terms of this Agreement and any overall funding limitations established by the County. Payments shall be made upon completion of each training session or other authorized services and receipt of a properly submitted invoice identifying the services performed, the applicable date( s) of service, the number of hours ( if billed on an hourly basis), the number of completed training sessions ( if billed at the fixed session rate), and the amount requested. Payment shall be made only for services performed. Should any statute, rule, regulation, order, guideline, or official interpretation be enacted, issued, adopted, or made, or should the County require services beyond the scope contemplated by this Agreement, and such change materially increases the cost to the Contractor of providing Defensive Tactics training services hereunder, the County and Contractor agree to negotiate in good faith any additional compensation attributable to such change. Prior to such negotiations, the Contractor shall provide the County with information sufficient to evaluate the nature of the change, its impact on the scope of services, and any resulting increase in cost. The

GENERAL CONDITIONS 1.
Scope of Contractor' s Services. The Contractor agrees to provide to the County services and any materials
set forth in the project narrative identified as Attachment A during the agreement period. No material, labor, or facilities will be furnished by the County, except as provided for herein. 2.

Accounting and Payment for Contractor Services. Payment to the Contractor for services rendered under this Agreement shall be as set forth in Attachment B unless specifically stated in Attachment B, the County will not reimburse the Contractor for any costs or expenses incurred by the Contractor in the performance of this contract.
Delegation and Subcontracting. Contractor's services are deemed personal and no portion of this contract may be delegated or subcontracted
to any other individual, firm or entity without the express and prior
written approval of the County Project Manager. 4.
Independent Contractor. The Contractor' s services shall be furnished by the Contractor as an independent contractor and nothing herein contained shall be construed to create a relationship of employer/
employee
or master/
servant.
The Contractor acknowledges that the entire compensation for this Agreement is specified in Attachment
B and the Contractor is not entitled to any county benefits including, but not limited to: vacation pay, holiday pay, sick leave pay, medical, dental or other insurance benefits, or any other rights or privileges afforded to Cowlitz County employees. The Contractor represents that it maintains a separate place of business, serves clients other than the County, will report all income and expense accrued under this contract with the Internal Revenue Service on a business tax schedule, and has a tax account with the
State of Washington Department of Revenue for payment of all sales and use and Business and Occupation taxes collected by the State of Washington. In the event that either the state or federal government determines that an employer/ employee or master/ servant relationship exists rather than an independent contractor relationship such that Cowlitz contributions, workers social County is deemed responsible for federal withholding, security compensation and the like, the Contractor agrees to reimburse Cowlitz County for any payments made or required to be made by Cowlitz County. Should any payments be due to the Contractor pursuant to this Agreement, the Contractor agrees that reimbursement may be made by deducting from such future payments a pro rata share of the amount to be reimbursed. Notwithstanding any determination by the state or federal government that an employer/ employee or master/ servant relationship exists, the Contractor, its officers, employees and agents, shall not be entitled to any benefits which Cowlitz County provides to its employees. 5.

No Guarantee of Employment. The performance of all or part of this contract by the Contractor shall not operate to vest any employment rights whatsoever and shall not be deemed to guarantee any employment of the Contractor or any employee of the Contractor or any subcontractor or any employee of any subcontractor by the County at the present time or in the future. Regulations and Requirements.
This Agreement shall be subject to all federal, state and local laws, rules,
and regulations. 7.
Right to Review. This contract is subject to review by any federal or state auditor. The County shall have the right to review and monitor the financial and service components of this program by whatever means are deemed expedient by the County Project Manager. Such review may occur with or without notice, and may include, but is not limited to, on- site inspection by County agents or employees, inspection of all records or other materials which the County deems pertinent to the Agreement and its performance, and any and all communications with or evaluations by service recipients under this Agreement. The Contractor shall preserve and maintain all financial records and records relating to the performance of work under this Agreement for six ( 6) years after contract termination, and shall make them available

for such review, within Cowlitz County, State of Washington, upon request, during reasonable business hours. 8.
Modifications. Either party may request changes in the Agreement. Any and all agreed modifications shall be in writing, signed by each of the parties.
9.
Termination for Default. If the Contractor defaults by failing to perform any of the obligations of the contract
or becomes
insolvent
or is declared
bankrupt
or makes
an
assignment
for the
benefit
of
creditors, the County may, by depositing written notice to the Contractor in the U. S. Mail, postage prepaid, terminate the contract, and at the County' s option, obtain performance of the work elsewhere. If the contract is terminated for default, the Contractor shall not be entitled to receive any further payments under the contract. Any extra cost or damage to the County resulting from such default( s) shall be deducted from any money due or coming due to the Contractor. The Contractor agrees to bear any extra expenses incurred by the County in completing the work, including all increased costs for completing the work, and all damage sustained, or which may be sustained by the County by reason of such default.
If a notice of termination for default has been issued and it is later determined for any reason that the Contractor was not in default, the rights and obligations of the parties shall be the same as if the notice of termination had been issued pursuant to the Termination for Public Convenience paragraph hereof. 10. Termination for Public Convenience. The County may terminate the contract in whole or in part whenever the County determines, in its sole discretion that such termination is in the interests of the County. Whenever the contract is terminated in accordance with this paragraph, the Contractor shall be entitled to payment for actual work performed for completed items of work. An equitable adjustment in the contract price for partially completed items of work will be made, but such adjustment shall not include provision for loss of anticipated profit on deleted or uncompleted work. Termination of this contract by the County at any time during the term, whether for default or convenience, shall not constitute a breach of contract by the County. 11. Termination Due to Insufficient Funds. If sufficient funds for payment under this contract are not appropriated or allocated or are withdrawn, reduced, or otherwise limited, the County may terminate this contract upon thirty ( 30) days written notice to the Contractor. No penalty or expense shall accrue to the County in the event this provision applies. 12. Termination Procedure. The following provisions apply in the event that this Agreement is terminated: a) The Contractor shall cease to perform any services required hereunder as of the effective date of termination and shall comply with all reasonable instructions contained in the notice of termination, if any. b) The Contractor shall provide the County with an accounting of authorized services provided through the effective c)
date of termination.
If the Agreement has been terminated for default, the County may withhold a sum from the final payment to the Contractor that the County determines necessary to protect itself against loss or liability.
13. Defense and Indemnity Agreement. To the fullest extent permitted by law and except to the extent caused by the sole negligence of the County, the Contractor shall indemnify, defend and hold the County and its appointed
and elected officers, agents and employees,
and volunteers,
harmless from and against
any and all claims for any injuries, death or damage to persons or property ( including any loss of use therefrom), resulting directly or indirectly arising out of, resulting from, or in connection with performance of this Agreement. Contractor' s obligation to indemnify, defend and hold harmless includes any claim by Contractor' s agents, employees, representatives, or any subcontractor or its employees. Contractor expressly agrees to indemnify, defend and hold harmless the County from any claims arising out of or incident to either Contractor' s or its Subcontractor' s performance or failure to perform the Agreement.

It is further agreed by and between the parties that in no event shall any County appointed or elected officer, agent, employee, or volunteer, when executing their official duties in good faith, be in any way personally liable or responsible for any agreement or performance contained herein, whether express or implied, nor for any statement or representation made herein or in any connection with this Agreement. 14. Industrial Insurance Waiver. With respect to the performance of this Agreement and as to claims against the County, its appointed and elected officers, agents and employees, the Contractor expressly waives its immunity under Title 51 of the Revised Code of Washington, the Industrial Insurance Act, as now or hereafter amended, or other worker' s compensation act, disability benefit act, or other employee benefit act of any jurisdiction otherwise applicable, for injuries to its employees and agrees that the obligations to indemnify, defend and hold harmless provided in this Agreement extend to any claim brought by or on behalf of any employee of the Contractor. Along with the other provisions of this Agreement, this waiver is mutually negotiated by the parties to this Agreement. 15. Venue and Choice of Law. In the event that any litigation should arise concerning the construction or interpretation of any of the terms of this Agreement, the venue of such action shall be in the courts of the State of Washington in and for the County of Cowlitz. This Agreement shall be governed by the law of the State of Washington.
16. Withholding Payment. In the event the County Project Manager determines that the Contractor has failed to perform any obligation under this Agreement within the times set forth in this Agreement, then the County may withhold from amounts otherwise due and payable to Contractor the amount determined by the County as necessary to cure the default, until the County Project Manager determines that such failure to perform has been cured. Withholding under this clause shall not be deemed a breach entitling Contractor to termination or damages, provided that the County promptly gives notice in writing to the Contractor of the nature of the default or failure to perform, and in no case more than ten ( 10) days after it determines to withhold amounts otherwise due. A determination of the County Project Manager set forth in a notice to the Contractor of the action required and/ or the amount required to cure any alleged failure to perform shall be deemed conclusive, except to the extent that the Contractor acts within the times and in strict accord with the provision of the Disputes clause of this Agreement. The County may act in accordance with any determination of the County Project Manager which has become conclusive under this clause, without prejudice to any other remedy under the Agreement, to take all or any of the following actions: ( 1) cure any failure or default, ( 2) to pay any amount so required to be paid and to charge the same to the account of the Contractor, ( 3) to set off any amount paid or incurred from amounts
due or to become
due the Contractor.
In the event the Contractor
obtains
relief upon a claim
under the Disputes clause, no penalty or damages shall accrue to the Contractor by reason of good faith withholding by the County under this clause. 17. Riahts and Remedies. The duties and obligations imposed by this Agreement and the rights and remedies available hereunder shall be in addition to and not a limitation of any duties, obligations, rights and remedies
otherwise
imposed
or available
bylaw.
18. Contractor Commitments, Warranties and Representations. Any written commitment received from the Contractor concerning this Agreement shall be binding upon the Contractor, unless otherwise specifically provided herein with reference to this paragraph. Failure of the Contractor to fulfill such a commitment shall render the Contractor liable for damages to the County. A commitment includes, but is not limited to any representation made prior to execution of this Agreement, whether or not incorporated elsewhere herein by reference, as to performance of services or equipment, prices or options for future acquisition to remain in effect for a fixed period, or warranties. 19. Patent/ Copyright
Infringement. Contractor will defend, indemnify and save harmless County, its appointed and elected officers, agents and employees from and against all loss or expense, including but not limited to claims, demands, actions, judgments, settlements, attorneys' fees and costs by reason of any and all claims and demands upon the County, its elected or appointed officials or employees for damages because of the Contractor' s alleged infringement on any patent or copyright. The Contractor will pay those costs and damages attributable to any such claims that are finally awarded against the

County, its appointed and elected officers, agents and employees in any action. Such defense and payments are conditioned upon the following: a) That Contractor shall be notified promptly in writing by County of any notice of such claim. b) Contractor shall have the right, hereunder, at its option and expense, to obtain for the County the right to continue using the information, in the event such claim of infringement, is made, provided no reduction in performance or loss results to the County. 20. Disputes.
a) General. Differences between the Contractor and the County, arising under and by virtue of the contract documents shall be brought to the attention of the County at the earliest possible time in order that such matters may be settled or other appropriate action promptly taken. The records, orders, rulings, instructions, and decision of the County Project Manager shall be final and conclusive thirty ( 30) days from the date of mailing unless the Contractor mails or otherwise furnishes to the County Project Manager a written notice of appeal. The notice of appeal shall include facts, law, and argument as to why the conclusions of the County Project Manager are in error. In connection with any appeal under this clause, the Contractor and County shall have the opportunity to submit written materials and argument and to offer documentary evidence in support of the appeal. Oral argument and live testimony will not be permitted. The decision of the County Project Manager for the determination
of such appeals shall be final and conclusive.
Reviews of the
appellate determination shall be brought in the Superior Court of Cowlitz County within fifteen ( 15) days of mailing of the written appellate determination. Pending final decision of the dispute, the Contractor shall proceed diligently with the performance of this Agreement and in accordance with the decision b)

The
Contractor
shall
not be entitled
to additional
compensation
or to
extension of time for ( 1) any act or failure to act by the County Project Manager or the County, or 2) the happening of any event or occurrence, unless the Contractor has given the County a written Notice
of Potential
Claim
within
ten ( 10) days of the commencement
of the act, failure,
or event
giving rise to the claim, and before final payment by the County. The written Notice of Potential Claim
shall
set forth
the
reasons
for which
the
Contractor
believes
additional
compensation
or
extension of time is due, the nature of the cost involved, and insofar as possible, the amount of the potential claim. Contractor shall keep full and complete daily records of the work performed, labor and material c)
used,
and all costs and additional
time claimed
to be additional.
Detailed Claim. The Contractor shall not be entitled to claim any such additional compensation, or extension of time, unless within thirty ( 30) days of the accomplishment of the portion of the work from which the claim arose, and before final payment by the County, the Contractor has given the County a detailed written statement of each element of cost or other compensation requested and of all elements of additional time required, and copies of any supporting documents evidencing the amount or the extension
of time claimed to be due.
21. Ownership of Items Produced and Public Disclosure. All writings, programs, data, art work, music, maps, charts, tables, illustrations, records or other written, graphic, analog or digital materials prepared by the or subcontractors, Contractor and/ or its consultants in connection with the performance of this Agreement shall be the sole and absolute property of the County and constitute " work made for hire" as that phrase is used in federal and/ or state intellectual property laws and Contractor and/ or its agents shall have no ownership or use rights in the work. Except as to data or information in the public domain or previously known to Contractor or required to be disclosed by law, subpoena or other process, the following shall apply: a) Correspondence, emails, reports and other electronic or written work product will be generated between the Contractor and County during the course of this Contract. This Contract and such work product in the possession of Contractor may be deemed public records subject to disclosure under the Washington State Public Records Act, Chapter 42. 56 RCW( Public Records Act). Thus, the County Page 4

shall be required,

upon request,
to disclose this Contract
and all documents
related to it unless an
exemption under the Public Records Act or other laws applies. Contractor shall fully cooperate with and assist the County with respect to any request for public records received by the County related to the services performed under this Contract. b) Should County receive a request for disclosure, County agrees to provide Contractor ten ( 10) days written notice of impending release, and to cooperate with any legal action which may be initiated by Contractor to enjoin or otherwise prevent such release, provided that all expense of any such litigation shall be borne by Contractor, including any damages, attorney' s fees or costs awarded by reason of having opposed disclosure, and further provided that County shall not be liable for any release where notice was provided and Contractor took no action to oppose the release of information. Notice of any proposed release of information pursuant to Chapter 42. 56 RCW, shall be provided to Contractor according to the" Notice" provision herein. If the Contractor has not obtained an injunction and served the County with that injunction by the close of business on the tenth business day after the County sent notice, the County will then disclose the record unless it makes an independent determination that the record is exempt from disclosure. Notwithstanding the above, the Contractor must not take any action that would affect ( a) the County' s ability to use goods and services provided under this Contract or ( b) the Contractor obligations under this Contract. The Contractor will fully cooperate with the County in identifying and assembling records in case of any public disclosure request. c)
Contractor' s failure to timely provide such records upon demand shall be deemed a material breach of this Contract. To the extent that the County incurs any monetary penalties, attorneys' fees, and/ or any other expenses as a result of such breach, Contractor shall fully indemnify and hold harmless County as set forth in Section 13. For purposes of this section, the terms " public records" and agency" shall have the same meaning as defined by Chapter 42. 56 RCW, as said chapter has been construed by Washington courts. The provisions of this section shall survive the expiration or termination
of this Agreement.
22. Recovery of Payments to Contractor. The right of the Contractor to retain monies paid to it is contingent
upon satisfactory performance of this Agreement, including the satisfactory completion of the project A). In the event that the Contractor fails, for any reason, described in the Scope of Work ( Attachment to perform obligations required of it by this Agreement, the Contractor may, at the County Project Manager' s sole discretion, be required to repay to the County all monies disbursed to the Contractor for those parts of the project that are rendered worthless in the opinion of the County Project Manager by such failure to perform. In the event there is a dispute
with
regard
to the extent and character
of the work to be done, the
determination of the County Project Manager as to the extent and character of the work to be done shall govern subject to the Contractor' s right to appeal that decision as provided herein. 24. Non- Discrimination. The Contractor shall not discriminate against any person on the basis of race, creed, political ideology, color, national origin, sex, marital status, sexual orientation, age, or the presence of any sensory, mental or physical handicap. 25. Subcontractors. In the event that the Contractor employs the use of any subcontractors, the contract between the Contractor and the subcontractor shall provide that the subcontractor is bound by the terms of this Agreement between the County and the Contractor. The Contractor shall insure that in all subcontracts entered into, County is named as an express third- party beneficiary of such contracts with full rights as such.
26. Third Party Beneficiaries. This agreement is intended for the benefit of the County and Contractor and not for the benefit of any third parties. 27. Standard of Care. The Contractor shall perform its duties hereunder in a manner consistent with that degree of care and skill ordinarily exercised by members of the same profession as Contractor currently practicing under similar circumstances. The Contractor shall, without additional compensation, correct those services not meeting such a standard. 28. Time is of the Essence. Time is of the essence in the performance of this contract unless a more specific time period is set forth in either the Special Terms and Conditions or Scope of Work. 29. Notice. Except as set forth elsewhere in the Agreement, for all purposes under this Agreement, except service of process, any notices shall be given by the Contractor to the County Project Manager. Notice to the Contractor for all purposes under this Agreement shall be given to the person executing the Agreement on behalf of the Contractor at the address identified on the signature page. 30. Severability. If any term or condition of this contract or the application thereof to any person( s) or circumstances is held invalid, such invalidity shall not affect other terms, conditions or applications which can be given effect without the invalid term, condition or application. To this end, the terms and conditions
of this contract are declared
severable.
31. Precedence. In the event of inconsistency in this Agreement, unless otherwise provided herein, the inconsistency shall be resolved by giving precedence in the following order: a)

No term or condition
of this contract
shall be held to be waived,
modified
or deleted
except by an instrument, in writing, signed by the parties hereto. 33. Attorney Fees. In the event that litigation must be brought to enforce the terms of this agreement, the prevailing party shall be entitled to be paid reasonable attorney fees. 34. Construction. This agreement has been mutually reviewed and negotiated by the parties and should be given a fair and reasonable interpretation and should not be construed less favorably against either party.
35. Survival. Without being exclusive, Paragraphs 4, 7, 13- 19, 21- 22 and 30- 35 of these General Conditions shall survive any termination, expiration or determination of invalidity of this Agreement in whole or in part. Any other Paragraphs of this Agreement which, by their sense and context, are intended to survive shall also survive.
36. Entire Agreement. This written contract represents the entire Agreement between the parties and supersedes any prior statements, discussions or understandings between the parties except as provided herein.

SPECIAL TERMS AND CONDITIONS AND RETIREMENT 1.
STATUS
FORM
Reporting. The Contractor shall submit written progress reports to the County Project Manager as set forth below:
With each request for payment. Monthly. Quarterly. Semi- annually. Annually. Project
completion.
Other:
Reports shall include any problems, delays or adverse conditions which will materially affect the Contractor' s ability to meet project objectives or time schedules together with a statement of action taken or proposed to resolve the situation. Reports shall also include recommendations for changes to the Scope of Work, if any. Payments may be withheld if reports are not submitted. 2.
Insurance. The Contractor shall maintain in full force and effect during the term of this Agreement, and until final acceptance of the work, public liability and property damage insurance with companies or through sources approved by the state insurance commissioner pursuant to RCW Title 48, as now or hereafter amended. The County, its appointed and elected officials, agents and employees, shall be specifically named as additional insureds in a policy with the same company which insures the Contractor or by endorsement to an existing policy or with a separate carrier approved pursuant to RCW Title 48, as now or hereafter amended, and the following coverages shall be provided: COMPREHENSIVE GENERAL LIABILITY:

All Contractor' s and Contractor' s subcontractors' insurance policies and additional named insured endorsements shall provide primary insurance coverage and be non- contributory. Any insurance, self- insured retention, deductible, risk retention or insurance pooling maintained or participated in by the County shall be excess and not contributory to such insurance policies. All Contractor' s and Contractor' s subcontractors' liability insurance policies must be endorsed to show this primary coverage.

Upon request, the Contractor shall provide a full and complete certified copy of all requested insurance policies to the County. The County reserves the right, but not the obligation, to revise any insurance requirement, not limited to limits, coverages and endorsements, or to reject any insurance policies which fail to meet the requirements of this Agreement. Additionally, the County reserves the right, but not the obligation, to review and reject any proposed insurer providing coverage based upon the insurer' s financial condition or licensing status in Washington. Any deductibles and/ or selfinsured retentions exceeding $ 10, 000, stop loss provisions, and/ or exclusions contained in such policies must be approved by the County in writing. For any deductibles or self- insured retentions exceeding $ 10, 000 or any stop- loss provisions, the County shall have the right to request and review the Contractor' s most recent annual financial
reports and audited
financial
statements
as a condition
of approval.
Contractor hereby agrees to a waive subrogation with respect to each insurance policy maintained under this Agreement. When required by an insurer, or if a policy condition does not permit Contractor to enter into a pre- loss agreement to waive subrogation without an endorsement, then Contractor agrees to notify the insurer and obtain such endorsement. This requirement shall not apply to any policy which includes a condition expressly prohibiting waiver of subrogation by the insured or which voids coverage
should the Contractor
enter into such a waiver of subrogation
on a
pre- loss basis. The County, its departments,
elected and appointed officials, employees, agents and volunteers
shall
insureds
be named
as additional

This Agreement shall be void ab initio if the proof of coverage is not timely supplied. The insurance maintained under this Agreement shall not in any manner limit or qualify the liabilities or obligations of the Contractor under this Agreement. All insurance policy deductibles and selfinsured retentions for policies maintained under this Agreement shall be paid by the Contractor. Compensation

The goal of this safety plan is to establish protocols to ensure the proper response for potential safety issues. By establishing safety protocols ARC Tactical can provide excellent training with meaningful outcomes. To protect our students from injury and increase the learner' s experience ARC Tactical provides a comprehensive warm- up prior to training. Our warmups consist of four( 4) categories:

For the duration of this training, the contractor will be charged with the safety of each student. At all times, all participants ( the contractor and students are safety officers and can stop the action of the course at any time for safety issues. Two ( 2) Emergency Response Officers- At the beginning of the course, two students will be selected to summon emergency medical personnel should the situation
call for it.
These two students will take roles as the primary and secondary emergency response. Should the primary student be the one in need of care, the secondary emergency responder will activate and summon emergency medical personnel. Two ( 2) First Aid Officers— At the beginning
of the course, two students will
be selected to administer first aid to include, AED, bandages, tourniquets etc.

Two ( 2) Notification Officer s— At the beginning of the course, two students will be selected to be the notification officers. The responsibility of the notification officers is to notify the chain of command of any emergency In any physical type training, there are potential foreseeable outcomes. To mitigate the potential foreseeable outcomes, students will use the resources outlined and the strategies described below to ensure the
safety for all who attend. Dehydration -
students will use water throughout the day to
ensure that dehydration
does not occur.
Rhabdomyolysis- The contractor will be responsible for monitoring the exhaustion level of a student. Breaks from physical activity will be utilized as necessary. Water will be consumed throughout the course of instruction. Lacerations-
Appropriate
use of bandages
and tourniquet
will be used
to mitigate lacerations. Depending on the extent of the laceration emergency, medical personnel may be summoned. Injured limbs— during the physical portions of our classes we will use exercise mats and pads to protect against injury. We will also use our warm- up process to prepare against these injuries.
Falls and Impacts- Exercise mats, pads and impact resistant suits will be used to mitigate potential impacts. Eye Injury— Should an injury occur to an eye the protocol may include direct pressure and summoning emergency medical personnel. Head Injury— Should an injury occur to a student' s head the protocol may include direct pressure and summoning emergency medical personnel. Punctures— If a student were to be punctured in some way during our training the protocol may include direct pressure, a tourniquet application, and summoning emergency medical personnel. Emergency Response
Training in physical skills lends itself to potential injury. Should an injury be sustained that is beyond our capability to address, the contractor will summon emergency medical personnel. The contractor will attend to the injury until emergency medical personnel can arrive. The contractor will notify the chain of the command and/ or agency contact of the injury.

WHEREAS, the Board of County Commissioners believes that regulations governing the standard manner of operation of vehicles of Cowlitz County should be adopted to ensure the efficient and safe use of such vehicles for proper County purposes. The manner in which employees operate and utilize these identifiable public vehicles is under continuing observation of the public, and each employee must recognize the responsibility of prudent and proper operation of County vehicles assigned for official business or personal vehicles used for County business. That standard manner of operation should reflect respect, responsibility, and care for public property and should strive to ensure the continued safety and well-being of County employees and the public., and; WHEREAS, the Cowlitz County Board of County Commissioners reviewed the Board of Commissioners Vehicle Use, Resolution #04-054, and identified areas that needed to be updated; and WHEREAS, the Cowlitz County Board of County Commissioners has revised the Use of Personal Vehicles on County Business, and Employee Driving Records to reflect current practice; and NOW, THEREFORE, BE IT RESOLVED the Cowlitz County Board of County Commissioner amends resolution #04-054 and adopts the attached Safety Vehicle Use policy effective the 18th of August 2026.

8.12 VEHICLE USE 8.12.1 Policy The Board of Cowlitz County Commissioners believes that regulations governing the standard manner of operation of vehicles of Cowlitz County should be adopted to ensure the efficient and safe use of such vehicles for proper County purposes. The manner in which employees operate and utilize these identifiable public vehicles is under continuing observation of the public, and each employee must recognize the responsibility of prudent and proper operation of County vehicles assigned for official business or personal vehicles used for County business. That standard manner of operation should reflect respect, responsibility, and care for public property and should strive to ensure the continued safety and well-being of County employees and the public.
8.12.2 Definitions A. Authorized volunteer Any person working under the direction of the County and for the benefit of Cowlitz County.
B. County Vehicle A motor vehicle that is owned by Cowlitz County.
C. Employee Any person receiving wages from Cowlitz County for their labor.
D. Vehicles Includes any automobile, motorcycle, airplane, boat, truck, tractor, heavy equipment or any other motorized vehicle which is owned, leased, or in the possession or control of Cowlitz County or personal vehicles while being driven on County business.
8.12.3 Procedures. The following are the procedures adopted by the Board of County Commissioners governing the use of any and all County vehicles.
8.12.3.1 Identification of County Vehicles. All County vehicles will be distinctly identified with a C-License Plate and an official insignia in accordance with RCW 46.08.065. Exceptions to this policy will include Sheriff's detective and undercover vehicles. Maintenance vehicles shall have standard County identification and insignia on the cab.
8.12.3.2 Vehicle Operation. A. County vehicles shall be available for County business at all times. All County vehicles, excluding 24-hour assigned vehicles, shall be parked on County property after working hours. B. County Vehicles may be assigned to an employee by a Department Head or Elected Official using the following criteria: 1. Travel requirements for the employee’s position demonstrate that assignment of a motor vehicle is the most cost effective and efficient manner of delivering County services.

2. The employee is on 24-hour call or may otherwise be expected to respond to emergencies outside regular business hours. C. County vehicles may not be taken home overnight except under the following circumstances: 1. Employees designated by the Department Head or Elected Official to be on 24-hour call out for department emergencies or pre-approved assignments. 2. Employees attending out-of-area meetings that require travel outside normal working hours. D. Any person who drives a County vehicle must possess a valid Operator's License, and "endorsements" or validation required for special equipment. E. Employees, or authorized volunteers, shall operate all vehicles used for County business in a safe and economical manner. F. Employees, or authorized volunteers, shall comply with all applicable motor vehicle laws. Any fines or penalties assessed for traffic violations shall be the responsibility of the operator. G. Vehicles must be safe to operate. Each employee, or authorized volunteer, driving a County vehicle shall inspect the vehicle to assure that it is in sound operating condition. A vehicle checklist (Exhibit A) is attached to this policy to assist with this responsibility. H. County vehicles shall only be operated by County employees or authorized volunteers. I. County vehicles shall be operated for official use only, never for personal business. Prohibited County Vehicle use includes, but not limited to: 1. Transport of children to school or day care facilities. 2. Transport of personal household belongings. 3. Out-of-route travel miles for personal business. 4. Parades or public gatherings unless approved by the Board of County Commissioners. J. Passengers who are not County employees will only be allowed to ride in a County vehicle when authorized, in advance, by the Department Head or Elected Official. K. County vehicles may be used for travel to meals only when an employee, or authorized volunteer, is in a location where driving to obtain a personal vehicle would result in an extra and unnecessary expenditure of time and money. L. County employees, or authorized volunteers, shall take adequate and appropriate precautions to protect the vehicle from damage or theft. M. County employees, or authorized volunteers, shall report any accident immediately to their supervisor, Risk Manager and the proper law enforcement agency having jurisdiction. N. County employees, or authorized volunteers, shall report equipment problems/failures to the Motor Pool/ER&R staff as soon as practicable. O. County employees, or authorized volunteers, shall keep the interior and exterior of the vehicle clean. P. County employees, or authorized volunteers, shall keep records as required by the County that may include but are not limited to mileage, minor repairs, or gas usage. Q. With the exception of the Sheriff’s Office, all County employees, or authorized volunteers, are expected to pull off the road prior to receiving or making a cellular telephone call, or using other computerized devices. 8.12.3.3 Use of Personal Vehicles on County Business. A. Employees, or authorized volunteers, shall use assigned departmental vehicles and/or Motor Pool vehicles while conducting County business. Personal vehicles may not be used on County business without prior approval of the Department Head or Elected Official. B. Personal vehicles used for County business shall be subject to this policy. C. The County liability insurance is secondary to the employee’s automobile insurance, which is the primary insurer. D. It is recommended that County employees, or authorized volunteers who routinely drive personal vehicles on County business consult with their insurance agent to obtain appropriate insurance coverage. Employees should notify their insurance carriers as to the amount of business use for endorsement purposes.
8.12.3.4 Driver Training Employees, or authorized volunteers, who drive a County vehicle, or drive a personal vehicle on County business, must attend a County sponsored/approved defensive driving class at least once every three years. If there are special needs generated by a series of accidents or moving violations, additional classes may be required at the direction of the Risk Manager, Department head or Elected Official.
8.12.3.5 Use of Tobacco, Alcohol and/or Drugs in County Vehicles. A. In addition to complying with Cowlitz County Smoking and Drug-Free Workplace policies, County employees shall not smoke in County vehicles nor drive on behalf of the County following the use of any alcohol or drugs that may affect their ability to operate a vehicle safely. B. If alcohol, drug use, or impairment is demonstrated to be the contributing cause of a vehicle accident or violation, it shall be grounds for separate disciplinary action up to and including termination of employment.
8.12.3.6 Employee Driving Records. A. Driving records will be checked at the beginning of employment with the County and the Driver License Status will be checked every two years thereafter. B. Information on driving records will be kept in the employee’s personnel file and considered confidential. This information may only be used by the County solely for the purpose of identifying valid drivers except if the information indicates that the employee is not in compliance with state or federal driving requirements. C. The Risk Manager will notify supervisors when an employee no longer meets the minimum requirements for operating a motor vehicle.

8.12.3.7 Penalty. Failure to comply with regulations set out in this policy could lead to immediate suspension of vehicle use and constitutes grounds for disciplinary action, including suspension or dismissal from employment. (Res. 04-054, 3-30-04)

VEHICLE ACCIDENT REPORT Vehicle Accident Checklist: 1. KEEP CALM 2. Stop immediately. If it is hazardous to keep your vehicle where it is, move immediately if possible. If you are safe where you are, turn off your ignition and suggest others do the same. Protect the scene of the accident with traffic control devices if possible/necessary. 3. Offer assistance. Give first aid to the injured if you can. 4. Make no admissions or take any blame for the accident. 5. Call 911. Call your supervisor. This letter is to acknowledge your October 30, 2025 letter transmitting information related to the proposed Right Abutment Seepage Monitoring Improvements at the Swift No. 1 Project, FERC No. 2111.
Our review did not find any significant deficiencies or errors that would affect the
safety of the project works or the adequacy of the project works to perform their intended functions. You are authorized to begin construction of the Right Abutment Seepage Monitoring Improvements.
You are reminded that prior to start of work, all necessary preconstruction license article requirements must be met. In addition, all of the necessary state, local, and federal
permits that are required must be secured. During construction, it is your responsibility to ensure that construction practices conform to the requirements of the Project License and
applicable permits, to minimize erosion and other environmental iml+acts. Changes During Construction
If the plans and specifications are revised during the construction process, it is your responsibility to ensure these changes are properly coordinated between the Engineer- of-Record, Project Manager, Chief Dam Safety Engineer, and the FERC in
advance. If any changes are made that require a change in the operation of the project, it is your responsibility to ensure these changes are properly coordinated with the FERC. Substantial deviations from the authorized set of plans and specifications are not except in permitted without prior coordination and separate authorization from this office,

response to a condition that affects the safety of project works ( as defined in 1S CFR 12. 3).
In lieu of a standalone construction report, this construction may be documented in
the subsequent annual Dam Safety Surveillance and Monitoring Report ( DSSMR). Within 60 days after completion of the work, please provide a plan and schedule to
update the Dam Safety Surveillance and Monitoring Plan (DSSMP) to include the additional instrumentation and the monitoring procedures and frequencies. The legislation creating the Public Transportation Benefit Areas ( PTBA), RCW 36. 57A055, requires the composition of the governing body of the PTBA to be reviewed every four years.
The last review of the board composition took place on July 22, 2022. RCW 36. 57A. 055 states this review must be conducted at a special meeting of the county legislative authority and an elected representative of each city within the boundaries of the PTBA( Longview and Kelso), A twenty( 20) day notice of the meeting is required.
The meeting has been scheduled for August 12, 2026, at 3: 45 p. m., in the Longview Council Chambers, located at 1525 Broadway, Longview, and on Zoom. This letter serves as your official notification.

History and Governance
RiverCities Transit has a long history in Longview and Kelso, WA. It began 103 years ago, serving mill workers as
they traveled to and from work. Several private owners ran the bus service until 1975 when the City of Longview purchased the operation. The City of Longview subsequently became the grant recipient for the Federal Transit Administration and Washington State Department of Transportation.

To enhance the quality of life in our area, the Cowlitz Transit Authority provides safe, reliable, and efficient transit services that link people, jobs, and communities." CTA 2009
The Cowlitz Public Transportation Benefit Authority ( PTBA) was formed in 1987 to fund the transit system. The
Cowlitz Transit Authority( CTA), a five- member board consisting of two members of the Longview City Council, two members of the Kelso City Council, one Cowlitz County Commissioner, and one non- voting Amalgamated Transit Union representative, governs the PTBA. The CTA functions as a taxing authority only. The CTA has
contracts for legal counsel and utilizes the services of the Cowlitz County Treasurer but has no other staff. The CTA contracts all transit operations, maintenance, and capital improvement- related functions including management, administration, drivers, and maintenance, to the City of Longview. The City of Longview subcontracts to provide the required complementary paratransit service. The City of Longview and the CTA jointly govern the
public transportation
system,

Governing body— Selection, qualification, number of members— compensation. ( Effective January 1, 2026.) 1)( a) Within 60 days of the establishment

of the boundaries of the public
transportation benefit area the members of the county legislative authority and the
elected representative of each city within the area shall provide for the selection of the
governing body of such area, the public transportation benefit area authority, which shall consist of elected officials selected by and serving at the pleasure of the governing bodies of component cities within the area and the county legislative authority of each
county within the area. Two other transit- using members may be appointed to the governing body of such area, pursuant to subsection ( 3)( b) of this section. b) The elected official members of the governing body of the public transportation benefit area, if the population of the county in which the public transportation benefit area is located is more than 400, 000 and the county does not also
contain a city with a population of 75, 000 or more operating a transit system pursuant to
chapter 35.95 RCW, must be selected to assure proportional representation, based on population, of each of the component cities located within the public transportation benefit area and the unincorporated areas of the county located within the public
transportation benefit area, to the extent possible within the restrictions placed on the
size of the governing body of a public transportation benefit area. If necessary to assure such proportional representation, multiple cities may be represented by a single elected official from one of the cities. A majority of the governing board may not be selected to represent a single component city.
c) If at the time a public transportation benefit area authority assumes the public
transportation functions previously provided under the interlocal cooperation act chapter 39.34 RCW) there are citizen positions on the governing board of the transit system, those positions may be retained as positions on the governing board of the public transportation benefit area authority.
2) Within such 60- day period, any city may by resolution of its legislative body withdraw from participation in the public transportation benefit area. The county
legislative authority and each city remaining in the public transportation benefit area may disapprove and prevent the establishment of any governing body of a public transportation benefit area if the composition thereof does not meet its approval. 3)( a) In no case shall the governing body of a single county public transportation
benefit area be greater than 11 voting members and in the case of a multicounty area, 17 voting members. Those cities within the public transportation benefit area and excluded from direct membership on the authority are hereby authorized to designate a member of the authority who shall be entitled to represent the interests of such city which is excluded from direct membership on the authority. The legislative body of such
city shall notify the authority as to the determination of its authorized representative on the authority.

shall not be paid to an elected official or employee of federal, state, or local government who is receiving regular full- time compensation from such government for attending meetings and performing prescribed duties of the authority. b) The dollar thresholds established in this section must be adjusted for inflation
by the office of financial management every five years, beginning January 1, 2024, based upon changes
in the consumer
price
index
during that time period. " Consumer price
index" means, for any calendar year, that year's annual average consumer price index, for Washington state, for wage earners and clerical workers, all items, compiled by the bureau of labor and statistics, United States department of labor. If the bureau of labor and statistics develops more than one consumer price index for areas within the state, the index covering the greatest number of people, covering areas exclusively within the
boundaries of the state, and including all items shall be used for the adjustments for inflation in this section. The office of financial management must calculate the new dollar threshold and transmit it to the office of the code reviser for publication in the Washington State Register at least one month before the new dollar threshold is to take effect.
c) A person holding office as commissioner for two or more special purpose districts shall receive only that per diem compensation authorized for one of his or her commissioner positions as compensation for attending an official meeting or conducting official services or duties while representing more than one of his or her districts. Governing body— Periodic review of composition.
After a public transportation benefit area has been in existence for four years, members of the county legislative authority and the elected representative of each city within the boundaries of the public transportation benefit area shall review the composition of the governing body of the benefit area and change the composition of
the governing body if the change is deemed appropriate. When determining if a change to the composition of the governing body is appropriate, the proportional representation requirements of RCW 36. 57A.050 must be taken into consideration if the population of the county in which the public transportation benefit area is located is more than four
hundred thousand and the county does not also contain a city with a population of seventy- five thousand or more operating a transit system pursuant to chapter 35.95 RCW, and the composition of the governing body must be changed if necessary to meet this requirement. The review shall be at a meeting of the designated
representatives of the component county and cities, and the majority of those present
shall constitute a quorum at such meeting. Twenty days notice of the meeting shall be given by the chief administrative officer of the public transportation benefit area authority. After the initial review, a review shall be held every four years. If an area having a population greater than fifteen percent, or areas with a combined population of greater than twenty- five percent of the population of the existing public transportation benefit area as constituted at the last review meeting, annex to the public transportation benefit area, or if an area is added under
RCW 36. 57A. 140( 2), the representatives of the component county and cities shall meet
within ninety days to review and change the composition of the governing body, if the change is deemed appropriate. This meeting is in addition to the regular four- year review meeting and shall be conducted pursuant to the same notice requirement and quorum provisions of the regular review.
