HAWORTH’S MAGICAL SEATING INCENTIVE

HAWORTH’S MAGICAL SEATING INCENTIVE Our team understands that Lessen is a unicorn in the industry, and like unicorns that only come around once in a lifetime, Haworth is offering Lessen a once in a lifetime incentive. In addition to our aggressive discounting, Haworth is extending additional financial incentives to Lessen. If the Haworth product solution is chosen for the workstations, we will be offering the following: For every Haworth task chair purchased, one additional chair will be offered at zero cost. This is a buy one get one free incentive on seating and will be offered exclusively for the initial workstation order.

PRICING

HAWORTH PRICING & NON-OBSOLESCENCE COMMITMENT In response to the Request For Proposal for Lessen, Haworth is happy to extend the following pricing commitments for all of its product offerings. Volume discounting has been extended to Lessen based on the floor plan provided in the RFP. •

Haworth will hold all list prices through 3/30/23.

•

Discounts off current list price will be held through December 31, 2024. All purchases made will receive the same aggressive discount from dollar one (no tiered discounts).

Recognizing the difficulties caused by product obsolescence and its impact on customer resources and manufacturing, Haworth focuses on continuously enhancing existing products over time as an alternative to obsolescence. Updates are the result of concentrated analysis and discussion between cross-sectional teams in research and development, engineering, quality, and marketing. Keeping Haworth products relevant in both design and engineering provides its customers with the best long-term value in the industry. Occasionally, very low volume products, fabrics, or finishes may be completely redesigned or obsoleted. This is a rare occurrence and CIS and Lessen would be notified at least a year in advance of these changes. The estimated number of units still in active use plays a significant role in determining whether a product will be discontinued. A product with lower volume sales, but with a high number of items still in active use may defer obsolescence and/or impact the quantity and length of time parts and components are kept on hand. Low volume finishes considered for obsolescence are designated “on alert” for several years prior to obsolescence. It is standard operating procedure for Haworth field teams to work closely with its customers to find a mutually agreeable solution.

TERMS AND CONDITIONS OF SALE ACCEPTANCE OF ORDER. These Terms and Conditions of Sale constitute an integral part of the proposal (number designated below) and/or purchase order (called the “Specific Order Terms”). The proposal and/or purchase order and these Terms and Conditions of Sale, if accepted, constitute the final and binding agreement (“Agreement”) between Corporate Interior Systems LLC (“CIS”) and the customer/buyer designated on the Specific Order Terms (“Customer”). Customer’s execution or acceptance of the Specific Order Terms will be deemed an unconditional acceptance of these Terms and Conditions of Sale. CIS may require deposits as listed on the proposal, and those deposits will be included and accepted as a part of this agreement. CANCELLATION AND CHANGES. If the Agreement is accepted (confirmed) by the Customer, the specific order terms cannot be canceled or changed except by mutual consent. The CIS’s order confirmation is final, and binding, and any subsequent changes are subject to CIS’s ability to conform and are dependent upon factory approval. Changes in quantity or specifications are subject to approval by CIS and manufacturer. Resulting additional charges from the manufacturer must be paid by the Customer. All requests for changes in quantity or specifications shall be delivered to the CIS in writing. DELIVERY AND INSTALLATION. If delivery and/or installation is required as a part of the Agreement, the following provisions shall apply: 1. Condition of Job Site - The job site must be clean, clear and free of debris prior to installation. If site is not ready, installation may be postponed until site is acceptable by CIS standards. If the job site is subject to a lease, Customer is solely responsible for all notice, coordination, and approval of the landlord. 2. Job Site Services - Electric current, heat, hoisting and/or elevator service will be furnished without charge to CIS. Adequate facilities for offloading, staging, moving and handling of merchandise must be provided. 3. Powered Panels & Other Electrical – Prior to installation, Customer is solely responsible for any furniture, electrical power, and hardware hookup to the building power electrical source by a licensed electrician. 4. Delivery During Normal Business Hours - Delivery and installation will be made during normal business working hours unless otherwise stated in the proposal. Additional labor costs resulting from overtime work performed at the Customer’s request will be paid by the Customer. 5. Staging Space - Safe and adequate storage space will be provided by the Customer. If the space provided is inadequate and requires excessive sorting or storage cost, all excess costs will be reimbursed by the Customer. If the space provided is located on another floor, or building, the extra cost of transporting to and from storage will be reimbursed by the Customer. If the merchandise must be moved due to progress of other trades or other reasons, the extra cost of moving will be reimbursed by the Customer. 6. Construction and Assembly - CIS’s ability to construct or assemble furniture or to permanently attach, affix, or bolt in place moveable furniture is dependent on trade regulations. If trade regulations applicable at the time of installation require the use of tradesmen at the site other than the CIS’s own installation personnel, resulting additional costs will be paid by the Customer. 7. Damage - After arrival at the site, any loss or damage by weather, other trades such as painting or plastering, fire or other elements, shall be the responsibility of the Customer, and the Customer agrees to hold the CIS harmless from loss for such reasons. 8. DIRECT SHIPMENTS. If Customer is receiving and installing merchandise directly, CIS project management services are not included. Owner accepts full responsibility for offloading product from the truck, receiving documentation, installation of product, and documentation of damaged goods must be provided to CIS immediately. CIS will place applicable freight and or damage claims only after receiving specific documentation required by CIS and manufacturers. If damaged and or missing product is not reported to CIS based on instructions, claims may be rejected, and customer will be responsible for payment of original invoice. Please contact CIS for detailed instructions. WARRANTY. Standard manufacturer warranties apply to all furniture. Install and services are warranted by the CIS to be free from defects in materials or workmanship for a period of twelve (12) months from the date of delivery unless otherwise specified. DELAYS. If construction delays or other causes not within the CIS’s reasonable control occur that force postponement of the installation, the furnishings will be stored until installation can be resumed and will be considered accepted by the Customer for purposes of payment. If this occurs, additional charges may occur, and these charges are due upon receipt of goods, net 30 days. Transfer and storage charges incurred shall be paid by the Customer. Orders held 30 days past original delivery date are subject to storage charges and are due upon receipt, net 30 days. PAYMENT. Acceptance of delivery constitutes acceptance of all as delivered. Merchandise will be invoiced first day of install. Customer agrees to pay each invoice in full within thirty (30) days of the invoice date. No payment shall be withheld on any invoice because of partial delivery of the order. PUNCH LIST-If an item on the order is considered a punch list item, the amount of the punch list item only, can be withheld from invoice until item is installed complete. Balance due upon delivery of punch list item. The Customer agrees to pay a finance charge of 1 1/2% per cent per month at the annual percentage rate of 18% on all delinquent invoices (over 30 days due from invoice) as well as expenses, attorney fees, collection fees and court costs which CIS incurs by reason of Customer’s default. Title to the subject merchandise will pass from the CIS to the Customer when the full purchase price and all other charges due under this agreement are paid in full. OUTSIDE EVENTS. The occurrence or existence of these events may delay, prevent, or otherwise affect the ability of CIS to perform under the Agreement, and, to the extent they do so, CIS will endeavor to give commercially reasonable notice to Customer of the event or situation. In this case, performance by CIS may be delayed based on the extend and duration of the Force Majeure Event. CIS will not be responsible to Customer for any loss due or delay due to the Force Majeure Event. If a Force Majeure Event occurs, this Agreement will remain in full force and effect, and CIS will perform with reasonable dispatch when the Force Majeure Event is no longer applicable. For avoidance of doubt, a Force Majeure Event will not include financial distress of CIS, inability of CIS to make a profit, or changes in market prices or conditions in the ordinary course of business. NO OTHER AGREEMENTS. There are no other agreements expressed or implied other than those specified in this Agreement. The terms and conditions set forth in this Agreement may not be varied except upon the written approval of both Customer and CIS. * ANY DEPOSIT AMOUNT___________________________________ WILL BE 40% Customer Signature Date ____________________ Proposal # _____

ACKNOWLEDGMENTS & EXCEPTIONS

ACKNOWLEDGMENTS & EXCEPTIONS 3.4 Termination - Lessen may elect to terminate the contract at any time and at its sole discretion upon thirty (30) days written notification and payment of outstanding balances other than as may be withheld for disputes, liquidated damages, or non-performance. Lessen may elect to terminate the dealer services portion of the contract scope, in which event all other applicable terms and conditions related to manufacture and delivery of product shall remain in full force and effect. If the Agreement is accepted (confirmed) by Lessen, the specific order terms cannot be canceled or changed except by mutual consent. The CIS’s order confirmation is final, and binding, and any subsequent changes are subject to CIS’s ability to conform and are dependent upon factory approval. Changes in quantity or specifications are subject to approval by CIS and manufacturer. Resulting additional charges from the manufacturer must be paid by Lessen. All requests for changes in quantity or specifications shall be delivered to the CIS in writing. 6.2 Lessen reserves the right to extend critical dates and/or increase allowed time periods for some or all tasks; in no event shall such changes alter the obligation of the manufacturer/dealer to meet the agreed upon time periods for other (unchanged) tasks, and in no event may time periods or critical dates be accelerated without the prior agreement of the manufacturer/dealer. If construction delays or other causes not within the CIS’s reasonable control occur that force postponement of the installation, the furnishings will be stored until installation can be resumed and will be considered accepted by Lessen for purposes of payment. If this occurs, additional charges may occur, and these charges are due upon receipt of goods, net 30 days. Transfer and storage charges incurred shall be paid by Lessen. Orders held 30 days past original delivery date are subject to storage charges and are due upon receipt, net 30 days. 6.3 Reasonable delays to scheduled ship or installation dates shall be accommodated at no charge to Client, provided that adequate prior notice is provided (15 days prior to shipment). In the event that prior notice of such delays is not provided, the manufacturer/dealer shall provide for storage at the factory, time permitting, at a cost to be defined; on trailers,

at rates to be defined; or at a bonded warehouse, at rates to be defined. All products in storage shall remain the responsibility of the manufacturer/dealer; upon receipt at storage and confirmation of delivery, payment may be requested less than the value of delivery and installation. CIS acknowledges and accepts this term. 6.4 In the event that product will arrive in more than one shipment, it will be the manufacturer/dealers’ responsibility to provide warehousing until the product is delivered to the staging area for installation. The cost of any such warehousing or additional loadtransport-unload time is the responsibility of the manufacturer/dealer. Should the furniture ordered within the pre-determined schedule not arrive by the specified starting date to meet that schedule, Client may cancel the order at no cost and the manufacturer/dealer will be subject to penalties as defined herein. 6.5 After-hours delivery is required by Lessen and/or the Building. Owner shall be provided at standard-time labor rates provided that such delivery and installation has been scheduled in advance. CIS acknowledges and accepts this term.

ACKNOWLEDGMENTS & EXCEPTIONS 7.0 Liquidated Damages – Should the manufacturer/dealer fail to conform to its contract obligations to deliver and install specified product within the defined schedule, Client may, at its sole option, require that it be compensated for costs resulting from such failure or from its efforts to otherwise meet its project completion date. Such costs may include, without limitation, the following: accelerated and/or out-of-sequence construction; temporary or rented furnishings; premium costs for cabling, data systems, and telecommunications equipment installation; de-installation and/or premium costs associated with removal of temporary furnishings and installation of specified product; business interruption and/ or productivity loss. The payment of such damages shall in no way limit Client’s other remedies as may be available by law, including contract termination. CIS will order the furniture in a specific sequence based on the provided construction schedule. CIS is very specific in how we order, phase, and receive product so that it arrives in a sequential manner to have the proper product installed in a specific sequence. Our PM/PC team oversees this process and will work directly with manufacturing to ensure we receive the product that is relevant to each phase based on the construction schedule. Once orders are placed and specific ship dates requested, it is difficult to adjust those dates in manufacturing especially when we are affected by supply chain issues within the economy, outside our manufacturing control. The furniture dealership and manufacturer cannot adjust to short term construction changes and cannot be penalized with liquidated damages if we have ordered product in a timely manner to meet construction schedule. 10.14 Indicate storage costs should installation be delayed beyond the agreed upon installation date for reasons beyond your control (see section 6.4). Transfer and storage charges incurred shall be paid by Lessen. Orders held 30 days past original delivery date are subject to storage charges and are due upon receipt, net 30 days. In the event that product is stored beyond 30 days, CIS will review how much space is being occupied and charge a fee of $1.25 per Sq Ft.

Pricing Hold Due to the current economic environment, CIS is unable to guarantee price holds, however, in addition to best discounting, Haworth may offer financial incentives to Lessen when entering into a long-term partnership. These special considerations may be in the form of credits or rebates and are based on volume. Upon award, and a full understanding of project scope, CIS and Haworth would be happy to evaluate the extent to which we could offer additional financial benefits to Lessen. Our additional manufacturers have offered Lessen the following price holds: Humanscale - Price Hold: 1-year HAT - Price Hold: 1-year EON - Price Hold: 6 Months Stylex - Price Hold: Unable to hold pricing, current price list prevails at time of order entry

Installation & Project Management Installation Clarification: All pricing is based on a free and clear access to the workspace at the time of delivery. If the site is not r eady by the agreed upon installation date, a modified installation schedule will be required to allow us to complete the job. Change order fees may apply, including, but not limited to the following: Truck redirection, warehousing, equipment, double handling, interruptions in critical path planned installation, elevator accessibility, etc. PM fee Clarification: Includes (1) construction meeting a month until the month of September, then the PM will attend weekly construction meetings. Services include site checks, power verifications, coordination with builder and trades, and the execution of the punch list.

In both circumstances, we often can provide products with comparable function and performance. OUR COMMITMENT TO PRODUCT QUALITY – THE HAWORTH NORTH AMERICA LIMITED WARRANTY To ensure customer satisfaction and peace of mind, we stand behind our products with the following Haworth North America Limited Warranty (“Limited Warranty”). In this Limited Warranty, the terms “us,” “we,” “our” and similar terms refer to Haworth, and an end-user purchaser refers to the first person who purchases a Covered Product for such person’s own internal use and not for resale or distribution. The following products are excluded from the definition of “Covered Product” and not covered by this Limited Warranty, and neither Haworth nor its affiliates will have any obligation or liability relating to them: (a) software; (b) consumable items, such as batteries and bulbs/lamps; (c) the customer’s own material (COM), or any material specified by the purchaser that is not a standard Haworth product offering, such as Haworth Alliance fabrics; (d) other than Haworth Collection products not manufactured by Haworth as described above, any item manufactured by a third party from whom Haworth purchases the item for resale without incorporating it into a Haworth product as a component or part (in those situations, if the purchaser is not a direct beneficiary of the manufacturer’s warranty, then Haworth will assign to the purchaser any warrant y that the manufacturer provides, to the extent the warranty is assignable); (e) Ergotron® products included in the Accessories North American Price List, regardless of whether incorporated into a Haworth product as a component or part (if the purchaser is not a direct beneficiary of any applicable Ergotron® warranty, Haworth will assign such warranty to the purchaser, to the extent assignable); and (f) field painted walls and Pergola products. What Problems are Covered? Subject to the terms of this Limited Warranty, Haworth warrants to the end-user purchaser of a Covered Product that the Covered Product, at the time of purchase, will be free of any defect in design or workmanship that materially impairs the performance or functionality of the Covered Product under normal use (a “Defect”). This warranty is for 24-hour / 7-day multiple shift use of the applicable Covered Product; for seating products, such use is by individuals up to 325 lbs. In this Limited Warranty, normal use means use of a Covered Product in accordance with all the following: (a) Haworth’s standards instructions, guidelines, and recommendations for that Covered Product; (b) if the Covered Product is part of the Haworth Collection and not manufactured by Haworth, then the applicable manufacturer’s standard instructions, guidelines, and recommendations for that Covered Product; and (c) applicable laws, rules, regulations, and ordinances.

Effective September 1, 2021

A Defect excludes, and Haworth and its affiliates will not have any responsibility or liability for, the following: (a) normal wear and tear; (b) any damage, wear or failure of the Covered Product that occurs during transport of the Covered Product, or that is caused by improper use, care or maintenance of the Covered Product or by an act of God or other event outside of Haworth’s reasonable control; (c) the natural variation of color, grain or texture found in wood and leather; (d) the natural aging of materials such as wood, fabric and leather which results in colors changing over time or during use; (e ) dye lot variations in fabric, leather or wall coverings; (f) the natural patina of leather during use; (g) “puddling” or wrinkling of fabrics, leather, or faux leather; (h) reverse crocking of dyes from clothing onto seating materials; (i) change in color (including fading) or other surface effects resulting from exposure to chemicals (such as chemicals in cleaning solutions) or exposure to sunlight or other sources of ultraviolet rays; (j) any damage, wear or failure of the Covered Product caused by the integration or use of any non-Haworth materials, components, devices or other products into or with any Covered Product; or (k) any damage, wear, or scratching to flooring from glides, casters, or other components. What Remedies are Available? If a purchaser makes a valid claim under this Limited Warranty for a Defect to a Covered Product, Haworth, at its option, will either (a) repair the Covered Product at Haworth’s cost, (b) replace the Covered Product at Haworth’s cost with a new or refurbished product with comparable function and performance, or (c) refund or credit the purchase price of the Covered Product (excluding taxes, duties, fees, and other amounts). All repair and replacement work will be performed by Haworth or a third party engaged by Haworth to perform the specific repair or replacement work relating to the Defect; repair or replacement work performed by any other person will void this Warranty.
