Great Expectations You have them as a Haworth customer and so do we. And because we value our customers, we cover our products with this Product Compatibility and Limited Warranty Policy. OUR COMMITMENT TO PRODUCT COMPATIBILITY – INTEGRATED PRODUCT PLATFORMS As a market leader in the design and manufacture of workspaces that adapt to change, we strive to maintain product compatibility within our various generations of integrated product platforms. This benefits the customer who desires to update or modify their work environment. It also benefits the customer needing to replace a product due to damage or other reasons, but which is no longer manufactured or is otherwise unavailable, such as a fabric or finish that is discontinued because of changing market preferences. In both circumstances, we often can provide products with comparable function and performance. OUR COMMITMENT TO PRODUCT QUALITY – THE HAWORTH NORTH AMERICA LIMITED WARRANTY To ensure customer satisfaction and peace of mind, we stand behind our products with the following Haworth North America Limited Warranty (“Limited Warranty”). What Products are Covered? This Limited Warranty applies to new products manufactured by Haworth, Inc. or Haworth, Ltd. (individually, “Haworth”) after September 1, 2021 that are sold to an end-user purchaser by Haworth or an Authorized Haworth Dealer (“Covered Products”). Covered Products also include new products manufactured by a company other than Haworth after September 1, 2021 that are sold to an end-user purchaser by Haworth or an Authorized Haworth Dealer as part of the Haworth Collection line of products, but only if such products are specifically listed below in the “What are the Warranty Periods? - Haworth Collection of Products” section of this Limited Warranty. For products manufactured on or before January 1, 2019, please refer to the applicable Haworth warranty published in the Haworth North America Price List when the product was purchased, for products manufactured after January 1, 2019 please refer to www.haworth.com for the applicable Haworth warranty or contact your local Authorized Haworth Dealer. In this Limited Warranty, the terms “us,” “we,” “our” and similar terms refer to Haworth, and an end-user purchaser refers to the first person who purchases a Covered Product for such person’s own internal use and not for resale or distribution. The following products are excluded from the definition of “Covered Product” and not covered by this Limited Warranty, and neither Haworth nor its affiliates will have any obligation or liability relating to them: (a) software; (b) consumable items, such as batteries and bulbs/lamps; (c) the customer’s own material (COM), or any material specified by the purchaser that is not a standard Haworth product offering, such as Haworth Alliance fabrics; (d) other than Haworth Collection products not manufactured by Haworth as described above, any item manufactured by a third party from whom Haworth purchases the item for resale without incorporating it into a Haworth product as a component or part (in those situations, if the purchaser is not a direct beneficiary of the manufacturer’s warranty, then Haworth will assign to the purchaser any warrant y that the manufacturer provides, to the extent the warranty is assignable); (e) Ergotron® products included in the Accessories North American Price List, regardless of whether incorporated into a Haworth product as a component or part (if the purchaser is not a direct beneficiary of any applicable Ergotron® warranty, Haworth will assign such warranty to the purchaser, to the extent assignable); and (f) field painted walls and Pergola products. What Problems are Covered? Subject to the terms of this Limited Warranty, Haworth warrants to the end-user purchaser of a Covered Product that the Covered Product, at the time of purchase, will be free of any defect in design or workmanship that materially impairs the performance or functionality of the Covered Product under normal use (a “Defect”). This warranty is for 24-hour / 7-day multiple shift use of the applicable Covered Product; for seating products, such use is by individuals up to 325 lbs. In this Limited Warranty, normal use means use of a Covered Product in accordance with all the following: (a) Haworth’s standards instructions, guidelines, and recommendations for that Covered Product; (b) if the Covered Product is part of the Haworth Collection and not manufactured by Haworth, then the applicable manufacturer’s standard instructions, guidelines, and recommendations for that Covered Product; and (c) applicable laws, rules, regulations, and ordinances.

All repair and replacement work will be performed by Haworth or a third party engaged by Haworth to perform the specific repair or replacement work relating to the Defect; repair or replacement work performed by any other person will void this Warranty. Haworth will not be responsible for any cost or expenses incurred by the purchaser relating to repair or replacement of a Covered Product due to a Defect, including without limitation freight, insurance, inspection, storage and similar costs and expenses. Any Covered Product that is replaced or whose purchase price is refunded or credited will become the sole and exclusive property of Haworth. What Conditions Apply? When selecting a carrier, Bernhardt Design will make our best effort to meet requested delivery dates. Transportation lead-times and delays including equipment problems, weather, general traffic, traffic accidents, customer warehouse space, labor disputes, customer changes etc., that occur on a carrier will not be the responsibility of Bernhardt Design. Furthermore, Bernhardt Design will not be responsible for additional costs incurred due to aforementioned delays. Customer orders in production will be shipped as scheduled and will not be held. Damages to stacking chairs caused by stacking/unstacking methods are not controllable by Bernhardt Design and are not considered warranty issues. Custom Design Bernhardt Design will alter some of its products to meet your specific needs. Contact your Bernhardt Design sales representative when a custom design is needed. Custom designs require minimum quantities, additional leadtime and upcharges. A custom job number, available from your Bernhardt Design sales representative, must be submitted with purchase orders.
Customer's Own Material (COM) - Customer’s Own Leather (COL) Due to aesthetic reasons or application restraints, Bernhardt Design must preapprove COM/COL fabrics for application on certain Bernhardt Design products. Reference the individual product details for frames requiring preapproval. Certain fabric types require COM approval for use on any frame. The fabric types include, but are not limited to, thin fabrics without backing such as nylon or linen, parachute cloth, woven grass cloth or transparent materials, and heavier fabrics such as “rug” weight and thick mohair. Fabrics with more than 40% silk content will not be accepted.
PREAPPROVAL PROCEDURE Please submit a 12” X 12” sample for testing prior to the actual shipment of COM/COL to Bernhardt Design.
seating terms and conditions
COM Yardage Specifications All yardage requirements shown in the price list are based on 54" plain material. Fabrics with a vertical repeat that must be matched, or that are less than 54" wide, require more yardage. The chart below should be used for determining additional COM yardage requirements. Please add the indicated percentage to the yardage shown beside the style number in the price list. This guide will accurately cover most COM orders, but there will be instances due to unusual repeats or designs that additional yardages may be required. Bernhardt Design will not be held responsible for the purchase of any additional COM that may be required. When specifying a COM fabric that is more than 54” wide and includes a vertical and horizontal repeat, contact the Bernhardt Design office for additional yardage requirements. Bernhardt Design will not be held responsible for the purchase of any additional COM that may be required. When specifying more than one textile on seating items, such as contrasting fabrics, welts, and contrasting welts, additional yardage may be required due to fabric yield. When ordering multi-item modular configurations, the total COM/COL yardage must be provided from the same dye lot in a continuous roll(s). All COM’s will be cut and applied at the discretion of Bernhardt Design unless special cutting instructions are included in writing with the purchase order. Fabric patterns must be identified as horizontal or vertical application. Bernhardt Design will not be held responsible for defective fabrics, as all COM’s are accepted as first quality goods.

Guaranteed Deliveries
AIS will gladly accept requests for delivery times and for drop-shipments to job sites on full truckload shipments. AIS is not responsible for any damages incurred for any late deliveries, including labor or any other charges resulting from unforeseen delays by any AIS or dealer chosen carrier. AIS strongly urges dealers to take into consideration the risk that carriers typically allow for a two-day delivery range.

Shipments may be combined and consolidated in order to create a full truckload shipment. Shipments may also be hand load- ed in order to avoid LTL spillover. Full truckload shipments have less variable transit times as well as significantly less freight damage. Our goal is always to provide you with the best possible delivery service. Transportation efforts are managed as part of an ongoing effort to improve AIS’s transportation efficiency thereby saving fuel, reducing emissions, and reducing air pollution associated with AIS’s transportation activities. Please note: Dealer may incur additional carrier Accessorial Fees if not specified and quoted at the time of order for the following, which may include but are not limited to the below. Request for a lift gate must be noted on the Purchase Order. There is a flat fee of $150 for a lift gate at time of order entry. If you notify AIS or our carrier that you require a lift gate after order has shipped, additional fees will apply. Also note, redirect of shipment after order ships will incur a $150 fee. • • • • •

• It is highly encouraged that digital photos are taken of any suspected freight damage. Photographic evidence substantiating claims should be provided electronically to AIS. With concealed damage, photos are required in original packaging, not installed, in order to have punch processed at higher than 85% discount. If there are no photos or product is installed, AIS will offer 85% highest allowable discount on replacement product. • Any failure to adhere to these policies and procedures will result in claim responsibility shifting from AIS to the consignee.
Force Majeure
Seller shall not be liable for failure to perform or for delay in performance due to fire, flood, strike, or any other labor difficulty, act of God, act of any governmental authority or of the Purchaser, riot, embargo, fuel or energy shortage, wrecks or delay in transportation, inability to obtain necessary labor, materials, or manufacturing facilities from usual sources or failure of suppliers to meet their contractual obligations or due to any cause beyond its reasonable control. In the event of delay in performance due to any such cause, Seller reserves the right to extend the date of delivery or time for completion by a period of time reasonably necessary to overcome the effect of such delay, to allocate any available supply of goods in a manner it deems reasonable, or to cancel any purchase order.
Liability
Seller, its contractors, authorized dealers and subcontractors or suppliers of any tier shall not be liable in contract, in tort (including negligence and/or strict liability) or otherwise for any special, indirect, incidental or consequential damages whatsoever, including, without limitations, damages or loss of other property or equipment, loss of pro ts or revenue or loss of use of equipment (including additional expenses incurred in using existing facilities).

The remedies set forth herein are exclusive, and the liability of Seller with respect to any contract or anything done in connection therewith, such as the performance or breach thereof, or from the manufacture, sale, delivery, resale or use of any Product covered by or furnished under the order, whether in contract, in tort (including negligence and/ or strict liability) or otherwise shall not exceed the price of the Product or part on which such liability is based.
Freight Claims
Local Codes
Delay of Shipment
AIS will file freight claims for loss or damage if policy is followed. In order to make this policy maintainable, certain requirements must be met by the consignee in accordance with freight laws and carrier policies. These requirements are as follows: All damage or lost freight must be reported to AIS within 72 hours of receipt. In the case of obvious damage, it must be noted in short detail on delivery receipt (i.e. scratched surfaces, dented cartons, missing pieces). BOL should be signed as damaged as well. • If missing or damaged freight is discovered after receipt is completed, consignee must notify Carrier or AIS within 72 hours and request a corrected delivery receipt acknowledging loss or damage. • A detailed list of missing or damaged pieces is required in order to assess the value of the claim. Please use your packing documents for part #s and label #s when reporting. Upon receipt of this information, AIS will contact the carrier and request an inspection or waiver thereof. • In the case of concealed damage, AIS must be informed within 10 days of receipt of product. All damaged product and packaging must be preserved as received pending an inspection or waiver of inspection by the carrier. All product that has a claim pending against it must be available for carriers to salvage once the claim is paid.

Seller shall not be responsible for any damages or expenses resulting from Purchaser’s specifications not conforming to the requirements of the law or local building codes, unless it specifically agrees in writing to do so. Since Seller has no control over the use to which others may put its Products, each user or specifier should determine the Products’ suitability for the particular application.

lifetime warranty 9to5 Seating products are manufactured with meticulous attention to detail to achieve a level of quality that is free from defects in material and workmanship. In an effort to stand behind this philosophy, 9to5 Seating warrants to the original purchaser of the product and from the original date of sale, the following:
Upholstery fabric, mesh and foam are warranted against wear through and deterioration during normal usage for a period of five (5) years. However, the company does not warrant leather against routine scratching and scuffing, as all leather is subject to minor blemishes during use. COM and COL are not warranted. Due to natural variations in material, furniture containing leather is sold subject to normal variations and/or irregularities of color, texture, and grain. For the @NCE Series: 9to5 Seating warrants the @NCE series of chairs for a period of five (5) years of single-shift use to the original purchaser; the company will repair or replace, at its option, factory-defective structural and mechanical parts with comparable product, without charge. This warranty is for single-shift, standard commercial usage, defined as a standard eight-hour work day, five days a week. Weight limitations vary by product. For Logic Plus Large Occupant Series: 9to5 Seating warrants the Logic Plus Large Occupant chairs for a period of ten (10) years of single-shift use to the original purchaser; the company will repair or replace, at its option, factory-defective structural and mechanical parts with comparable product, without charge. This warranty is for single-shift applications with persons weighing less than 500 lbs. For the chairs that include the Heavy Duty (HD) option in the Aria HighBack, Logic, Strata and Theory Series: 9to5 Seating warrants the aforementioned chairs for a period of ten (10) years of multi-shift use to the original purchaser; the company will repair or replace at its option factory defective structural and mechanical parts with comparable product, without charge. This warranty is for multi-shift applications with persons weighing less than 350 lbs.
Limitation of Liability Under no circumstance, including but not limited to breach of contract, breach of warranty, or negligence, shall 9to5 Seating be liable for lost profits, loss of goodwill, stored data, general, special, consequential or exemplary damages, even if 9to5 Seating had notice of these damages or they were foreseeable. 9to5 Seating shall not be responsible for verifying dealers’ or customers’ description of needs, data, or fitness for a particular purpose of goods. 9to5 Seating’s liability in all cases shall be limited to repair or replacement of the defective parts with a comparable product. Should a comparable replacement not be available, 9to5 Seating maximum liability will be limited to the original purchase price of the product. Damages resulting from misuse, abuse, alteration, negligence, or accidents are not covered under this warranty. 9to5 Seating makes no warranty that any of its products are suitable for any particular purpose and makes no other warranties, express or implied, other than those set out here. As codes and standards vary from one jurisdiction to another, references to compliance are solely for convenience and without any representation as to accuracy or suitability. Users must verify the suitability of such information or product for their specific application. In no event shall 9to5 Seating be liable in either tort
Labor Reimbursement For products ordered on or after July 1, 2017, 9to5 Seating will pay the pre-approved labor costs to repair or replace defective parts, up to 12 months from the date of shipment from 9to5 Seating, excluding the @NCE series. All payments for such preapproved labor costs will be in the form of a credit to an active company account. ANSI/BIFMA The Business and Institutional Furniture Manufacturer’s Association (BIFMA) has developed tests that have been approved by the American National Standards Institute (ANSI) for determining the strength and durability of seating in its everyday use. This statement does not serve as a warranty or guarantee, however, 9to5 Seating products found within this price list generally meet or exceed applicable BIFMA and ANSI standards. Warranty Exceptions • Colorfastness or matching of colors, or textures occurring in leather, or other materials that naturally exhibit inherent color variations • COM/COL textiles • Damage of textiles from exposure to sunlight and UV rays • Damage to textiles from the use of cleaners not specified for use in the fabric specifications • Variation of texture and natural markings such as neck wrinkles, scratches, backbone marks and stretch marks in leather • Color matching of textiles exactly to samples, swatches or prior purchases • Minor variations of color in textiles • Minor irregularities of color, surface, grain and texture • Creasing and/or gathering of textiles during upholstery application process • Product normal wear and tear, which is to be expected over the course of ownership, e.g., fabric, mesh and arm pads • Damage caused by the carrier in-transit, which will be handled as separate terms and/or claims against the carrier.
9to5 Seating reserves the right to make changes in design and construction or discontinue products without prior notice. 9to5 Seating reserves the right to make changes to the lifetime warranty or price book. Since textiles vary in weave, thickness and memory, some creasing and/or gathering may occur during the upholstery application process. Due to natural variations over which we have no control, all chairs are sold subject to minor irregularities of color, surface, grain, and texture. Textiles are sold subject to minor variations of color. Because leather is a natural product, variations of texture are common and should be expected. Leather will contain natural markings such as neck wrinkles, scratches, backbone marks and stretch marks. These distinctions give leather its unique characteristics and are considered to be part of the natural beauty of leather.
