CustomerEngagement

ActiveandconsistentparticipationbyCustomerthroughoutthedurationofthis engagementiscriticaltothesuccessoftheproject.Planningforadequatecustomer resourceavailabilityisessentialtoensurecustomerexpectationsaremet,timelinesare adheredto,andtheoverallprojectissuccessful.Thislevelofengagementensuresthat recommendationsmadebyBlueCollararevalidatedbyCustomerstakeholdersanduser groups.FailurebyCustomertoprovideitsresourcesandrequireddataandinformation inatimelyfashionwilllikelyleadtoprojectdelaysandmayresultinadditional professionalserviceexpensesbeingincurred.

DeliverablesandTimeline

ThisprojectissubjecttoForceMajeure.BlueCollarwillmakeeveryefforttoensure timelydelivery,butwewillnotbeheldresponsiblefordelaysorinconsistenciesthatare beyondournormalcontrolandinfluence.BlueCollarwillnotbeheldresponsiblefor delaysorinconsistenciesbeyondnormalcontrolandinfluence.Specifically,anydelays causedbywar,riot,fire,flood,hurricane,earthquake,actsofGod,pandemics, governmentalaction,labortrouble,strike,equipmentfailure,oranyothereventnot withinthereasonablecontrolofBlueCollar.Thiscontractualobligationsupersedesall othercommitmentsmadebyBlueCollar.Byacceptingtheseterms,youagreetohold BlueCollarharmlessforanydelaysorinconsistenciesduetoForceMajeure.

WhatconstitutesaChangeOrder

Thescopeoftheprojectisdefinedinthisagreementinthesectionsabove.Shouldany changesbemadetothescopeoftheprojectasdefinedinthisagreementwhichwill impactthecostortimelineoftheproject,aprojectchangeorderwillbecreatedthrough theprocessoutlinedbelow.

WhathappenswhenaChangeOrderisnecessary?

Uponachangeinscope,achangeorderwillbegeneratedbyBlueCollar.Theproposed changeorderwillbesenttoandreviewedbyCustomer.IftheCustomeroptstomove forwardwiththeadditionalworkdetailedinthechangeorderandapprovestheproposal asignedcopyofthechangeorderaccompaniedbyacorrespondingpurchaseorderwill berequired.Noworkwillbeginonthechangeorderuntilboththesignedchangeorder andcorrespondingpurchaseorderhavebeenreceivedbyBlueCollar.

ThisServicesAgreement isenteredintobyandbetween BlueCollarCloudSolutionsandCustomer.ThisAgreementincorporatesboththeScopeand DeliverablesasoutlinedinthisAgreementandtheMasterServicesAgreementassetforthinbelow. AllinformationcontainedinthisAgreementisConfidential.ItisprovidedtotheCustomerwiththe understandingthatitwillnotbesharedordisclosedtoanythirdpartyorbeusedforanyother purposeotherthantheservicescontemplatedhereunder.

ThisServicesAgreementisagreedtoandacceptedby:

MASTERSERVICESAGREEMENT

ThisMasterServicesAgreement("Agreement")isenteredintoasofthedateofexecutionof theStatementofWorkabove,byandbetweenBlueCollarCloudSolutions("Provider")and Customer("Client").

1.Services

ProviderwillperformtheNetSuiteimplementationservicesforClientasdetailedinthe StatementofWork("SOW")incorporatedhereinbyreference.Providershallperformthe servicesinaprofessionalandworkmanlikemannerinaccordancewithindustrystandards.

2.Term

ThisAgreementshallcommenceonthedatefirstwrittenaboveandcontinueuntiltheservices undertheSOWarecompleted,unlessearlierterminatedinaccordancewiththisAgreement.

3.FeesandPayment

ClientshallpayProviderthefeesspecifiedintheSOW.Invoicesaredueandpayablewithin10 daysofreceipt.Latepaymentsshallaccrueinterestatarateof0.5%permonth.Clientis responsibleforallsales,use,andexcisetaxes.

4.Confidentiality

Eachpartyacknowledgesthatitwillhaveaccesstocertainconfidentialinformationoftheother party.Eachpartyagreesthatitwillnotuseinanyway,foritsownaccountortheaccountof anythirdparty,exceptasexpresslypermittedbythisAgreement,nordisclosetoanythird party,anyoftheotherparty'sconfidentialinformation.UponterminationofthisAgreement, eachpartywillreturntheconfidentialinformationtotheotherparty.

5.IntellectualProperty

Allintellectualpropertyrights,includingcopyrights,patents,patentdisclosuresandinventions, trademarks,servicemarks,tradesecrets,know-howandotherconfidentialinformation,trade dress,tradenames,logos,corporatenamesanddomainnames,togetherwithallofthe goodwillassociatedtherewith,derivativeworksandallotherrightsinandtoalldocuments, workproductandothermaterialsthataredeliveredtoClientunderthisAgreementor preparedbyoronbehalfoftheProviderinthecourseofperformingtheservicesareownedby Provider.

6.Indemnification

Clientshalldefend,indemnifyandholdharmlessProvideranditsofficers,directors,employees andagentsfromandagainstalllosses,damages,liabilities,costsandexpenses,including reasonableattorneys'fees,arisingoutoforresultingfromanythird-partyclaimallegingthat

Client'sdatainfringesacopyright,patent,tradesecretorotherintellectualpropertyright. ProvidershallgiveClientpromptwrittennoticeofsuchclaim.

7.LimitationofLiability

InnoeventshallProviderbeliabletoClientortoanythirdpartyforanylossofuse,revenueor profit,orlossofdataordiminutioninvalue,orforanyconsequential,incidental,indirect, exemplary,specialorpunitivedamageswhetherarisingoutofbreachofcontract,tort (includingnegligence)orotherwise.Provider'sliabilityfordamageshereundershallinnoevent exceedtheamountoffeespaidbyClienttoProviderinthe6monthsprecedingtheincident givingrisetotheclaim.

8.Termination

EitherpartymayterminatethisAgreementiftheotherpartymateriallybreachesanymaterial provisionofthisAgreementandfailstocuresuchbreachwithin30daysofreceiptofwritten notice.UponexpirationorterminationofthisAgreementforanyreason,Clientshallpay Providerforallservicesperformeduptotheeffectivedateoftermination.

9.Non-SolicitationDuringthetermofthisAgreementandforaperiodofone(1)year thereafter,Clientshallnot,directlyorindirectly,solicit,induce,recruitorencourageanyof Provider'semployeesorsubcontractorstoleavetheiremploymentorengagementwith Provider,orattempttosolicit,induce,recruit,encourageortakeawayemployeesor subcontractorsofProvider,eitherforClientorforanyotherpersonorentity.Violationofthis clauseshallentitleProvidertoliquidateddamagesequaltothecompensationofthesolicited employeeforoneyear.

10.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof Wyoming.

11.EntireAgreement

ThisAgreement,togetherwiththeSOW,constitutestheentireagreementofthepartiesand supersedesallpriororcontemporaneouscommunicationsbetweenthemwithrespecttothe subjectmatterhereof.NoamendmenttothisAgreementshallbebindingunlessinwritingand signedbybothparties.
