Over the next few weeks, we’ll be bombarded with commercials for fitness club memberships and all of those other things we’re supposed to have in our new year’s resolutions designed for “self-improvement.” While most people give up on their resolutions by February, the custom still presents an opportunity to consider everyday routines and what aspects might be improved. And that applies to business routines too.

Stepping Back to See the Big Picture Perspective is one of the greatest tools…and it’s a lot more difficult to achieve than people think. It takes effort to really detach from circumstances and see the big picture, without any emotional or personal attachments to cloud the image. Even so, January is definitely the time to stop and look at your routines. Hopefully you’ve enjoyed some time off for the holidays, so, as you’re digging out from all of the accumulated email, remember to find some time to reflect on your situation. Be honest, be open, and you might be surprised by some of the things you see.

On a trip abroad in 2004, I was first introduced to an alternate method of wall panel construction. I was in awe at the cleanliness, the organization, the material flow, ergonomics, and simplicity of the concept. Not a single staff member raced up and down the wall. No one was carrying or throwing studs down or across the table. Not a soul appeared to be in a hurry, yet wall panels were flying out, stacked everywhere. Back then, I worked for Klaisler Mfg. no plans to enter the wall panel equipment industry, so it was of

minimal concern for me; but was one of those ideas/concepts that always remained with me.

The machines I witnessed were manufactured by Spida Machinery & MangoTech LTD. The concept was organic and natural. Practically every wall contained “noggins” or “fire blocks.” By nature, wall panel construction limits anyone from entering the wall efficiently, although every wall they produced needed attachments from stud to stud. The early versions were crude, not well guarded, and some required notching of the plates for each stud.

Through advancements in technology, the Spida Wall Extruder has developed into one of the most advanced & efficient wall panel manufacturing systems on the market. DePauw Floor Web Saw Rebuilt by Monet DeSauw, Inc. in 2014 including: five Baldor blade motors, five blade hubs were resurfaced, new angle crank handles and rods, guards and sheet steel covers, hold down assemblies, including bars, chain, springs and bolts.

The saw was partially rewired with a new lumber counter. New legends and buttons were replaced where needed, new safety switches on bump bar and cut off guard, new scales and mounts, new drive line chains, shafts and bearings. Is this an allowable repair?

There is nothing worse than running a truss out the door and then realizing one of the truss members is broken.

The question is – can I make a quick fix using a connector plate? The short answer is – no. But there are many who may not realize that specific engineering is required for these types of repairs.

Broken chords can often be analyzed by running the break as a splice – but without special engineering knowledge, this sort of decision should not be made on the shop floor of the truss plant. As the truss is rolling through the finish press, the twist, warps or cups in the lumber can cause the wood to straighten under pressure and then crack to relieve the internal forces. This causes breaks in the lumber across parallel to the grain, and sometimes across the grain, creating defects that must be addressed before the trusses can be used.

Keep a watchful eye out for cupping and bows, particularly in wide boards. Watch these after they are pressed to make sure damage has not occurred.

If damage is detected, pull the truss off line and remove the damaged lumber or seek engineering to facilitate a repair. Due to the nature of these sorts of situations, it is usually more advantageous to replace the defective lumber.

Why do some still insist on placing flat bottom chord gable end frames adjacent to vaulted or scissor trusses when the codes clearly do not allow such framing without special engineering requirements? Can you point me to the code sections that say “No, thank you!”?

This is a great question and clearly a bad practice, yet we see these scenarios continue to play out regularly on both professionally and DIY framed projects across most, if not all, of the country.

Perhaps the best way to start this discussion is with the appropriate ICC code provisions. What do the Codes say and what are our industry best practices?

IRC 2009 & 2012 Chapter 6 (Wall Framing), Section R602.3 states in part: Studs shall be continuous from support at the sole plate to a support at the top plate to resist loads perpendicular to the wall. The support shall be a foundation or floor, ceiling or roof diaphragm or shall be designed in accordance with accepted engineering practice.

IBC 2009 & 2012 Chapter 23, Section 2308.9.1 states in part: Size, height and spacing. The size, height and spacing of studs shall be in accordance with Table 2308.9.1 except that utility-grade studs shall not be spaced more than 16 inches (406 mm) o.c., or support more than a roof and ceiling, or exceed 8 feet (2438 mm) in height for exterior walls and load-bearing walls or 10 feet (3048 mm) for interior nonload-bearing walls. Studs shall be continuous from a support at the sole plate to a support at the top plate to resist loads perpendicular to the wall. The support shall be a foundation or floor, ceiling or roof diaphragm or shall be designed in accordance with accepted engineering practice.

What does BCSI say about this scenario from a best practices perspective?

In service, Gable End Frames also experience lateral Loads parallel and perpendicular to their plane. The Gable End Frame shall be incorporated into the wall design by the Building Designer.

Gable End Frames rely on properly designed and installed Structural Sheathing, Bracing and Connections to the bearing wall, and roof and Ceiling Diaphragms to be able to adequately transfer lateral Loads acting parallel and perpendicular to its plane.

If the lateral Load is large enough, and the vertical studs are long enough, the Gable End Frame may require Bracing to prevent it from rotating at the Gable End Frame/end wall interface, along with Diagonal Bracing and/or Web Reinforcement to prevent vertical Webs from bending excessively. Serviceability failures often occur if the Gable End Frame is not properly braced.

Gable End Frame Bracing/reinforcement helps prevent these types of serviceability failures and safely transfers forces from the Gable End Frame into the associated Diaphragms.

Let’s look at some real life examples of what happens when we don’t follow the codes and industry best practices.

Let’s dwell for a few moments on the permanent bracing of the bottom chord plane. Much has been written on how the bottom chord plane is typically restrained and braced by the diaphragm created by the application of the drywall ceiling, and out in the middle, or field as we call it, that works great. What about at the intersection of the ceiling plane with the gable end wall? After all, this is the intersection we are worried about in this discussion.

BCSI B3 states in Section 2, Permanent Bracing of the Bottom Chord Plane: Permanent Bracing for the Bottom Chords of Trusses is typically provided by attaching either gypsum board panels or Continuous lumber Lateral Restraint properly braced against lateral movement.

Bottom Chord Permanent Lateral Restraint shall be installed at the spacing indicated on the TDD and/or by the Building Designer with a maximum of 10’ on-center.

The TDD provides information on the assumed support for the Bottom Chord based on the Load conditions for which the Truss has been designed. This typically includes a directly applied rigid ceiling such as gypsum board panels or rows of Lateral Restraint at a specified maximum on-center spacing.

You’ll note that, in this passage, BCSI-B3 states that the bottom chord plane can be permanently braced by gypsum board panels or lateral restraints and diagonal bracing.

Question of the Day Continues...

Let’s go back and look again at the connection between the ceiling plane diaphragm (gypsum wallboard) and the gable end wall/gable end frame. Looking again at BCSI B3-32, we see the gable end frame sitting on the gable end wall with a drywall backer installed on top of that wall. This acts to support the ceiling drywall when the gypsum panel applied to the wall is installed underneath it. Is the ceiling drywall fastened to this backer? Rarely! What kind of support does this really provide to the gable end wall/Gable end frame hinge connection?

A preferred solution is the installation of lateral restraints and diagonal bracing per BCSI B3-7 on flat and/or sloping ceilings!

In this photo, the framer at least aligned the studs so that perhaps the drywall will be continuous…though not adding adequate stiffness or rigidity to prevent the unbraced top-of-wall from buckling and pretty much guaranteeing a failure under any kind of wind event.

All of these photos represent framing practices that do not comply with the IRC or any other best building practices. Gable end walls adjacent to scissor or vaulted ceilings shall be framed to be supported at their tops by either the ceiling or roof diaphragms (see BCSI for additional images).

An additional caution from BCSI is this: CAUTION: A flat Bottom Chord Gable End Frame used with adjacent Trusses that have sloped Bottom Chords (see Figure B3-42B) creates a hinge in the wall/gable interface that is below the Bottom Chord Plane Diaphragm. This condition is prohibited by some Building codes because adequate Bracing of this condition is difficult and sometimes impossible. Special end wall Bracing design considerations are required by the Building Designer if the Gable End Frame profile does not match the adjacent Trusses.

Part Three: Anticipate 2x4 Prices H1-2017

I certainly do not have crystal ball, but I do have something almost as good. I have history and the ability to analyze the market from a fundamental and technical perspective. Together they provide an 86% accurate forecast of when prices will rise and fall. This should help protect you from under bidding and being out of position with inventory.

Reviewing the Data So let’s evaluate the projected price range for 2x4 #2 in 2017 using the futures market. On the long-term monthly continuation chart of the nearby futures contract, the first thing to see is that, since 2004, we have created a narrowing pennant or wedge formation ...lower highs and higher lows.

Currently, we are rallying up to the top of the wedge towards $375-ish. The bottom of the wedge is $240-ish.

That is a $135 trading range. The current value of lumber futures is $310…$65 from the top…$70 from the bottom.

We are right smack dab in the middle.

Preparing Your Action Plan So, what can you do with that? First, realize that all 2x4’s #2 prices are well above 10-year averages and about $50 higher than last year this time. SYP 2x4’s, the primary specie for component manufacture in over half the country, are $132 over the 10-year average and $15 above the highest January price over the last 10-years. Big picture, lumber prices are high and moving upward.

I expect framing lumber prices to move to the top of the wedge before the bottom. The Softwood Lumber Agreement and Trumponomics could keep our lumber market spooked at these higher prices well into the spring. If the top of the wedge holds, we could be in for a nasty ($135) bear market to follow. My strategy would be to anticipate $50-75 higher prices the first half of the year then begin a move lower into the fall.

Higher Interest Rates…Running 2x4’s Above $500 We have discussed this in the past and now it is upon us. Higher prime interest rates mean higher mortgage rates. Higher mortgage rates, both bottoming and trending, regardless of how high they are, are bullish for housing...particularly under 6-7%. Why? Fear of higher interest rates. When rates are low, trending lower, or stuck in a flat range, home buyers are not motivated by that fear of higher rates. In mid December, mortgage applications rose by a whopping 25% in one week. This home buying flurry will be good for housing in that it will strain an already lean inventory. In turn, builders will crank it up this spring and summer.

What does that mean for our lumber market? It means the first half of 2017 is going to be wide open. Housing starts, particularly single family, will rise to meet the mortgage rate- induced buying flurry. Multi-family will lose favor, claiming a smaller share of the market. The closer we get to another rate hike, housing will feel like it is in the midst of a buying panic. The seasonally adjusted housing start pace will likely spike to 1.5-1.7 million by late spring, being skewed by the mini-panic.

Lumber, specifically truss stock, 2x4 #3, #2, #1 and all structural grades including MSR, are going to be in tight supply. Prices, particularly SYP 2x4’s, are going higher well into the spring.

At this point, producers have no plans to increase production. By the time they realize what is happening, 2x4 #2 SYP will be approaching $550/mbft FOB mill on the eastside (Virginia through Georgia) and $500 at westside mills (Arkansas, Louisiana, Texas). Other species’ structural 2x4’s will also be scarce through the spring. Speculative buying will exacerbate the problem.

The second half of the year will not be as generous. Lumber and other building materials prices will make home prices be a deterrent.

Why Coaching is Important to Continuous Improvement

It’s 2017, Happy New Year!

If you are like me, you spend the later part of the year setting goals for the coming year and planning how to accomplish them. For those who work for me, I always set goals, metrics, and participate in a conference on how we are going to achieve what we want together. Over the last few months, I also had the privilege, along with the consulting work I do, to speak with several groups (a Chamber of Commerce group in Massachusetts, an industry group in Ohio, and a Christian Advocates group here in Washington) about Coaching and Mentoring and the importance it takes with leaders. Coaching requires a leader (our managers and supervisors) to have a servant leadership attitude.

We must serve the people, invest in the people.

If we Coach, the company will grow as the minds grow.

True continuous improvement requires a servant leader attitude and outlook to be successful within an organization. Continuous improvement (in its purest sense) actually demands that leadership support others in their development. Hence, rather than exercising power over the people, the power should be shared with the people by putting their development needs first. This is where coaching comes into play for our managers and supervisors. Many of the operations I have worked with have lost sight of the importance of coaching and focused on immediate satisfaction through saving money quickly at the expense of the people and the culture. I hope to share with you some key thoughts on coaching and why it is important to your Continuous Improment journey.

Impact of a Coach Think back to one of the coaches you had in the past: who really stood out for you? I can name a few from both High School and College. I had a superstar coach in Trent Richards who consistently produced winning cross country and track & field teams every year in St. Charles, IL. But I would have to say my favorite coach was Jeff Leavey who coached basketball and was an assistant coach for cross country and track & field. Coach Leavey lead by example, he communicated what was expected and then taught the skills over and over to make sure you knew what or how a specific skill was to be performed. It is Coach Leavey who I remember teaching those basis skills that led to many of the successes many St. Charles runners experienced for decades.

Our managers and supervisors are the same – because they have tremendous impact on our businesses, we depend on them to continually train the other employees on best practices throughout the organization. Good managers and supervisors are often people who: • Make the difference between meeting production/delivery targets and metrics • Have the most impact on workplace culture • Influence the retention of our associates • Provide an incentive for people to join a company

Because of these impacts, we need our supervisors and managers to be better coaches, to be more present on the floor, out in the yard, talking with our associates about our expectations and constantly reinforcing the best practices that we teach. I often say, if you look at a sports team, “you do not see the head coach in the office when the team is out on the field; you always see them there on the field coaching from the side lines, and you have your leaders (front line supervisors) on the field coaching the players.” One of my favorite football players, Mike Singletary with the Chicago Bears, was constantly talking/coaching the defensive players; we need the same in our operations.

Coaching is Helping Coaching is also about the action of helping, and making it easier for someone to do something. It is essentially to provide one's services or resources to someone in need. In a continuous improvement sense, it is to provide a person with not only the materials but also the time necessary to operate effectively. The act of helping someone is not just sending an expert or a manager/supervisor to improve a process or removing an ergonomic risk from an operation via kaizen. All of those elements are good for the employee, yes. But it is just as important, just as vital, to train, influence, and engage the individual. Coaching most certainly means to improve the process, but equally it communicates the need to invest in the knowledge and experience level of the employee.

In the continuous improvement realm, it means to help every individual "see." We help each individual understand, appreciate, and value continuous improvement. This means to share knowledge, information, and methods. Show them how to identify the issues and develop ideas to improve. It means allowing time for individuals to train and then to put that training into action through small groups and kaizen events.

Employees need recurrent teaching. It's essential for them to hear the continuous improvement message frequently. That said, they do not just need to "hear" it, they need to see it as well; a good coach will demonstrate by action.

What Makes a Good Coach Many times we select a manager or supervisor based on experience or tenure, but is that the right decision for the organization?

Most organizations may answer that people skills are also an important aspect of being a good manager. The right “package” can contain any number of the following attributes as part of being a coach in addition to experience and knowledge of the metrics we seek: • Good communication skills—Supervisors need to be able to present complex ideas in simple terms and convince others why tasks should to be done a certain way. They also need to be able to communicate upward to higher management about issues and concerns on the floor—and, importantly, good Supervisors have good listening skills which they use with both upper management and their work teams.

• Resourcefulness—A good Supervisor needs to be able to “make things happen” when confronted by obstacles. Some people refer to this as having “problem-solving skills,” but it’s also about being innovative and thinking “outside the box”—being creative and seeing solutions others just don't see. When those they lead see this resourcefulness, they in turn will be just as creative.

• Flexibility—The needs of the business will change throughout the year, throughout the week, maybe even throughout the day. As these needs change, a good coach will communicate with their work team/cell members and accommodate these requirements for flexibility and adapt readily to “change.”

• Respect—Being respectful is more than just being courteous and polite. Good Supervisors treat people as individuals, acknowledging their individual needs and aspirations.

• Enthusiasm—People who are enthusiastic can generally motivate and energize others to behave the same way and reach their full potential.

• Ability to delegate and influence—Being able to effectively delegate tasks and influence others to perform the work in an appropriate way can be difficult to master, but there should be early signs that the trait exists and can be developed through mentoring and experience.

• Being open to new ideas—This is related to flexibility, but it’s also about being open to looking at things from different perspectives and trying new approaches. A Supervisor with this trait is particularly valuable in a multigenerational or multicultural workplace. A good coach will listen to their team and elicit ideas from them, getting them to contribute to the continuous improvement of the operation.

There are certainly additional attributes we could explore, but this is a good starting point.

If you want to make a difference this year, have your managers and supervisors make a priority of coaching daily. If you start each day with this mantra as part of your Continuous Improvement journey, your organization will see significant improvements. Even if you do not have a CI program in place, begin coaching – you will see improvements in best practices throughout. A Tale of Two Houses: Design Loads for Metal Plate Connected Wood Trusses

Take two trusses with identical profiles and environmental surroundings, and they should have the same design loads, right? Early in my career, I recall hearing a story about two identical buildings right next to each other that were designed for two different magnitudes of environmental loads. I remember wondering – how do the loads know which building is which?

There used to be a time when it was not uncommon for 5 substantially different wood truss designs to come from 5 different companies – all designing to the exact same spec. Whereas some differences are always to be expected (manufacturer-specific plate design values and proprietary analogues come to mind), the truss design disparities that used to exist from one company to the next were compounded by variations in something which really shouldn’t vary at all – the application of the specified loads to the truss. Differences in loading can occur whenever there is room for interpretation. In cases where the loading specs for fabricated wood trusses are not very detailed, there is a lot of room for interpretation. And when that happens, everyone knows how many different answers you get when you ask 5 different engineers!

Fortunately, the truss industry has come a long way in this area. In some cases, the codes and standards that govern the loading of structures have improved and helped the cause. But the truss industry also made a concerted effort to minimize these loading differences. Everyone agreed that a truss bid shouldn’t be won based on “less loading,” so they set out to change that. One of the best efforts in accomplishing this was the development of the SBCA Load Guide entitled “Guide to Good Practice for Specifying & Applying Loads to Structural Building Components.”

Produced by the Structural Building Component Association (SBCA) in cooperation with the Truss Plate Institute (TPI), the Load Guide was developed with the stated goal of “helping everyone that uses it to more easily understand, define and specify all the loads that should be applied to the design of each structural building component” and “to help assure that all trusses will be designed using a consistent interpretation and application of the code.”

If you are an architect, engineer or a Building Code Official who deals with trusses and you don’t already have the current SBCA Load Guide, I strongly encourage you to check it out (free downloads are available from the SBCA website). When fielding questions about loading on trusses, I inevitably refer the inquiring party to the SBCA Load Guide not only for the answer to the question, but for future reference as well. The SBCA Load Guide isn’t just a handy reference to read, it also offers a spreadsheet tool that can be used to calculate loads as well as output the load calculation worksheets. The worksheets can be submitted with the construction documents for plan approval or submitted to the truss manufacturer to be used in the design process.

Worksheet from the SBCA Load Guide

In addition to providing all of the code and standard loading provisions that apply to metal-plate-connected wood trusses, the SBCA Load Guide also presents the truss industry’s consensus positions and interpretations on provisions that are either unclear as to how they apply to trusses or that have resulted in loading inconsistencies in the past. With the many truss-specific examples and applications covered, it leaves very little room, if any, for further interpretation or question as to how the various code provisions should be applied to trusses.

Take wind loads, for example. Wind loading on trusses has been a heavily debated topic over the years, such as whether a truss should be designed for Components & Cladding (C&C), Main Wind Force Resisting System (MWFRS) or both. In fact, wind loading used to be one of the main sources of inconsistencies in truss designs from one company to another. The truss industry has since established a consensus position on this matter and the SBCA Load Guide presents it as follows:

The SBCA Load Guide also pulls information from a variety of resources to help provide more insight into some of the code provisions. For example, in the wind loading section a graphic is reproduced from a Structural Engineers Association of Washington’s handbook (SEAW RSM-03) to clarify the effect of wind directionality on C&C wind pressures for gable/hip roofs, since this consideration is not made clear in ASCE 7.

Of course, the SBCA Load Guide is only a guide and is NOT intended to supersede a Building Designer’s design specification. As specified in ANSI/TPI 1, the Building Designer is responsible for providing all applicable design loads to be applied to the trusses:

If you are an architect or engineer who specifies detailed loading schedules for truss systems, great! Your specifications may not need the SBCA Load Guide to ensure that the trusses are accurately loaded as intended in the design of the building. But the SBCA Load Guide still provides a lot of insight as to how the truss industry – and anyone who uses the Load Guide – applies various code provisions to trusses. It might even be an interesting study to see how your specified loads compare to the loading examples in the SBCA Load Guide.

For everyone else who isn’t well-versed in the application of code provisions to wood trusses, the SBCA Load Guide is an invaluable tool. Building Designers, building code officials, truss technicians and truss Designers can all benefit from the Load Guide. As stated in the SBCA Load Guide, one of the industry’s goals is to achieve a greater level of consensus among the largest audience possible on how to load trusses and other structural building components.

The more people who read and use the SBCA Load Guide, the more consistency there will be in the interpretation and application of code provisions pertaining to wood trusses, which will help make projects run smoother and, most importantly, improve building safety. The Dirty Dozen Subcontract Clauses

Introduction The following subcontract clauses are taken from actual general contractor subcontract forms in use in the Southeast. Most of these provisions are buried within the “General Conditions” of the subcontract form, often in tiny print. While the precise language may vary, many general contractor-manuscripted form subcontracts contain similar provisions.

Normally, truss and component manufacturers can avoid many of these clauses by advising general contractors that the truss manufacturer is a supplier, not a subcontractor, and that the Uniform Commercial Code for the sale of goods applies to their contractual arrangement. So, truss manufacturers who provide no services at the project site other than to deliver the trusses can legitimately refuse to sign a subcontract form, but rather use purchase orders or a supplier agreement.

But, pressure is often applied to truss manufacturers to provide site-related services, including erection. Once a truss manufacturer undertakes labor-related services, the truss manufacturer becomes a subcontractor. So, it is important for truss manufacturers who take on the role of a subcontractor to understand the legal effect of these clauses, and negotiate through them at the commencement of a project. It is, of course, too late to renegotiate a burdensome clause once a problem occurs during the job.

Even if a subcontractor cannot negotiate the deletion or modification of these clauses, it is still important to understand their effect, so that care can be taken during the job to mitigate the risk of extra costs and other damages such clauses might cause.

Dragnet Scope Clause Subcontractor shall perform all work necessary or incidental to complete the framing work for the Project in strict accordance with and reasonably inferable from the Contract Documents as being necessary to produce the intended results and as more particularly, though not exclusively, specified in [relevant contract documents] Dragnet clauses that require the subcontractor to perform work not expressly detailed in the drawings and specifications often result in an expanded scope of subcontract work and the subcontractor having to perform work that was not included in its estimate.

“Necessary or Incidental” and “reasonably inferable … to produce the intended results” means the results intended by the owner and/or design professional, and to protect the General Contractor from scope gaps in its price. Often what is necessary for a complete job is more than what is actually shown on the contract documents. When you see one of these clauses, be careful. Prudent subcontractors often limit their scope of services by adding exclusions.

No-Damage-For-Delay Clause Subcontractor will not be entitled to any claim for damages or increase in the subcontract price on account of hindrance or delay from any cause whatsoever; provided, however, if Subcontractor is hindered or delayed by any act of God, or solely by any act or omission on the part of Contractor, Subcontractor will be entitled only to an extension of time to complete the work, as Subcontractor’s sole remedy.

Clauses which exclude extra costs incurred due of a delay in exchange for an extension of time are generally enforceable. There are a few states which have enacted legislation making these clauses unenforceable in prime contracts by a public owner, but none which apply to subcontracts. Even there, the statute only bars the enforcement of such a clause for delays “caused solely by the owner or his agents.” Therefore, the general rule in most states is that no-damage-for-delay clauses will be generally enforced, by an owner against a general contractor, and by the general against a subcontractor. There are certain exceptions, but they are difficult to prove, and typically involve deliberate, willful acts by an owner or general contractor.

GC’s-Right-to-Accelerate-Subcontractor Clause If, in the opinion of Contractor, Subcontractor falls behind in the progress of the Subcontract Work, Contractor may, in addition to any and all other rights provided for in this Agreement, and upon forty-eight (48) hours written notice, direct Subcontractor to take such steps as Contractor deems necessary to improve the rate of progress, including a requirement that Subcontractor increase the labor force, number of shifts and/or overtime operations, days of work, and submit for Contractor’s approval a schedule demonstrating the method under which the required rate of progress will be regained, all without additional cost to Contractor. Contractor may, upon reasonable notice, require the Subcontractor to prosecute, in preference to other parts of the Work, such parts of the Work as Contractor may specify.

This type of clause grants the general contractor great discretion in determining whether, and to what extent, the subcontractor must perform if the subcontractor is behind schedule in the performance of its work. The clause allows the contractor to order the subcontractor to accelerate its work without any additional compensation to the subcontractor. Moreover, the general contractor can revise the planned order of subcontractor work, which often results in labor inefficiencies and extra costs to the subcontractor.

Right-to-Withhold-Payment Clause Contractor may withhold payment from Subcontractor, in whole or in part, for the reasons and circumstances by which Owner may withhold payment from Contractor under the Prime Contract General Conditions, regardless of whether or not the Owner has actually withheld payment from the Contractor.

This clause allows the general contractor, for example, to withhold payment from the subcontractor if the subcontractor is behind schedule even though the total project is not behind schedule and the circumstances do not warrant the owner’s withholding of payment from the contractor.

Pay-If-Paid Clause Contractor shall pay to Subcontractor upon receipt of payment from Owner, and as outlined in the Subcontract Agreement, the amount that is allowed and paid by Owner on account of Subcontractor’s Work, less all previous payments and less the amount of current retainage. Payments to Subcontractor will be made out of funds received by Contractor from Owner, and Subcontractor shall have a right to be paid by Contractor if and only if Contractor is paid by Owner for such Work.

Payment of interest to the Contractor by the Owner shall be a condition precedent to the right of the Subcontractor to any interest payment from the Contractor, unless a delay in receipt of payment is caused solely by the fault of the Contractor.

This clause puts risk of owner nonpayment on the subcontractor rather than on the contractor. On many projects, general contractors or CMs do not self perform any actual project work. Therefore, the majority of the financial risk is being borne by the major subcontractors, for materials, equipment, and labor. For that reason, the North Carolina and South Carolina Legislatures have deemed such clause to be void as against public policy. (Delaware has also.) Such a clause is enforceable, however, in Pennsylvania, Maryland, Virginia, Florida, Georgia, Kentucky, Louisiana, Alabama, Tennessee, Texas and in many other states.

Notice-of-Claims Clause Subcontractor shall make all claims to Contractor for extras and extensions of time for which Owner may be responsible in the manner provided for in the Contract Documents, if any, for like claims by Contractor upon Owner, and in sufficient time for Contractor to comply with the requirements of the Contract Documents for making such claims to Owner. Contractor shall be liable to Subcontractor only to the extent that Contractor actually recovers from Owner for each claim or extra, less Contractor’s costs, expenses, and attorneys’ fees associated with the claim.

Subcontractors must watch out for notice requirements that are different between events that are owner-caused and events that result strictly from the conduct of the general contractor. Generally, the subcontractor must give notice of a claim (e.g., a Change Order request) due to something the owner or design professional caused (or left out) within the time period set forth in the owner-general contractor agreement. If you don’t have that agreement, you must ask for it.

Failure to adhere strictly to the prime contract’s notice provisions may well result in the subcontractor’s claim being barred. This clause also contains another example of an attempt to marry the general contractor’s actual receipt of payment from the owner to the subcontractor’s right of recovery from the general contractor.

Sub-Must-Accept-What-GC-Can-Negotiate Clause Subcontractor shall only be entitled to a change to the Subcontract Amount in connection with any change initiated by Owner upon the same terms and conditions that an extension of time or additional compensation is allowable to Contractor under the Contract Documents, and only to the extent actually allowed and paid to Contractor by Owner, receipt of payment from Owner being an express condition precedent to Contractor’s obligation to pay Subcontractor.

For owner-initiated changes to the subcontractor’s work, this clause limits the subcontractor’s recovery to that amount actually received by the general contractor from the owner on account of the subcontractor’s claim.

Application of Payments to Other Projects Payments otherwise due hereunder shall be reduced by the amount of indebtedness of Subcontractor to Contractor whether arising under this Subcontract or otherwise.

This clause allows the general contractor to apply payment otherwise due the subcontractor on Project 1 to a backcharge by the general contractor on Project 2 involving these same parties, irrespective of whether there is a dispute as to amounts due under Project 1. If your company has regular, repeat business with a general contractor or CM, beware this clause – otherwise if there is a dispute on one project, your money due from work on other projects will be at risk.

Damage-to-the-Work Clause All loss or damage to Subcontractor’s work resulting from any cause whatsoever shall be borne and sustained by Subcontractor and shall be solely at its risk until final acceptance

by Contractor, Owner or the Owner’s Design Representative. Subcontractor shall at all times and at its expense protect all labor, materials, supplies, tools and equipment against any damage, injury, destruction, theft or loss and in no event shall Contractor be liable or responsible therefor, and likewise for those of its mechanics, laborers, and materialmen, for all of which Subcontractor shall be solely responsible.

This clause places risk of loss to subcontractor’s work on the subcontractor regardless of the cause of such loss until “final acceptance” by the general contractor or the owner. Further, it is unclear in this type of clause whether the risk of loss shifts upon final acceptance of the subcontractor’s work or acceptance of the entirety of the work.

Uninsurable Indemnity Clause Subcontractor hereby assumes the risk of and covenants to indemnify and be liable to Contractor and Owner, their officers, directors and employees, for all costs or damages, direct or consequential, which Contractor or Owner incurs as a result of Subcontractor’s failure to perform the work or any part thereof in accordance with the Contract Documents. Subcontractor’s liability shall include but not be limited to (1) increased cost of performance; (2) costs, expenses and damages due to delays or corrective or warranty work; (3) liability to lenders and other third-parties; (4) re-procurement costs; (5) attorneys and consultants fees and related costs and expenses; and (6) any other economic loss.

An indemnification such as this goes far beyond risks that can be covered by general liability insurance. Typically, a subcontractor’s GL liability covers only personal injury and property damage to other parts of the project unrelated to the fire protection system, even with a Completed Operations coverage endorsement. Many of the itemized, economic damages set forth in the above would be far outside the bounds of GL coverage. Note also that several of these items include consequential damages.

Subcontractor v. Subcontractor Claims Clause Contractor shall not be liable to Subcontractor for any adjustments to the Project Schedule, damages, costs, losses or expenses resulting from acts or omissions (whether or not negligent), failure to perform, delays in performance or defaults of any other Subcontractor or any supplier in connection with the performance of any of the Work. Any claim of Subcontractor for such adjustments to the Project Schedule, damages, costs, losses or expenses shall be made, and any action by Subcontractor shall be filed, directly against such other Subcontractors or suppliers on the Project who have a direct right of action against Subcontractor for damages, costs, losses or expenses claimed to result from acts or omissions (whether or not negligent), failure to perform, delays in performance or defaults of Subcontractor.

This sort of provision seeks to remove the general contractor from potential liability to the subcontractor for claims allegedly arising from actions or inaction by other subcontractors, and diminishes the general contractor’s potential liability for poor performance of its coordination-of-the-work responsibilities.

Prospective Waiver of Lien Rights The Subcontractor covenants and agrees that it will not file any mechanics’ liens or claims against the Project, or the Property, or any part thereof or against any improvement thereon, or against any moneys due or to become due from Owner to Contractor or from Contractor to Subcontractor, on account of any work, labor, materials, services, equipment, or other items furnished in connection with the Work. Subcontractor does hereby expressly waive, release, and relinquish all rights to file or maintain such liens and claims and agrees further that this waiver shall be an independent covenant, and shall apply as well to work, labor, and services performed and materials, equipment, and other items furnished under any change order or other agreement for extra or additional work in connection with the Project.

The prospective waiver of lien rights (that is, waiving one’s future right to assert a lien) means that the subcontractor is giving up one of the subcontractor’s most important means of protecting and enforcing its right to be paid. The waiver may be included in the general contract and only incorporated by reference into the subcontract. The NC and Florida legislatures have made these sorts of provisions unenforceable. These provisions are enforceable in Virginia.

Termination for Convenience Clause and Limitation of Damages Contractor, in its sole discretion and without notice to any guarantors or sureties, may terminate all or any part of this Subcontract without cause and for its convenience upon the giving of written notice to Subcontractor. If terminated for convenience, Subcontractor shall be entitled to be paid its demonstrable field costs of all Work provided hereunder prior to said termination, plus ten percent (10%) profit. In no event shall Subcontractor be entitled to recover overhead, lost profits or any other damages on work not yet performed as of the date of termination.

The termination for convenience provision is one-sided – only the general contractor may invoke its terms. In the event of a dispute between general contractor and subcontractor, this provision can be a powerful weapon, as it allows the general contractor to avoid otherwise recoverable extra subcontractor costs, and only pay for the subcontractor’s field costs for work installed.

It may also be used to improperly replace an apparent low bidder with a post-award bid-shopped price. As these provisions had their origin in federal contracting, there are plenty of federal law and court decisions upholding “T for C” clauses.

AWC hires Dodson as V.P. of Government Affairs

WASHINGTON – The American Wood Council (AWC) has selected Andrew “Andy” Dodson as Vice President, Government Affairs. Dodson will develop and implement the association’s government affairs strategy, and will direct and manage federal and state legislative affairs.

“In AWC’s short existence, the association has emerged as the leading voice for the wood products industry on Capitol Hill. This position is integral in maintaining our presence. I am confident Andy’s broad experience working in and with Congress will contribute to the development of legislation and regulations that demonstrate what is possible using wood,” said AWC President and CEO Robert Glowinski.

Dodson comes to AWC after working as an independent consultant and previously served in government affairs roles at the Bockorny Group and the National Beer Wholesalers Association. He also worked on Capitol Hill for House Majority Leader Richard A. Gephardt and as Communications/Legislative Director for Rep. Max Sandlin.

### The American Wood Council (AWC) is the voice of North American wood products manufacturing, representing over 75 percent of an industry that provides approximately 400,000 men and women in the United States with family-wage jobs.

AWC members make products that are essential to everyday life from a renewable resource that absorbs and sequesters carbon. Staff experts develop state-of-the-art engineering data, technology, and standards for wood products to assure their safe and efficient design, as well as provide information on wood design, green building, and environmental regulations. AWC also advocates for balanced government policies that affect wood products.

The letter secured 380 association signatories from 47 states and the District of Columbia representing a multitude of sectors including agriculture, energy, transportation, and manufacturing.

The groups write in the letter to Speaker Ryan, "We believe that federal regulations should be narrowly tailored, supported by strong and credible data and evidence, and impose the least burden possible, while still implementing Congressional intent." They go on to explain, "The Regulatory Accountability Act builds on established principles of fair regulatory process and review that have been embodied in bipartisan executive orders dating to at least the Clinton administration." According to MLA Executive Vice President Robert Uhler, "This is exactly the type of change we hope to see with the next administration in Washington. MLA members need relief from the regulatory burden they've shouldered for so long."

The "Regulatory Accountability Act" would improve the transparency of regulations by requiring agencies to invest more effort earlier in the rulemaking process to gather data, evaluate alternatives, and receive public input about the costs and benefits of its rules.

We witnessed the classic competitive duel – two large organizations (political parties) raising loads of money to hype their national brands (the candidates themselves) to make the sale (win the election) on November 8.

We got to sit in the buyer’s (voter’s) seat, listening to sales pitches, reacting to experts (talking heads), and watching predictions (polls).

We heard what the candidates said, but may have been more moved by what they did.

We saw a renegade salesman (candidate) hit the road, with little or no marketing support, against an opponent who enjoyed billions of dollars of consultants, pollsters, and advertising material.

Too close to call: Cookies: Sugar cookies and gingerbread men are all tasty Opening presents: Christmas Eve or Christmas Day – it depends on your traditions.

And the winners are: Jason Padilla of Simpson Strong-Tie in Riverside, CA and Mike Noonan of Cascade Mfg Co in Cascade, IA Each winner received a 1 lb box of candy from Fannie May as their festive treat from Santa, because chocolate is always a holiday favorite.

We learned (again) the value of face-to-face contact. One appeared in person before record-setting crowds, and the other appeared less than half the time before a fraction of the audience. One accepted questions and responded (tweeted) constantly, and the other who didn’t take questions for nine months. One who jetted around the country nonstop, and the other who “took off” the entire month of August.

We gained appreciation for the “elevator” speech: the short but very pointed and time-limited message. “America first” and “Build the wall” versus a droning filibuster. (Memo to self – skip the lengthy sales pitches.)

We found out how they handled adversity. When a scandalous video was leaked just before the debate, Trump responded immediately by showcasing Bill Clinton’s paramours. Conversely, while the email controversy raged, Hillary continued to obfuscate, proving again that “bad news doesn’t improve with age.”

And finally we learned to listen to contrary opinion, especially when it comes from your (always expert) spouse. Hillary ignored the advice of her husband, the past master of the “art of the deal,” yielding the election to a master salesman.
