ORDINANCE NO. 2022-1146 INTRODUCED BY: CARLOS BARRON
AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF FORT LUPTON, COLORADO, ACTING BY AND THROUGH ITS UTILITY ENTERPRISE, APPROVING A LOAN FROM THE COLORADO WATER RESOURCES AND POWER DEVELOPMENT AUTHORITY (“CWRPDA”) IN THE AGGREGATE PRINCIPAL AMOUNT NOT TO EXCEED $25,000,000 PAYABLE FROM ITS WASTEWATER REVENUE; AUTHORIZING THE FORM AND EXECUTION OF THE LOAN AGREEMENT AND GOVERNMENTAL AGENCY BOND TO EVIDENCE SUCH LOAN; AUTHORIZING THE CONSTRUCTION OF A PROJECT; PRESCRIBING OTHER DETAILS IN CONNECTION THEREWITH; AND DECLARING AN EMERGENCY ON SECOND AND FINAL READING.
WHEREAS, the City of Fort Lupton (the “City”), in the County of Weld and State of Colorado, is a political subdivision of the State of Colorado (the “State”), duly organized and existing as a statutory city under the laws of the State; and WHEREAS, the members of the City Council of the City (the “City Council”) have been duly elected and qualified; and WHEREAS, the City has previously acquired and developed certain properties and facilities for the collection, treatment and distribution of wastewater for the beneficial uses and purposes for which the wastewater has been or may be appropriated (the “Wastewater System”); and
WHEREAS, by Ordinance No. 95-675 adopted by the City Council on July 12, 1995, the City Council acted to recognize and conform the existence of the City’s existing water utility enterprise, sewer utility enterprise and storm water drainage facility enterprise as enterprises of the City within the meaning of Article X, Section 20 of the Colorado Constitution (TABOR), which ordinance was codified as Chapter 12 of the Fort Lupton Municipal Code (the “City Code”); and
WHEREAS, by Ordinance No. 98-733 adopted by the City Council on December 9, 1998, the City Council acted to amend Chapter 12 of the City Code (as amended, the “Enterprises Chapter”) to create and establish a combined water and sewer utility enterprise (the “Enterprise”); and
WHEREAS, the Enterprise presently qualifies as an “enterprise” for purposes of TABOR; and WHEREAS, the City Council, acting by and through the Enterprise, has heretofore determined the need to pay the estimated tap fee for connecting the City to the Metro Water Recovery Northern Treatment Plant (the “Project”); and
WHEREAS, for purposes of this Ordinance, the term “City” means the City, acting by and through the Utility Enterprise, unless the context requires otherwise, and the term “City Council” means the City Council, acting as the governing body of the Enterprise, unless the context requires otherwise; and
WHEREAS, the City has made application to the Colorado Water Resources and Power Development Authority (the “CWRPDA”), a body corporate and political subdivision of the State of Colorado, for a loan to finance all or a portion of the cost of the Project; and issue a governmental agency bond (the “Bond”) to CWRPDA to evidence the City’s repayment obligations under the Loan Agreement; and
WHEREAS, TABOR requires an election to incur any multiple fiscal year obligation unless such obligation is incurred for an enterprise; and
WHEREAS, under TABOR, the Enterprise is a government owned business authorized to issue its own revenue bonds and receiving under 10% of annual revenue in grants from all Colorado state and local governments combined; and
WHEREAS, in 2021, the Enterprise received grants from all Colorado state and local governments combined which were less than 10% of the annual revenue of the Enterprise; and
WHEREAS, the City Council serves as the governing body of the Enterprise; and WHEREAS, there have been presented to the City Council the forms of the Loan Agreement and the Bond (collectively, the “Financing Documents”); and
WHEREAS, the Bond and the Loan Agreement shall constitute revenue obligations of the City, payable from the Net Revenues of the wastewater utility portion of the Enterprise (the “System” as defined in the Loan Agreement); and WHEREAS, the City has not pledged nor hypothecated the net revenues derived or to be derived from the operation of the System, or any part thereof, to the payment of any bonds or for any other purpose, with the result that the net revenue may now be pledged lawfully and irrevocably to the payment of the Bond; and
WHEREAS, pursuant to Title 31, Article 35, Part 4, C.R.S. (the “Sewer and Water Systems Act”) and the Enterprise Act, the Financing Documents may be approved by the City Council without an election; and
WHEREAS, the forms of the Financing Documents are on file with the City Clerk; and WHEREAS, the City Council desires to approve the form of the Financing Documents and other documents referenced therein, authorize the execution of the Loan Agreement, and authorize the execution and delivery of the Bond; and
WHEREAS, pursuant to Section 31-16-105, C.R.S., because of the urgent need for the financing of the Project and the limited availability of low or no interest loans, and in order to consummate the financing prior to the close of the calendar year, the City Council has determined that an emergency exists and that adoption of this Ordinance as an emergency measure on second and final reading is necessary for the immediate preservation of the public peace, health, safety and welfare.
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF FORT LUPTON, WELD COUNTY, COLORADO:
Section 1. Determinations. The City Council hereby finds and determines that the Enterprise constitutes an enterprise under TABOR.
Section 2. Approvals, Authorizations, and
Amendments. The forms of the Financing Documents presented at this meeting are incorporated herein by reference and are hereby approved. The City shall enter into and perform its obligations under the Financing Documents in the forms of such documents, with such changes as are not inconsistent herewith and as are hereafter approved by the Mayor of the City (the “Mayor”), the City Administrator or the Finance Director. The Mayor, the City Administrator, the Finance Director and/or the City Clerk are hereby authorized and directed to execute the Financing Documents and to affix the seal of the City thereto, and further to execute and authenticate such other documents or certificates as are deemed necessary or desirable in connection therewith. The Financing Documents shall be executed in substantially the forms approved at this meeting. istrator, the Finance Director and/or City Clerk or by other appropriate officers of the City, shall be conclusive evidence of the approval by the City of such instrument.
Section 3. Election to Apply the Supplemen-
tal Act. Section 11-57-204 of the Supplemental Public Securities Act, constituting Title 11, Article 57, Part 2, C.R.S. (the “Supplemental Act”) provides that a public entity, including the City, may elect in an act of issuance to apply all or any of the provisions of the Supplemental Act. The City hereby elects to apply all of the provisions of the Supplemental Act to the Financing Documents.
Section 4. Delegation.
(a) Pursuant to Section 11-57-205 of the Supplemental Act, the City hereby delegates to the Mayor or the City Administrator the independent authority to make the following determinations relating to and contained in the Loan Agreement and the Bond, subject to the restrictions contained in paragraph (b) of this Section 4:
i. The interest rate on the Loan; ii.The principal amount of the Loan; iii. The amount of principal of the Loan maturing in any given year and the final maturity of the Loan; iv. The dates on which the principal of and interest on the Loan are paid; and v. The existence and amount of reserve funds for the Loan, if any.
(b) The delegation in paragraph (a) of this Section 4 shall be subject to the following parameters and restrictions:
i. The interest rate on the Loan shall not exceed 2.75%; ii. The principal amount of the Loan shall not exceed $25,000,000; and iii.The final maturity of the Loan shall not be later than December 31, 2055.
Section 5. Conclusive Recital. Pursuant to Section 11-57-210 of the Supplemental Act, the Bond and the Loan Agreement shall contain recitals that the Bond is issued pursuant to certain provisions of the Supplemental Act. Such recital shall be conclusive evidence of the validity and the regularity of the issuance of the Bond after its delivery for value.
Section 6. Ratification and Approval of
Prior Actions. All actions heretofore taken by the officers of the City and members of the City Council, not inconsistent with the provisions of this Ordinance, relating to the Financing Documents, or actions to be taken in respect thereof, are hereby ratified, approved, and confirmed. Section 7. Pledge of Revenues. The creation, perfection, enforcement, and priority of the pledge of revenues to secure or pay the Bond and the Loan Agreement provided herein shall be governed by Section 11-57-208 of the Supplemental Act and this Ordinance. The amounts pledged to the payment of the Bond and the Loan Agreement shall immediately be subject to the lien of such pledge without any physical delivery, filing, or further act. The lien of such pledge shall have the priority described in the Loan Agreement. The lien of such pledge shall be valid, binding, and enforceable as against all persons having claims of any kind in tort, contract, or otherwise against the City irrespective of whether such persons have notice of such liens.
Section 8. Limitation of Actions. Pursuant to Section 11-57-212 of the Supplemental Act, no legal or equitable action brought with respect to any legislative acts or proceedings in connection with the Financing Documents shall be commenced more than thirty days after the issuance of the Bonds. City shall be subject to any pecuniary liability in connection with any agreement, covenant, or undertaking by the City, or by them, contained in any document executed in connection with the authorization, execution, and delivery of the Financing Documents or this Ordinance or with respect to any action taken or omitted to be taken in good faith with reference thereto.
Section 10. Disposition and Investment of Loan Proceeds. The proceeds of the Loan shall be applied to pay the costs and expenses of acquiring, constructing and equipping the Project, including costs related thereto and, to the extent permitted under federal tax laws, reimbursement to the City for capital expenditures heretofore incurred and paid from City funds in anticipation of the incurrence of long-term financing therefor, and all other costs and expenses incident thereto, including without limitation the costs of obtaining the Loan. Neither CWRPDA nor any subsequent owner(s) of the Loan Agreement shall be responsible for the application or disposal by the City or any of its officers of the funds derived from the Loan. In the event that all of the proceeds of the Loan are not required to pay such costs and expenses, any remaining amount shall be used for the purpose of paying the principal amount of the Loan and the interest thereon, as applicable.
Section 11. City Representative. Pursuant to Exhibit B of the Loan Agreement, the Mayor, the City Administrator and the Finance Director are hereby designated as the Authorized Officers (as defined in the Loan Agreement) for the purpose of performing any act or executing any document relating to the Loan, the City, or the Financing Documents. A copy of this Ordinance shall be furnished to CWRPDA as evidence of such designation.
Section 12. Estimated Life of Improvements.
It is hereby determined that the estimated life of the Project to be financed with the proceeds of the Loan is not less than the final maturity of the Loan.
Section 13. Direction to Take Authorizing
Action. The appropriate officers of the City and members of the City Council are hereby authorized and directed to take all other actions necessary or appropriate to effectuate the provisions of this Ordinance, including but not limited to such certificates and affidavits as may reasonably be required by CWRPDA.
Section 14. Ratification and Approval of
Prior Actions. All actions heretofore taken by the officers of the City and members of the City Council, not inconsistent with the provisions of this Ordinance, relating to the Financing Documents, or actions to be taken in respect thereof, are hereby ratified, approved, and confirmed. Section 15.Severability. If any section, paragraph, clause, or provision of this Ordinance shall for any reason be held to be invalid or unenforceable, the invalidity or unenforceability of such section, paragraph, clause, or provision shall not affect any of the remaining provisions of this Ordinance, the intent being that the same are severable.
Section 16. Repealer. All orders, resolutions, bylaws, ordinances or regulations of the City, or parts thereof, inconsistent with this Ordinance are hereby repealed to the extent only of such inconsistency.
Section 17. Ordinance Irrepealable. After the Bond is issued, this Ordinance shall constitute an irrevocable contract between the City and CWRPDA, and shall be and remain irrepealable until the Bond and the interest thereon, as applicable, shall have been fully paid, satisfied, and discharged. No provisions of any constitution, statute, charter, ordinance, resolution, or other measure enacted after the issuance of the Bond shall in any manner be construed as impairing the obligations of the City to keep and perform the covenants contained in this Ordinance. the City Clerk, and by a certification of publication. Section 19. Effective Date. This Ordinance shall be in full force and effect immediately following adoption on second and final reading. Adjourn ADOPT ORDINANCE 2022-1148 ANNEXING LAND LEGALLY DESCRIBED IN EXHIBIT “A” KNOWN AS THE HIGH POINTE HILLS ANNEXATION AND APPROVING THE ANNEXATION AGREEMENT.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF FORT LUPTON, COLORADO:
WHEREAS, a petition for annexation of the subject property, legally described in Exhibit “A”, was filed with the City on September 6, 2022. The owners of 100% of the territory, with the exception of any road rights-of-ways, if applicable, are Highway 52 General Partnership L.L.P., and this territory is not solely a public street or rights-of-ways. The City Council accepted said petition and has found and determined that an election was not required for this annexation under state statute or municipal ordinance or code section and that no additional terms and conditions are to be imposed upon the annexation, other than those expressed in the annexation agreement. The Planning Commission of the City of Fort Lupton, after public hearing on October 13, 2022, has recommended approval of the annexation known as the High Pointe Hills Annexation. After a public hearing on November 1, 2022, Council found that the area to be annexed is eligible for annexation pursuant to Section 3112-104 C.R.S. as to contiguity; and, the area is not affected by any of the limitations that would prevent annexation set forth in Section 31-12-105 C.R.S. WHEREAS, the annexation agreement between the applicant and the City has been reviewed by City staff and by this Council and is approved and shall be signed by the Mayor.

He also charted 17 years of GDP data for The Colorado Sun, comparing quarterly changes by the state and U.S.:
“Our job growth and income growth has been outperforming,” he added.
As What’s Working readers may recall from last week’s report, Colorado continues to add jobs, even if it’s at a slower rate than earlier in the year. Historically, the state’s labor force is one of the largest it has ever been.
Income continues to rise, according to monthly estimates from the U.S. Census Business Establishment Survey and state labor department. Colorado’s average hourly pay has increased 10.9% since January 2021 to $34.43 in September. In the same period, U.S. wages have grown 8.4% to $32.46.
Area economists however have already said job growth will continue to slow in Colorado.
“The annual employment totals for 2022 will be deceptively stellar,” said Gary Horvath, a Denver-based economist at Cbre.co in his monthly economic update. “During Q1, Colorado employment was strong and broad-based. By Q4, minimal
Colorado is not without job losses
In the past two months, three companies have filed notices with the state warning that layoffs are on the way, as part of the federal Worker Adjustment and Retraining Notification.
Starry Inc., an internet provider, began laying off 41 workers on Oct. 21 due to “changes in its business,” according to the notice sent to Colorado Department of Labor and Employment. The company said the cuts are at its Centennial office on Arapahoe Street. Starry earlier told shareholders it would cut half of its workforce “to conserve capital,” or 508 jobs, reported FierceWireless. • Chord Energy, the result of Denver’s Whiting Petroleum Corp and Houston’s Oasis Petroleum merger in July, will lay off 104 workers in December due to its decision to close the office at 1700 Lincoln St. in Denver. • Planterra, a plant-protein food maker owned by JBS, is closing its corporate office in Lafayette and manufacturing plant it opened in Denver less than a year ago, The Denver Business Journal reported. Approximately 121 employees will lose their jobs after meatpacker JBS decided to end its foray into plant protein. The layoffs are expected to be completed in December, according to its WARN letter.
Colorado inflation gets political
Inflation has become a political issue, which I tackled in a story earlier this week. It investigated the data behind one candidate’s claim that Colorado has the nation’s highest inflation rate, at 16%. The number came from a Republican committee report that looked at the 21 months since President Joe Biden took office. It also put Colorado in an eight-way tie with Arizona, Idaho, Montana, Nevada, New Mexico, Utah and Wyoming for the highest inflation over that period.
But the U.S. Bureau of Labor Statistics, which tracks inflation via the consumer price index, does not track the rate by each state. It doesn’t have the budget to be that detailed, apparently. Instead, BLS tracks inflation by subregion — and that includes splitting up the U.S. into nine census divisions or by 23 metro areas. The Republican report used the nine census divisions.
In checking with area economists on how they calculate the Colorado rate, they lean toward the Denver-Aurora-Lakewood rate, which is one of the 23 metro areas where more detail is provided.

An unknown substance found in a ballot dropped in a Thornton drop box Nov. 2 has triggered safety protocols at the Adams County Clerk’s Offi ce and an investigation by the Thornton Police, the County sheriff and the FBI.
Adams County Public Information Offi cer William Porter said the suspicious ballot was collected from a Thornton drop box Nov. 2 and taken to the county building in Brighton for processing. An election staff member was preparing to open the ballot envelope when they noticed a white powder leaking from one of the holes in the envelope.
“We can’t process that ballot until we confi rm it is safe or not, but there was enough of the substance in the envelope that it is presumed to be intentional,” Porter said. “We wanted to be transparent to let people know we have a ballot that is currently in a holding pattern until we discover what this substance is.”
Porter said the substance appeared to be fl our but was sent off to a lab to determine just what it is. Porter said the lab could take up to fi ve days to complete an analysis of the powder to determine if it is benign or something dangerous.
Colorado voters have until 7 p.m. Nov. 8 to return their ballots to their county clerk for counting. Porter said the incident has not stopped work in Adams County, but it did slow things down on Nov. 2 while clerk crews cleaned and sanitized the Thornton ballot box, the bag that was carrying it to the Clerk’s offi ce, the vehicle that it was transported in, the tray the bag was emptied into and other equipment.
“We had to clean multiple surfaces and ballot boxes and trays and anything that envelope came into contact with,” he said. “We have done a number of things to make sure that everyone, from the administrative side to the public, is safe. Right now, we don’t have confi rmation.”
He said all 64 Colorado County Clerks have been notifi ed of the incident and there have been no other instances reported so far.
Things have returned to normal, he said.
“Ultimately, this is why we have security protocols,” Porter said. “We don’t want to allow incidents like this to disrupt our elections. This is the new world we live in with evolving threats. So the biggest thing is, we don’t want there to be a panic. We want to people to have confi dence in the election.”
Colorado ballots are put into secure envelopes by voters before mailing them or putting them in the drop boxes. Those envelopes contain the voter’s names, addresses and a box where they can sign their ballots. Porter said this envelope contains that voter information and said Thornton police and the FBI have spoken with the voter.
If the chemical test of the substance determines it is safe, the ballot envelope will be opened and the ballot processed. If tests show that it contains a dangerous substance, Porter said the ballot will marked spoiled and a new ballot will be issued to the voter.
“If it is found to be harmful, it will be in law enforcement’s hands and the ballot will be marked as damaged,” he said. “We will still make sure that voter is able to vote, regardless. Our job is to make sure every vote is counted and that will still be the case.”

“In Colorado we can rely on the Denver-Aurora-Lakewood CPI, but for states like Utah and Wyoming they may have to defer to regional or census division CPI,” said Ryan Gedney, senior economist with the state Department of Labor and Employment. “To the best of my knowledge, there are no real substitutes for state-level measures of infl ation.”
By using the Denver infl ation rates since January 2021 and calculating the index change through September 2022, area infl ation came in at 13.25%. That put the region near the middle of the pack of 23. It was also slightly higher than the U.S. infl ation rate of 13.18%. Ultimately, though, prices are higher now than a year ago. The BLS calculated that the Denver area’s infl ation rate had slowed to 7.7% in September, which is still up from a year ago.
Nabbing that statewide rate will always prove to be tricky. Lewandowski, with CU’s Leeds Business School, said he, too, uses the Denver rate for projections. However, he added, “What is diffi cult, though, is (that) many of our mountain resort communities are likely experiencing higher prices and price changes, but they aren’t refl ected in the Denver estimates.”
Personal infl ation
Colorado State University economist Phyllis Resnick said everyone has a unique infl ation rate because we buy different things. Some people traveled less this year because of higher gas prices, but others may not have driven anyway. Some stopped eating meat to save money at the grocery store, but vegetarians didn’t. The New York Times built a personal infl ation calculator last spring. While it hasn’t been updated, it provides users a sense of how your infl ation rate differs from a neighbor’s.
