Welcome to our Corporate Governance Conference 2022 Bishop Tedroy Powell MSc, Man Min; MILM Our Corporate Board of Trustees and I would like to commend the strategic leadership of our International Bishop; General Presbyter and former National Bishops, whom have had the foresight to encourage these annual conferences. These conferences are critical for the effective and efficient performance of our corporate church within the United Kingdom. Our focus is centred on corporate governance, which is more and more important for ALL organisations and those who are charged with leadership responsibility. Governance is the system of rules, practices, and processes by which an organisation is directed and regulated. It is our Board of Trustees, that are legally responsible for ensuring that our church organisation pursues its vision and mission within the parameters of our Memorandum and articles of Association and the regulatory instruments of the law. This means that as an effective board, working with our local churches we will provide good governance and leadership by understanding our role and responsibilities; behaving with integrity, openness, and accountability; and making decisions that are effective, inclusive and transparent. It is with these tasks in mind that we have prepared and presented this weekend’s conference. On reflection, Nehemiah’s leadership reveals the full suite of knowledge, skills, aptitudes and spirituality that were and are still essential for leading in the kingdom of God, even in the 21st century. What did he do that we must also strive to achieve? Nehemiah defined the reality of the situation, prepared a vision, and then engaged the people to accomplish it. It is my belief that the prophet Nehemiah provides contemporary leaders a brilliant model of principled leadership and organisation. Today, however, is a new era with new and more onerous demands for more effective governance and administration. The needs that are brought to the church are increasingly complex and varied. We, the church, must continue to accompany the offer of worship, prayer, teaching and discipleship in a safe environment and sanctuary, with the quality-assured framework of recognizable governance with sound and prudent administration of all its financial and physical resources.

Tedroy M Powell National Bishop 3

GREETINGS Bishop Bernard Morris

FMAAT ACMA CGMA MSc

Honorary Treasurer & Co-Chair, Corporate Finance and Audit Committee &

Audrey Taylor

FCCA

Company Secretary & Co-Chair, Corporate Finance and Audit Committee Welcome to the third Corporate Governance Conference of the Church of God of Prophecy Trust (U.K.) in this digital format. Although, we have held these conferences for many years. Firstly, as the Treasurer’s Conference, then as the Finance and Governance Conference. The covid-19 lock down of March 2020 has shown us that we can achieve our goals using different methods. It is our pleasure to share this programme with you over these two days and trust it will prove helpful to you in your role as pastor, minister, treasurer, clerk (administrator), health & safety and safeguarding leads. This year, you will notice, we have changed the name of the conference to the Corporate Governance Conference. This reflects the changing nature of the subject matter we will be covering. We have three focus areas this year, namely Human Resources, Finance, and Corporate Operations. This diagram illustrates the ‘corporate governance cycle’, which we aim to cover in this, and future conferences. So, what is charity governance? To answer this question, I quote from an excellent briefing paper produced by the Christian Charity, Stewardship, entitled, “Charity structure and governance: An overview”, written by Stephen Mathews and Alan Hough, August 2020 “In its simplest form, governance is about authority, decision making and accountability. Within a charitable organisation, the term governance encompasses: • • •

Who within the organisation has authority for administering the charity; Who makes the decisions; and How the organisation is kept accountable.

We see good governance taught in the New Testament. In 2 Corinthians 8:21NIV “For we are taking pains to do what is right, not only in the eyes of the Lord but also in the eyes of man.” and in Romans 13:1-7 and 1 Peter 2:13-17, we are urged to be subject to the governing authorities. 4

Good governance is about helping a church or charity promote an attitude and culture where everything works towards fulfilling the charity’s vision as well as ensuring compliance with relevant legislation and regulation and operation in line with ‘best practice’. Good governance sets a tone for an organisation. Seen in this light, governance is more than a “box ticking” compliance exercise. Governance can be dynamic, exciting, and visionary.

“Good governance is about helping a church or charity promote an attitude and culture where everything works towards fulfilling the charity’s vision.”

MEET THE CORPORATE OPERATIONS TEAM Church of God of Prophecy Trust (U.K.) is mandated, constituted and structured to fulfil its mission and ministry in an ever-demanding business operational environment. A SAFER CHURCH

Reporting abuse or raising a concern If someone is in immediate danger or needs urgent medical attention contact the emergency services on 999. If the situation you are reporting is not an emergency please use the contact details below. There are Safeguarding Leads in every local church across the country and Regional Safeguarding Officers in each Region. If you are worried about someone and want to raise a concern or report abuse, please contact your Safeguarding Lead in your local church in the first instance. The Corporate Safeguarding Team are here to provide support and guidance to the Board of Trustees, Senior Pastors, Ministers, Regional and Local Safeguarding representatives. Reports of children and young people at risk of abuse and neglect should be made to the Children's Social Care team at their local council. There is a Safeguarding team in every local authority and please note, it is not the role of the CoGoP Safeguarding team to investigate any allegations. Please email the Corporate Safeguarding Team at: safeguarding@cogop.org.uk for more information and any further support you may require. The Safeguarding Adults policy document is addressed to everyone in the Church but especially to church workers who have some responsibility for the pastoral care of others. Such workers may be ordained or lay, licensed, commissioned or accredited; they may be volunteers with no official authorisation. The policy is intended to help members of the Church to consider issues of vulnerability, disability and integration. Understanding the needs of people with vulnerabilities will enhance pastoral ministry, whilst information about what constitutes mistreatment of adults will be a necessary part of ministerial training. The procedures outlined in the Safeguarding Adults policy document are therefore particularly relevant to those who work or volunteer in a more informal way. There is a particular responsibility for members of the Church to ensure that all people are treated with respect and that any complaints against church workers are dealt with promptly and fairly. Safeguarding adults within the Church is based on sound pastoral care and good practice. Therefore, everyone who participates in the life of the Church has a role to play in promoting a Safer Church for all
