SUPPLIERS’ CODE OF CONDUCT

INTRODUCTION

In addition to basing its work on excellence through scientific research and continuous technological innovation, Clinique La Prairie SA advocates a vision of holistic health based on medical intervention, nutrition, movement, and well-being. To implement these practices effectively and credibly, Clinique La Prairie SA pays special attention to the quality of its services, both internally and throughout the supply chain. In doing so, Clinique La Prairie SA aims for sustainable and ethical development.

As a result, this code of conduct («Code of conduct») applies to all suppliers of Clinique La Prairie SA («Suppliers»). Clinique La Prairie SA shares this document with the expectation that partner companies will develop practices in accordance with the various ethical principles described in this Code of Conduct Clinique La Prairie SA reserves all its rights in the event of non-compliance with this Code of Conduct by any of its Suppliers.

This code of conduct will be revised periodically, and the new version communicated to all Suppliers.

LEGAL AND REGULATORY COMPLIANCE PRACTICES

Suppliers must conduct their business activities in full compliance with the various laws and regulations applicable when engaging in transactions with Clinique La Prairie SA and/or on its behalf, and they are required to fully meet the following requirements:

 Trade: Comply with all international and local rules, regulations, and controls governing the market.

 Antitrust: Conduct business in full compliance with cartel law and competition rules that govern the jurisdictions in which they operate.

 Anti-corruption: Conduct business in full compliance with Swiss law and anti-corruption and anti-money laundering laws that govern the jurisdictions in which Suppliers operate.

BUSINESS PRACTICES AND ETHICS

Suppliers are required to conduct their interactions and business activities ethically, with integrity, and are obligated to adhere to the following rules:

 Business Records: Honestly and accurately record and report all business information and comply with all applicable laws in a precise and comprehensive manner. Create, maintain, and dispose of business records in accordance with applicable legal and regulatory requirements.

 Communications: Be honest, direct, and sincere in discussions, including those with regulatory agencies and government representatives.

 Gifts and Entertainment: Exercise judgment when exchanging business gifts. Gifts, meals, entertainment, acts of hospitality, and luxurious or opaque trips that lack legitimate purpose may be perceived as bribes, create the appearance of a conflict of interest, or be perceived as an attempt to inappropriately influence decision-making.

 Conflicts of Interest: Be honest, direct, and sincere, and avoid irregularities and conflicts of interest, whether real or perceived.

HUMAN RIGHTS AND FAIR PROFESSIONAL PRACTICES

Suppliers must (1) fully comply with all labor laws, (2) commit to upholding all human rights and to ensuring workplace equality, and (3) take effective measures to address any negative impact on human rights. Without exception, they must comply with the following non-exhaustive rules:

 Do not discriminate.

 Prohibit child labor.

 Prohibit the use of forced labor and human trafficking.

 Provide a written employment contract describing the terms and conditions of employment, in a language the employee understands

 Clearly specify employment conditions at the time of hiring.

 Provide fair compensation.

 Treat employees with dignity and respect.

 Provide a safe and healthy working environment, including any provided living accommodations.

 Meet requirements for working hours and days of rest.

 Ensure freedom of association and the right to collective bargaining.

 Provide grievance resolution procedures.

ENVIRONMENTAL PROTECTION, RESPECT FOR LIVING BEINGS, AND COMPLIANCE

Clinique La Prairie SA is committed to respecting and promoting environmental protection to the best of its ability and expects Suppliers to share its commitment by responding to the challenges posed by climate change and working to protect the environment. Within this commitment, Suppliers must adhere to the following without exception:

 Comply with all applicable environmental laws and regulations, including but not limited to laws and regulations governing hazardous materials, air and water emissions, waste, and laws, regulations, and customer requirements related to the prohibition or restriction of specific substances in product manufacturing or design.

 Act responsibly towards the environment and avoid or at least minimize negative impacts on the environment, striving to meet the level of established best practices.

 Respect laws and regulations related to animal experimentation, minimizing the use of such practices and upholding principles of animal dignity.

SUPPLIER CODE OF CONDUCT TRAINING

Training Compliance: Suppliers are required to ensure that their employees and subcontractors working on projects related to Clinique La Prairie SA understand and adhere to the content of the Suppliers’ Code of Conduct, applicable laws and regulations, and generally recognized standards.

UPDATE OF CONCERNS AND REPORTING OF SUSPICIOUS BEHAVIOR

To report suspicious behavior or a possible violation of this code of conduct, Suppliers are encouraged to collaborate with their main contact at Clinique La Prairie SA to address their concerns. Clinique La Prairie SA ensures confidentiality to the extent possible and does not tolerate any form of retaliation against anyone seeking advice or reporting in good faith a suspicious behavior or a potential violation of the Suppliers’ Code of Conduct.
