Why am I a wedding florist? That’s a fair question. I have always loved flowers; in fact my first job was as a 14 year-old working in a local flower shop. Since that time I have tried out a few careers - botany, cooking, teaching - but I have always come back to flowers; they are my passion and my love. Designing wedding flowers for your day is a great honour for me, and something I take incredibly seriously. Know that as I review your proposal and choose each individual stem and ribbon, I am constantly aware of how important this day is and that these will likely be the most significant flowers you every carry. I can’t wait to see your eyes light up as you view your flowers for the first time - that’s my favourite part! Thank you for taking the time to meet with me and share your wedding vision. Step Two THE BOOKING

Review your itemized proposal and make any adjustments. You may revise your quote up to 3 times prior to the wedding at no aditional cost. Make the initial deposit towards your wedding flowers. (25%, non-refundable). Sign and date the contract. Keep a list of any changes you may wish to make.

We will email you a reminder 8 weeks prior to your wedding. Double check all of the details in your proposal.
If it’s listed we are providing it. If it’s not listed, we will not be providing it. Contact us to make adjustments. Check your colours, numbers & styles.

Step Four THE MONTH BEFORE

All proposals must be signed and finalized 1 month prior to the wedding. No changes can be made after proposal has been finalized. Double check to ensure we have the correct phone number for your day of contact. Arrange drop-off of Bride’s vases or other elements (2 weeks prior to wedding) Finalize delivery and set-up, or pick up details. Final payment must be made no later than 10 day prior to the wedding. EVENT CONTRACT THIS AGREEMENT DATED this _____ day of _______________________, 2022. BETWEEN: TRAVIS MILLS O/A CALYX FLORAL DESIGN (hereinafter “CALYX”) - and – _____________________________________________________ (hereinafter the “Customer”) EVENT DATE: ___________ WHEREAS: A. CALYX is a business in Alberta that provides flower services to those who request their services. B. The Customer desires to engage CALYX to provide flower services to the Customer. NOW THEREFORE THIS AGREEMENT WITNESSES that in consideration of the premises and mutual covenants and agreements herein contained the Parties hereby covenant and agree as follows: 1. SCOPE OF PRODUCT AND SERVICES 1.1. The Customer agrees to retain CALYX and CALYX hereby agrees to be retained to provide the product and perform the flower services set forth and described in the online Proposal Document (“Proposal”) and in accordance with the terms and conditions in this

Agreement (hereinafter called the “Services”). 1.2. The Customer will confirm their Services prior to THIRTY (30) days before the Event Date. Once the Customer has confirmed, CALYX is only responsible to perform the Services which have been agreed upon in writing, and CALYX shall not be responsible for any other services which have not been agreed upon. If any additional services or changes are requested after the Customer has confirmed their Services, an additional fee may be applied. 2. PRICING DETAILS 2.1. Pricing Details can be found in the Proposal and are based on CALYX’s standard price list or pricing specific to the Customer. These prices are adjusted periodically. Any future orders shall be charged at the prices currently in effect at the time when an order is placed. All additional items or variations to the Proposal, after the acceptance of the Proposal, shall be subject to additional charges and shall be considered as part of the order and payable under the same terms as outlined in this Agreement. 2.2. Any CALYX rentals in the Customer’s possession must be returned to CALYX by the Thursday following the Event Date. Failure to return rentals to CALYX by this date will result in an additional fee of $1.00 per day per unreturned item. The Customer may request CALYX to pick up any rentals in their possession, however this must be pre-arranged with CALYX and will result in an additional fee. Scheduled pick-up times for returning rentals must be pre-arranged with CALYX. 3. PAYMENTS AND RETAINING CALYX 3.1. The Customer will provide an initial payment to CALYX to retain CALYX for their services. This initial payment will be a non-refundable payment of Twenty-Five Percent (25%) of the total cost of the invoice. 3.2. The remainder Seventy-Five Percent (75%) of the invoice (“Final Balance Due”) will be due and payable immediately thereafter, with a due date of TEN (10) days prior to the

Event Date. If the Final Balance Due is not received at least TEN (10) days prior to the event date, the Services will be deemed to have been cancelled without notice by the Customer and the Customer shall forfeit any monies paid to CALYX to date. CALYX will not perform services specified in the Proposal until all monies owing have been paid in full. 3.3. The Customer shall, in addition to paying CALYX for the Services, pay to CALYX all applicable Goods and Services Tax (“GST”). 3.4. The Customer may pay CALYX via certified cheque, e-transfer, cash or credit card. 4. PROPER CARE FOR BOUQUETS AND FLORAL ARRANGEMENTS (Vase Arrangements, Boutonnieres, Corsages, or other items that are not directly within a water source.) 4.1. Flowers are living and require proper care in order to stay fresh and beautiful for the Event Date. To avoid damage to the flowers, it is important to keep the flowers hydrated and adhere to the appropriate care tips. 4.2. Fresh Cut flowers have different life spans. Flowers such as Alstroemeria, Daisies and Carnations can remain vibrant for longer periods, while roses have a shorter life, but are prized for their special and delicate beauty. 4.3. Vases and Arrangements should never be placed on electrical appliances, such as televisions and stereos, as this can dry them out. Flowers should never be left sitting in a hot car, nor should any items be placed on top of the flowers as this will greatly shorten their lifetime. Bouquets or Flower Arrangements should not be placed near fruits or vegetables because of any ethylene gas that is produced from the fruit/vegetables. 4.4. Keep all flowers away from heat or extreme cold (kept not lower than 1-2 degrees Celsius). Avoid direct sunlight, heating or cooling vents and direct drafts from ceiling fans. Heat will shorten the life of any fresh flowers and cause them to wilt. Keeping them in moderate temperatures helps floral arrangements and Bouquets last longer. Hydrate the Bouquets as much as possible by placing them in appropriate size vase containers with approximately 1” of warm water. Warm water has less oxygen in it and will lessen chances

of air bubble being trapped in stem. 4.5. Boutonnieres and corsages contain cut flowers and although they have been wrapped with floral tape, they have a shortened period of time for freshness. If not placed within extreme conditions, any boutonnieres and corsages should remain looking fresh for the Wedding Day. 4.6. Arrangements in Vase containers should be checked to ensure that Vase water is at least to a level of 3/4 of the vase height. Water should be added daily and changed often with stems being re-cut to increase longevity. Flowers need a constant supply of fresh, clean water to keep floral arrangements lasting longer. If water becomes cloudy, replace it entirely and if possible, re-cut them by removing one to two inches from the bottom of the stem. Remove leaves that are below the waterline. Rotting leaves will contaminate water and shorten life. Clean water is essential - keep the water clean and the flowers will stay fresh longer. 4.7. Do not carry Bouquets in any manner other than upright. Holding flowers upside down, shaking, throwing or lying down may cause damage to design and flowers. Bouquets should always be placed upright in a vase container suitable to the size of the bouquet when not being held in a proper manner. 4.8. The Customer is fully aware and understands the above content outlined regarding proper care for the flowers. The Customer is solely responsible for any loss or damages as a result of failure to comply with the proper care of the flowers which includes misuse, abuse, accident, damage in transit and improper handling of the flowers. 5. SUBSTITUTIONS AND INHERENT QUALITIES 5.1. The Customer acknowledges and agrees that flower colours vary from flower to flower, and the Customer releases CALYX from any liability for any claims whatsoever based upon color match due to natural color variations of flowers. 5.2. CALYX shall make every effort to use the flowers agreed upon, as indicated in the design pictures. CALYX reserves the right to make substitutions to the type of flowers

or greenery used in the design pictures without additional cost to the Customer. CALYX shall attempt to discuss any substitutions with the Customer prior to the Event Date. 6. CHANGES OR CANCELLATION 6.1. The Customer may request an amendment to the Proposal by providing written notice to CALYX. Upon receipt and approval from CALYX of the Customer’s written notice, the notice will form part of this Agreement. 6.2. The Customer may terminate this Agreement by giving written notice to CALYX prior to THIRTY (30) days before the Event Date in accordance with6 Paragraph 8.1 below. The Customer agrees that should they terminate this Agreement prior to THIRTY (30) days before the Event Date, any payment (less the initial payment) will be refunded to the Customer. The initial payment will not be refunded to the Customer or used as in store credit and will be retained by CALYX. Should the Customer terminate this Agreement less than THIRTY (30) days before the Event Date, all fees and other amounts invoiced by CALYX for the Services shall be paid in full by the Customer no later than the termination date of this Agreement. 6.3. Should CALYX not be able to perform the Services in this Agreement due to fire or other casualty, act of God or other cause beyond the control of the 6 parties, or due to illness at any time, any payment provided to CALYX will be refunded to the Customer and CALYX shall have no further liability with respect to this Agreement. 7. REPRESENTATION AND WARRANTY 7.1. Services provided and products delivered to the Customer conform to the descriptions contained in the Proposal and are of merchantable quality. 7.2. This representation and warranty is made expressly in lieu of any and all other express or implied warranties and constitutes the only warranty made with respect to services provided and products delivered under the terms of the Proposal. 7.3. Upon delivery or pickup of the product, the Customer assumes all risk of loss and

liability resulting thereafter to any product received from CALYX. 7.4. The Customer is solely responsible for determining the suitability for use or application of any product received, including components thereof. If product or services provided to the Customer fail to conform with the terms of the Proposal, the Customer must advise CALYX at the time of delivery or pickup of product of such non-conformance otherwise the product provided to the Customer shall be deemed to conform with the descriptions contained in the Proposal, that they are of merchantable quality and the Customer thereafter fully releases CALYX from any liability. 8. NOTICE 8.1. All communications which may be required to be given by one party to another shall be in writing and delivered personally or sent by e-mail to the other party at their following respective address: For CALYX:

For the Customer: At the Address or Email indicated in the Event Details of the Proposal. Any such notice so given shall be deemed conclusively to have been given and received when so personally received or sent by email or other electronic communication or on the third day following the sending thereof by registered mail. A party may from time to time change their address hereinbefore set forth by written notice to the other party in accordance with this section. 8.2. Any communications and requests from the Customer to CALYX that have been made via telephone must be followed up and documented by sending a request via email to CALYX at their specified email as stated in Paragraph 8.1.

9. CONFIDENTIALITY 9.1. CALYX shall keep and shall cause its employees to keep secret and confidential any and all confidential information of the Customer and CALYX shall not directly or indirectly disclose any such confidential information, in whole or in part, to any person, firm, corporation, unincorporated organization or governmental organization, unless authorized by the Customer. 10. GENERAL 10.1. In the event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement. 10.2. To prevent any misunderstandings or potential conflicts from arising, each party shall act in good faith in accordance with this Agreement. 10.3. This Agreement shall be governed by the laws of the Province of Alberta and the parties hereto irrevocably agree to attorn to the jurisdiction of the courts of Alberta. 10.4. Headings are inserted for the convenience of the parties only and are not to be considered when interpreting this Agreement. 10.5. Words in the singular mean and includes the plural and vice versa. 10.6. Time is of the essence of this Agreement. 10.7. This Agreement may be executed in counterpart, and by facsimile or email, including PDF file or digital signature, each of which shall be deemed to be an original, but all of which shall constitute one and the same document. IN WITNESS WHEREOF the Parties hereto have executed this Agreement as of the day and year first above written.
