Chapleau Sawmill part of Rayonier Advanced Materials Sale

R

ayonier Advanced Materials Inc. (NYSE: RYAM) (“RYAM”), a global leader in high purity cellulose pulp, and GreenFirst Forest Products Inc. (TSXV: GFP) (“GreenFirst”), a Canadian lumber company, announced today that the parties have entered into a binding asset purchase agreement (the “Agreement”) pursuant to which RYAM has agreed to sell all of its lumber and newsprint facilities and related assets located in Ontario and Québec. (the “Purchased Assets”) to GreenFirst for an expected purchase price of approximately US$214 million including inventory on hand at the time of closing (the “Purchase Price”) which is payable approximately 85% in cash, 15% common shares of the capital of GreenFirst. In addition, a chip offset credit note will be issued to RYAM by GreenFirst in the amount of CDN$7.9 million, which may be set off against amounts owing to GreenFirst for chip purchases, equally over the next 5 years. Notably, RYAM will retain all of the cash generated by the Purchased Assets plus all softwood lumber duties, including earned interest on the duties, paid to the U.S. Department of Commerce through the closing date. RYAM estimates the duties to be approximately $110 million at the time of closing.

The Purchased Assets include six lumber mills which are located in Chapleau, Cochrane, Hearst and Kapuskasing Long Term in Ontario and in Béarn Forecast and La Sarre in Québec Thursday as well as one newsprint High 4 mill located in Low -2 Kapuskasing, Ontario Friday which produced 604 High 8 million board feet in Low -2 2020 with a combined Saturday High 9 Low -1 Sunday High 9 Low -2 Monday High 5 Low -4 Tuesday High 4 Low -4

nameplate capacity of 755 million board feet and are capable of producing a wide range of forest products used in residential and commercial construction, including dimensional lumber, wood chips and by-products.

The sale includes the lumber and newsprint mills as well as certain real property, machinery, inventory, permits, licenses and other related assets but excludes accounts receivable and accounts payable.

RYAM and GreenFirst have also agreed to a 20-year residual fiber supply agreement to meet the continued fiber sourcing needs of RYAM’s High Purity Cellulose, High Yield and Paperboard operations in Temiscaming, Québec.

The closing of the Agreement, which is expected to occur in the second half of 2021, but not prior to July 31, is subject to customary closing conditions, including receipt of regulatory approvals, the transfer of forestry licenses and the approval of the TSX Venture Exchange.

The information is invaluable and should be of interest to virtually everyone. Over the next few months we will be publishing the information from the The Little Black Book of Scams 2nd Edition, one scam at a time. Last week we published Identity Theft. Today the topic is: Health and Medical Scams Watch our for magical cures that offer quick and easy fixes.

There are fraudsters out there who hope to take advantage of people's suffering. The three most common types of health scams are miracle cures, weight loss programs and fake online pharmacies. In all cases, they often appear as sponsored post on social media or website popups.

Scammers offer products and services that seem to be legitimate alternative medicines

and treatments that quickly and easily treat serious conditions. Some of these may seem to be endorsed by celebrities or promoted by testimonials of people claiming to have been cured.

Weight loss scams promise dramatic results with little to no effort. The scammers might promote unusual diets; revolutionary exercises; fatbusting devices; or breakthrough products, such as pills, patches or creams.

Fake online pharmacies offer drugs and medications at very cheap prices or without a doctor's prescription. They advertise on the internet and send spam emails. If you do not receive the promised products, there is no guarantee they are the real thing or safe to take.

Tips to protect yourself: · Remember there are no magic pills or miracle cures for achieving quick weight loss or treating medical conditions. · Don't trust claims about medicines, supplements or other treatments. Get the facts straight from your healthcare professional. · Never commit to anything under

pressure, especially if a large advance payment or long-term contract is required. · Know that if an online pharmacy is legitimate, it will require valid prescriptions. · Be skeptical of celebrity endorsements or testimonials.

Chapleau Highway 129 called 'turkey train through Moments bush' but a highway was a highway!!! by

Michael J. Morris For more than half a century of its history, to about 1950, Chapleau was plagued by isolation for the outside world. The Canadian Pacific Railway provided the means of transportation to and from the community and the automobile was considered a luxury in the town.

As an aside before going any further, bush planes landed on the Kebsquasheshing River.

These planes were primarily associated with mineral exploration in the area, The longest drive anyone could take on a highway outside of Chapleau as recently as 1947 was about 35 miles. While a highway had been promised for many years, activity on it would occur only around election time, but once the votes were counted , it would cease.

However, in 1948, a disastrous forest fire struck the Chapleau area, and following it, the provincial government offered logging opportunities to lumber companies. A highway became essential and Highway 129 was completed to Thessalon.

In effect it was a gravel road which some compared to a "Turkey trail through the Bush" but a highway was a highway and it was a first step in improving Chapleau's transportation links with the outside world.

I still remember my first trip over Highway 129 to Thessalon and then to Sault Ste Marie and into Michigan for a holiday weekend in the early 1950s. My uncle B.W. "Bubs" Zufelt took us in his bakery delivery truck. --- my aunt Elsie, my cousins Betty, Anne and Joan, my mother Muriel

It was quite the adventure all of us packed in the truck seated on cushions..

Them were the days.

By the 1950s, the face of Chapleau was beginning to change as the Main Street business area was greatly expanded. The "other side" of Birch Street between Young and Lorne Street became part of the Smith and Chapple Ltd Chapleau Cubs circa 1952 complex. A new post office also a televisions station in the community. Dr. opened by 1951 at Lorne and Birch streets.

A sewage treatment plant and system was G.E. Young also established a system which in place and the Chapleau Memorial Community outlasted the Grout project.

The arrival of several lumber companies gave the community an economic boost. The CPR had constructed a diesel repair shop which created more employment opportunities.

Volunteer week (April 18-24) will soon be upon us, offering an opportunity to thank those who give freely of themselves to make our communities better by way of a familiar ingredient – effort. That is what allows so many of our non-profit organizations to carry on year after year, and what fuels smaller and less formal ventures too. The projects, whether big or small, transform cities, towns, regions, and neighbourhoods and sometimes even the individuals who are engaging as volunteers.

The theme for volunteer week in 2021 is “The Value of One, The Power of Many”.

According to the non-profit, Volunteer Canada, this is meant to help us see the kindness in each volunteer and the cumulative power that is created by the millions of Canadians who engage in volunteer work. It is also a theme they have decided to revisit after 20 years to celebrate how volunteerism has grown in Canada since 2001.

With so much changing in the last year, it is

Volunteerism is the heartbeat of our communities nice to see that the urge to be of help hasn’t diminished. People have engaged with their neighbours in ways they might not have even thought about in years past. Whether that’s running errands for vulnerable individuals, helping out with yard work (especially in the winter), or even checking in just to make sure everything is alright, volunteering at the most basic and informal level has grown in importance since the pandemic and it is appreciated.

It’s not terribly surprising however, since it is estimated about half of our population volunteers in some way or another. Globally the number is pegged in the 1 billion range which is really something to consider. There are a few good reasons for that according to Volunteer Canada who explain the act of volunteering helps people stay active and connected to their communities and can play a big role in healthy aging both physically and socially. They point to studies that show reduced stress-related illnesses, higher self-esteem, and less feelings of isolation as some of the benefits available to older Canadians who volunteer.

There are strong economic reasons to support and laud our volunteers, and organizations that direct them. A ten-year-old Toronto Dominion report claims volunteerism adds $50 million worth of activity to the Canadian economy every year. It also points to the value that flows in two directions as unpaid labour results in a benefit flowing from

the volunteer, where the experience and skill development are helpful to the person volunteering.

Those are especially important for young volunteers who are looking to build a resumé.

In the pandemic, volunteering hasn’t been quite as easy. For organizations there are entirely new considerations related to the health and safety of volunteers. Also, some organizations have been forced to suspend some activities whether that’s delivering services or raising the funds needed to offer them. Virtual volunteerism is one new wrinkle that may persist beyond the pandemic. The use of technology allows house-bound individuals the same opportunity as others and could increase the ranks of volunteers going forward.

There are many reasons to celebrate volunteering and the positive outcomes that flow from the process including those that benefit the volunteers themselves. While the formal act of volunteering has become more challenging during the pandemic, there have been additional opportunities to make a real difference for those closest to you, whether that’s for neighbours or family. This will help sustain us now and strengthen our communities going forward, in the same way volunteering has done forever. That’s why we don’t have to wait until volunteer week to thank our volunteers and I am confident most of you feel the same way.

L’action bénévole est au cœur de nos communautés La Semaine de l’action bénévole (du 18 au 24 avril) approche à grands pas et nous donne l’occasion de remercier ceux qui donnent librement de leur temps pour améliorer nos communautés au moyen d’un ingrédient que nous connaissons bien – l’effort. C’est ce qui permet à tant de nos organismes à but non lucratif de poursuivre leurs activités année après année et c’est aussi ce qui alimente des initiatives de plus petite envergure et de caractère moins officiel. Les projets, qu’ils soient petits ou grands, transforment les villes, les villages, les régions et les quartiers et parfois même les personnes qui y participent en tant que bénévoles.

Le thème de la Semaine de l’action bénévole de 2021 est « La valeur de chacun, la force du nombre ». Selon l’organisme à but non lucratif Bénévoles Canada, ce thème a pour but de nous aider à voir la gentillesse de chaque bénévole et le pouvoir cumulatif créé par les millions de Canadiens qui font du bénévolat. C’est aussi un thème que l’organisme a décidé de reprendre après vingt ans pour célébrer la croissance du bénévolat au Canada depuis 2001.

Tant de choses ont changé au cours de la dernière année qu’il est agréable de voir que le désir d’aider n’a pas faibli. Les gens ont apporté de l’aide à leurs voisins d’une manière à laquelle ils n’auraient peut être même pas pensé autrefois.

Qu’il s’agisse de courir faire des tâches pour des personnes vulnérables, de les aider à faire leurs

travaux extérieurs (surtout en hiver) ou de simplement vérifier qu’ils se portent bien, le bénévolat au niveau le plus élémentaire et informel a gagné en importance depuis le début de la pandémie, et c’est évidemment très apprécié.

Ce n’est toutefois pas très surprenant, car on estime qu’environ la moitié de notre population fait du bénévolat d’une manière ou d’une autre. À l’échelle mondiale, on estime que le chiffre est de l’ordre d’un milliard, ce qui donne à réfléchir. Il y a quelques bonnes raisons à cela, selon Bénévoles Canada, qui explique que le bénévolat aide les gens à rester actifs et à maintenir des liens avec leur communauté, et qu’il joue un rôle important de vieillir en santé du point de vue physique et social.

L’organisme mentionne des études qui montrent qu’une diminution des maladies liées au stress, un renforcement de l’estime de soi et une réduction du sentiment d’isolement sont certains des avantages que procure le bénévolat aux Canadiens âgés.

Il existe d’excellentes raisons économiques de soutenir et de louer nos bénévoles et les organisations qui les dirigent. Selon un rapport de la Toronto Dominion (vieux de dix ans), le bénévolat ajoute chaque année 50 millions de dollars d’activité à l’économie canadienne. Il souligne également la valeur qui en est retirée dans deux directions : le travail non rémunéré entraîne un avantage pour le bénévole, l’expérience et le développement des compétences étant utiles à la personne qui fait du bénévolat, particulièrement

dans le cas des jeunes bénévoles qui cherchent à étoffer leur curriculum vitæ.

Au cours de la pandémie, le travail bénévole n’a pas été aussi facile qu’avant. Les organisations doivent tenir compte de considérations entièrement nouvelles concernant la santé et à la sécurité des bénévoles. De plus, certaines organisations ont été contraintes de suspendre certaines activités, que ce soit la prestation des services ou la collecte des fonds nécessaires pour les offrir. Le bénévolat virtuel est une nouvelle tendance qui pourrait persister après la pandémie. L’utilisation de la technologie donne aux personnes qui ne peuvent quitter leur domicile les mêmes possibilités que les autres et pourrait accroître le nombre des bénévoles à l’avenir.

Il existe de nombreuses raisons de célébrer le bénévolat et les résultats positifs qui en découlent, y compris pour les bénévoles euxmêmes. Bien qu’il soit devenu plus difficile de faire officiellement du bénévolat pendant la pandémie, d’autres possibilités de rendre service aux personnes qui sont les plus proches de nous, que ce soient des voisins ou des parents, se sont révélées.

Cela contribuera à nous soutenir maintenant et à renforcer nos communautés à l’avenir, de la même manière que le bénévolat l’a toujours fait. C’est pourquoi nous n’avons pas besoin d’attendre la Semaine de l’action bénévole pour remercier nos bénévoles et je suis convaincue que la plupart d’entre vous sont du même avis.

Ontario Moves Schools to Remote Learning Following Spring Break The Ontario government, in consultation with the Chief Medical Officer of Health, has made the difficult decision to move elementary and secondary schools to remote learning following the April break. This move has been made in response to the rapid increase in COVID-19 cases, the increasing risks posed to the public by COVID-19 variants, and the massive spike in hospital admissions.

Details were provided today by Premier Doug Ford, Christine Elliott, Deputy Premier and Minister of Health, Stephen Lecce, Minister of Education, and Dr. David Williams, Chief Medical Officer of Health.

"We are seeing a rapidly deteriorating situation with a record number of COVID cases and hospital admissions threatening to overwhelm our health care system," said Premier Ford. "As I have always said we will do whatever it takes to ensure everyone stays safe. By keeping kids home longer after spring break we will limit community transmission, take pressure off our hospitals and allow more time to rollout our COVID-19 vaccine plan."

With appropriate measures in place, schools have been safe places for learning throughout the pandemic, as confirmed by the Chief Medical Officer of Health and local medical officers of health and have demonstrated low rates of in-school transmission. However, increasing rates of community spread pose a threat to the health and safety of school communities. As a result, all publicly funded and private elementary and secondary schools in the province are to move to teacher-led remote learning when students return from the April break on April 19, 2021. Private schools operating in-person this week are to transition to remote learning by April 15, 2021. This action is being taken in support of the Government's broader efforts to limit the spread of COVID-19.

Data will be assessed on an ongoing basis and health officials will be consulted to determine when it will be safe to resume in-person learning.

Child care for non-school aged children will remain open, before and after school programs will be closed and free emergency child care for the school-aged children of eligible health care and frontline workers will be provided. To protect the most vulnerable, boards will make provisions for continued in-person support for students with special education needs who require additional support that cannot be accommodated through remote learning.

"This was not a decision we made lightly, as we know how critical schools are to Ontario students. Our priority has always been to keep schools open, however sharply rising community transmission can put our schools and Ontario

families at risk," said Minister Lecce. "While Ontario.ca/covidvaccine.

We have a Toll Free Crisis Line which is staffed 24 hours a day. We can arrange for free transportation to the Centre for women who live in the Algoma/Chapleau area. We also offer support to women who live in the communities of Chapleau, White River, Dubreuilville, and Hornepayne through our Outreach Program. Our Outreach Worker travels to those communities to meet with women who need emotional support as well as information about their rights and options. Speaking personally, I endeavour to have a glass half full overall attitude. I fully admit that I often do see things from a negative perspective – especially in those situations where some one or some thing is likely to suffer a negative or even dangerous experience. That's why I enjoy my role as an MPP so much. I have the opportunity to bring the voices of the people I represent and Life is more enjoyable and significantly try to make things right. Dr. Peter Juni, also a member of Ontario's Science Table, stated March 17th, “To make it without a renewed lockdown in the situation we're in, that's next to impossible, unless a miracle occurs. This is not about miracles. This is about biology and epidemiology here.”

And on February 11th Dr. Brown warned Premier Ford that, “The cases will likely rise given the variants of concern.”

These medical specialists were not being pessimistic. They were instead being realistic.

Doug Ford must have dove into his treasure chest from younger days to find his rose coloured glasses to wear because his responses clearly indicate he was oblivious of the warnings emanating from his one Science Table professionals. His responses were:

April 1: “We're throwing everything we have at the virus.” (Everything but sick days and the covid-19 reserves from the federal government months ago.)

Feb. 22: “Rather than always looking at doom and gloom, 'the world is coming to an end'—we must be doing something right, because per 100,000 active cases, Ontario has the lowest outside the Maritime province. There must be something going in the right direction here.” (If that were true, why are Ontario's infection and ICU numbers skyrocketing?)

Feb. 16: “We were able to bring the numbers down. ICU units are actually going down, the capacity that is there right now. The numbers are going down.”

The Conservative's consistent downplay and denial is a key factor in explaining how Ontarians got into this ever growing mess. It should never have gone off the rails like is has today.

The lockdown which public health officials and Ontarians alike have been calling for has come far too late. The public health measures fall short of what many experts have been calling for all along. Doug Ford's delays and inaction have only served to prolong peoples' suffering.

Premier Ford has donned his rose-coloured glasses for far too long.

The government is providing Ontarians with mixed messages and outright confusing directives. In a nutshell; there are no financial supports for small businesses; there are no paid sick days, there is no comprehensive testing in essential workplaces; there is no cap on class sizes so kids can social distance in schools. And there is no comprehensive plan to get the vaccine to essential workers and no paid time off to get the shot.

This approach failed Ontarians before and I am fearful it will fail again. New Democrats have been desperately trying to help the government grasp the reality of the situation and have been offering as many positive proposals as possible. Alas, it seems those who play political games turn their backs, not only on workable, detailed plans but as well coldly turn their backs on all Ontarians.

Ontarians deserve a leader who has a positive and confident outlook. But they need a leader who also can balance his glass half full/half empty outlook with stark realities. We need a leader who listens to professional advisors to help him see things from a balanced and realistic point of view. A leader who puts the health, safety and needs of the people first and disregards politics and rewarding deep pocketed supporters.
