1.1. Under no circumstances will the Sponsor be permitted to receive its deliverables, participate in any of the contracted events and/or occupy its exhibit space(s) if it has not made the payments due under the schedule prior to the relevant deliverable or event.

1.2 If payment is not received within the time schedule specified above, CMP shall have the right to (1) cancel Sponsor’s participation in all parts of the Package Investment, including attendance at any contracted Event and/or release the contracted exhibit space, and (2) immediately charge Sponsor’s credit card for all outstanding, unpaid Sponsorship Package Investment amounts.

1.3 Any payments submitted by Sponsor in accordance with this contract may be applied, first, to any outstanding balances from previous events. Any and all payments marked as being payment in full or as being settlement of any dispute may be accepted by CMP without CMP forfeiting its rights under this Agreement and/or law.

1.4 Any Sponsor that does not pay in full in accordance with the deadlines set forth herein will be responsible for all outstanding amounts, interest at one and one-half percent (1.5%) per month, and any fees (including attorney’s fees and/or collection fees of not less than 25% of the remaining balance due) CMP incurs to recover the debt. There will be a $25 charge for all returned checks. If the above interest amount, attorney’s fees and/or collection fees, and returned check fees exceed the limits allowed by applicable laws, then the maximum interest and such fees as allowed by such laws shall be paid to CMP by the Sponsor.

2. SPONSOR INFORMATION DUE DATE/DELIVERABLE REQUIREMENTS

2.1. Sponsor must submit to CMP all information required for performance of this Agreement by no later than the deadlines set forth in the Deliverables section. Sponsor acknowledges and agrees that, if it fails to meet these deadlines, it will forfeit its right to receive some or all of the deliverables set forth above which required such information. Refunds or credits will not be provided in the event of missed deadlines.

3. CANCELLATION/POSTPONEMENT/ALTERATION POLICY

3.1. There are no refunds for cancellations by Sponsors under any circumstances. If a Sponsor cancels all or any portion of this contract at any time, for any reason, the Sponsor will be responsible for the entire Sponsorship Package Investment amount, plus interest and collection fees as applicable. In the event of cancellation by the Sponsor, CMP has the following, non-exclusive, rights: 1) CMP may cancel the Sponsor’s deliverables, event participation and/or release the contracted exhibit space and is free to provide said space to other Sponsors; 2) any portion of the Sponsorship Investment amount paid shall be retained by CMP as partial liquidated damages; 3) any outstanding Sponsorship Investment amounts shall be due and payable in consideration for CMP’s reserving the space and expending time and other resources up to the date of cancellation, which consideration Sponsor acknowledges as sufficient; and 4) CMP may immediately charge the credit card provided by Sponsor any remaining portion of the Sponsorship Investment amounts due.

3.2. CMP has the absolute right at any time to alter, reschedule or postpone all or any of the contracted Events, as it may deem necessary. In the event that CMP postpones or cancels an Event for any reason (including as a result of a force majeure), Sponsor shall have the option to attend the rescheduled event or to receive a proportionate credit towards a future CMP event. This is the sole right of remedy available to Sponsor in case of postponement or cancellation of an event by CMP. CMP is not responsible for any loss or damage resulting from a substitution, alteration or cancellation/postponement of an event.

3.3. To the extent that Sponsor’s deliverables under this contract include the right to individual meetings with delegate attendees, CMP shall not be responsible for rescheduling meetings which were due to be held at an Event which is postponed. A new set of meetings for a revised delegate list will be provided for a future event date. Other than its obligation to provide a credit as stated above, CMP shall not be liable to Sponsor for any claims, damages, refunds, costs or claims of any kind whatsoever if an event is altered, rescheduled, postponed or cancelled for any reason (including as a result of force majeure).

4. ALTERATIONS

4.1. Sponsor acknowledges and agrees that CMP reserves the right to make any changes to the schedule, presenters or in the general plan of any of the events or products which are the subject of this contract, including but not limited to alteration of the format of the event or product or of its elements, as may be deemed necessary by or advisable by CMP’s management, in its sole discretion.

5. DELEGATE LISTS/PRIVACY

5.1. To the extent that this Sponsorship Package includes provision to sponsor of delegate lists, lead lists, download information or similar contact lists (collectively, “delegate lists”), Sponsor agrees that the information contained in such delegate list(s) is confidential and is licensed to Sponsor on a non-exclusive basis on the grounds that it shall not under any circumstances be sold, published, disclosed, transferred, distributed, copied, forwarded or duplicated, in whole or in part, in any manner or form, for any reason, to any third party. The information shall be used for Sponsor’s internal marketing purposes only. Sponsor further agrees that, to the extent this Sponsorship Package includes an Event at which Sponsor will have the opportunity to interact with delegates, such as a digital or physical conference, tradeshow or Exchange, Sponsor will not contact confirmed delegates in advance of such Event (other than such delegates who are existing customers or contacts of Sponsor in the ordinary course of business), or contact potential delegate candidates regarding the Event in advance of the Event.

5.2 CMP shall gather the personal data in the delegate lists in accordance with its stated Privacy Policies and relies upon such lawful rights under applicable Data Protection legislation as are necessary to enable personal data of data subjects to be shared with Sponsor for marketing and communication purposes. Sponsor covenants that its use of the delegate lists shall comply with all applicable laws, regulations and guidelines regarding data privacy and personal data.

5.3 Both parties acknowledge that, for purposes of any applicable Data Protection legislation, CMP and Sponsor are each independent “controllers” and as independent “controllers” both parties will comply with data subject rights, data protection principles and other “controller” obligations with regards to processing of personal data within any delegate list, which may include collection, sharing and processing for purposes of direct marketing.

5.4. Sponsor acknowledges and agrees that, if required by applicable data protection laws (including the EU General Data Protection Regulation (EU GDPR) and the UK General Data Protection Regulation (UK GDPR)), it will, as requested, provide additional legally-required information regarding data privacy to CMP and/or agree to additional data protection processes as a condition to receiving any EU or UK data as part of its deliverables. Where personal data subject to GDPR is transferred outside the European Economic Area or the United Kingdom, and Sponsor is not already subject to the obligations of the EU or the UK GDPR, and unless Sponsor is based in an ‘adequate country’ or is covered by a suitable approved data privacy framework, Sponsor agrees as a condition of receiving any EU data that it will adhere to the EU Standard Contractual Clauses as set out here, and as a condition of receiving any UK data that it will adhere to the UK Addendum to the EU Standard Contractual Clauses, as set out here. If applicable, please sign below to confirm you accept the terms of the EU Standard Contractual Clauses and the UK Addendum.

6. PHYSICAL EVENTS/MEETINGS

6.1. With respect to any physical event, Sponsorship does not include hotel extras such as parking, Internet access, shipping of equipment or effects, computer rental, etc. The Sponsor will receive information from CMP regarding all venue contacts to arrange all extras and Sponsor will be responsible for all additional costs. The Sponsor is fully responsible for shipping, travel, and accommodations. If the exhibit area is in a union occupied facility, the exhibit and display work performed will be in accordance with the union rules. Otherwise, labor is the responsibility of the Sponsor. Sponsors wishing to carry insurance on their exhibits will purchase it at their own expense.

6.2. With respect to any product that includes one-to-one meetings, Sponsor must supply the names of the executives attending the event upon request by CMP and not less than six weeks before the date of the Event. CMP will endeavor to accommodate reasonable changes to attendee names but cannot guarantee such changes will be included in all event materials. Sponsor is responsible for making selections by the deadline set in, and in accordance with the instructions on the event portal. Sponsor acknowledges that their meeting itinerary will include a combination of mutual matches, sponsorselected meetings, and delegate-selected meetings. CMP will make every effort to reflect the requests of attendees in scheduling appointments, or to accommodate requested changes to a meeting itinerary, but reserves the right to set the meeting itinerary in its sole discretion. If Sponsor declines a meeting, CMP shall have no obligation to substitute an alternate meeting, and the declined meeting shall be considered as “delivered.” Booking cannot be made conditional upon the scheduling of appointments with specific individuals, and CMP does not guarantee the attendance of specific individuals. In the event a scheduled delegate becomes unavailable, CMP will endeavor to reschedule a meeting with an alternate person. However, CMP assumes no responsibility if appointments are not kept by any person scheduled to attend, and no refunds will be given in such event.

6.3. Unless the CMP sales representative is advised in writing otherwise on a date prior to the event date, Sponsor consents to CMP using any photographs of the Sponsor’s representative(s) and/or booth in CMP brochures, other CMP marketing materials and the CMP website for all legal purposes. It is understood that the Sponsor will not be entitled to any remuneration in connection with such usage. Sponsor shall not be permitted to record or rebroadcast any part of the event unless authorized by CMP in writing. Sponsor is entitled to the number of onsite representatives or online participants, as applicable, that are set forth in the Deliverables section of this Agreement; any additional attendees will be subject to an additional charge.

6.4. There is no transfer, sublet or sharing of this sponsorship, exhibit space, or any other of the deliverables set forth herein unless approved in advance, in writing, by CMP.

7. INTELLECTUAL PROPERTY

7.1. With respect to any product that includes distribution or publication by CMP of any written product or other intellectual property materials (such as marketing of a white paper, a webinar that includes downloaded materials, or similar), Sponsor represents and warrants that any materials supplied by Sponsor to CMP in connection with CMP’s preparation of the deliverables are the intellectual property of Sponsor and that Sponsor has the right to provide them to CMP for the intended purpose contemplated by this Agreement. Further, Sponsor grants to CMP a non-transferable, royalty-free license to use Sponsor’s materials for this limited purpose. CMP shall be the sole and exclusive owner of any intellectual property created by CMP or under its direction or control in connection with its preparation of the deliverables; however, unless otherwise specified between the parties, Sponsor shall have a limited, nontransferable, royalty-free license to display or use such materials in unmodified form for its own internal marketing purposes.

8. RESEARCH & ADVISORY SERVICES

8.1. To the extent that this Sponsorship Package include provision of any of the research and advisory services offered by the CMP Research team or any of its outside consultants, Sponsor acknowledges and agrees that the terms and conditions of such services shall be governed by the CMP Research Terms of Use, and agrees to be bound by and comply with those terms as if fully set forth herein.

9. LIABILITY AND INDEMNITY

9.1. Sponsor agrees that CMP, its affiliates, and their respective employees shall have no liability, and agrees to hold them forever harmless from, any loss, damages, lost property, injury, claims, costs, charges, or other expenses (“Loss”) it may incur in connection with the Event or, where applicable, its use of the exhibition premises.

9.2. Sponsor agrees to indemnify and hold harmless CMP, its affiliates and their respective employees, from and against any costs (including regulatory fines and defense costs), claims, demands, or causes of action brought against IQPC by any third party arising out of or relating to Sponsor’s breach of its obligations under, or misconduct in connection with, this Agreement or its subject.

9.3. Notwithstanding anything to the contrary in this Agreement, CMP’s liability to Sponsor for any breach of this Agreement shall in no event exceed the amount already paid by Sponsor under this Agreement.

10. SPONSOR BEHAVIOR

10.1. If CMP reasonably determines that Sponsor is interfering or obstructing its successful organization of any of the events or products which is the subject of this contract (including but not limited to unauthorized contact with delegates in advance of the event, delay in provision of necessary documentation or excessive alteration to requirements), CMP shall have the right to cancel Sponsor’s booking by written notification, and Sponsor shall not be entitled to any refund in such event.

11. MISCELLANEOUS

11.1. The Sponsor agrees that upon acceptance of this Agreement with CMP, this Agreement shall become binding and enforceable in accordance with its terms. This agreement will be binding on the Sponsor’s and CMP’s successors.

11.2. Sponsor acknowledges that no other warranties, representations or acknowledgements have been made which are not reflected in this Agreement. The terms and conditions set forth in this Agreement, and any Riders hereto, shall be the sole terms of the Agreement, and no terms or conditions delivered with or referred to in any purchase order or similar document from Sponsor shall form any part of this Agreement.

11.3. If any term, clause or provision hereof is held invalid or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or operation of any other term, clause or provision and the invalid term, clause or provision shall be deemed to be severed from the Agreement.

11.4. This contract shall be governed by the laws of the State of New York, without regard to conflicts of law rules. CMP and Sponsor expressly and irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts of New York County, New York with respect to any dispute arising out of or relating to this Agreement or its subject matter.

11.5. Your signature below indicates that you have reviewed this Agreement and agree to the terms set forth herein. You also certify that you are authorized on behalf of your company to bind your company to terms of this Agreement. This contract will not be binding on either party unless two (2) signatures are present below: 1) Sponsor and 2) Director, CMP Sponsorship & Exhibit Sales or Managing Director, CMP.
