Company history

COMPANY HISTORY Our company was established in the fast-growing Norwegian oil and offshore market. Our founder, Fred Olsen & Co, was an initiator for the construction of semisubmersible drilling rigs and built offshore installations at Aker Vindholmen Ship Yard in Arendal, Norway. The need for fireproof panels cleared the path for establishing a factory for production of marine interior wall panels – Aker Panels.

NEW MARKETS As a consequence of the “Scandinavian Star” tragedy, new safety initiatives were taken, and Norac quickly became a leading supplier of interior systems for cruise ships, ferries and commercial vessels.

Aker Panel was established in 1973 and made the products and the brand name “Aker Panel” well known in the fast-growing Norwegian offshore market. Since the early 1970s our panel systems were recognized as “Aker Panel”, and by some it still is.

MEYER WERFT

In 1982 the company expanded under the new name Norwegian Accommodation Systems – NORAC. At that time our products were introduced to the international market as Norac Marine Interior Systems.

Norac had the first large delivery of wall and ceiling panels to the Meyer Werft in Germany. This was the introduction to a long-lasting cooperation very much thanks to our efficiency and logistics in supplying high quality parts and products on time.

COMPANY HISTORY Since the early 1990s Norac became the largest supplier of Marine Interior Systems for cruise ships and ferries, and the company has through the years supplied accommodation materials to more than 8,000 ships worldwide.

Norac offers turnkey deliveries of complete interior systems including floating floors, wet units, carpets, furniture – even cutlery and sets if wanted.

When Norac established its fully-owned subsidiary UAB Norac in Lithuania in 2006, the business quickly grew into an efficient production company that currently has approximately 400 employees.

In 2019 Norac started assessing and compensating for emissions related to the organisation and panel production.

ACOUSTIC INSULATION In the marine and offshore industry, the acoustic insulation properties of the interior systems are of high importance. The acoustic insulation standards on board, especially in passenger ships, are continuously rising. At Norac we are therefore working hard to be able to deliver products that can satisfy the high standards for acoustic insulation.

When we talk about acoustic insulation properties, we normally distinguish between sound absorption and sound reduction.

Sound absorption: Sound absorption is a material property which describes how well sound waves are absorbed in a material, thereby preventing sound from bouncing around the room.

For acoustic insulation requirements, sound absorption is relevant when considering noise levels within the same space as the noise source.

The ability of the walls, floor and ceiling of a room to absorb noise will be important in reducing noise reflected back from the surfaces into the room, creating echoes.

A material's sound-absorbing properties are expressed by the sound absorption coefficient, α (alpha), as a function of the frequency. The alpha (α) ranges from 0 to 1.00, where 0 is total reflection and 1.00 is total absorption.

ACOUSTIC INSULATION Sound reduction: When it comes to sound reduction, we talk about the reduction of sound through an element of construction (wall, floor, door, or ceiling).

For acoustic insulation requirements, the sound reduction value is relevant when considering noise levels in a space separated from the noise source, for example between cabins.

The sound reduction for any construction will vary with the frequency of the sound source. Although the sound reduction for a construction is measured at various frequencies, an overall single value is used to express the sound reduction property. This value is called the “weighted sound reduction ”or“ sound transmission loss” value (Rw) and the unit of measure is decibel (dB). The higher sound transmission loss of a construction, the better it functions as a barrier to the passage of unwanted noise.

The method of measurement and analysis of sound absorption and sound transmission loss of Norac products are conducted at certified laboratories in accordance to the following standards: • • • •

WALLS FIRE PROTECTION The shipbuilding and offshore industries set very high requirements for safety on board. Products and construction to be used for fire protection must be tested for their fire resistance, in accordance with the rules and regulations set by the International Maritime Organization (IMO). Based on the approved test results, the Classification Institutes and National Marine Authorities grant the required approval.

IMO has developed a code for application of fire test procedures, called 2010 FTP Code. It provides the international requirements for laboratory testing, type-approval and fire test procedures for products referenced under SOLAS chapter ll-2, which includes regulation on fire protection.

A part of the 2010 FTP Code describes the test procedures and performance criteria for “A” and “B” class divisions (IMO 2010 FTP Code part 3 of annex 1), which are applicable for Norac’s fire-rated products. The products are tested at certified laboratories, where they are mounted to a furnace and exposed to heat on one side. The heat follows a given temperature curve, which will reach temperatures of 600 °C after only 5 minutes.

The test duration is 60 minutes for an “A” class division and 30 minutes for a “B” class division.

There are two main performance criteria for “A” and “B” class divisions, insulation and integrity.

WALLS FIRE PROTECTION Integrity: For all “A” and “B” class divisions, including “A” and “B” doors, there should be no flaming on the unexposed side during the test duration. A cotton-wool pad can be used to assist the evaluation of flaming. During the test period, there shall be no openings in the division large enough for a gap gauge to be passed through the test specimen.

Insulation: A test specimen is equipped with thermocouples measuring the temperature rise on the unexposed side. Both the average and maximum temperature rises are measured. For both “A” and “B” class divisions, the average unexposed-face temperature rise shall not be more than 140 °C. The maximum temperature rise recorded by any of the individual unexposed-face thermocouples shall not be more than 180°C for “A” class divisions and 225 °C for “B” class divisions during the periods given below for each classification: • • • • • •

CARBON FOOTPRINT Over the past two decades the effects of climate change have accelerated. Considerable evidence exists proving climate change has been exacerbated by human activity. Changes in our post-industrial lifestyles have altered the chemical composition of the atmosphere, generating a build-up of greenhouse gases – primarily carbon dioxide, methane, and nitrous oxide levels – raising the average global temperature.

The consequences of inaction will be disastrous. Sea level will continue to rise and local climate conditions to be altered causing an increase in extreme weather events, affecting forests, crop yields, and water supplies. It will also affect human health, accelerate species extinction, and disrupt many ecosystems.

Climate change is a global threat which will impact the lives of everyone on the planet. Hence, it is vital that all individuals, businesses, organisations and governments work towards the common goal of reducing greenhouse gas emissions.

We have therefore adopted a comprehensive approach to addressing our climate impact and taking care of our carbon footprint.

This means:

Assessing our organisational emissions and the product footprint of our panels through a transparent and comprehensive Life Cycle Analysis (LCA) from cradle-to-gate. This includes the process from the extraction and processing of virgin raw materials, the production, packaging, the transport of these components to our factory and product distribution.

•

Reducing our own carbon footprint through efficiency measures and reviewing our whole production process.

•

Compensating for emissions by planting mangrove trees in collaboration with the Thor Heyerdahl climate park in Myanmar.

WALLS K-600 K-600 is designed with integrated joint profiles for rapid installation, leaving a flush surface with single seam joints. Available in standard or modular system.

Approved B-15 available for several wall types.

GENERAL STRENGTH PROPERTIES

The tongue-and-groove system allows fixing of heavy objects to the wall without special reinforcement.

Norac has performed several series of other tests on strength properties. More information is available on request.

Both K-600/25 mm and K-600/50 mm are qualified according to the SOLAS regulation: “Strength test for B-class panels to which handrails are attached on RO-RO passenger ships”.

The below fixing methods and specifications will not impair the fire integrity of the panel types subject to the delivery.

WALLS EXAMPLE OF STANDARD SYSTEM A standard system is a flexible system allowing adjustments onboard the vessel during construction. The panels are delivered in one standard size and are cut to fit according to the on-site measurements with use of stand profiles.

Profiles are designed to leave as few visible screws/rivets as possible.

Norac can provide a Drawing Package upon request. The Drawing Package consists of Norac products, elements, and profiles, and can be used by the recipient for information of the Norac product system. It can also be used by the recipient for generating material takeout’s (MTO).

Norac can deliver product, elements, and profiles according MTO by customer.

The elements and profiles in the drawing package are standard products. NORAC can also design and produce special elements and profiles according to customers need.

WALLS EXAMPLE OF MODULAR SYSTEM A modular system is a fully tailor-made system to avoid adjustments and cutting onboard vessels. These systems reduce waste and the installation time for the yard and most importantly, reduce costs.

A modular system leaves a smooth finish with no external profiles and no visible screws/rivets.

It is appreciated just as much for commercial vessels and offshore rings as it is for cruise vessels.

For modular and semi-modular wall- and ceiling systems, Norac provides engineering according to customers General Arrangement (GA) drawings. NORAC engineering generates installation drawings and will ensure an optimal solution.

DOORS B-RATED Norac has a complete range of B-doors designed for all kinds of applications, from a lightweight all-round door for corridors and public areas to a cabin door with sound reduction value (Rw) of 44 dB. The doors are easy to install and supplied complete with integrated top element (option), frame, counter frame, door leaf, hardware and stainless-steel threshold.

All B-doors can be delivered with painted, stainless steel or PVC coated surface, and they are all certified as fire class B-15.

WET UNITS PREFABRICATED With many years of experience and specialized competence, Norac offers fully fitted B-15 fire rated wet units. The Norac modular wet units are ideal for marine accommodations, from cruise ships to offshore installations.

The Norac wet units, whether standard or custom made, are manufactured according to the strictest rules and regulations and are fabricated from only first class materials.

In our design, the emphasis is on using durable solutions to ensure maximum quality, comfort and well-being of our customers, whether they are a ship owner, ship yard or end user.

The units are manufactured with a great deal of consideration given to the ease of handling and installation.

Throughout the production process the units are subjected to strict quality control to ensure that all of our supplies conform to our policy of supplying only first class quality.

WET UNITS INSTALLATION The standard units are delivered each with four square tubes for easy lifting and locating on board. A specially designed lifting frame is used for hoisting by crane.

After lifting on board, transportation wheels are fitted into the tubes. The units are then jacked up and transported to their final position.

All units are delivered with one adjustable leg at each corner to allow for levelling.

Norac wet units are so complete when delivered that after fixing them to the deck you only need connect the water, drainage and electricity to use them.

Norac wet units have been successfully installed on numerous vessels throughout the world, whether they are on a luxury cruise liner, commercial vessel or offshore platform.

In today´s global environment, companies are an important part of the process of creating sustainability and enhancing ethical business conduct.

For Norac, to be a responsible company means to behave ethically in all aspects of business. This means that we care for the environment, we set good examples in the way we act towards each other as employees and the way we treat our business partners, and we always respect laws and regulations wherever we do business.

Norac is positioned in the international, as well as the domestic market. A key factor to success in all markets is reliability which is why being a reliable partner is a Norac top priority.

The Code of Conduct sets Norac´s ethical standards in a number of areas. All employees must be familiar with and live up to these standards.

Why is ethics important in Norac?

The short answer is that it is simply correct to do the right things.

There are also good business reasons.

High ethical standards are essential to ensure continued trust from our customers, thus ensuring the company´s success.

We must also act as responsible social actors – this way we may receive and also deserve the respect we get from the population, investors and authorities. In addition, for Norac to be the kind of employer we want to be and for us to have a culture in which we attract new employees, ethical behaviour is a key factor.

Ethics is about what is right and how to behave. As such, Norac is never more than our employees´ total actions and behaviour. In reality, nothing will happen unless every one of us behaves in an ethically correct manner, in accordance to our guidelines and values. Ethics begins with ourselves. The employees are the key to Norac succeeding in living up to our ethical guidelines.

2. CONDITIONS CODE OF CONDUCT 2.1 BASIC ETHICAL PRINCIPLES Norac´s basic ethical principles and high ethical standards are a prerequisite for long-term success.

Norac and our employees behave fairly, correctly and honestly, and with high integrity.

Every person has the same value Our culture must promote equality and diversity, and we accept no form of discrimination.

2.2 LAWS AND RULES We act in accordance with laws and rules If laws or rules are less stringent than our own standard, we use the Norac standard unless we are given other instructions.

We have good relationships with public authorities Norac strives for transparency and mutual respect when working with inspectors and surveillance authorities, as well as all other public authorities.

2.3 AT WORK We use common sense We behave like mature, responsible people who uses common sens and think for ourselves. Even though something is not defined as prohibited by our policies, it is not given that it is correct.

We treat each other with respect We treat each other with mutual respect, trust and consideration.

We maintain good cooperation with the labor unions In order to develop Norac and ensure that all employees are treated properly, Norac strives to maintain a close and beneficial dialogue with both employees and their elected representatives; such as trade unions.

We take responsibility for the company’s property We treat the tools and equipment we use at work in a responsible manner.

Norac´s equipment may not be used for private purposes or profit.

We have a safe and healthy working environment Norac works hard to ensure a healthy and safe working environment. Norac works continuously on assuring we have a healthy attitude towards work and stimulant intake.

Alcohol should not be consumed during working hours. The only exception is when alcohol is served in connection with customer care and if it is enjoyed responsibly. Norac’s employees shall not use illegal narcotics or drugs.

Out of work We expect Norac´s employees to use common sense when participating in non-work related activities. For example, employees shall not participate in any activities competing with Norac. In addition, our employees have to make sure that their personal opinions and comments in private or social media cannot be perceived as Norac´s.

2.5 BUSINESS ETHICS Quality and long-term thinking Norac is equivalent to high quality, and strives to achieve reliable, long-term results.

We compete in a legal and honest way We believe in open and fair competition. Our business is always carried out under competition laws.

We do not offer unsuitable gifts or services We will only receive gifts and benefits if they are reasonable in relation to current business, and are within the limits of normal business behaviour, both in terms of value and content.

A high level of trust and integrity is the backbone of Norac´s business ethics; this is why we exercise great care when receiving gifts.

In relation to gifts and benefits, we are regulated by the Norwegian Institute for Bribery Rules for Gifts, Incentives and Other Benefits in Business. If these rules differ from what is permitted in any of the countries Norac operates, rules or equivalent guidelines apply for the country in question.

Our business conditions are professional Norac´s business decisions should be based solely on business evaluations on conditions such as quality, price, capacity, and the like.

Norac does not cooperate with suppliers or other collaborators who grossly violate their obligations to their business partners, employees or society.

We avoid conflicts of interest Norac´s employees shall avoid situations where their personal interest can lead to conflict with what is best for Norac. If a conflict of interest arises, the employee shall inform his nearest leader, who will then make a decision on how to handle the situation.

Honesty, openness and transparency are key elements to avoid or deal with conflicts of interest between Norac and our customers. If a conflict occurs, the customer should be given the correct information about how he or she can get the case reviewed by a relevant authority.

2.6 LIABILITY We protect information about our customers We practise duty of confidentiality regarding information about customers´ medical, financial and other personal circumstances.

Confidential information may not be distributed to, or discussed with unauthorized persons, and may not be stored in a way which makes it available to unauthorized persons.

Also, all other information about customers should as a general rule be considered confidential. Managers with specific responsibilities can be exempted from the duty of confidentiality in certain cases, for example in court cases.

The affected customer can allow Norac to publish their information, for example for marketing purposes.

We protect our business information Information about Norac´s products, business models and the like which are not already published externally, are confidential and must not be disclosed to third parties unless there is a commercial basis.

You must be careful when speaking during external conferences; make sure competitors cannot access information about Norac´s competitive advantages.

CONDITIONS OF SALE AND DELIVERY Accept These General Conditions of Sales and Delivery shall apply unless modified by express agreement in writing between the parties. The General Conditions shall be deemed to have been accepted upon acceptance of a quotation.

1. PRICES Where firm prices are quoted, such prices shall only apply within the time limits stipulated for acceptance and for delivery, and with such exceptions: If NORAC AS` purchase cost for raw materials, within the period from the date of the order confirmation until delivery to the Buyer, has increased or decreases +/- 5 %, the firm prices shall be adjusted (corresponding to the change). Regarding other fluctuations in the market which entails large changed cost related to NORAC AS delivery to the Buyer (+/- 10 %), the parties agree to renegotiate prices with a view to continuing the existing balance of the contract. Where firm prices are not agreed, including if the customer requests a change in agreed delivery time, the following applies: All prices are net in NOK, EUR or US, excluding VAT, and are subject to change without notice, corresponding with direct increase or decrease in cost of materials, shipping and wages.

2. QUOTATIONS Only quotations in writing shall be binding. All quotations are subject to the goods being unsold. The quantities calculated and stated in the quotation serve as a guideline only and are subject to alteration. Invoicing is made in accordance with the quantities actually supplied.

3. ORDERS The purchase is final and binding when NORAC AS has confirmed the order in writing. Any order confirmed by NORAC AS cannot be cancelled, amended or postponed by the Buyer, unless NORAC AS has accepted this in writing and in such case only against payment of any expenses incurred.

4. BUYER’S SPECIFICATIONS Upon placing an order, the Buyer shall supply complete specification of the delivery, unless NORAC AS has assumed this work under a separate agreement. In the event complete specification of the delivery including the requisite drawings, data and detailed dimensions has not been submitted when the order was placed, such specification must be received by NORAC AS not later than the date specified in the quotation or in the order confirmation. In the event that the Buyer fails to submit specifications by the agreed deadline, NORAC AS shall be entitled to deliver at a later date set

by NORAC to accommodate the Supplier’s production program. In the latter case, NORAC AS shall be entitled to adjust price to compensate expenses incurred by NORAC AS for any delay in delivery, including but not limited to increasing production costs (wages, price of materials, etc.) and any cost incurred in connection with rate of exchange.

5. NORAC AS SPECIFICATIONS In the event that NORAC AS has undertaken to prepare drawings and specifications, such material must be submitted to the Buyer for final approval as soon as it is ready. Unless otherwise agreed, the Buyer’s approval shall have been received within 15 days of receipt of NORAC AS’ specifications.

Where approval is delayed, reference is made to Clause 4(3). After having received the Buyer’s acceptance of the specification, NORAC AS cannot be held liable for errors or omissions in specifications or drawings.

CONDITIONS OF SALE AND DELIVERY 6. AMENDED SPECIFICATIONS In the event that the Buyer amends specifications in relation to the specifications contained in the quotation or any specifications approved later, NORAC AS is entitled to claim payment of any additional costs ensuing from of amendment.

7. RETURNING OF GOODS ‘Goods may be returned only with the prior consent of the Supplier.

8. DELIVERY The terms CIF, FOB, DDP, Ex Works, etc. are interpreted in accordance with INCOTERMS 2010. The conditions are to be understood as exclusive of duty and local charges and dues of any nature whatsoever.

9. TIME OF DELIVERY Times of delivery is stated in the order confirmation and is based on all requirements specifications pertaining to the supply that were clarified when the order was placed or at the time specified in the order confirmation.

The time of delivery is to be indicated as ex works. Delays in delivery do not entitle the Buyer to terminate the agreement unless the Buyer has submitted a prior notice in writing to NORAC AS demanding remediation of the defect/deviation in question, and unless NORAC AS subsequently fails to deliver the goods within by a reasonable deadline. Excepting daily penalties, where such penalties have been agreed upon in writing, NORAC AS shall not be liable for compensation for the consequences of delays in delivery or non-delivery in the event of termination The Buyer’s non-compliance with time limits shall be deemed to release NORAC AS from any penalty liability. Where delays in delivery are due to the Buyer’s acts or omissions, the time of delivery shall be so extended that the delayed shipment may be delivered at a time that NORAC AS determines in relation to its production program.

If delivery does not take place at the agreed time of delivery, and this is not due to causes within NORAC AS’ control, the risk of any loss or damage to the goods shall pass from NORAC AS to the Buyer when NORAC AS is capable to deliver the goods to the Buyer according to the agreed delivery terms. NORAC AS shall notify the Buyer when the goods are ready for delivery, and the risk and responsibility for the goods passes to the Buyer.

NORAC AS shall not be liable for loss of or damage to goods that occurs thereafter. All storage of goods after NORAC AS has notified the Buyer that the goods are ready for delivery are therefore to be conducted solely at the Buyers own risk and expense. NORAC AS is entitled to issue invoice and claim payment from the Buyer, according to the agreed terms of payment, as soon as the risk of any loss or damage to the goods has passed from NORAC AS to the Buyer. The title to the goods shall pass from NORAC AS to the Buyer when complete payment has been received by NORAC AS, in accordance to clause 19.

OBSTACLES TO DELIVERY NORAC AS shall not be liable for non-compliance with its obligations as a result of force majeure, including but not limited to war, riots, civil commotion, government intervention, fire, strikes, lock-outs, export and/or import embargo, non-delivery, imperfect or delayed shipments from subsuppliers, lack of manpower, fuel, driving power, accidents in the manufacturing process or in testing, mobilization, or unforeseen conscriptions, currency restrictions, or any other cause of whatsoever nature beyond NORAC AS’ control, and which serve to delay or prevent the manufacture and delivery of NORAC AS products.

Where delivery on time or delivery of faultless goods is temporarily prevented by one or more of the aforesaid circumstances, the time of delivery shall be postponed for a period equal to the duration of the time during which the obstacle prevails, and delivery within the delivery time thus postponed shall be deemed to have been made in time in every respect. Where the obstacle to delivery is deemed to last for more than 3 (three) months, NORAC AS shall, however, be entitled to cancel any quotations made.

11. DEFECTS AND SHORTCOMINGS In the event that defects or shortcomings are ascertained in the goods supplied, NORAC AS undertakes, at its own choice, either to replace defective goods with new similar goods free of charge, or to credit the Buyer for the defective goods against the return of same. NORAC AS’ commitment is conditional upon a complaint in writing being submitted forthwith to NORAC AS and within 30 days of the receipt of the goods.

NORAC AS shall not be liable for defects and shortcomings over and above this commitment and shall thus be liable neither for consequential loss nor any other indirect loss of any nature whatsoever, including losses suffered from covering purchases made from another supplier, expenses as a consequence of delay etc.

NORAC AS shall not be liable for defects or shortcomings attributable to incorrect handling, transport, storing, mounting or negligence on the part of parties other than NORAC AS. 12. NON-NORAC PRODUCTS Notwithstanding any of these Conditions to the contrary, NORAC AS makes no warranties or representations regarding products that are not manufactured by NORAC AS,, and shall have no obligation to repair, replace or correct any goods which are non-NORAC products; the Buyer shall be entitled to proceed only upon terms of the warranty, if any, extended by the actual manufacturer or manufacturers of such Goods.

13. PAYMENT The following shall apply where no terms of payment are stated in the quotation or in the order confirmation: Net cash within 30 days of invoice date.

Where payment is not made in due time, NORAC AS is entitled to charge interest at the rate of 2 per cent per month until full payment is made.

CONDITIONS OF SALE AND DELIVERY In the event that the Buyer’s capacity to pay is deemed to have worsened, in the opinion of NORAC AS subsequent to the making of the agreement, NORAC AS shall be entitled to claim payment in advance of delivery.

14. RESPONSIBILITY NORAC AS is responsible for NORAC products only.

15. FAULTY DELIVERY Responsibility for faulty deliveries or delayed deliveries shall be limited to the cost of NORAC materials only.

16. PRODUCT LIABILITY NORAC AS can be held liable only for hazardous properties in the goods sold that can be attributed to gross negligence on the part of NORAC AS. 17. DISPUTES All disputes shall be settled with final and binding effect under Norwegian law in Norway, of which the ruling and/or award may not be appealed to any other court of law.

18. GUARANTEE NORAC AS offers one year’s guarantee for the finished, product commencing on the date of acceptance by the Buyer’, however, only for a total 18month period beginning from the last date when finished products were delivered to the Buyer.

This guarantee covers defects which are not ascertainable at the time of delivery and which can be directly attributed to manufacturing errors.

The guarantee does not cover any damages attributable to incorrect handling, installation and/or usage.

The guarantee includes replacement products incl. transportation costs. NORAC AS reserves the right to repair the products on the building site, if replacement is not deemed necessary.

NORAC AS’ liability does not include expenses involved in gaining access to/or from the products to be repaired or replaced.

19. TITLE OF GOODS The goods remain the property of NORAC AS until complete payment has been received.
