2.3 Consolidation and business combinations

Subsidiaries Subsidiaries are all entities (including special purpose entities) over which the group has the power to govern the financial and operating policies generally accompanying a shareholding of more than one half of the voting rights. The existence and effect of potential voting rights that are currently exercisable or convertible are considered when assessing whether the group controls another entity.

Subsidiaries are fully consolidated from the date on which control is transferred to the group. They are de-consolidated from the date that control ceases.

Acquisition of subsidiaries / business combinations Acquisitions of other entities or business that constitutes a business are accounted for using the acquisition method. Assets and liabilities assumed in a business combination are measured at there acquisition date fair value. Deferred tax are measured as the difference between the acquisition day fair value and the tax base of the assumed assets and liabilities.

Goodwill is measured as the difference between assumed net asset including deferred tax and the consideration transferred, previously interest in the acquire and non controlling interest. Non controlling interest is measured either as the fair value or as their portion of the net value of assumed assets and liabilities. For investment in associated companies goodwill is included in the booked amount of the investment in the associated company. Goodwill is recognized in the balance sheet at cost less accumulated impairments. Goodwill is not amortized but is tested annually for impairments. Investments in associates are accounted for using the equity method of accounting. Under the equity method, the investment is initially recognized at cost, and the carrying amount is increased or decreased to recognize the investor’s share of the profit or loss of the investee after the date of acquisition. The group’s investment in associates includes goodwill identified on acquisition.

Price risk The group has investments of total MNOK 123 in listed financial instruments. Changes in the listed price of this financial instruments will effect the financial position for the group.

Currency risk The revenues of the group are primarily in USD, PUND, BRL and NOK. A significant portion of the cost are in NOK. The result in risk exposure to currency risk.

Marknadsrisiko

Kursrisiko Konsernet har investert totalt MNOK 123 i noterte verdipapirer.

Endringer i kursnivået på aksjene vil medføre endringer i konsernets finansielle stilling.

Valutarisiko Konsernet inntekter er i hovedsak i USD, Pund, BRL og NOK. En betydelig andel av kostnadene, samt finansieringen er i norske kroner. Dette medfører eksponering mot valuta risiko.

Interest risk The group has interest bearing borrowings of a total of MNOK 4 820.

Renterisiko Konsernet har ein total uteståande rentebærende gjeld på til saman MNOK 4.820.

Crew for the vessel are employed in Olympic Crewing AS. Olympic Crewing AS receives government grants in accordance to the net salary arrangement. Thru the agreement with Olympic Crewing AS the group receives government grants from the arrangement.
