Banking institutions, taking advantage of the tax exemptions, have recovered many properties against the loans that they should gradually sell, while interest for foreclosures remains low.

Many companies in the property sector are highly leveraged, something which creates obstacles to the planning of new projects.

Also, important statistics, which for the time being remain unknown, is the value of sales contracts and this is essential, since contracts connected to investors’ naturalization program are worth millions.

Cyprus Credit Ratings

On the 28th July 2017, Moody’s has upgraded the government bond ratings of Cyprus from B1 to Ba3. As per the Moody’s report, the reduction in the debt-to-GDP ratio and in NPLs is expected to be sustained.

Moody’s expects a deceleration in private consumption and therefore in real GDP growth, to 2,7% in 2017 and 2,5% in 2018, as a result of increased household loan repayment, the recovery in oil prices and increasing inflation. Nevertheless, private consumption and investment should remain the main growth drivers against the backdrop of further falls in the unemployment rate.

On the 15th September 2017, Standard & Poor`s affirmed the BB+ rating of the Cypriot economy and revised the outlook on the long-term sovereign credit rating from stable to positive. Standard & Poor`s expects the Cypriot economy to expand by 3% between 2017 and 2020.

If the economy continues to recover it could increase the rating over the next 12 months.

Loans & Interest Rates Tourism

The average interest rates for new housing loans (consumer credit, lending for house purchase and other household lending) have continued their downward trend, falling to 3,13% in June 2017 compared to 3,36% in June 2016.

2016 was the most successful year ever recorded with arrivals reaching 3.186.531 while for the first six months of 2017 the rising trend is continuing. For the period January-June 2017, tourist arrivals reached 1.463.206 which represents an increase of 16,6% from the equivalent period of 2016. This has set the record for the highest number of arrivals ever recorded in Cyprus for this period. For the first six months of 2017, most tourists arriving in Cyprus were from the United Kingdom (511.344) and Russia (332.982).

Registration of New Companies

Applications for registration of new companies have increased by 1,2% in the first six months of 2017 compared to the equivalent period of 2016, reaching 6.401. Still, the number of applications remains below the levels exhibited prior to the economic crisis.

The total number of companies registered in Cyprus in June 2017, amounts to 213.276.

Property Sales Contracts

One of the largest annual increases of the decade (43%)was noted in the total property sales contracts submitted at the Land Registry in 2016 which amounted to 7.063.

According to data of the Department of Land and Surveys for the first six months of 2017, deeds of sale submitted to the Land Registry amounted to 3.610 compared to 3.012 in the equivalent period of 2016, recording an increase of 20%. Most contracts of sale for the period January-June 2017 were submitted in Limassol (37%), followed by Paphos (25%), Larnaka (17%), Nicosia (16%) and Famagusta (5%).

The steady recovery of the real estate market and the increase in transactions is aided by the government’s scheme for naturalization of investors by exception. This is reflected in the statistics on transactions relating to foreign buyers. For the first six months of 2017, 989 transactions related to foreign buyers compared to 685 for the first six months of 2016, recording an increase of 44%. Out of the total number of sales contracts submitted at the Land Registry for the first 6 months of 2017, 27% related to foreign buyers.

Foreign interest is primarily focused on the residential sector in prime locations with close proximity to the beach.

Property Market Incentives

The property market has been stimulated by various incentives offered to investors by the government: For example, in mid-2015, a law amendment was adopted according to which the profit made upon the sale in the future, of properties acquired by 31st December 2016, will not be subject to capital gains tax.

Additionally, as far as transfer fees are concerned, it is pointed out that incentives provided have become permanent. This means that there will be no transfer fees for property purchases subject to VAT, while for other purchases, transfer fees will be reduced to 50%, as estimated based on the provisions of the current legislation.

Moreover, the legislation that was adopted in the Autumn of 2015 dealing with the longstanding problem of the inability to issue title deeds in the name of purchasers who have paid the amount due in full to the land developer, has enhanced the credibility of the Cypriot real estate market.

Real Estate Sector

The Cyprus real estate market can be divided into two groups of demand. The major urban centers of Nicosia, Limassol and Larnaka are mainly supported by local demand, while Paphos and Famagusta are mainly supported by foreign demand.

Foreign investments

The interest of foreign investors in Cyprus’ real estate market keeps growing, since nearly one third of sales contracts submitted in first half 2017 involve overseas buyers. This is primarily due to the Cypriot government’s initiative regarding the Cypriot Citizenship Program, the permanent residency program as well as the various tax incentives offered.

The market is further segmented in three main sectors, being the residential, retail and office sectors, with the primary emphasis being upon the residential sector as the island’s topography and geography appeal largely for residential utilization.

The Royal Institute of Chartered Surveyors (‘RICS’) Cyprus Property Price Index is published on a quarterly basis and focuses on both residential and non-residential property. It also tracks trends on rental rates. While the yearly average comparison for 2015 and 2014 registered a drop in prices of all types of property in the industry, the statistics for 2016 and Q1 2017 exhibit a reverse trend as prices seem to be on the rise.

Residential Cyprus has an average price of €1.530 per square meter and currently ranks 32rd amongst the European countries. For comparison, Monaco ranks 1st with an average price of €44.522 per square meter, followed by the UK and France with €25.575 and €12.796 per square meter respectively.

The majority of the European countries are below €2.000 per month. Cyprus ranks 33nd with an average monthly rental rate of €810 and is therefore considered as one of the cheapest counties in respect of

rent across Europe. Expectedly UK ranks 1st with an average monthly rental rate of €8.213 followed by Switzerland and Russia with €3.827 and €3.820 respectively.

In Q1 2017, the average price for retail properties reached €356.213, increasing by 1,7% from the 2016 yearly average.

The highest prices were found in Nicosia with €520.678. The largest increase from Q4 2016 was exhibited in Limassol with 0,6%.

In Q1 2017, the monthly rates reached €1.604, increasing by 5,4% from the 2016 yearly average. The highest rents for retail were in Nicosia (€2.444) which also exhibited the highest increase from Q4 2016 (3,3%).

The only other increase was exhibited in Limassol (2,2%) while the rental rates in other areas of Cyprus remained unchanged from Q4 2016.

Rental Yields are calculated by expressing a year’s rental income as a percentage of how much the property cost. European countries average rental yield is at 4,86%.

Cyprus is above this average with a yield of 5,29%. Moldova ranks 1st with 10% followed by Ukraine and Montenegro with 9,09% and 7,53% respectively.

Retail The average price for retail properties in 2016 was €350.106, whilst in 2015 it was €349.546.

Our experience with clients in the conveyancing field has made us realize that apart from the characteristics of an immovable property, a prospective purchaser needs to be aware and fully informed about the taxes payable and connected with a purchase in Cyprus. A prospective purchaser must be aware that when buying a property in Cyprus, there are certain obligations, charges imposed on him/her by the government. The contract of sale should be deposited with the Land Registry Office for protection purposes.

First of all, it is a prerequisite for the said filing that the contract will be stamped.

The stamp duty is calculated as €1.5 for every €1.000 for up to an amount of €100.000 and €2 for every €1.000 for any amount thereafter.

Secondly, immovable property bears VAT, which is usually agreed to be paid by the purchaser. The government has a scheme whereby some properties are exempted and bear VAT at the decreased rate of 5%.

Thirdly, transfer fees are also payable to the government, and this amount is payable on the day that the transfer of the title deed to the property will be effected from the vendor to the purchaser. Transfer fees are calculated as follows: • 3% on the value that the LRO will make on the day of the purchase for up to €85430

Another charge is an immovable property tax, which is usually payable by the registered owner. But due to the fact that sometimes the title deeds to a property are issued at a point of time after the delivery of the possession of the property, there is a term that this tax will be paid as from the day of the delivery of the property by the purchaser.

Last, but not least are sewage/garbage collection fees and other community council or Municipality annual taxes.

These taxes, usually do not exceed the amount of €300- €500 per annum.

It is, therefore, important, when considering to acquire a property in Cyprus to obtain legal and tax advice, in order to be fully informed and make a decision knowing all the relevant factors.

The new legislation on credit agreements for consumers in relation to residential real estate entered into force on 9 May 2017, Law 41 (I) / 2017, with a view to harmonizing Cyprus with the relevant European Directive 2014/17 / EU, and introduces a number of commitments for credit institutions to protect the consumer. The Law governs credit agreements secured by mortgage or similar collateral related to residential property and includes obligations to carry out an assessment of the borrower’s creditworthiness before granting a credit. The law also regulates delays and settlement of debts, if the credit institution provides a reasonable period of tolerance before initiating debt settlement procedures.

The recent events of March 2013 and economic crisis once again confirmed the real estate sector important contribution to the economic and social development of Cyprus, as well as its durability under difficult conditions. Four years later, the industry has not only managed to stabilize but has seen significant signs of recovery. These are clearly reflected in all the major indicators that track land and construction industry.

According to the official data of the Department of Lands and Surveys, in the first half 2017 market property sales contracts showed an increase of 22% over the same period last year.

REAL ESTATE GETS MORE EXPENSIVE IN CYPRUS Real estate prices have shown a 2.3% average increase during the first quarter of 2017 according to RICS Property Price Index. Houses and apartments have registered an average of 2.3% and 1.3% increase respectively. Limassol had highest rise of holiday apartments prices of 2.9%.

Average rentals rose by 2.5% for apartment, 2.6% for house, 1.6% for retail properties and 4.6% for offices.

VAT ON LAND SALES IMPOSED BY EU At 3rd of November 2017, the Cyprus Parliament finally approved a 10-year delayed bill imposing 19% VAT on the sale of building land.

VAT will be imposed on all sales of building plots that represent part of economic activity and are sold by a company or businessman registered with the VAT service. Protected zones and farming land will be exempted. That was one of the key issues that Cyprus had to adopt withing its harmonization with the European VAT Directive.

REQUIREMENTS FOR APPLICANT • Submit a title of ownership or contract of purchase for a property the value of which is at least €300.000 (net of VAT).

• The property shall be new and purchased from a developer. The simplified procedure for obtaining permanent residence permit is not applicable to cases of resale property acquisition.

• Payment of at least €200.000 (net of VAT) to be made.

• Provide evidence that the purchase is being made from funds received from sources outside of Cyprus.

• Provide evidence that the applicant’s annual income amounts to at least €30.000 with income sources located outside of Cyprus. Those can be salary, dividends, rental revenue, interest from bank deposits, pension and etc. Applicant must also demonstrate an additional minimum income of €5.000 a year for any dependent family member (spouse and children). The additional minimum income of €8.000 a year should be shown for any applicant and applicant’s spouse parents.

• Deposit at least €30.000 into a Cypriot bank for a 3-year period.

• Submit a certificate of having no criminal record and of being under no investigation for criminal offences attested by relevant authorities of his/her country.

• The maximum period for granting PR permit according to the simplified procedure comprises 2 months.

• The status of a permanent resident does not impose any restrictions to the period of your stay in Cyprus. The only exception is that you should visit Cyprus at least once every 2 years.

CYPRUS RESIDENCY PERMITS FOR INVESTOR’S RELATIVES • Two separate Cyprus Residency permits can be issued for each spouse without the requirement for the dependent spouse to purchase a property or deposit €30,000 into an account.

It is understood that a separate Cyprus Residency permit application should be submitted for the dependent spouse.

• The minor children can be added as dependents in both their parents’ Cyprus Residency permit applications.

• Single children from 18-25 years old and financially dependent, who prove to be students for at least six more months from the date of application may apply to obtain the “for so long” Cyprus Residency permit for themselves, without the need to invest in additional real estate. In this case the parents will need to prove additional income of at least €5,000 for each dependent child. The Cyprus Residency Permit will still remain valid even after the residency holder turns 25 years and even if he/she is no longer single and/or a student and/ or financially dependent on his/her parents. However, it is understood that their future spouse and children will not be entitled to obtain the Cyprus Residency permit.

• The parents of a couple (of both husband or wife) who applied or

they are already in possession of the Residence Permit, are also entitled to acquire the Cyprus Residency permit without investing in additional real estate. The couple must prove additional income of at least €8,000 for each dependent parent. A separate application must be submitted for each dependent parent.

• If the Principal Beneficiary of the Cyprus Residency permit passes away, then his/her spouse and dependent children may apply to acquire the Principal’s Cyprus Residency permit without investing in additional real estate.

• Any individuals who acquired the Cyprus Residency permit without having to invest personally in real estate or depositing money in a Cypriot bank account (Euro 30,000), will not be entitled to include on their own Cyprus Residency Permit their spouses, children or parents.

TITLE DEEDS AND CYPRUS THE MOST FREQUENT SUBJECT SOMEONE ENCOUNTERS WHEN DEALING WITH PROPERTY TRANSACTIONS IN CYPRUS IS SURELY THE TITLE DEEDS ISSUE. Even though the Cyprus legal system is harmonized with EU Legislation, after Cyprus became part of EU in May 2004, there appears to be some form of ambiguity in connection to the title deeds issue and the procedures involved.

therefore transferring the ownership of the property. To carry out this transfer in Cyprus, the buyer and the seller (or their authorized representatives) must attend the District Lands Office, with the appropriate identification means.

In many respects the Cyprus Legal system is similar to the British Law, due to its colonial legacy, and Cyprus is one of the few countries that maintain an effective land registry system again based on the UK equivalent. Nevertheless, the title deed regime today, understandably, is not very clear to the lay man.

The property’s Title Deed needs to be produced together with receipts confirming payment of various taxes for the property being transferred.

WHAT ARE TITLE DEEDS? A Title Deed is essentially a legal document verifying the ownership of immovable property. It is an integral part of Land Law and the conveyancing part of the law. This formal document is evidence of property ownership and includes details about the property’s legal characteristics such as location, size, and identification numbers.

Conveyancing a property involves the transfer of the title deed of that property from one person (legal or natural) to another,

At the time of the transfer the buyer is required to pay Property Transfer Fees. These are calculated on the Land Registry’s assessed market value of the property at its date of sale.

It should be noted that for the Transfer of Ownership in the name of a non-EU citizen a permit from the Council of Ministers is required.

SAFEGUARD FOR THE BUYER Once the buyer enters into an agreement with the vendor (registered owner) for the purchase of immovable property, the agreement can be stamped and then lodged at the

appropriate District Land Registry. Once the contract of sale is lodged at the Land Registry the specific performance right may be pursued by the buyer.

By depositing the contract in the Land Registry, the buyer prevents the owner from transferring the property elsewhere or changing it, for as long as the contract is valid and legally effective. No burdens, charges or encumbrances, can affect the right of specific performance after the contract has been deposited with the Land Registry.

Depositing a copy of the contract to the Land Registry gives the buyer the right to seek “specific performance” of the terms and conditions of the contract and thus to register the property onto the buyer’s name, even though the owner may not be willing to accommodate such procedures.

THE PROBLEM Although the transfer process is straightforward, situations have arisen that prevent a transfer taking place, for example if a property developer has used the land on which they were building as collateral for loans to fund construction. These loans and any other debts prevent the transfer of the Title until they have been repaid and/or settled.

In other cases, Title Deeds could not be issued due to planning infringements that violated the various permits and permissions issued for a property’s construction and where the construction has encroached on land owned by a third party.

this date or unknowingly removed, the applicant can apply to the Court for the issuance of an order to deposit the contract in accordance with the Sale of Property (Specific Performance) Law no. 81(I)/2011.

According to Government announcements, by 2010-2011 there were over 100,000 un-issued title deeds and, over the subsequent years, the Land Registry Department, albeit with limited resources, managed to drop that figure to 34,000.

HAS IT BEEN RESOLVED? Following the introduction of the relevant legislation the Government managed to issue 2,500 out of the 14,000 over the last two years despite the recent court rulings that had taken the government unawares and that created a pending legal issue where Limassol and Paphos district courts ruled against the Director of the Land Registry to transfer the Title Deeds into the names of the purchasers following appeals by banks.

The courts, at a district level, ruled these amendments to be unconstitutional. Despite the court ruling the authorities will continue issuing title deeds for the remaining 11,500 properties and if needed will introduce legislative amendments to correct the problem.

There will be a final court ruling soon on the matter and hopefully the title deed chapter will be fully resolved one way or another.

The acquisition of Title Deeds can be a complicated process and if in doubt seek professional advice.

THE NEW LEGISLATION In September 2015, the Cypriot Government amended the Immovable Property (Transfer and Mortgage) Law, No.9.1965, in order to assist property owners who were unable to get their Title Deeds despite fulfilling their contractual obligations with the seller. This was either because the property was mortgaged by the developer, or the state could not go ahead with the transfer due to outstanding taxes.

Trapped owners are a reference to home buyers who have completed their obligations, paid off their house but are unable to receive their title deeds because developers had mortgaged their properties to the banks.

The new law grants the head of the land registry department the authority to exempt, eliminate, transfer and cancel mortgages and other impediments, depending on the case and under certain conditions. This move has allowed many ‘trapped’ buyers without Title Deeds to submit an application and complete the official transfer of their property.

In order to qualify for Title Deeds under the new law, the contract of sale must have been deposited at the District Lands Office by 31.12.2014. If the contract was not submitted before
