Can you believe that it is already August? We’re now eight months in to this strange adventure that has been 2020.

This summer has been one like no other and now as we embrace the upcoming school year we find that everyone involved, from the students and the parents to the teachers and the staff, will find themselves navigating an entirely different learning environment. The good news is that our local schools are doing everything they can to keep the students and the staff as safe as possible, while continuing to offer a high-quality education. This issue we focus on Boerne ISD, how they came about their plan for the 202021 school year and their many recent accomplishments.

BUYING OR SELLING A BUSINESS?

Have you ever wondered how the deals on NBC’s hit series Shark Tank work out? As a professional who works with businesses every day, I’ve been drawn to the show and others like it. It’s easier than you’d think, to get pulled into the pitch. A budding entrepreneur walks onto the floor and makes an audacious pitch to a panel of prospective investors known as the sharks. The sharks pick the business apart and gather as much data as they can in the short amount of time that they have available. Ultimately, a deal is either negotiated on-air with the entrepreneur, or the entrepreneur is shown the door. Even after the show is over, the deal is not complete. A preliminary agreement has been reached but many more details of the transaction remain to be hashed out. In 2016, Forbes magazine conducted interviews of 237 businesses that accepted deals on air during the first seven seasons of the show and found that 43% of the deals fell apart and another 30% of the deals were completed with changed terms. That leaves only 27% of deals worked out as negotiated on-air. Interestingly, based on my own experience, these findings are not outside of the norm for business transactions as the transactions can be highly complex and present any number of unknown challenges. As a business owner looking to buy or sell an enterprise, statistics like this can be nerve-wracking. But given the right planning, you can easily navigate the deal making process and minimize the likelihood that your deal goes awry.

As a buyer, due diligence is vital. Once you have a target in mind and are ready to execute a letter of intent, be sure to include provisions to allow adequate access and time for due diligence procedures to be completed. As part of your due diligence, you’ll want to make sure you have a thorough understanding of the business’ history, its corporate structure, ownership, its financial history, financial projections, customer mix, vendor relationships, and the legal and tax implications of the current deal structure.

The main goal of the buy-side due diligence is to minimize the likelihood that you encounter any unwelcome surprises after closing.

As a seller, those same buy-side factors, detailed above, are key as you’ll want to be aware of the various strengths and weaknesses of your business so you are in a strong position to negotiate the transaction. Knowing this information may also help you strengthen your business before marketing it for sale. Moreover, the sell-side due diligence process could be especially crucial as you may need to evaluate the prospective buyer’s means to finance the purchase and their ability to run the business going forward. After all, an earnout paid subsequent to the sale is no good to you if the buyer cannot keep the business running.

Texas' June housing sales jump likely temporary

Existing homes sold in June through Texas Multiple Listing Services (MLSs) surpassed 29,000 for the first time since August 2019. Housing experts for the Real Estate Center at Texas A&M University point out the trend may not last.

“Texas’ housing market rebounded after two and a half months of sluggish activity amid the economic shutdown and social distancing measures,” said Dr. James Gaines, chief economist for the Real Estate Center. “June housing activity recovered substantial pent-up demand from the economic shutdown.”

After accounting for seasonal factors, the state’s MLS homes sales increased 34 percent relative to May but remained below first-quarter levels.

“This positive momentum, however, may be temporary as new coronavirus cases have accelerated in recent weeks,” said Gaines.

According to the National Association of Realtors, existing-home sales across the country exhibited a similar pattern with a 20.7 percent increase from May but remained subdued on a year-over-year basis. Low mortgage bolstered demand for first-time homebuyers, who accounted for 35 percent of national sales in June.

Center Research Economist Dr. Luis Torres said there are fundamental challenges facing the housing market in addition to the COVID-19 pandemic.

“The months of inventory for existing homes plummeted to a record low of 2.7 months, exacerbating shortages, particularly for homes priced less than $300,000,” said Torres. “The number of new listings hitting the market stabilized but lagged year-ago levels by nearly 9 percent. This imbalance has housing affordability implications, as evidenced by a 4 percent year-over-year increase in the Texas Repeat Sales Index.”

The median price for an existing Texas home sold jumped from $235,000 in May to $250,000 in June. Texas remained price competitive relative to the rest of the nation, where the median price was $284,600.

“While June was a positive month for sales activity, the resurgence in contracted coronavirus cases and hospitalizations could reverse the recovery and remains the greatest obstacle to the housing market,” Torres said. BBM

School is starting this month and Boerne Independent School District wants you to know they have a plan.

“We are excited to safely start the 2020-21 school year on August 12th. We have spent much time, effort and consideration preparing to get our local children back to school,” said BISD Superintendent, Dr. Thomas Price.

With guidelines from Governor Greg Abbott, the Texas Education Agency, and many other statewide and local entities, BISD has created two options for families to choose from as required by the TEA. Students may return to school either via Traditional In-Person or by the Boerne E-Learning Option. “The most important thing in all of our planning has been that we figure out the best ways to educate while making sure that our students and staff are safe,” added Dr. Price. “We listened to our local community when considering all of the options for going back to school and overwhelm-

ingly heard that the majority of families within BISD wanted school to resume in a way that was as traditional as possible.”

Families were asked to select their choice of In-Person or E-Learning by July 27th and overall, 78% chose In-Person, while 22% have selected E-Learning.

There is an option to switch after each nine-weeks during the school year as well.

Changes will of course have to be made during this upcoming school year. “All of the students, families and staff are going to have to learn to adjust and be flexible.

For those that choose the Traditional In-Person learning there will be masks, social distancing, increased hand washing and sanitation, temperature checks and all the efforts that go into reducing the spread of germs. For the families that select Boerne’s E-Learning option there continued on page 18

Boerne ISD took the top spot out of over 1,500 applicants from across Texas. The district received a $50,000 prize, which will be used with the Boerne Education Foundation to go towards student learning.

More exciting news for Boerne ISD came recently when Superintendent Dr. Thomas Price was named the 2019-20 Education Service Center (ESC) Region 20 Superintendent of the Year! As the Region 20 winner, Dr. Price will now be a finalist for the Texas Association of School Boards Superintendent of the Year, which will be awarded in October. Candidates are chosen for their leadership skills, dedication to improving educational quality in their districts, and commitment to public involvement in education. “There are so many wonderful Superintendent’s in Region 20, I am very appreciative for each of their support as well,” stated Dr. Price. “We are all here because we care for the children in our communities, and want to make a difference and have a positive impact in their lives,” said Dr. Price.

“It is an honor to work with Dr. Price and Boerne ISD is blessed to have had his leadership since 2017. He is a collaborative leader that has taken BISD to new heights as a school district. As we learned almost four years ago, it’s still way too early to project election winners and losers in November; but it is never too early to begin reviewing your tax, financial and investment plan. Most people believe that if Joe Biden wins the presidential election and the Senate flips to a Democrat majority, we will likely see sweeping change in the current income and estate tax environments. Should those administration changes occur in November, financial advisors, lawyers and CPAs are going to be overwhelmed with work before we see another New Year’s Day. Therefore, you might want to get on your advisor team’s calendar now to uncover how potential changes may impact your financial life.

A primary component of Biden’s plan is the tax on earnings used to fund Social Security.

Today, certain payroll taxes are paid on earnings up to $137,000. The Biden plan proposes applying this tax to an unlimited amount of earned income above $400,000. In effect, this creates a hole in earnings subject to these taxes in that earnings between $137,000 and $400,000 will not be subject to the taxes. By removing the cap on earnings subject to these payroll taxes, the plan effectively creates a higher marginal tax rate for high-earner taxpayers. The plan would also raise the top traditional marginal income tax rate from 37% to 39.6%. For those wageearners and business owners who have some flexibility when earnings are actually received,

it may make sense to accelerate income into 2020 to mitigate the increase in tax rates.

The Trump tax reform doubled the standard deduction, such that far fewer taxpayers itemize deductions anymore. The Biden plan would bring back the full deduction for state and local income, property and sales taxes which would allow many more people to itemize their deductions once again. However, these deductions would be capped at a 28% benefit limiting the impact these deductions might otherwise have for many taxpayers. The allowance of these expenditures as deductions once again could incent you to push payment of these items into 2021.

Your investment portfolio should also be reviewed considering the proposed plan modifications to the taxation of capital gains. The Biden proposal would move the top capital gains tax rate all the way to 39.6% for some - the same as ordinary income. While it may seem like crazy advice, if your capital gains rate might significantly increase, you may want to consider selling some of your investments that have unrealized capital gains to pay the tax now at much lower rates and simply rebuy those same securities the next day. This may make even more sense if you sold investments earlier this year, to do some tax-loss harvesting, when the market dropped.

changes to the estate and gift tax rules will bring many more families rushing back to their advisors to update current wills, trusts and other lifetime planning documents.

Currently, every individual may exclude $11.58 million from the estate tax calculation. That removes all but the wealthiest of families from the estate and gift tax system. Most estates also receive the benefit of stepping up the basis in family assets to fair market value at death which means appreciated assets may escape capital gain taxes. The Biden proposal would remove the stepped-up basis at death opportunity and require those assets to be taxed at capital gains rates when transferred to the heirs.

On the business tax side, the Biden plan aims to increase the corporate tax rate from 21% to 28% and calls for a 15% minimum tax on large corporations. The plan also calls for a repeal of the temporary net operating loss provisions contained in the CARES Act. That law, which came about in response to the recent healthcare crisis, allows net operating losses in 2018, 2019, and 2020 to be carried back for up to five years and suspends the 80% taxable income limit for utilizing these losses for 2018 through 2020.

So, while you have time this summer and fall before the election, make some time to see your advisors to plan for these potential changes. Knowing the impact of the potential changes allows you and your team to make wise decisions well in advance of year end. In today’s circumstances with uncertainty all around us, it’s no wonder that anxiety has become such a common, well-known visitor in our lives. Whether it manifests itself as the awkward, nail biting cousin or as the uptight, obsessive compulsive aunt, or the consistently worried, unable to focus on life, next door neighbor; anxiety is everywhere. If you’re one of the 40 million people in the U.S. affected by some kind of anxiety disorder (generalized anxiety, panic disorder, social anxiety, specific phobias, obsessive compulsive disorder, or post-traumatic stress disorder), don’t feel alone, don’t feel ashamed, and don’t feel hopeless!

Anxiety can stem from a multitude of things.

Dietary and lifestyle factors can influence the initiation and progression of this disorder and can exacerbate symptoms. Some factors include: • Nutrient deficiencies • Food intolerances • Caffeine, drug, and alcohol use • Chronic distress • Childhood and/or significant adult PTSD • Environmental factors The amygdala is part of the brain where fear is activated. This activation can result in increased levels of several neurotransmitters, such as norepinephrine and serotonin, which can produce feelings of anxiety if not kept in control. Covid-19 has us all spending a lot more time at home. You may have found yourself binge watching Netflix and living in your sweatpants a little more than you would like to admit. Hey, it’s happened to the best of us! Many of us no longer have those daily routines and outings that help us to differentiate the hour, much less the day of the week. However, at some point it’s time to put down the remote and the bag of chips and figure out how to navigate this new phase of life as productively as we can. To regain a sense of normalcy and get back to a productive lifestyle it is important to give yourself some guidelines to get you through the day. Here are some tips to help you get out of that coronavirus funk and get your schedule back on track!

SET YOUR ALARM: Yes, I know, it has been nice to be able to sleep in, BUT, in order to begin a productive day it helps to have a designated time to get up and get going! Pick a daily time to start your day and stick to it.

PUT ON REAL CLOTHES: You don’t have to put on a suit and tie, but getting out of your pajamas is good for your brain. Studies show that taking some time to put yourself together has a positive effect on your performance.

REINVENT YOUR DAILY COMMUTE: Just because you aren’t physically going to the office doesn’t mean that you have to give up that daily commute “me time.” In the U.S., the average, oneway commute time is 26.1 minutes. If you do that 5-days a week, roundtrip that adds up to 4.35 hours per week and over 200 hours each year. This little bit of downtime has been shown to have

positive effects on our wellbeing. Build that time back into your day by allowing time to do something for you such as listen to a quick podcast or turn on the radio station you always listen to on your way to work, play a game on your phone, read the newspaper or watch the news.

You get up to go get coffee, you have a designated lunch break, you stop multiple time throughout the day to interact with co-workers and the list goes on. Setting alarms on you phone will help you remember to take those breaks that are generally part of your normal routine.

SCHEDULE WORKPLACE SOCIALIZATION: You may not be able to see your co-workers in person right now and even if you are interacting with them on zoom meetings, take some time to call and talk to your co-workers one-on-one. Staying connected at work not only helps to reduce the feelings of isolation, but it can also increase your job satisfaction and performance.

GO TO BED AT A SPECIFIC TIME: It is hard to have a productive next day and implement all of the things we just mentioned if you haven’t had a good night’s rest. When your schedule is out of whack it is easy to find yourself staying up too late. Set yourself a reasonable bedtime and stick to it. Shoot for 8 hours of sleep. Put down the electronic devices, read a book for about 30 minutes before bed and set yourself up for a productive next day! BBM
