Annual Report

was an unusual year. It started with an extreme weather event in February, which resulted in a collapse of the electric grid and more than $128 billion in damages. This was followed by a resurgence of COVID-19, resulting in a continuation of the hybrid workforce, and then supply chain issues became significant by the end of the year.

We witnessed higher costs due to material shortages and high demand. We continue to face supply chain issues, which will most likely be extended through the end of 2022.

Despite these challenges, Bandera Electric Cooperative has continued to provide reliable and affordable electric service.

BEC has not increased electric rates since 2013, and we have no plans to do so in the future. We have accomplished this through prudent resource management and margins generated from our broadband service and energy services division. In 2021, BEC posted a net margin of more than $5.4 million, and we continue to see strong growth. Electric growth was up 3.1% from the previous year, and broadband growth was up more than 26% from the previous year.

This year, the economic outlook seems much more ominous, so saving money on your monthly electric bill is more important than ever. I am pleased to report that our members have invested more than $5 million in energy efficiency improvements through our Energy Saver program and are saving an average of 22% on their electric bills. To help our members save money on these improvements, we have established an interest-free, on-bill financing option to make it easier to save money. Additionally, we launched our broadband internet services for the city of Llano. By deploying broadband in partnership with others, we are able to keep our electric rates affordable from the increase in revenues generated.

On August 13, we will convene our 83rd annual meeting. This event will be livestreamed with prizes and important news. We will discuss BEC’s past and, more importantly, where we are going in the future. This event reminds us of what it means to be served by a not-for-profit electric cooperative. If you receive electric service from BEC, then you are a member-owner. Earlier this month, you received a ballot and had the opportunity to elect three directors of the board. This annual democratic process allows members the opportunity to participate and engage with the cooperative.

While we had in-person annual meetings prior to the pandemic, we have seen a sizable increase in attendance with virtual annual meetings, so we decided to move forward with this year’s annual meeting virtually. Virtual meetings also allow us to record the event for future generations. I look forward to seeing you online August 13.

2021 Annual Meeting Minutes The Annual Meeting of the Membership of the Bandera Electric Cooperative, Inc. was held virtually via livestream from the Bandera Electric Cooperative, Inc. headquarters building in Bandera, Texas, on the 14th day of August, 2021 in accordance with the Bylaws. Chief Executive Officer Bill Hetherington welcomed members to the Annual Meeting and asked Vice Chairman Jeremy Diller to give the invocation at 10:02 a.m.

General Counsel and Chief Administrative Officer John Padalino led everyone in the Pledge of Allegiance, then introduced himself and stated that a quorum is established by receiving at least 150 ballots from members voting by mail or electronically; this year, 3,395 ballots were cast, so a quorum was established. Mr. Padalino called the meeting to order at 10:05 a.m. then introduced Vice Chairman Jeremy Diller, District 4 representative.

Vice Chairman Diller welcomed members then introduced the Directors via video.

Mr. Solis then stated that the next order of business was the reading of the minutes of the Annual Meeting of the Membership held on August 15, 2020. He indicated that copies of these minutes were distributed to each Member in the annual report and entertained a motion to dispense with the reading of the minutes. A motion was made to dispense with the reading of and to approve the minutes of the Annual Meeting of the Membership held on August 15, 2020. The motion received a second and was approved by the membership at 10:15 a.m. Mr. Solis then introduced a video highlighting the Co-op’s efforts to expand rural broadband.

At 10:20 a.m., Vice Chairman Diller informed the Members of the Cooperative’s 2020 Annual Report, provided via Texas Co-op Power and online, containing management and financial reports. He welcomed members who had any questions regarding the annual report to submit their questions in the online Q & A window at the conclusion of the meeting.

General Counsel Padalino returned to speak at 10:21 a.m. and stated that no petitions were made for candidates for the Board of Directors, and in accordance with the provisions of the Bylaws, the following incumbent persons were placed in nomination as the official candidates: District 4

Mr. Padalino stated that votes received by the August 13, 11:00 a.m. deadline had been tabulated by Survey and Ballot Systems. The final tabulation of votes included all electronic, phone and mail-in ballots. General Counsel Padalino read the report regarding the final tally of votes for each candidate at 10:22 a.m. The votes received were as follows: Jeremy Diller – 2,848 votes.

Annegreth (Anna) Niemann – 2,830 votes.

Richard (Dick) Earnest – 2,870 votes.

Mr. Padalino entertained a motion to approve the vote. A second was received, and the motion was approved by the membership at 10:22 a.m.

With no unfinished business, Mr. Padalino entertained a motion to adjourn. A motion was made, seconded, and approved by the membership to adjourn the meeting at 10:23 a.m.

At 10:10 a.m., Bill Hetherington presented the CEO Report and highlighted the growth the Co-op experienced in 2020, including continued growth in membership and broadband service. CEO Hetherington introduced a short video highlighting the ways BEC is helping its membership by reimagining rural America.

Vice Chairman Diller called upon Director Solis to read the Notice of Meeting and Proof of Mailing at 10:13 a.m.
