EDITOR’S LETTER Tijdens de MAGNA CHARTA ROUNDTABLES met FIRST LADIES en LEADING MEN worden op een informele manier actuele juridische vraagstukken besproken. Tijdens deze MAGNA CHARTA ROUNDTABLE First Ladies Arbeidsrecht komen de onderwerpen cao-ontslagcommissie, de transitievergoeding bij langdurige arbeidsongeschiktheid en het non-concurrentiebeding aan de orde. In 2015 is AvdR gestart met de series FIRST LADIES en LEADING MEN. In deze series worden onder meer roundtable gesprekken georganiseerd waaraan telkens drie FIRST LADIES respectievelijk drie LEADING MEN deelnemen. De FIRST LADIES en LEADING MEN zijn uitgenodigd aan te schuiven aan de MAGNA CHARTA ROUNDTABLE op grond van hun specialisme op het terrein van het recht dat in de betreffende ROUNDTABLE wordt besproken. De MAGNA CHARTA ROUNDTABLE gesprekken worden gevoerd onder leiding van Wouter Kurpershoek aan de hand van drie stellingen. U kunt hierop tijdens de live uitzending reageren. De MAGNA CHARTA ROUNDTABLES zijn geïnspireerd een Engelse traditie. In 1215 ondertekende King John of England de Magna Charta (Latijn voor Grote Oorkonde) waarmee belangrijke waarden over vrijheid, recht en democratie werden vastgelegd. Legendarisch is voorts de round table waaraan de mythische King Arthur met zijn ridders vergaderde op voet van gelijkwaardigheid. Voor de FIRST LADIES dient Margaret Thatcher - the First Lady Prime Minister - als rolmodel. Veel kijkplezier, Etienne

Hélène Bogaard is praktijkgroepvoorzitter van de praktijkgroep Employment van DLA Piper Nederland, één van ‘s werelds grootste internationale juridische dienstverleners. Hélène is gespecialiseerd in nationaal en internationaal arbeidsrecht en arbeidsrechtelijke aspecten van transacties. Ze adviseert lokale en internationale ondernemingen omtrent alle aspecten van collectieve en individuele arbeidsrelaties. Ze heeft ruime ervaring met arbeidsrechtelijke kwesties bij grootschalige ondernemingsrechtelijke en financiële transacties, in- en outsourcing en reorganisaties- en integratieprocessen. Hélène heeft tal van cliënten geadviseerd omtrent grootschalige verhuizingen, herstructureringen, collectieve ontslagen en harmonisering van arbeidsovereenkomsten en arbeidsvoorwaarden. Verder heeft zij jarenlange ervaring met individuele ontslagzaken met betrekking tot bestuurders en het voeren van procedures. Hélène is Corporate Responsibility partner binnen DLA Piper en zet zich in die hoedanigheid in voor maatschappelijk verantwoord ondernemen binnen het kantoor. Daarnaast doceert ze regelmatig over Nederlands arbeidsrecht en in het bijzonder over overgang van onderneming.

1. Waarom de advocatuur? Ik wist al vrij vroeg dat ik rechten wilde studeren. Waarom: ik wilde rechter worden, maar heb na een student-stage bij Stibbe ervoor gekozen om de advocatuur in te gaan
2. Wat is voor jou de betekenis van de magna carta? De overtreffende trap
3. Welk artikel zou je willen aanpassen en waarom? Met de recente invoering van de WWZ wacht ik graag eerst even een aantal arbeidsrechtelijke ontwikkelingen af. Zullen we over 3 jaar kijken hoe het ervoor staat?
4. Welke uitspraak heeft bij jou het meeste losgemaakt en waarom? Parallel Entry arrest (waarin een nader toetsingskader is gegeven voor het beginsel gelijk loon voor gelijke arbeid onder gelijke omstandigheden). Een mooie “aviation” uitspraak (aviation heeft mijn bijzondere belangstelling) die ook buiten die industrie van belang is.
5. Tip of trap? De advocatuur is een mooi en dynamisch vak. Dat laatste kan ook een valkuil zijn. Tip: vergeet niet de menselijke kant in en van het werk te laten zien.
6. Wat vind je van de Magna Charta Roundtables? Een eye-opener! Een vernieuwende en toegankelijke manier om in korte tijd met en voor vakgenoten actuele thema’s door te nemen en je te onderscheiden richting cliënten.

Changes to Fixed-Term Employment Rules and Dismissal Legislation in 2015 Hélène Bogaard, Partner, and Thessa van der Windt, DLA Piper, Netherlands
New laws concerning notification, probationary periods, non-compete agreements, fixed-term to indefinite contract conversions, and dismissal are due to come into force in two stages on January 1, 2015 and July 1, 2015. New Rules Effective as of January 1, 2015 New rules on fixed term contracts relating to a requirement to notify of renewals and the use of non-compete restrictions and probationary periods will apply from January 1, 2015. 1. Duty to notify - Employers will be obliged to inform fixedterm employees with contracts of six months or more of any decision whether or not to extend and under what conditions one month before the end date. If the employer does not, they will have to pay up to one month’s salary as compensation (reduced pro-rata if the required notice is given late). 2. Probationary periods - It will not be lawful to include a probationary period in a fixed-term employment contract which is entered into for six months or less. It will be prohibited to deviate from this by a Collective Labour Agreement (CLA). The old legislation regarding probationary clauses will still apply to employment contracts which have been entered into prior to January 1, 2015. Probationary periods which are not in line with the new legislation, but were included in a CLA valid on January 1, 2015, will be respected for a transitional period until July 1, 2016 (or the end date of the CLA if earlier). 3. Non-competes - Non-competes will be prohibited in fixed term contracts entered into after January 1, 2015 unless they are necessary to protect a substantial business interest. A non-compete clause can only be included if the employer expressly states that it is required due to compelling business or service interests and this is disclosed to the employee. If the rationale is not convincing (i.e. the clause is not required due to compelling business or service interests), the court will be able to test the justification. If the court finds no legitimate interest, it may declare the restraint void.

New Rules Effective July 1, 2015 New rules on the conversion of fixed-term contracts into indefinite term contracts and reforms to dismissal procedures and severance payments come into force on July 1, 2015. 4. Succession of fixed-term employment contracts--The provisions on the conversion of fixed-term employment contracts into indefinite term contracts will be amended. From July, the last fixed-term contract in a chain will be considered permanent if: (i) that contract is the fourth contract in the chain; or (ii) the total duration of the chain of fixed term contracts exceeds a period of two years (unless the chain of consecutive contracts is broken by a six month break). 5. Dismissal law - Currently there is a “dual dismissal system”. If it is not possible to terminate with mutual consent, an employer can terminate by giving notice after receiving permission from the Dutch Employee Insurance Agency (UWV) or Cantonal Court. The amendments to this system will be: • New compulsory proceedings (Court or UWV) will apply depending on the reason for termination. A dismissal on business economic grounds or based on long-term illness will be handled via the UWV, a dismissal for personal circumstances via the Court. • The Cantonal severance formula will be replaced by a “transition payment”. The amount of the transition payment is based on the employee’s length of service and is capped at EUR 75,000 (or one year’s salary if higher). In exceptional cases, judges can allow compensation over the transition payment cap, for example where the employer is to blame for an unworkable situation and it is “unreasonable” to only pay the transition allowance. Case law following July will dictate what circumstances will qualify as “unreasonable”.
