Selling company assets is a standard part of doing business - but when insolvency is involved, directors must proceed with extreme caution. Missteps at this stage can lead to serious consequences, including claims of misconduct, undervaluation or even fraud.

So, when is it appropriate to sell company assets - and how should it be done?

What Directors Need to Know

Under normal circumstances, directors are free to sell assets to support the business. But when a company becomes insolvent - or is approaching insolvency - the rules change. At this point, directors must act in the best interests of creditors, not just the business itself.

If insolvency is suspected, directors should avoid offloading assets without professional advice. A licensed insolvency practitioner (IP) can assess the company’s position and handle asset sales in a way that is fair, compliant and transparent.

Can You Sell Assets Before Insolvency?

Yes - but only with care.

If a company is not yet insolvent, directors can still sell assets, but they must follow a few golden rules:

• Seek board approval: Discuss the proposed sale openly with fellow directors and record the decision in meeting minutes to avoid future disputes or claims of bias.

• Value the assets professionally: Selling at undervalue - or to connected parties - without a proper valuation can appear suspicious. An independent valuation helps prove the sale was fair.

Take professional advice: If you’re unsure whether the company is technically insolvent, speak to a licensed insolvency practitioner. Acting too late could put you at risk of breaching your legal duties.

What

Defines Insolvency?

A business is insolvent if it can’t pay its debts when they’re due or if its liabilities exceed its assets. Once a

company reaches this stage, directors must stop trading and avoid making major financial decisions - especially the sale of assets - without expert input.

This is where a licensed insolvency practitioner steps in to handle matters professionally. Whether through liquidation or company rescue, they’ll manage the sale of assets in a way that maximises returns for creditors.

Auctions: A Common Route in Liquidation

In both liquidation and turnaround scenarios, asset auctions are a widely used method to release funds quickly. From specialist machinery to stock and office equipment, most businesses have assets that can be converted into cash.

In liquidation, an IP may organise a public auction to repay creditors. If business recovery is viable, selling nonessential assets can generate much-needed capital to support a restructure.

Auctions are fast, transparent and accessible - ideal for distressed businesses needing results on tight timelines.
