In day-to-day trading, selling company assets is a routine part of running a business.
Assets may be upgraded, replaced or disposed of as part of routine operations. However, as financial pressure builds and insolvency becomes a real possibility, that flexibility begins to narrow and the risks associated with asset sales increase significantly.
Directors are required to act in the best interests of the business at all times, but when insolvency is on the horizon, that responsibility shifts towards protecting creditor value. Decisions that may once have been routine can come under closer scrutiny, particularly if asset sales could impact the ability to repay outstanding debts.
Chelsea Williams of Scotland Liquidators highlights a clear turning point: as a business approaches insolvency, directors should act with increased caution. In many cases, this means halting asset sales and seeking advice from a licensed insolvency practitioner before proceeding.
Before and After Insolvency
For solvent businesses, asset sales can continue as normal, but they must be handled with care. Transparency is essential, with board-level approval, clear documentation and independent valuations helping to demonstrate that assets are being sold at fair market value and without preferential treatment.
Once a company becomes insolvent, the position changes. Control of the process is typically transferred to a licensed insolvency practitioner, who will oversee asset realisations. Their role is to ensure that any sales are conducted in a structured, compliant manner, with the primary aim of maximising returns for creditors.
Where Auctions Fit
Auctions play an important role across both rescue and liquidation scenarios. In a formal insolvency process such as liquidation, they provide a transparent and efficient mechanism to convert assets into cash, helping to raise funds for creditors in a competitive marketplace.
In situations where a business can still be rescued, asset sales can form part of a wider strategy to stabilise finances. By converting surplus or non-core assets into working capital, businesses can create the liquidity needed to support ongoing operations and improve their financial position.
A Balanced Approach
Asset sales during periods of financial distress require careful consideration. Acting without the correct guidance, or moving too quickly, can expose directors to unnecessary risk. With the right professional advice and a measured approach, however, asset sales, often facilitated through auction, can offer a practical and effective solution at a critical stage.
