ASB MISSION

CONSTITUTION OF THE AMERICAN SCHOOL OF BOMBAY PARENT COMMUNITY ASSOCIATION (PCA)

ARTICLE I – NAME

The name of this organization will be The American School of Bombay (“ASB”) Parent Community Association. It is commonly known, and will be referred to in these By-Laws, as “PCA”.

ARTICLE II – PURPOSE

The principal purpose of the PCA is to support and enhance the educational experience at ASB through active community engagement. Specifically, the PCA shall:

2.1 Promote and uphold the Mission and Core Values of ASB.

2 .2 Provide inclusive social opportunities and events fostering meaningful interaction among parents, students, and faculty.

2.3 Offer volunteer services supporting and enriching school-sponsored programs and activities.

2.4 Strengthen community spirit by supporting families and faculty and assisting members in adapting to the cultural environment of the host country.

ARTICLE III – OBJECTIVES

To fulfill its purpose, the PCA shall:

3.1 Facilitate events and initiatives that promote inquiry, skill development, and celebrate the diversity and spirit of the ASB community.

3.2 Conduct all PCA activities with integrity, accountability, inclusivity, and transparency.

ARTICLE IV – GUIDELINES

4.1 The PCA shall operate in full alignment with ASB Board policies, PCA Bylaws, and the American School of Bombay Educational Trust (ASBET) Deed.

4.2 The PCA shall remain non-commercial, non-sectarian, and non-partisan.

4.3 The PCA shall not primarily serve as a fundraising body; any fundraising must align with ASB guidelines and receive prior school approval.

4.4 The PCA shall receive an annual budget allocation approved by the ASB Board; any changes to this allocation will require the approval of the Head of School.

4.5 The PCA may collaborate with other organizations whose activities support PCA objectives, in liaison with the Community Relations Team.

4.6 No individual PCA member may bind the PCA without consensus from the PCA Committee and applicable school approvals.

4.7 The PCA Constitution and Bylaws shall be accessible to all PCA members.

ARTICLE V – MEMBERSHIP

5.1 All parents or legal guardians of currently enrolled ASB students are PCA members.

5.2 All current ASB faculty and administration employees are PCA members.

5.3 All PCA members have the right to make motions, vote, and serve on PCA committees.

ARTICLE VI – OFFICERS OF THE PCA COMMITTEE

Section 6.1 – Composition

PCA Committee officers must be parents/legal guardian of enrolled students and not faculty or staff.

Section 6.1.1 – Non-Voting Representatives

Community Relations Team representatives may serve as non-voting advisory members.

Section 6.1.2 – Voting Rights

Each PCA Committee officer has one vote on matters before the Committee.

Section 6.2 – Size

The PCA Committee shall consist of 5 to 10 voting members.

Section 6.3 – Quorum

A quorum requires at least five (5) voting members.

Section 6.4 – Attendance

Members are expected to attend all scheduled monthly meetings.

Section 6.5 – Role Adherence

Members must fulfil their duties as outlined in their respective role descriptions.

Section 6.6 – Filling Vacancies

Vacancies may be filled by recommendation and by a majority Committee vote at regular or special meetings.

Section 6.9 – Term Limits

No individual may serve more than two (2) consecutive school years.

ARTICLE VII – AMENDMENTS

7.1 Proposed amendments must be submitted in writing to the PCA Committee and approved by a majority.

7.2 Approved proposals will be forwarded to the Community Relations Team and then to the Board of Trustees’ Policy Committee for final approval.

7.3 Upon Board approval, amendments will be presented at the next General Body meeting.

SECTION I – NOMINATION OF PCA CANDIDATES

8.1 Prior to the PCA Annual General Meeting (AGM), a Community Relations Team representative shall be appointed as Nominations Chairperson to oversee nominations and elections.

8.2 The Chairperson will familiarize themselves with the relevant bylaws and procedures.

8.3 All candidates will receive a copy of the PCA Bylaws.

8.4 All PCA members except upcoming Board of Trustees members are eligible for nomination.

8.5 Applications must be submitted in writing to PCA@asbindia.org and the Chairperson at least 15 days before the AGM.

8.6 Candidate lists shall be circulated at least five days before the AGM.

8.7 Additional nominations may be made from the floor during the AGM with the nominee's consent.

8.8 The Chairperson shall administer elections at the AGM fairly and transparently.

SECTION I – NOMINATION OF PCA CANDIDATES

9.1 PCA Committee elections occur annually at the May AGM. Newly elected members may “apprentice” alongside outgoing officers until June 1, when formal responsibilities begin.

9.1.1 The Committee shall have a minimum of five (5) to a maximum of 10 members.

9.2 All ASB parents/legal guardian are eligible to volunteer.

9.3 A voting quorum requires at least 10 General Body members present (excluding candidates and current Committee members).

9.4 If there are 10 or fewer PCA candidates, elections occur by show of hands.

9.5 If there are more than 10 candidates, elections occur by secret ballot, counted by the Nominations Chairperson.

9.6 The Nominations Chairperson shall have thorough knowledge of the community and PCA roles.

ARTICLE X – DISSOLUTION

10.1 The PCA may be dissolved only by agreement of the Head of School and the Board of Trustees.

10.2 Remaining PCA funds shall revert to ASB’s operational budget upon dissolution

SECTION III – VACANCIES

11.1 Resignations must be submitted in writing to the PCA Committee and Community Relations Team.

11.2 If fewer than four (4) elected officers remain, a special election shall fill vacancies.

11.3 Special elections shall occur within four (4) weeks of the vacancy or at the next General Body meeting, whichever is earlier.

PCA COMMITTEE MEMBERS' ROLE DESCRIPTIONS

COMMUNITY EVENT LEAD: EACH PCA COMMUNITY EVENT WILL BE ASSIGNED A LEADER(S)

Lead planning, budgeting, and organizing of designated community events.

• Recruit and coordinate volunteers for events.

• Serve as primary liaison with PCA Committee, Community Relations Team, vendors, and stakeholders.

• Ensure compliance with school policies and safety standards.

• Report progress and outcomes regularly.

• Promote events within the school community.

• Collaborate closely with the Community Relations Team for approvals and support.

GENERAL RESPONSIBILTIES FOR PCA COMMUNITY MEMBERS

• Attend and support school events whenever possible.

• Prepare for and attend scheduled PCA Committee meetings.

• Participate in relevant school committees as needed.

• Attend New Parent Welcome sessions in August and January.

• Support financial oversight with the Community Relations Team.

• Ensure timely payment of PCA invoices; outstanding balances must be cleared by the the incoming PCA Committee.

• Elected officers may be removed by a two-thirds majority vote for misconduct or neglect.

• General Body meetings shall be held as scheduled; five (5) members constitute a quorum.

• Present an annual budget for member review and adoption at the first General Body meeting each year.
