TREC Prepares for Trustee Election, announces Nominating Committee

John Adcock, President of the Board of Trustees of Tallapoosa River Electric Cooperative, has announced the appointment of members to serve on the Nominating Committee for 2023. The members of the Nominating Committee will meet at the Cooperative office in LaFayette, on June 12, at 1 P.M. CDT. They will nominate members to fill the expired term in Districts 3 and 6. Presently, these districts are represented by Ann Parkman and Phillip Bryant.

Members of the Nominating Committee listed in order by districts 1 through 6 are:

In accordance with Section 4.06 of the Cooperative’s Bylaws:

Each year, it shall be the duty of the Board of Trustees to appoint, not less than 40 nor more than 80 days prior to the date of a meeting of the members at which Trustees are to be elected, a Committee on Nominations, consisting of seven members of the

Cooperative who are not existing Cooperative employees, agents, officers, Trustees or known candidates for Trustees, who are not close relatives or members of the same household thereof, and who are so selected that each of the Cooperative’s Trustee districts shall have equal representation thereon. The Committee shall prepare and post at the principal office of the Cooperative at least 35 days prior to the meeting a list of nominations for Trustees to be elected, listing separately for nominee(s) for each Trustee district from or with respect to which a Trustee must, pursuant to this article be elected at the meeting. The Committee may include as many nominees for any Trustee to be elected from or with respect to any Trustee district as it deems desirable. Any 30 or more members of the Cooperative, acting together, may make additional nominations in writing over their signatures, listing their nominee(s) in like manner, not less than 35 days prior to the meeting and the secretary shall post such nominations at the same place where the list of nominations made by the Committee is posted.

The Secretary shall mail to the members with the notice of the meeting or separately, but at least l0 days prior to the date of the meeting, a statement of the names and addresses of all nominee(s) for each Trustee district from or with respect to which one or more Trustees must be elected, showing clearly those nominated by the Committee and those nominated by petition, if any. Nominations for Trustee in any other manner shall not be allowed. The Chairman at such meeting, after all nominations so, made have been duly announced shall cause the election of Trustees to be duly conducted.

Notwithstanding the provisions contained in this section, failure to comply with any of such provisions shall not affect in any manner whatsoever the validity of any action taken by the Board of Trustees after the election of Trustees.
