CONDITIONS OF SALE

IMPORTANT NOTICE TO BIDDERS

This sale is conducted strictly in accordance with the terms of this preamble and the numbered paragraphs that follow. There are no other conditions, expressed or implied. There is no term or condition, nor any warranty regarding the ability of the yearling being sold to perform or be trained to perform any particular function. The breeding records, earnings and race results are provided in the catalogue for informational purposes only. Bidders are expected to exercise their own judgment regarding the fitness, condition, ability or potential of the yearling on which they bid.

1. APPLICABLE LAW: This sale is conducted strictly in accordance with the conditions of sale. All claims and disputes shall be governed by the laws of the Province of Alberta. Consignors are permitted to bid on yearlings consigned by them.

2. BIDDING PROCEDURE: The highest bidder shall be the buyer. The auctioneer and ASHA have the right to reject any and all bids. The auctioneer may decline any bid by persons who, in the auctioneer’s judgment, are not responsible bidders, are intoxicate or have defaulted on former purchases. The auctioneer shall forthwith adjudicate any dispute concerning the manner in which the bids are made or received and his decision shall be final, absolute and binding on all parties. The auctioneer may, in his discretion, reopen the bidding to all or some bidders as a means of resolving a dispute. In the event of any dispute arising from the sale of a yearling pursuant to these conditions, ASHA has the right to appoint an arbitrator to determine the dispute. The arbitrator’s decision, and no other, shall be binding on both consignor and purchaser. The arbitrator shall also be empowered to determine the obligation of any person to pay expenses, including the expenses of the arbitrator. This paragraph is deemed to be a submission of arbitration pursuant to the provisions of the Arbitrator Act of Alberta and all arbitrations shall be conducted in accordance with the provisions of that Statute.

3. TITLE, RISK AND DELIVERY: Title passes to the buyer at the fall of the hammer, at which time the buyer assumes all risk and responsibility. Buyer may take care, custody and control of the yearling at the fall of the hammer. Such taking shall not constitute delivery of the yearling, which will be made only after buyer makes payment in accordance with the sale company’s terms of payment. Thereafter, delivery will be made in the form of a “stable release” for the yearling. All yearlings must be removed promptly after the sale. Yearlings not promptly removed shall be stabled by the undersigned at buyer’s risk and cost.

4. TERMS OF PAYMENT: All successful bidders MUST sign an Acknowledgement of Purchase prior to the commencement of bidding on the next yearling to be sold. Full payment must be made on all yearlings purchased at sale time. Full payment must be made on all yearlings purchased at sale time. Payment must be made to the sale company’s cashier within 60 minutes after completion of the sale. Payment cannot be made to a consignor. Payment shall be made in Canadian currency by way of cash, approved cheque or credit note from the ASHA Horsemen’s Bookkeeper. Any credit arrangements to extend credit to a MAXIMUM of 14 days MUST be made with the sales company prior to the sale. All yearlings sold are subject to GST. Persons acting as agents for others must file notarized letters from the principal authorizing that the agent may act on his/her behalf and that the principal shall be responsible for any obligations incurred by the agent. If such authorization if not filed prior to the sale, the agent is liable for any obligations incurred by the agent and the auctioneer. ASHA may, in their discretion, refuse to accept a bid from such agent. If a consignor makes any purchases other than his/her own buybacks, the consignor must pay for these purchases at sale time.

5. DEFAULTERS: A buyer who fails to sign an Acknowledgement of Purchase or to make proper payment of the purchase price is in default and action shall lie against that person for the amount owing plus costs of litigation. The sale company may detain or repossess any yearling for which payment is not properly made and may sell the yearling at public or private sale. Any costs incurred in doing so shall be borne by the buyer. The proceeds of such sale shall be credited to the amounts otherwise owed by the buyer.

6. WITHDRAWAL RIGHTS: Sale company reserves the right to withdraw any yearling from the sale without liability to anyone. Consignor withdrawal rights all subject to the conditions of #12 Withdrawal Policy.

7. NO WARRANTY: Each yearling is sold with a Certificate of Registration. There is otherwise no warranty, guarantee, term of condition of any kind as to health, soundness, condition, ability or potential of any yearling in the sale. The sex of the yearling, if not as printed in the catalogue, must be announced. It is the consignor’s responsibility to advise the auctioneer of any such changes.

8. RIGHT OF RETURN: Any horse sold in the sale whose condition must be announced as aforesaid, and whose condition is not so announced, shall be subject to return by the purchaser to the consignor provided that:

a) Written notification, accompanied by the certificate of a licensed veterinarian stating the condition which affects the horse and which was not so announced, shall have delivered to ASHA within seven days of the sale.

b) Upon such return by the purchaser, the purchaser shall be entitled to a refund of the purchase price and reimbursement by the consignor of all legitimate expenses incurred on behalf of the horse from the fall of the hammer.

c) No refund of fees or commissions paid or due to the ASHA shall be made.

9. CATALOGUE AND ANNOUNCEMENTS: The sale company is not responsible for statements made in this catalogue or from the auction stand concerning yearlings listed herein for sale. ALL SUCH STATEMENTS ARE THE RESPONSIBILITY OF THE CONSIGNOR WHO IS SOLELY LIABLE FOR THEM. ASHA will endeavor to have all catalogue information correct but the consignor is responsible for correction of any errors or omissions. In the event of announcements which are made by the auctioneer from the auction stand that are inconsistent with the information contained in the catalogue, such announcements shall be deemed to supersede and replace information in the catalogue.

10. LIABILITIES: All persons who attend this sale do so at their own risk. Century Casinos Inc. and the Alberta Standardbred Horse Association (ASHA) assume no liability, legal or otherwise, for any accident that might occur.

11. The Alberta Standardbred Horse Association assumes no responsibility for registration papers, transfers, certificates, nor documents of any kind related to horses consigned to the sale. ASHA will attempt to forward signed registration papers and/or transfer documents to the purchaser or to the consignor if the horse was not sold.

12. WITHDRAWAL POLICY: If an entry is withdrawn from the sale after a consignor has received the appropriate sale package, a withdrawal fee of $1,500.00 will apply, unless the withdrawal is approved by an ASHA assigned veterinarian and that veterinarian’s certificate is provided to ASHA. The withdrawal fee is payable to ASHA before the yearling is removed from the sale facility.

13. An optional Reserve Bid procedure is available to consignors. Interested consignors are requested to enquire regarding this option at the Sale Office prior to 12:30 pm on Sunday, September 29, 2024.

14. ACKNOWLEDGEMENT OF PURCHASE AND PAYMENT RESPONSIBILITIES

The successful bidder of the yearling MUST sign the Acknowledgement of Purchase. The successful bidder/signor of the Acknowledgement of Purchase is the SOLE owner and is responsible for full and complete payment of the yearling.

Exceptions to this rule are those buyers/bidders who have a 2024 ASHA Yearling Sale authorized agent form on file with the ASHA Sales office prior to September 27th, 2024. Should this be the case, the bidder/purchaser is required to print and sign the Acknowledgement of Purchase AND clearly list the member he or she is purchasing for.

Should the assigned purchaser not complete payment of the yearling on the day of the sale, or within 14 days on approved credit, the bidder/purchaser signing the Acknowledgement of Purchase shall be named the SOLE owner and is responsible for full and complete payment of the yearling.

15. TRANSFER OF OWNERSHIP WITH STANDARDBRED CANADA

It is the responsibility of the new owner of the yearling to notify Standardbred Canada of the new owner(s). Should the new owners neglect to notify Standardbred Canada, documentation pertaining to that yearling (re: stake payments etc.) may be missed. The Alberta Standardbred Horse Association cannot be held responsible for any deficiencies resulting from the new owner neglecting to notify Standardbred Canada of the ownership change.

PAYMENT TERMS:

In addition to “Payment Terms” under “Conditions of Sale” previously printed in this sale catalogue, the Alberta Standardbred Horse Association MUST receive payment for all yearlings purchased at this sale within 15 days of the sale date.

In addition, all purchasers must pay the following – purchase price plus GST and the transfer of ownership fee charged by Standardbred Canada for the horse All registration papers/transfers for yearlings purchased/sold at the ASHA Yearling Sale will be sent to Standardbred Canada after the payment has been completed with our office. It is the responsibility of the purchaser to notify Standardbred Canada of the new owners of the horse

WARNING TO PURCHASERS OF YEARLINGS ELIGIBLE TO STAKES RACES:

When consignors report the stakes engagements of their yearlings, a memorandum of these engagements is printed under the pedigree of each horse.

The Alberta Standardbred Horse Association is not responsible for any errors, misstatements or omissions in engagements published in the catalogue or announced. The consignor is the party solely responsible for all such statements.

There is no liability assumed by the purchaser for any future payments in stakes events. Payments may be made at the purchaser’s option but must be made when due to be eligible. We recommend that all purchasers of stakes eligible horses contact each stake sponsor to advise them of the name and address of the new owners

ALBERTA ELIGIBILITIES:

Both the sire and yearling must be paid up in order for the yearling to be eligible to the Alberta Sires Stakes. Only those yearlings whose pedigrees include the Alberta Sires Stakes under “Stakes Engagements” in this catalogue are eligible to this program. The Alberta Standardbred Horse Association shall not be liable to any purchaser or consignor with respect to changes to the Alberta Sires Stakes.

I, the undersigned, have this day appointed to act for me in my name, in my stead and on my behalf, at the 2024 Yearling Sale to be conducted by the Alberta Standardbred Horse Association (ASHA). Said appointee, as my duly appointed and authorized agent, shall have full power and authority to act for me in any and all matters in connection with or arising out of the purchase of horses at the aforementioned sale Said agent is further authorized to execute any and all documents, including but not limited to insurance coverage in connection with the purchase(s) including granting the ASHA a security interest in all horses purchased and authorizing the ASHA to confess judgment against me for all amounts due and owing. I authorize said agent to do all things incidental to and furtherance of the purchase of horses, and I agree to pay for all animals purchased by said agent on my behalf in accordance with the conditions of the 2024 ASHA Yearling Sale. This agency is revocable only in writing by the undersigned, delivered to the Alberta Standardbred Horse Association.
