Dear ABFAS Diplomate: This January, you will have the opportunity to vote on a significant change to the governance of ABFAS—the amended and restated bylaws of the board. Our goals for the revision were: •

Simplifying the wording so that the bylaws are more easily understood.

Ensuring that the bylaws met current legal requirements based on ABFAS’s incorporation in Washington D.C. and physical location in California.

Removing bylaw sections that are more procedural in nature, keeping the basic structural and high-level policy statements in the bylaws.

Ensuring that the bylaws reflect the current needs of the board.

To meet these goals, the ABFAS Committee on Bylaws consulted with legal counsel for advice. The committee wanted to modernize our governance structure and reflect the current state of board governance models. The bylaws, which can only be changed through a vote of the membership, create the basic structure for the board’s operations; the policies that the ABFAS Board of Directors passes through resolutions are incorporated into a governance manual. This governance model provides operational flexibility for the ABFAS Board of Directors and office, and more importantly, transparency and accountability for ABFAS diplomates. The ABFAS Committee on Bylaws went through an intensive line-by-line review and rewrite of the existing bylaws. The ABFAS board subsequently reviewed the revisions and at its July 2016 meeting, unanimously approved the newly revised bylaws, paving the way for the membership vote. I hope that you take the time to review the proposed new bylaws and support our new governance model. The ABFAS Board of Directors is confident that this is the right direction, the right ambition, and the right time for ABFAS to move to this next phase in our development, and we hope you will agree.
