ARTICLE 1 - DEFINITIONS

‫ﺗطﺑق اﻟﺗﻌرﯾﻔﺎت اﻟواردة ﺑﻠواﺋﺢ ﺗﻧظﯾم ﻣﺟﺎﻟس اﻷﻋﻣﺎل ﻟﻐرف دﺑﻲ‬ .‫ﻋﻠﻰ اﻟﻣﻌﺎﻧﻲ واﻟﻣﺻطﻠﺣﺎت اﻟواردة ﻓﻲ ھذا اﻟﻧظﺎم اﻷﺳﺎﺳﻲ‬

The definitions contained in the Regulations Organizing Business Councils of Dubai Chambers shall apply to the meanings and terms contained in these Articles of Association.

ARTICLE 2 - NAME AND PREMISES

‫ﯾﺳﻣﻰ ﻣﺟﻠس اﻷﻋﻣﺎل ھذا ب )ﻣﺠﻠﺲ اﻷﻋﻤﺎل اﻷﻣﺮﯾﻜﻲ ﻓﻲ دﺑﻲ‬ ‫واﻹﻣﺎرات اﻟﺸﻤﺎﻟﯿﺔ )ﻏﺮﻓﺔ اﻟﺘﺠﺎرة اﻷﻣﺮﯾﻜﯿﺔ ﺑﺪﺑﻲ (ﻻ ﯾﮭدف ﻟﺗﺣﻘﯾق‬ ‫ ﯾﺗﻣﺗ ّﻊ ﺑﺎﻟﺷﺧﺻﯾّﺔ اﻻﻋﺗﺑﺎرﯾّﺔ واﻷھﻠﯾّﺔ اﻟﻘﺎﻧوﻧﯾّﺔ اﻟﻼزﻣﺔ‬،‫اﻟرﺑﺢ‬ ‫ وﯾﺗﺧذ ﻣن إﻣﺎرة‬،‫ﻟُﻣﺑﺎﺷرة اﻷﻋﻣﺎل واﻟﺗﺻﱡرﻓﺎت اﻟﺗﻲ ﺗﺣﻘق أھداﻓﮫ‬ ‫ ﯾﻌﻣل ﻣﺟﻠس اﻷﻋﻣﺎل ﺗﺣت ﻣظﻠﺔ وإﺷراف ﻏرف دﺑﻲ‬،‫دﺑﻲ ﻣﻘرا ً ﻟﮫ‬ .‫وﻓﻘﺎ ً ﻟﻠواﺋﺢ ﺗﻧظﯾم ﻣﺟﺎﻟس اﻷﻋﻣﺎل ﻟﻐرف دﺑﻲ‬

This Business Councils is called (The American Business Council of Dubai (AmCham Dubai)) non-profit Council, which shall have the legal personality and legal capacity necessary to carry out activities and actions that achieve its objectives, and shall has its premises in the Emirate of Dubai, this Councils operates under the umbrella and supervision of Dubai Chambers in accordance with the Regulations Organizing Business Councils of Dubai Chambers.

ARTICLE 3 - COUNCIL OBJECTIVES

To promote the development of commerce and investment between the United States of America and Dubai and the Northern Emirates (Ajman, Fujairah, Ras Al Khaimah, Sharjah, and Umm Al Quwain).

To amplify awareness of Dubai's commercial position in the Middle East

‫أن ﯾﻛون ﻋﻠﻰ اﺗﺻﺎل ﻣﺑﺎﺷر ﻣﻊ ﻏرﻓﺔ اﻟﺗﺟﺎرة ﺑﺎﻟوﻻﯾﺎت اﻟﻣﺗﺣدة‬ ‫ وﻟﻠﺗﻌﺑﯾر ﻋن آراء ﻣﺟﺗﻣﻊ‬،‫وﻏرف اﻟﺗﺟﺎرة وﻣﻧظﻣﺎت اﻷﻋﻣﺎل اﻷﺧرى‬ ‫اﻷﻋﻣﺎل اﻷﻣرﯾﻛﻲ اﻟﻣﺣﻠﻲ ﻟﻠﻣﺻﺎﻟﺢ اﻟﻌﺎﻣﺔ واﻟﺧﺎﺻﺔ ﻓﻲ اﻟوﻻﯾﺎت‬ .‫اﻟﻣﺗﺣدة‬

To be a direct liaison with the Chamber of Commerce of the United States and other chambers of commerce and business organizations, and to express the views of the local American business community to public and private interests in the United States.

To provide a forum in which American business executives in Dubai and the Northern Emirates and business executives with American interests may identify, discuss and pursue common interests regarding their activities.

ARTICLE 4 - MEMBERSHIP CATEGORIES

‫اﻟﻣؤﺳﺳﺎت‬/‫ ﻋﺿوﯾﺔ اﻟﺷرﻛﺎت‬.‫أ‬ ‫اﻟﺷرﻛﺎت واﻟﻣؤﺳﺳﺎت اﻟﺗﻲ ﻟدﯾﮭﺎ ﺗرﺧﯾص ﺳﺎري اﻟﻣﻔﻌول ﻟﻠﻌﻣل ﻓﻲ‬ ‫اﻟدوﻟﺔ ﺑﻣﺎ ﻓﻲ ذﻟك ﺷرﻛﺎت وﻣؤﺳﺳﺎت اﻟﻣﻧﺎطق اﻟﺣرة وﻣﻧﺎطق‬ .‫اﻟﺗطوﯾر اﻟﺧﺎﺻﺔ‬

a. Companies /Organizations Membership Companies and organizations with a valid license to operate in the State, including freezones’ companies and establishments and special development zones.

American Business Membership Membership in this category shall be open to American businesses with a presence in Dubai and/or the Northern Emirates either independently or in affiliation with a U.A.E. national.

U.A.E. Business Membership Membership in this category shall be open to companies or major operating units thereof with a presence in Dubai and/or the Northern Emirates and which carry on, as a major business, an agency, distributorship, franchise or other representation for an American business, or a joint venture or management contract with an American business, or a business which is managed or operated substantially by American professionals in accordance with American standards, or which otherwise has a special nexus with the American business community.

‫ﯾﺣق ﻟﻠﻣؤﺳﺳﺔ اﻟﺗﻲ ﻟدﯾﮭﺎ ﻋﺿوﯾﺔ ﺗﺟﺎرﯾﺔ ﺗﻌﯾﯾن ﻣﺎ ﯾﺻل إﻟﻰ ﺧﻣﺳﺔ‬ ‫( أﻓراد إﺿﺎﻓﯾﯾن ﻛﺄﻋﺿﺎء ﻓﻲ إطﺎر اﻟﺷرﻛﺔ ﺑﺷرط أن ﯾﻛوﻧوا‬5) ‫ﻣوظﻔﯾن وﺳﺗﻛون ﻣﺷﺎرﻛﺗﮭم ﻣﺳﺎھﻣﺔ إﯾﺟﺎﺑﯾﺔ ﻓﻲ ﻣﮭﻣﺔ ﻏرﻓﺔ اﻟﺗﺟﺎرة‬ ‫ ﺳﯾﺗم رﺑط ھذه اﻟﻌﺿوﯾﺎت ﺑﻌﺿوﯾﺔ اﻟﻣﻧظﻣﺎت وﯾﺟب‬.‫اﻷﻣرﯾﻛﯾﺔ ﺑدﺑﻲ‬ ‫ ﻋﻧدﻣﺎ ﯾﻐﺎدر‬.‫ﻋﻠﻰ اﻟﻣﻧظﻣﺔ ﺗﺣدﯾد ﻣن ﯾﺣﻣل ﻛل ﻣن اﻟﺧﺎﻧﺎت اﻟﺧﻣس‬ ‫ ﺗﺣﺗﻔظ اﻟﻣﻧظﻣﺔ ﺑﺎﻟﻌﺿوﯾﺔ وﯾﻣﻛن إﻋﺎدة ﺗﻌﯾﯾﻧﮭﺎ‬، ‫اﻟﻔرد اﻟﻣﻧظﻣﺔ‬ .‫ﻟﻣوظف ﻣﺧﺗﻠف‬ ‫ ﻋﺿوﯾﺔ اﻷﻓراد‬.‫ب‬ ‫ﯾﺟب أن ﺗﻛون اﻟﻌﺿوﯾﺔ ﻓﻲ ھذه اﻟﻔﺋﺔ ﻣﻔﺗوﺣﺔ ﻟﻠﻣواطﻧﯾن اﻷﻣرﯾﻛﯾﯾن‬ ‫وﺣﺎﻣﻠﻲ اﻟﺑطﺎﻗﺔ اﻟﺧﺿراء أو اﻟﻣواطﻧﯾن اﻹﻣﺎراﺗﯾﯾن اﻟذﯾن ﯾﻌﻣﻠون ﻓﻲ‬ ‫ ﺑﺎﺳﺗﺛﻧﺎء اﻷﻓراد اﻟﻣؤھﻠﯾن ﻛﻣﻣﺛل ﻟﻌﺿو‬، ‫ أو اﻹﻣﺎرات اﻟﺷﻣﺎﻟﯾﺔ‬/ ‫دﺑﻲ و‬ .‫ﺗﺟﺎري‬

An organization, holding a business membership may appoint up to five (5) additional individuals as members under their company provided, they are employees and their engagement will be a positive contribution to the mission of the AmCham Dubai. These memberships will be tied to the organizations membership and the organization must determine who holds each of the five slots.

When an individual leaves the organization, the membership is retained by the organization and may be reassigned to a different employee.

b.Individual Membership

Membership in this category shall be open to American citizens and green card holders or Emirati Nationals who are working in Dubai and/or the Northern Emirates, except individuals who would qualify as the representative of a Business Member.

Provided these people have an interest in furthering the objectives and of the Council given that they: 1- have not been convicted of a felony or any crime that affects their honor and integrity, 2- is not declared bankrupt prior to joining the Council unless he was reinstated.

3- have full legal capacity in accordance to the applicable laws in the state.

4- This membership may not be assigned or transferred to others.

Article 5 - MEMBERSHIP APPLICATIONS AND FEES Applications to join the Council membership shall be addressed to the Council Board of Directors who shall, by simple majority vote, accept the applicant member if their forms and other requirements are deemed to be in order.

Applicants shall complete the approved application form and shall provide the Council Board of Directors with any other information that it may deem appropriate.

Once approved and once the membership fees have been paid, the membership will be activated.

The membership year runs from January – December and is prorated quarterly.

Subsequent years will be invoiced in Q4.

The annual membership fee for the first year of establishment of the Council is set at AED 10,000 ((*) United Arab Emirates Dirhams), said amount shall be paid within 1 month from the date of the approval of membership application, the fee shall be deposited into the Council designated bank account. The annual membership fee for every subsequent year shall be established by the Council Board of Directors and paid within the timeframe specified by the Council Board of Directors.

‫إذا ﺗﺧﻠف أي ﻋﺿو ﻋن ﺳداد اﻟرﺳوم اﻟﻣﻘررة ﺧﻼل اﻹطﺎر اﻟزﻣﻧﻲ‬ ‫ ﯾﺟب ﻋﻠﻰ ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل إرﺳﺎل ﺗذﻛﯾر إﻟﻰ ھذا‬،‫اﻟﻣﺣدد‬ ‫ ﯾوﻣﺎ ﻟﺗﺳوﯾﺔ أوﺿﺎﻋﮫ وﺳداد‬30 ‫اﻟﻌﺿو وإﻣﮭﺎﻟﮫ ﺑﻔﺗرة ﺳﻣﺎح ﻣدﺗﮭﺎ‬ ‫ ﯾﺗم‬،‫اﻟﻣﺑﻠﻎ اﻟﻣﺳﺗﺣق وإذا ﺗﺧﻠف اﻟﻌﺿو ﻋن اﻟﺳداد ﺑﻌد اﻧﺗﮭﺎء ھذه اﻟﻣدة‬ .‫ﺳﺣب اﻟﻌﺿوﯾﺔ وإﺧطﺎره ﺑذﻟك‬

Any Member fails to pay the applicable Council membership fee within the time frame, the Council Board of Directors shall send a reminder to the concerned Member who shall have a grace period of 30 days to rectify his/her position and make the payment. Failure to pay after such period shall; entail invalidation of the membership and the Member shall be accordingly notified. ‫ ﻓﻘدان وﺳﻘوط ﻋﺿوﯾﺔ ﻣﺟﻠس اﻷﻋﻣﺎل‬- 6 ‫اﻟﻣﺎدة‬

ARTICLE 6 - LOSS AND FORFEITURE OF COUNCIL MEMBERSHIP

:‫ ﯾﻔﻘد اﻟﻌﺿو ﻋﺿوﯾﺗﮫ أو ﺗﺳﻘط ﻓﻲ أي ﻣن اﻟﺣﺎﻻت اﻟﺗﺎﻟﯾﺔ‬.‫أ‬ . ‫ اﻟوﻓﺎة ﻓﻲ ﺣﺎﻟﺔ ﻋﺿوﯾﺔ اﻷﻓراد‬-1 ‫ ﻋﺟز اﻟﻌﺿو اﻟﻔرد ﻋن ﻗﯾﺎﻣﮫ ﺑواﺟﺑﺎﺗﮫ أو ﻓﻘدان اﻷھﻠﯾﺔ ﺑﺳﺑب أي‬-2 ‫ﻋﺎرض ﻣن ﻋوارض اﻷھﻠﯾﺔ ﻋﻠﻰ اﻟﻧﺣو اﻟﻣﻧﺻوص ﻋﻠﯾﮫ ﻓﻲ‬ . ‫اﻟﻘواﻧﯾن اﻟﻣﻌﻣول ﺑﮭﺎ‬ ‫ ﻓﻲ ﺣﺎﻟﺔ إداﻧﺔ أي اﻟﻌﺿو اﻟﻔرد ﺑﺄي ﺟرﯾﻣﺔ ﻣﺧﻠﺔ ﻟﻠﺷرف‬-3 .‫واﻟﻧزاھﺔ‬ ‫ وﻟو ﻟم‬،‫ إذا أﻋﻠن أﺣد اﻷﻋﺿﺎء إﻓﻼﺳﮫ أو ﺗوﻗف ﻋن ﺳداد دﯾوﻧﮫ‬-4 .‫ﯾﻛن ﻣﺻﺣوﺑﺎ ً ﺑﺈﻋﻼن إﻓﻼﺳﮫ‬ .‫ زوال اﻟوﺿﻊ اﻟﻘﺎﻧوﻧﻲ ﻟﻣﺟﻠس اﻷﻋﻣﺎل‬-5 ‫ ﺣل أو ﺗﺻﻔﯾﺔ اﻟﻛﯾﺎن اﻟﻘﺎﻧوﻧﻲ ﻟﻠﻌﺿو ﻓﻲ ﺣﺎﻟﺔ ﻋﺿوﯾﺔ‬-6 .‫اﻟﺷرﻛﺎت‬ ‫اﻟﻣﮭﻧﯾﺔ ﻟﻸﻋﺿﺎء ﻣن‬/‫ ﻓﻘدان أو إﻟﻐﺎء اﻟرﺧﺻﺔ اﻟﺗﺟﺎرﯾﺔ‬-7 .‫اﻟﺷرﻛﺎت‬ .‫ ﻋدم دﻓﻊ رﺳوم اﻟﻌﺿوﯾﺔ‬-8 ‫ إذا ﻟم ﯾﻠﺗزم اﻟﻌﺿو ﺑﺄداء واﺟﺑﺎﺗﮫ أو اﻟﻣﺑﺎدئ اﻟﻌﺎﻣﺔ ﻟﺣﺳن اﻟﻧﯾﺔ‬-9 ‫أو ﻗواﻋد اﻟﺳﻠوك أو اﻟﺳرﯾﺔ أو ﻋدم ﺗﺿﺎرب اﻟﻣﺻﺎﻟﺢ أو ﻣﻛﺎﻓﺣﺔ‬ .‫اﻻﺣﺗﯾﺎل‬ ‫ إذا ﻗدم أﺣد أﻋﺿﺎء ﻣﺟﻠس اﻷﻋﻣﺎل ﻣﺳﺗﻧدات ﺗﺣﺗوي ﻋﻠﻰ‬-10 ‫ﻣﻌﻠوﻣﺎت ﻛﺎذﺑﺔ ﻟﻐرف دﺑﻲ أو أﺧﻔﻰ ﻣﻌﻠوﻣﺎت ھﺎﻣﺔ ﻋن ﻏرف‬ .‫دﺑﻲ‬ ً ‫ اﻟﻔﺻل وﻓﻘﺎ ﻟﻘرار اﻷﻋﺿﺎء ﻓﻲ اﺟﺗﻣﺎع اﻟﺟﻣﻌﯾﺔ اﻟﻌﻣوﻣﯾﺔ ﺑﻧﺎًء‬-11 .‫ﻋﻠﻰ ﺗوﺻﯾﺔ ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل‬ ‫ إذا طﻠب ﻋﺿو ﻣﺟﻠس اﻷﻋﻣﺎل إﻋﻔﺎءه ﻣن ﻣﮭﺎﻣﮫ ﺑﻣوﺟب إﺧطﺎر‬-12 ‫ﺧطﻲ‬

a. A member shall either lose or forfeit the Council membership in any of the following cases: 1- Death of an individual member.

2- Inability to perform his/her duties or loss of capacity due to any of the impediments to legal capacity as established by the applicable laws.

3- If a Individual member is convicted of any crime involving his/her honesty and integrity.

4- If a member declares his/her bankruptcy or ceased to pay his/her debts, even if it is not accompanied by declaring his/her bankruptcy.

5- Cessation of the legal status of the Council.

6- Dissolution or liquidation of the legal entity of the corporate member.

7- Loss or cancelation of commercial/professional license of the corporate member.

8- Non-payment of membership fees.

9- If a member did not adhere to perform his/her duties or the general principles of good faith or rules of conduct or confidentiality or non-conflict of interest or anti-fraud.

10- If a Council member submits documents containing false information to Dubai Chambers or concealing important information from Dubai Chambers.

11- Termination in accordance with the decision of the General Assembly following a recommendation from the Council Board of Directors.

‫ ﺧﻼل اﺟﺗﻣﺎع اﻟﺟﻣﻌﯾﺔ اﻟﻌﻣوﻣﯾﺔ أو‬، ‫ إذا رأى ﻣﺟﻠس اﻷﻋﻣﺎل‬.‫ب‬ ‫ أن أﺣد اﻷﻋﺿﺎء ﯾﺗﺻرف‬،‫اﺟﺗﻣﺎع اﻟﺟﻣﻌﯾﺔ اﻟﻌﻣوﻣﯾﺔ ﻏﯾر اﻟﻌﺎدﯾﺔ‬ ‫ ﯾﻠﺗزم ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل‬،‫ﺑطرﯾﻘﺔ ﻗد ﺗﺿر ﺑﺄھداﻓﮫ وﻣﺻﺎﻟﺣﮫ‬ .ً ‫ ﺑﺈﻧﮭﺎء ﻋﺿوﯾﺗﮫ ﻓورا‬،‫ ﺑﻧﺎء ﻋﻠﻰ ﺗﻌﻠﯾﻣﺎت اﻟﺟﻣﻌﯾﺔ اﻟﻌﻣوﻣﯾﺔ‬،‫ﺣﯾﻧﮭﺎ‬ ‫وﯾﺟب أن ﯾﻛون اﻟﻧﺻﺎب اﻟﻘﺎﻧوﻧﻲ واﻷﻏﻠﺑﯾﺔ اﻟﻣطﻠوب ﺗواﻓرھﺎ ﻓﻲ‬ ‫اﻟﺟﻣﻌﯾﺔ اﻟﻌﻣوﻣﯾﺔ ﻟﻠﻣواﻓﻘﺔ ﻋﻠﻰ ھذا اﻟﻘرار ﺣﺳب اﻟﻣﻧﺻوص ﻋﻠﯾﮫ ﻓﻲ‬ .‫( ﻣن اﻟﻧظﺎم اﻷﺳﺎﺳﻲ ﻣﺟﻠس اﻷﻋﻣﺎل‬7) ‫اﻟﻣﺎدة‬

12- If a member requests to be relieved from his duties by virtue of a written notice.

b. If the Council whether in its Ordinary General Assembly Meeting or an Extraordinary Assembly Meeting considers that the conduct of one of the Council members is injurious to the objectives and interests of the Council, the Council Board of Directors shall, upon instructions of the General Assembly, terminate the Member’s membership effective immediately. The quorum and majority required by the Assembly to adopt such resolution shall be as established in Article 7 of the Council’s Articles of Association.

‫ ﯾﻣﻛن إﻋﺎدة اﻟﻌﺿوﯾﺔ اﻟﻣﻠﻐﺎه إذا ﻗرر ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل‬.‫ج‬ ‫وﻓﻘﺎ ً ﻟﺗﻘدﯾره وﺑﺗﺻوﯾت اﻷﻏﻠﺑﯾﺔ اﻟﺑﺳﯾطﺔ أن ھﻧﺎك أﺳﺑﺎب ﻟﻼﻋﺗﻘﺎد ﺑﺄن‬ .‫اﻟوﺿﻊ أو اﻟﺳﻠوك اﻟذي أدى إﻟﻰ اﻻﺳﺗﻘﺎﻟﺔ أو اﻹﻟﻐﺎء ﺳﯾﺗم ﺗﺻﺣﯾﺣﮫ‬

c. The cancelled membership may be re-instated if the Council Board of Directors, at its discretion and by simple majority vote, decides that there are reasons to believe that the situation or conduct that gave rise to the resignation or cancellation will be corrected.

ARTICLE 7 - GENERAL ASSEMBLY MEETINGS

‫ اﺟﺗﻣﺎﻋﺎت اﻟﺟﻣﻌﯾﺔ اﻟﻌﻣوﻣﯾﺔ اﻟﻌﺎدﯾﺔ‬- 7 ‫اﻟﻣﺎدة‬ ‫ ﯾﺗﺄﻟف اﺟﺗﻣﺎع اﻟﺟﻣﻌﯾﺔ اﻟﻌﻣوﻣﯾﺔ ﻣن ﺟﻣﯾﻊ اﻷﻋﺿﺎء اﻟذﯾن ﯾﺳﺗوﻓون‬.‫أ‬ ‫ﻣﺗطﻠﺑﺎت اﻟﻌﺿوﯾﺔ وﻗﺎﻣوا ﺑﺳداد رﺳوم اﻟﻌﺿوﯾﺔ ﻗﺑل اﻧﻌﻘﺎد اﺟﺗﻣﺎع‬ .‫اﻟﺟﻣﻌﯾﺔ اﻟﻌﻣوﻣﯾﺔ‬

a. The general assembly meeting shall be comprised of all Members who satisfy membership requirements and have paid their membership fees prior to the general assembly meeting.

‫ ﯾ ُﻌﻘد اﺟﺗﻣﺎع اﻟﺟﻣﻌﯾﺔ اﻟﻌﻣوﻣﯾﺔ ﻣرة واﺣدة ﻓﻲ اﻟﻌﺎم ﻋﻠﻰ اﻷﻗل‬.‫ب‬ ‫ )ﺛﻼﺛﺔ( أﺷﮭر اﻟﺗﻲ ﺗﻠﻲ اﻧﺗﮭﺎء اﻟﺳﻧﺔ اﻟﻣﺎﻟﯾﺔ وﯾﻧﻌﻘد‬3 ‫ﺧﻼل أول‬ ‫ ﺑﻧﺎًء ﻋﻠﻰ‬،‫أو ﻋن طرﯾق وﺳﺎﺋل اﻻﺗﺻﺎل اﻟﻣرﺋﻲ‬/‫اﻻﺟﺗﻣﺎع ﺷﺧﺻﯾﺎ ً و‬ ‫( واﺣد وﻋﺷرﯾن ﯾوﻣﺎ ً ﻋﻠﻰ‬21) ‫دﻋوة ﺧطﯾﺔ ﻣن اﻟرﺋﯾس وﺗ ُرﺳل ﻗﺑل‬ ‫( ﺛﻼﺛﯾن ﯾوﻣﺎ ً ﻋﻠﻰ‬30)‫اﻷﻗل ﻣن اﻟﺗﺎرﯾﺦ اﻟﻣﺣدد ﻻﻧﻌﻘﺎد اﻻﺟﺗﻣﺎع و‬ ‫ ﻣرﻓﻘﺎ ً ﻣﻌﮭﺎ ﺟدول أﻋﻣﺎل اﻻﺟﺗﻣﺎع ﻣﺗﺿﻣﻧﺎ ً اﻟﻣوﺿوﻋﺎت اﻟﺗﻲ‬،‫اﻷﻛﺛر‬ ‫ ﯾ ُؤﺟل اﻻﺟﺗﻣﺎع ﻟﻣدة‬،‫ وﻓﻲ ﺣﺎﻟﺔ ﻋدم اﻛﺗﻣﺎل اﻟﻧﺻﺎب‬.‫ﺳﯾﺗم ﻣﻧﺎﻗﺷﺗﮭﺎ‬ ‫ ﯾ ُﺷﻛل‬،‫ وﺑﻌد ذﻟك ﻓﻲ ﺣﺎﻟﺔ ﻋدم اﻛﺗﻣﺎل اﻟﻧﺻﺎب‬،‫( ﺛﻼﺛﯾن دﻗﯾﻘﺔ‬30) ‫ ﺑﺎﺳﺗﺛﻧﺎء اﺟﺗﻣﺎع اﻟﺟﻣﻌﯾﺔ اﻟﻌﻣوﻣﯾﺔ اﻷول‬،‫اﻟﺣﺎﺿرون اﻟﻧﺻﺎب اﻟﻘﺎﻧوﻧﻲ‬ ‫ﻟﻣﺟﻠس اﻷﻋﻣﺎل وﻓﻲ ﺣﺎﻟﺔ اﻧﺗﺧﺎﺑﺎت ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل اﻟذي‬ ‫ﯾﺟب أن ﯾﺳﺗوﻓوا ﻣﺗطﻠﺑﺎت اﻟﻧﺻﺎب اﻟﻘﺎﻧوﻧﻲ اﻟﻣﻧﺻوص ﻋﻠﯾﮭﺎ ﻓﻲ‬ .‫اﻟﻧظﺎم اﻷﺳﺎﺳﻲ‬

b. The general assembly meeting shall be held at least once a year within the first 3 (three) months following the end of its financial year in person and/or by means of virtual communication, upon a written invitation from the Chairman to the contact details given to the Council Board of Directors upon submission of Council membership application. The invitation shall be sent at least (21) twenty-one days prior to the date set for holding the meeting and (30) thirty days at the most and attaching a meeting agenda including the topics to be discussed. In case a quorum is not met, the meeting shall be adjourned for (30) thirty minutes, after which if there is no quorum, then those present shall constitute a quorum, except for the first General Assembly

Meeting of the Council which needs to meet the quorum requirements set out in these Articles of Association.

c. The quorum for a Council general assembly meeting shall be 30% of the voting members. d. The fixed agenda of the Council general assembly meeting is: 1- Sharing and approving the annual report of the Council.

2- Sharing the audit report of the previous financial year.

3- Approving the financial statement of the prior financial year.

4- Appointing new auditors.

5- Any other issue proposed by the voting members and approved by the meeting chairperson may be added to the agenda.

1- e. American Business Members Principal Representative will be entitled to (2) votes and Emirati Business Members will be entitled to (1) vote. The company should appoint its most senior employee in the Emirate as the Principal Representative to the Council, such appointment shall be in writing. This representative will cast the ballot for the company as required by the council. .

2- f. Any of the representatives can be replaced by written notice at any time during the validity of the membership without additional fees.

34- g. Voting is conducted online and each voting member will receive a unique code in advance of the meeting during a period of not less than 15 days prior to the meeting. Should a quorum not be met in the online voting period, voting may occur at the meeting as well. h. Approval of resolutions shall be adopted with majority votes of the Members present and those who have voted electronically.

a. Extraordinary General Assembly may be called by a request from at least (75%) seventy-five percent of the Council Board of Directors and/or more than (50%) fifty percent of the General Assembly Members with voting rights.

b. The Chairman shall announce the request for an Extraordinary General Assembly Meeting within (7) seven days from the date of receiving the request attaching a meeting agenda including the topics to be discussed and whether the meeting will be in person or by virtual means.

However, the Extraordinary General Assembly Meeting shall be held between (14) fourteen days and (21) twenty-one days after the announcement.

c. The quorum for an Extraordinary General Assembly Meeting shall be (30) thirty percent of the voting Members.

(7) ‫ ﯾﺗم ﺗﺄﺟﯾل اﻻﺟﺗﻣﺎع ﻣرة أﺧرى ﻟﻣدة‬،‫اﻟﻘﺎﻧوﻧﻲ ﻓﻲ اﻻﺟﺗﻣﺎع اﻟﺛﺎﻧﻲ‬ .‫ﺳﺑﻌﺔ أﯾﺎم وﯾﺷﻛل اﻟﺣﺎﺿرون اﻟﻧﺻﺎب اﻟﻘﺎﻧوﻧﻲ‬

d. In case a quorum is not met, the Extraordinary General Assembly Meeting will be adjourned for (7) seven days. If, at the subsequent meeting at least (20) percent of Members are in attendance, that shall be sufficient to form quorum. If that second meeting is still not quorate, then the meeting will again be adjourned for another (7) seven days and those present shall constitute a quorum.

ARTICLE 9 - MEMBERS VOTING RIGHTS

a. Each American Business Member shall have (2) two votes and Each UAE Business Member shall have (1) one vote and each American Individual Member has (1) one vote. This constitutes the entire voting membership.

b. In case of an equality of votes, a second round of voting shall take place. If equality of votes is obtained again, the meeting Chairperson shall have the casting vote. c. In case of virtual meetings, the Council Board of Directors may call the online voting with at least (15) fifteen days and at most (30) thirty days’ notice. The quorum for any online voting shall be 30 percent of the voting Members. Each Member votes only once and no proxy to another Member is accepted.

d. Only those Members who have a valid membership and settled their membership fees as specified in the Articles of Associations are eligible to vote during any Council Meetings.

ARTICLE 10 - COUNCIL BOARD OF DIRECTORS COMPOSITION

‫ ﺗﺷﻛﯾل ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل‬- 10 ‫اﻟﻣﺎدة‬

A board member’s purpose is to provide organizational leadership and strategy to maximize AmCham’s ability to achieve the mission. Members of the Board are selected because of their leadership and experience in their respective industries. Board members are expected to share their perspectives, backgrounds, experience, knowledge, and insights as they relate to matters before the Board and its committees. All board members have voting rights. The best practice is for board members to give of their time, talent, and treasure. Time is the amount of their volunteer service to the organization recognized by regularly attending board meetings, AmCham Dubai programs, and participating in any of the active committees. Talent is the unique skills and knowledge each member uniquely provides to the organization. Treasure is the financial contribution a board member can make through the premier club and or sponsorship. In addition, it is very important for board members to open doors to prospects by referring new members to the organization.

‫‪ -3‬ﺗﻛرﯾس اﻟوﻗت واﻟطﺎﻗﺔ اﻟﻼزﻣﯾن ﻟﻠوﻓﺎء ﺑﻣﺳؤوﻟﯾﺎت اﻟﻣدﯾر ‪ ،‬ﺑﻣﺎ‬ ‫ﻓﻲ ذﻟك اﻟﺣﺿور واﻟﻣﺷﺎرﻛﺔ اﻟﻧﺷطﺔ واﻟﻣﺳﺗﻧﯾرة ﻓﻲ اﺟﺗﻣﺎﻋﺎت‬ ‫ﻣﺟﻠس اﻹدارة واﻟﻠﺟﺎن اﻟﺗﻲ ﯾﺧدﻣون ﻓﯾﮭﺎ‪.‬‬ ‫‪ -4‬إظﮭﺎر أﻋﻠﻰ ﻣﻌﺎﯾﯾر اﻟﻧزاھﺔ اﻟﺷﺧﺻﯾﺔ واﻟﻣﮭﻧﯾﺔ‪.‬‬ ‫‪ -5‬اﻟﺗﻔﺎﻋل واﻟﻌﻣل ﻣﻊ زﻣﻼﺋﮫ ﻣن أﻋﺿﺎء ﻣﺟﻠس اﻹدارة واﻹدارة‬ ‫اﻟﻌﻠﯾﺎ وﻏﯾرھم ﻣن اﻟﻣوظﻔﯾن ﺑطرﯾﻘﺔ ﺟﻣﺎﻋﯾﺔ وﻣﺣﺗرﻣﺔ وﺑﻧﺎءة‪.‬‬ ‫ﺿﻣﺎن ﺗﺷﻐﯾل ﻣﺟﻠس اﻹدارة ﺑﻛﻔﺎءة وﻓﻲ اﻟوﻗت اﻟﻣﻧﺎﺳب واﻟﻧظر‬ ‫ﻓﻲ اﻟﻘﺿﺎﯾﺎ واﺗﺧﺎذ اﻟﻘرارات واﻹﺟراءات‪.‬‬ ‫أ‪ .‬ﯾﻧﺗﺧب اﻷﻋﺿﺎء اﻟﻣﺻوﺗون ﻓﻲ اﻟﺟﻣﻌﯾﺔ اﻟﻌﺎﻣﺔ ﻣن ﺑﯾن أﻋﺿﺎﺋﮭﺎ‬ ‫ﻣﺟﻠس إدارة ﯾﺗﺄﻟف ﻣن )‪ (5‬ﺧﻣﺳﺔ ﻋﻠﻰ اﻷﻗل وﻻ ﯾزﯾد ﻋن )‪(9‬‬ ‫ﺗﺳﻌﺔ أﻋﺿﺎء‪ .‬ﯾﺟب ﺗﻘدﯾم أﺳﻣﺎء اﻷﻋﺿﺎء اﻟﻣرﺷﺣﯾن إﻟﻰ ﻏرف‬ ‫دﺑﻲ ﻗﺑل اﻻﺟﺗﻣﺎع‪ .‬ﻓﻲ ﺣﺎﻟﺔ اﺳﺗﻘﺎﻟﺔ أو إﻧﮭﺎء ﻋﺿوﯾﺔ أﺣد أﻋﺿﺎء‬ ‫ﻣﺟﻠس اﻹدارة ‪ ،‬ﯾﺗﻌﯾن ﻋﻠﻰ ﻣﺟﻠس اﻹدارة إﺧطﺎر ﻏرف دﺑﻲ‪ .‬إذا‬ ‫اﻧﺧﻔض ﻋدد أﻋﺿﺎء ﻣﺟﻠس اﻹدارة إﻟﻰ أﻗل ﻣن )‪ (5‬ﺧﻣﺳﺔ ‪ ،‬ﻓﯾﺟب‬ ‫إﺟراء اﻧﺗﺧﺎﺑﺎت ﻋﺿو ﻣﺟﻠس اﻹدارة اﻟﺟدﯾد ﺧﻼل )‪ (30‬ﺛﻼﺛﯾن‬ ‫ﯾوًﻣﺎ ﻣن ذﻟك اﻟﺗﺎرﯾﺦ‪.‬‬ ‫ب‪ .‬ﯾﻧﺗﺧب اﻷﻋﺿﺎء اﻟﻣﺻوﺗون ﻓﻲ اﻟﺟﻣﻌﯾﺔ اﻟﻌﺎﻣﺔ اﻟرﺋﯾس وﻧﺎﺋب‬ ‫اﻟرﺋﯾس واﻷﻣﯾن وﻣدﯾر اﻟﻣﺎﻟﯾﺔ وﻣدﯾر اﻟﻌﺿوﯾﺔ وﻣدﯾر اﻟﺑراﻣﺞ‬ ‫وﺛﻼﺛﺔ )‪ (3‬ﻣدﯾرﯾن ﻋﺎﻣﯾن‪ .‬ﯾﻣﻛن ﻟﻧﺎﺋب اﻟرﺋﯾس أن ﯾﺗوﻟﻰ ﻣﮭﺎم‬ ‫اﻟرﺋﯾس إذا ﺗم ﺗﻔوﯾﺿﮫ ﻣن ﻗﺑل اﻟرﺋﯾس أو ﻓﻲ ﺣﺎﻟﺔ ﻏﯾﺎب اﻟرﺋﯾس‪.‬‬ ‫ج‪ .‬ﯾﺗﺄﻟف ﻣﺟﻠس إدارة اﻟﻣﺟﻠس ﻣن‪:‬‬ ‫‪ -1‬ﻣﺎ ﻻ ﯾﻘل ﻋن )‪ (٪50‬ﺧﻣﺳﯾن ﺑﺎﻟﻣﺎﺋﺔ ﻣن اﻷﻋﻣﺎل اﻟﻣرﺧﺻﺔ‬ ‫ﻓﻲ اﻹﻣﺎرة‪.‬‬ ‫‪ -2‬ﻋﻠﻰ اﻷﻗل ‪ -‬ﻣﺳﺗوى إداري ﯾﻣﺛﻠون ﺷرﻛﺎﺗﮭم‪ .‬ﯾ ُﺳﻣﺢ ﺑﻣﻧﺎﺻب‬ ‫إدارﯾﺔ ﻣﻌﺎدﻟﺔ ‪ ،‬ﻟﻠﺷرﻛﺎت اﻷﻋﺿﺎء ﻣن اﻟﻔﺋﺔ )أ( ﺑﻣﺎ ﻓﻲ ذﻟك ﻋﻠﻰ‬ ‫ﺳﺑﯾل اﻟﻣﺛﺎل ﻻ اﻟﺣﺻر اﻟﻣدﯾرﯾن اﻟﻌﺎﻣﯾن واﻟﻣدﯾرﯾن اﻹدارﯾﯾن ‪،‬‬ ‫ﺑﺷرط اﻋﺗﻣﺎدھﺎ ﻣن ﻗﺑل ﻏرف دﺑﻲ‪.‬‬ ‫‪ -3‬ﯾﺟب أن ﯾﻣﺛل رﺋﯾس ﻣﺟﻠس اﻹدارة وﻧﺎﺋب اﻟرﺋﯾس ﺷرﻛﺔ‬ ‫أﻣرﯾﻛﯾﺔ ﻣرﺧﺻﺔ ﻓﻲ اﻹﻣﺎرة وﺣﺎﻣل ﺟواز ﺳﻔر أﻣرﯾﻛﻲ‪.‬‬ ‫‪ -4‬ﻓﻲ ﺣﺎل اﻧﺗﮭﺎء ﻓﺗرة رﺋﯾس ﻣﺟﻠس اﻹدارة ‪ ،‬ﯾﺟب أن ﯾﻌﻣل ﻓﻲ‬ ‫ﻣﺟﻠس إدارة اﻟﻣﺟﻠس ﻟﻣدة )‪ (3‬ﺛﻼﺛﺔ أﺷﮭر ﻋﻠﻰ اﻷﻗل ﻛﻔﺗرة اﻧﺗﻘﺎﻟﯾﺔ‬ ‫ﻟﺿﻣﺎن ﺗﺳﻠﯾم ﺳﻠس ﻟﻠﺳﻠطﺔ وﯾﺟب أن ﯾﺳﺗﻣر ﻓﻲ ﻣﻧﺻﺑﮫ‪ .‬ﻓﻲ‬ ‫اﻟﻣﻧﺻب ﺣﺗﻰ اﻧﺗﺧﺎب رﺋﯾس ﺟدﯾد ﻟﻣﺟﻠس إدارة اﻟﻣﺟﻠس‪.‬‬ ‫د‪ .‬ﯾﺟب اﻧﺗﺧﺎب اﻟرﺋﯾس اﻟﺟدﯾد ﻟﻣﺟﻠس إدارة اﻟﻣﺟﻠس ﺧﻼل ﻓﺗرة‬ ‫ﻻ ﺗﺗﺟﺎوز )‪ (3‬ﺛﻼﺛﺔ أﺷﮭر ﻣن ﺗﺎرﯾﺦ اﻧﺗﮭﺎء ﻓﺗرة اﻟرﺋﯾس‪.‬‬ ‫ه‪ .‬ﯾﺟب أﻻ ﺗﺗﺟﺎوز ﻣدة ﻋﺿوﯾﺔ ﻣﺟﻠس اﻹدارة )‪ (2‬ﻓﺗرﺗﯾن‬ ‫ﻣﺗﺗﺎﻟﯾﺗﯾن‪ ،‬ﻛل ﻓﺗرة ﺗﺗﻛون ﻣن )‪ (2‬ﺳﻧﺗﯾن ‪ ،‬ﺑﻣﺎ ﻓﻲ ذﻟك اﻟرﺋﯾس‬ ‫وﻧﺎﺋب اﻟرﺋﯾس‪ .‬ﯾﺟوز ﻟﻌﺿوﯾﺔ ﻣﺟﻠس اﻹدارة ﻓﺗرة ﺛﺎﻟﺛﺔ ﺑﺷرط ﻣﺎ‬ ‫ﯾﻠﻲ‪:‬‬ ‫‪ -1‬ﻣواﻓﻘﺔ )‪ (٪75‬ﺧﻣﺳﺔ وﺳﺑﻌون ﺑﺎﻟﻣﺎﺋﺔ ﻣن أﻋﺿﺎء اﻟﻣﺟﻠس‪ .‬و‬ ‫‪ -2‬اﻟﺗﻘﯾﯾم اﻟذاﺗﻲ اﻟﻧﺎﺟﺢ ﻷداء ﻣﺟﻠس اﻹدارة ﺑﻧﺎًء ﻋﻠﻰ ﻣؤﺷرات‬ ‫اﻷداء اﻟرﺋﯾﺳﯾﺔ اﻟﺗﻲ ﯾﺿﻌﮭﺎ ﻣﺟﻠس اﻹدارة ﻣن وﻗت ﻵﺧر‪.‬‬

‫‪Dubai’s vision, mission, and programs for a period‬‬ ‫‪of at least six (6) months.‬‬ ‫‪2- Bring to the board distinctive perspectives,‬‬ ‫‪backgrounds, skills, and capacities needed to‬‬ ‫‪establish the policies that guide the organization’s‬‬ ‫‪programs, operations, and community work.‬‬ ‫‪3- Devote the time and energy required to meet‬‬ ‫‪the responsibilities of a director, including‬‬ ‫‪attendance at and active, informed participation in‬‬ ‫‪meetings of the full board and of committees on‬‬ ‫‪which they serve.‬‬ ‫‪4- Manifest the highest standards of personal and‬‬ ‫‪professional integrity.‬‬ ‫‪5- Interact and work with fellow directors, senior‬‬ ‫‪management, and other staff in a collegial,‬‬ ‫‪respectful, and constructive manner. Assure the‬‬ ‫‪timely and efficient operation of the board and‬‬ ‫‪consideration of issues, decision-making, and‬‬ ‫‪action.‬‬

‫‪a. The voting members of the General Assembly‬‬ ‫‪shall elect among its Members a Council Board of‬‬ ‫‪Directors consisting of no less than (5) five and not‬‬ ‫‪more than (9) nine Members. The names of the‬‬ ‫‪nominated Members shall be provided to the Dubai‬‬ ‫‪Chambers in advance of the Meeting. In the event‬‬ ‫‪of resignation or termination by a member of the‬‬ ‫‪Council Board of Directors, the Council Board of‬‬ ‫‪Directors shall notify the Dubai Chambers. If the‬‬ ‫‪Council Board of Directors Members reduce in‬‬ ‫‪number to less than (5) five, then elections for a new‬‬ ‫‪Board Member should be held within (30) thirty days‬‬ ‫‪thereof.‬‬

‫‪b. The voting members of the General Assembly‬‬ ‫‪shall elect the Chairman, Vice-Chairman, Secretary,‬‬ ‫‪Director of Finance, Director of Membership, and‬‬ ‫‪Director of Programs and three (3) General Board‬‬ ‫‪Directors. The Vice-Chairman can assume the‬‬ ‫‪duties of the Chairman if deputized by the Chairman‬‬ ‫‪or in case of the absence of theChairman.‬‬ ‫‪c. The Council Board of Directors shall consist of‬‬ ‫‪the following:‬‬ ‫‪1- At least (50%) fifty percent of businesses‬‬ ‫‪licensed in the Emirate.‬‬ ‫‪2- At least C-Level management representing their‬‬ ‫‪companies. Equivalent management positions,‬‬ ‫)‪for corporate members of Category (A‬‬

including but not limited to General Managers and Managing Directors, are permitted provided these are approved by the Dubai Chambers.

3- The Chairman and Vice Chairman must represent an American business licensed in the Emirate and be the holder of a US passport.

4- In case the term of the Chairman ends, he/she must serve at least (3) three months on the Council Board of Directors as a transition period to ensure a smooth handover and he must continue in his tenure until the election of a new Chairman of the Council Board. d. The new Chairman of the Council Board of Directors must be elected within a period not exceeding (3) three months form the date of the end of the Chairman’s tenure. e. The term of the Council Board of Directors membership should not exceed (2) two consecutive terms, each term consisting of (2) two years, Including Chairman and ViceChairman. A third term for the Council Board of Directors membership is permitted provided the following: 1- the consent of (75%) seventy-five percent of the Council Members is obtained; and 2- the successful self-evaluation of the performance of the Council Board of Directors based on KPIs set by the Council Board of Directors from time to time.

ARTICLE 11 - LOSS AND FORFEITURE OF COUNCIL BOARD OF DIRECTORS MEMBERSHIP a. The member of the Council Board of Directors shall lose and forfeit his membership in any of the following cases: 1- Death.

2- Inability to perform the duties or loss of capacity due to any of the impediments to legal capacity as established by law.

3- Resignation by written notice to the Council Board of Directors.

4- If such member of the Council Board of Directors fails to attend (2) two consecutive meetings of the Council Board of Directors

‫ ﻓﻘدان وﺳﻘوط ﻋﺿوﯾﺔ ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل‬- 11 ‫اﻟﻣﺎدة‬ ‫ ﯾﻔﻘد ﻋﺿو ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل ﻋﺿوﯾﺗﮫ وﺗﺳﻘط ﻓﻲ أي‬.‫أ‬ :‫ﻣن اﻟﺣﺎﻻت اﻟﺗﺎﻟﯾﺔ‬ .‫ اﻟوﻓﺎة‬-1 ‫ اﻟﻌﺟز ﻋن ﻗﯾﺎﻣﮫ ﺑواﺟﺑﺎﺗﮫ أو ﻓﻘدان اﻷھﻠﯾﺔ ﺑﺳﺑب أي ﻋﺎرض‬-2 .ً ‫ﻣن ﻋوارض اﻷھﻠﯾﺔ اﻟﻣﻘررة ﻗﺎﻧوﻧﺎ‬ .‫ اﻻﺳﺗﻘﺎﻟﺔ ﺑﻣوﺟب إﺷﻌﺎر ﺧطﻲ ﻟﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل‬-3 (2) ‫ إذا ﺗﺧﻠف ﻋﺿو ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل ﻋن ﺣﺿور‬-4 ‫اﺟﺗﻣﺎﻋﯾن ﻣﺗﺗﺎﻟﯾﯾن ﻟﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل ﺧﻼل ﻣدة‬ .‫وﻻﯾﺗﮫ دون ﻋذر ﯾﻘﺑﻠﮫ ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل‬ ‫ إذا ﻟم ﯾﻠﺗزم ﻋﺿو ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل ﺑﺄداء واﺟﺑﺎﺗﮫ‬-5 ‫أو ﻟم ﯾﻣﺗﺛل ﻟﻠﻣﺑﺎدئ اﻟﻌﺎﻣﺔ ﻟﺣﺳن اﻟﻧﯾﺔ أو ﻗواﻋد اﻟﺳﻠوك أو‬ .‫اﻟﺳرﯾﺔ أو ﻋدم ﺗﺿﺎرب اﻟﻣﺻﺎﻟﺢ أو ﻣﻛﺎﻓﺣﺔ اﻻﺣﺗﯾﺎل‬

during its term without an excuse acceptable by the Council Board of Directors.

5- If such member of the Council Board of Directors did not adhere to perform his/her duties or the general principles of good faith or rules of conduct or confidentiality or nonconflict of interest or anti-fraud.

b. The vacant seat in the Council Board of Directors shall be filled as stipulated in Article 10 of these Articles of Association.

ARTICLE 12- COUNCIL BOARD OF DIRECTORS DUTIES

a. The Council Board of Directors shall have the following tasks and powers: 1- Fulfil the objectives desired from founding the Council to enhance business network, bilateral economic relations, interests, and knowledge sharing.

2- Adopt the Council’s strategic, developmental, operational, and financial plans, and overseeing their implementation.

3- Perform all functions specified in these Articles of Association.

4- Develop the vision, mission, strategic objectives, and propose action plans to be approved by the General Assembly of the Council and communicate it accordingly.

5- Organize a minimum number of events, trainings and workshops as set out and approved by the Council Board.

6- To jointly work with Dubai Chambers to implement a mechanism to grow the membership base and expand the Council.

7- Form Council Board of Directors Committees as it sees fit, whether at the Council Board level or at its Members’ level, headed by a Board Member.

8- Review these Articles of Association at least once every (5) five years and propose necessary amendments if required.

9- Liaise between the Council and Dubai Chambers and present the issues and proposals requiring consideration by the Government Entities to Dubai Chambers for intervention and assistance to resolve the same.

10-Discuss the issues referred to it by Dubai Chambers and provide recommendations thereto.

11-Engage in Dubai Chambers advocacy activities through participation in surveys, studies, meetings, events, and other activities.

12-Submit to Dubai Chambers at least once a year the challenges facing the sector and propose recommendations and solutions.

13-Adopt a succession plan to ensure the sustainability of the Council.

14-Appoint authorized signatories for bank accounts and determining their powers by virtue of a signatory matrix; noting that a Council Board of Directors member is needed to operate the account(s).

b. Any other tasks necessary to achieve objectives of the Council assigned to it by Dubai Chambers

ARTICLE 13 - DUTIES OF THE CHAIRMAN

‫ ﺻﻼﺣﯾﺎت اﻟرﺋﯾس‬- 13 ‫اﻟﻣﺎدة‬

The chairman shall assume the following tasks and powers: 1- Representing the Council before federal and local Government Entities and international entities.

2- Convening the Council Board of Directors Meetings, approving the agenda of the meetings and approving their minutes, signing the resolutions adopted by the Council Board of Directors, and supervising their implementation.

3- Calling for General Assembly Meetings and chairing those meetings.

4- Overseeing the preparation of reports and proposals on the affairs and matters of the Council and submitting them to Dubai Chambers.

5- Any other tasks or powers necessary to achieve the objectives of the Council assigned to it by the Council Board of Directors.

ARTICLE 14 – COUNCIL BOARD OF DIRECTORS MEETINGS

a. The Council Board of Directors shall hold a minimum of (4) four meetings annually.

b. The meetings of the Council Board of Directors shall be convened upon an invitation by its Chairman sent a minimum of (10) ten days before the planned meeting. c. If the meetings of the Council Board of Directors are not convened for (6) six consecutive months, Dubai Chambers shall call the Council Board of Directors for a meeting and if no response is received within (15) fifteen days, Dubai Chambers shall request Council’s general assembly to elect a new Council Board of Directors.

‫ ﯾﺟب أن ﺗﻌﻘد اﺟﺗﻣﺎﻋﺎت ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل ﺑﻧﺎًء ﻋﻠﻰ دﻋوة‬.‫ب‬ ‫( ﻋﺷرة أﯾﺎم ﻋﻠﻰ اﻷﻗل ﻣن اﻻﺟﺗﻣﺎع‬10) ‫ﻣن اﻟرﺋﯾس وﺗرﺳل ﻗﺑل‬ .‫اﻟﻣزﻣﻊ اﻧﻌﻘﺎده‬ ‫( ﺳﺗﺔ‬6) ‫ إذا ﻟم ﺗﻧﻌﻘد اﺟﺗﻣﺎﻋﺎت ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل ﻟﻣدة‬.‫ج‬ ‫ ﯾﺗﻌﯾن ﻋﻠﻰ ﻏرف دﺑﻲ دﻋوة ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل‬،‫أﺷﮭر ﻣﺗﺗﺎﻟﯾﺔ‬ ‫ ﯾﺗﻌﯾن‬،ً ‫( ﺧﻣﺳﺔ ﻋﺷر ﯾوﻣﺎ‬15) ‫ﻟﻼﺟﺗﻣﺎع وإذا ﻟم ﯾﺗم ﺗﻠﻘﻲ أي رد ﺧﻼل‬ ‫ﻋﻠﻰ ﻏرف دﺑﻲ اﻟطﻠب ﻣن اﻟﺟﻣﻌﯾﺔ اﻟﻌﻣوﻣﯾﺔ اﻧﺗﺧﺎب ﻣﺟﻠس إدارة ﺟدﯾد‬ .‫ﻟﻣﺟﻠس اﻷﻋﻣﺎل‬ ‫ﯾﻛون اﻟﻧﺻﺎب اﻟﻘﺎﻧوﻧﻲ ﻻﺟﺗﻣﺎﻋﺎت ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل‬.‫د‬ .‫ﻧﺻف اﻷﻋﺿﺎء وﻋﺿو واﺣد‬

d. The quorum for the Council Board of Directors shall be half of the Members and (1) one Member.

ARTICLE 15 – COUNCIL BOARD OF DIRECTORS RESOLUTIONS

‫ ﻗرارات ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل‬- 15 ‫اﻟﻣﺎدة‬

a. Resolutions shall be issued by a simple majority of the Council Board of Directors, and each Member of the Council Board of Directors shall have one vote. In the event of a tie, the Chairman shall have the casting vote. b. The resolutions shall be considered effective from the date of their issuance unless they specify a later date for their implementation. c. The Council Board of Directors may in urgent cases, issue some of its resolutions by circulation.

Such resolutions shall be considered valid and effective as if they had been taken in a convened and duly held meeting, taking into account the following: 1- The approval of the Council Board of Directors Members by the majority that the situation requiring the issuance of the resolution by circulation is urgent.

2- A written resolution must be submitted to all Council Board of Directors Members for approval, accompanied by all documents required for its review.

3- All resolutions passed by circulation must be approved by a majority in writing and must be presented at the next meeting to be included in the minutes of the meeting.

ARTICLE 16 - CONFLICT OF INTEREST

‫ وﻟﻛل‬،‫أ ﺗﺻدر ﻗرارات ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل ﺑﺎﻷﻏﻠﺑﯾﺔ اﻟﺑﺳﯾطﺔ‬ ‫ وﻓﻲ ﺣﺎﻟﺔ ﺗﻌﺎدل‬.‫ﻋﺿو ﻓﻲ ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل ﺻوت واﺣد‬ . ‫ ﯾرﺟﺢ اﻟﺟﺎﻧب اﻟذي ﻣﻧﮫ اﻟرﺋﯾس‬،‫اﻷﺻوات‬ ً ‫ ﺗﻌﺗﺑر اﻟﻘرارات ﻧﺎﻓذة ﻣن ﺗﺎرﯾﺦ ﺻدورھﺎ ﻣﺎ ﻟم ﯾﺣدد ﻣوﻋدا ً ﻻﺣﻘﺎ‬.‫ب‬ .‫ﻟﺗﻧﻔﯾذھﺎ‬ ‫ ﯾﺟوز ﻟﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل ﻓﻲ اﻟﺣﺎﻻت اﻟﻌﺎﺟﻠﺔ إﺻدار‬.‫ج‬ ‫ وﺗﻌﺗﺑر ھذه اﻟﻘرارات ﺻﺣﯾﺣﺔ وﺳﺎرﯾﺔ ﻛﻣﺎ‬.‫ﺑﻌض ﻗراراﺗﮫ ﺑﺎﻟﺗﻣرﯾر‬ ‫ ﻣﻊ ﻣراﻋﺎة ﻣﺎ‬،‫ﻟو ﻛﺎﻧت ﻗد اﺗﺧذت ﻓﻲ اﺟﺗﻣﺎع ﻋﻘد ﺣﺳب اﻷﺻول‬ :‫ﯾﻠﻲ‬ ‫ ﻣواﻓﻘﺔ أﻋﺿﺎء ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل ﺑﺎﻷﻏﻠﺑﯾﺔ ﻋﻠﻰ أن‬-1 .‫اﻟوﺿﻊ اﻟذي ﯾﺗطﻠب إﺻدار اﻟﻘرار ﺑﺎﻟﺗﻣرﯾر أﻣر ﻋﺎﺟل‬ ‫ ﯾﺟب ﺗﻘدﯾم ﻗرار ﻣﻛﺗوب إﻟﻰ ﺟﻣﯾﻊ أﻋﺿﺎء ﻣﺟﻠس إدارة ﻣﺟﻠس‬-2 ‫ ﻣﺻﺣوﺑﺎ ً ﺑﺟﻣﯾﻊ اﻟﻣﺳﺗﻧدات اﻟﻣطﻠوﺑﺔ‬،‫اﻷﻋﻣﺎل ﻟﻠﻣواﻓﻘﺔ ﻋﻠﯾﮫ‬ .‫ﻟﻣراﺟﻌﺗﮫ‬ ‫ ﯾﺟب اﻟﻣواﻓﻘﺔ اﻟﺧطﯾﺔ ﺑﺎﻷﻏﻠﺑﯾﺔ ﻋﻠﻰ ﺟﻣﯾﻊ اﻟﻘرارات اﻟﺗﻲ ﺗﺻدر‬-3 ‫ﺑﺎﻟﺗﻣرﯾر وﯾﺟب ﺗﻘدﯾﻣﮭﺎ ﻓﻲ اﻻﺟﺗﻣﺎع اﻟﺗﺎﻟﻲ ﻟﺗﺿﻣﯾﻧﮭﺎ ﻓﻲ ﻣﺣﺿر‬ .‫اﻻﺟﺗﻣﺎع‬

‫ ﺗﺿﺎرب اﻟﻣﺻﺎﻟﺢ‬- 16 ‫اﻟﻣﺎدة‬

a. Each Member of the Council Board of Directors, during the term of the membership and during the performance of his tasks as a Member of the Council Board of Directors, must avoid any conflict that may arise between his personal interests and the interests of the Council, and avoid any action that might raise any doubt of a conflict of interest, and must take the necessary measures and steps to avoid becoming involved in a conflict of interest. b. The Member of the Council Board of Directors must disclose in advance any conflict of interest or suspicion thereof, and any previous conflict or current conflict or potential conflict or the emergence of a conflict must be disclosed at all times. c. In case of conflict of interest, said member of the Council Board of Directors shall not participate in the debate of or voting on the decision issued in

‫ ﺧﻼل ﻓﺗرة‬، ‫ ﯾﺟب ﻋﻠﻰ ﻛل ﻋﺿو ﻓﻲ ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل‬.‫أ‬ ‫اﻟﻌﺿوﯾﺔ وأﺛﻧﺎء ﻓﺗرة أداء ﻣﮭﺎﻣﮫ ﻛﻌﺿو ﻓﻲ ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل‬ ‫ ﺗﺟﻧب أي ﺗﻌﺎرض ﻗد ﯾﻧﺷﺄ ﺑﯾن ﻣﺻﺎﻟﺣﮫ اﻟﺷﺧﺻﯾﺔ وﻣﺻﺎﻟﺢ ﻣﺟﻠس‬، ،‫ وﺗﺟﻧب أي إﺟراء ﻗد ﯾﺛﯾر أي ﺷك ﺑﺷﺄن ﺗﺿﺎرب اﻟﻣﺻﺎﻟﺢ‬، ‫اﻷﻋﻣﺎل‬ ‫وﯾﺟب أن ﯾﺗﺧذ اﻟﺗداﺑﯾر واﻟﺧطوات اﻟﻼزﻣﺔ ﻟﺗﺟﻧب اﻟﺗورط ﻓﻲ ﺗﺿﺎرب‬ .‫ﻓﻲ اﻟﻣﺻﺎﻟﺢ‬ ‫ ﯾﺟب ﻋﻠﻰ ﻋﺿو ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل اﻹﻓﺻﺎح ﻣﻘدﻣﺎ ً ﻋن‬.‫ب‬ ‫ ﺑﻣﺎ ﻓﻲ ذﻟك ﺗﺿﺎرب ﺣﺎﻟﻲ أو‬،‫أي ﺗﺿﺎرب ﻓﻲ اﻟﻣﺻﺎﻟﺢ أو اﺷﺗﺑﺎه ﻓﯾﮫ‬ .‫ﻣﺣﺗﻣل وظﮭور ﺗﺿﺎرب ﯾﺟب اﻹﻓﺻﺎح ﻋﻧﮫ ﻓﻲ ﺟﻣﯾﻊ اﻷوﻗﺎت‬ ‫ ﻻ ﯾﺟوز ﻟﮭذا اﻟﻌﺿو اﻟﻣﺷﺎرﻛﺔ ﻓﻲ‬،‫ ﻓﻲ ﺣﺎﻟﺔ ﺗﺿﺎرب اﻟﻣﺻﺎﻟﺢ‬.‫ج‬ ،‫ وإذا ﺛﺑت ﺧﻼف ذﻟك‬،‫اﻟﺗﺻوﯾت ﻋﻠﻰ اﻟﻘرار اﻟﺻﺎدر ﻓﻲ ھذا اﻟﺷﺄن‬ ‫ﯾﺳﺗﺑﻌد اﻟﺻوت ذات اﻟﺻﻠﺔ وﯾﻌﺎد اﻟﻧظر ﻓﻲ اﻟﻧﺻﺎب اﻟﻘﺎﻧوﻧﻲ ﻻﻋﺗﻣﺎد‬ .‫ وﯾﺳﺟل ذﻟك ﻓﻲ ﻣﺣﺿر اﻻﺟﺗﻣﺎع اﻟﺗﺎﻟﻲ‬،‫اﻟﻘرار أو ﺑطﻼﻧﮫ‬

this regard, if proven otherwise, the relevant vote shall be excluded and the legal quorum shall be reconsidered to adopt the resolution or its invalidity, and this shall be recorded in the minutes of the following meeting. d. All Council members shall adhere to competition laws and regulations. Furthermore, Council members are prohibited from engaging in conduct that may be deemed by Dubai Chambers as unfair competition in the Council’s respective sector.

ARTICLE 17 – CONFIDENTIALITY

.‫ ﯾﺧﺿﻊ ﺟﻣﯾﻊ أﻋﺿﺎء ﻣﺟﻠس اﻷﻋﻣﺎل ﻟﻘواﻧﯾن وﻟواﺋﺢ اﻟﻣﻧﺎﻓﺳﺔ‬.‫د‬ ‫ ﯾ ُﺣظر ﻋﻠﻰ أﻋﺿﺎء ﻣﺟﻠس اﻷﻋﻣﺎل ﻣﻣﺎرﺳﺔ أي ﺳﻠوك ﻗد ﺗﻌﺗﺑره‬،‫وﻛذﻟك‬ ‫ﻏرف دﺑﻲ ﻣﻧﺎﻓﺳﺔ ﻏﯾر ﻣﺷروﻋﺔ‬

‫ اﻟﺳرﯾﺔ‬- 17 ‫اﻟﻣﺎدة‬ ‫ ﺧﻼل ﻣدة اﻟﻌﺿوﯾﺔ‬، ‫ﯾﻠﺗزم ﻛل ﻋﺿو ﻓﻲ ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل‬ ‫ اﻟﺣﻔﺎظ ﻋﻠﻰ ﺳرﯾﺔ‬،‫أو ﻓﻲ ﺣﺎﻟﺔ ﻓﻘدان اﻟﻌﺿوﯾﺔ أو ﺳﻘوطﮭﺎ أو اﻧﺗﮭﺎﺋﮭﺎ‬ ‫اﻟﻣﻌﻠوﻣﺎت اﻟﺗﻲ ﻋﻠم ﺑﮭﺎ ﺑﺣﻛم ﻋﺿوﯾﺗﮫ أو ﺑﺳﺑﺑﮭﺎ وﻻ ﯾﺟوز ﻟﮫ اﻹﻓﺻﺎح‬ .ً ‫ﻋﻧﮭﺎ أو اﻟﻛﺷف ﻋﻧﮭﺎ ﺳواء ﺧطﯾﺎ ً أو ﺷﻔﺎھﯾﺎ‬

Each Member of the Council Board of Directors during the term of membership or in the event of loss or forfeiture or end of membership shall maintain the confidentiality of the information of which they have become aware by virtue of their membership or because of it and shall not disclose or reveal the information, whether in writing or verbally.

Article 18 - LIABILITY

‫ اﻟﻣﺳؤوﻟﯾﺔ‬- 18 ‫اﻟﻣﺎدة‬

a. The Council’s liability shall be limited exclusively to the extent of its own assets. b. No Council member shall assume liability for any debt or obligation of the Council due to its Council membership. c. Board of Directors members or members of the Council shall not be personally liable except for cases of intentional or gross negligence.

Article 19 - FUNDS AND FINANCIAL MATTERS a. The Council shall: 1- open a bank account in any State national bank deemed fit by the Council Board of Directors .

2- Prepare the budget and keep financial record of the Council as per the accounting standard.

3- issue annual financial statements which shall be prepared and audited by independent audit firms, in conformity with the Applicable Laws.

4- provide copy of the annual budget and financial records to Dubai Chambers b. The fiscal year of the Council shall begin on 1st of January and shall end on 31st of December of each calendar year.

‫ اﻟﻣوارد واﻟﺷؤون اﻟﻣﺎﻟﯾﺔ‬- 19 ‫اﻟﻣﺎدة‬ :‫ﯾﻠﺗزم ﻣﺟﻠس اﻷﻋﻣﺎل‬.‫أ‬ ‫ ﺑﻔﺗﺢ ﺣﺳﺎب ﻣﺻرﻓﻲ ﻓﻲ أي ﺑﻧك وطﻧﻲ إﻣﺎراﺗﻲ ﻋﻠﻰ اﻟﻧﺣو اﻟذي‬-1 . ‫ﯾراه ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل ﻣﻧﺎﺳﺑﺎ‬ ‫ اﻋداد اﻟﻣﯾزاﻧﯾﺎت وﺣﻔظ اﻟﺳﺟﻼت اﻟﻣﺎﻟﯾﺔ ﻟﻣﺟﻠس اﻷﻋﻣﺎل وﻓﻘﺎ ً ﻟﻠﻧظم‬-2 ‫اﻟﻣﺣﺎﺳﺑﯾﺔ ﻓﻲ اﻟﻣﻌﻣول ﺑﮭﺎ‬ ‫ إﺻدار اﻟﻘواﺋم اﻟﻣﺎﻟﯾﺔ اﻟﺳﻧوﯾﺔ اﻟﺗﻲ ﺗم إﻋدادھﺎ وﻣراﺟﻌﺗﮭﺎ ﻣن‬-3 ‫ﻣراﻗﺑﯾن ﺣﺳﺎﺑﺎت ﻣﺳﺗﻘﻠﯾن وﻓﻘﺎ ً ﻟﻠﻘﺎﻧون واﺟب اﻟﺗطﺑﯾق‬ .‫ ﺗﻘدﯾم ﻧﺳﺧﺔ ﻣن اﻟﻣﯾزاﻧﯾﺎت اﻟﺳﻧوﯾﺔ واﻟدﻓﺎﺗر اﻟﻣﺣﺎﺳﺑﯾﺔ ﻟﻐرف دﺑﻲ‬-4 ‫( واﺣد ﯾﻧﺎﯾر وﺗﻧﺗﮭﻲ ﻓﻲ‬1) ‫ ﺗﺑدأ اﻟﺳﻧﺔ اﻟﻣﺎﻟﯾﺔ ﻟﻣﺟﻠس اﻷﻋﻣﺎل ﻓﻲ‬.‫ب‬ .‫( واﺣد وﺛﻼﺛون دﯾﺳﻣﺑر ﻣن ﻛل ﺳﻧﺔ ﻣﯾﻼدﯾﺔ‬31) ‫ ﯾﻠﺗزم ﻣﺟﻠس اﻷﻋﻣﺎل ﺑﺗﻣوﯾل ﻋﻣﻠﯾﺎﺗﮭﺎ ﺑﺷﻛل رﺋﯾﺳﻲ ﻋن طرﯾق‬.‫ج‬ :‫اﻻﺗﻲ‬ ‫ رﺳوم اﻟﻌﺿوﯾﺔ اﻟﺳﻧوﯾﺔ؛‬-1 .‫ إﯾرادات اﻟﻣﻧﺎﺳﺑﺎت أو اﻷﻧﺷطﺔ اﻷﺧرى ﻟﻣﺟﻠس اﻷﻋﻣﺎل‬-2

c. The Council shall finance its operations mainly by: 1- Annual membership fees.

2- Revenue from Events or other activities of the Council.

ARTICLE 20- FINANCIAL AUDITOR

‫ ﻣدﻗق اﻟﺣﺳﺎﺑﺎت‬- 20 ‫اﻟﻣﺎدة‬

a. The General Assembly shall appoint auditor(s) for a term of one renewable year provided that the auditor(s) elected shall serve for a maximum period of six (6) consecutive fiscal years from the date of assuming the audit thereof. The auditor(s) may be reassigned to audit the Council’s accounts after the lapse of at least two (2) fiscal years from the date of the expiry of its appointment period.

b. The Council General Assembly shall determine the fees of the auditor(s).

Article 21 – BYLAWS

‫ اﻟﻠواﺋﺢ‬- 21 ‫اﻟﻣﺎدة‬

The Board of Directors may refer to the Regulations Organizing the Business Councils of Dubai Chambers for issues not stipulated in these Articles of Associations.

ARTICLE 22- FINANCIAL AUDITOR

‫ﯾﺗم اﻟرﺟوع ﻟﻠواﺋﺢ ﺗﻧظﯾم ﻣﺟﺎﻟس اﻷﻋﻣﺎل ﻟﻐرف دﺑﻲ ﻓﻲ اﻟﻣﺳﺎﺋل اﻟﺗﻲ‬ .‫ﻟم ﯾﺗم اﻟﻧص ﻋﻠﯾﮭﺎ ﻓﻲ ھذا اﻟﻧظﺎم اﻷﺳﺎﺳﻲ‬

a. Any disputes that may arise between any members of the Council, shall be settled amicably, in the event that an amicable solution is not possible, a vote to resolve the dispute shall be made by the majority of the Council’s Board of Directors, and its decision in this regard shall be final.

، ‫ ﯾﺗم ﻋرض أي ﻧزاع ﻗد ﯾﻧﺷﺄ ﺑﯾن أي ﻣن أﻋﺿﺎء ﻣﺟﻠس اﻷﻋﻣﺎل‬.‫أ‬ ‫ وﻓﻲ ﺣﺎل‬،‫ﻋﻠﻰ ﻣﺟﻠس إدارة ﻣﺟﻠس اﻷﻋﻣﺎل ﻟﯾﺗم ﺣﻠﮭﺎ ﺑطرﯾﻘﺔ ودﯾﺔ‬ ‫ﺗﻌذر اﻟﺣل اﻟودي ﯾﺗم اﻟﺗﺻوﯾت ﻟﺣل اﻟﻧزاع ﺑﺄﻏﻠﺑﯾﺔ أﺻوات ﻣﺟﻠس‬ . ‫إدارة ﻣﺟﻠس اﻷﻋﻣﺎل وﯾﻛون ﻗراره ﻧﮭﺎﺋﯾﺎ ً ﻓﻲ ھذا اﻟﺻدد‬

b. These Articles of Associations shall be governed by the laws of the State. Dubai Courts shall have the jurisdiction to look into any dispute.
