SETTLEMENT AGREEMENT This Settlement Agreement is made and entered into this 27th day of December 2023, by and between: 1. Panther Trading International, a company incorporated in England and Wales, Company Number 12840966, with its registered o ce at 71-75 Shelton Street, London, Greater London, United Kingdom, WC2H 9JQ. 2. Phillip Crane, residing at 8 Sampaguita St, San Isidro, Parañaque, 1700 Metro Manila, Philippines. (Collectively referred to as the "First Party") AND 3. 5 Sided Square Pty Ltd, an Australian company, ACN 651 024 387. (Hereinafter referred to as the "Second Party") **WHEREAS**, disputes and claims have arisen between the First Party and the Second Party; **NOW, THEREFORE**, in consideration of the mutual promises and agreements herein contained, the parties agree as follows: 1. Settlement Payment: - The First Party agrees to pay the Second Party a total of $5,728,339.45 (Five Million Seven Hundred Twenty-Eight Thousand Three Hundred Thirty-Nine Dollars and Forty-Five Cents) as full settlement of all monies owed to clients of 5 Sided Square Pty Ltd, as detailed in the document “Panther Trading International Investigation Findings & Settlement O er” dated 13 December 2023. 2. Payment Details: - Date of Settlement: 27 December 2023. - Payment shall be made to the following bank account: - BSB Number: 034-058 - Account Number: 436195 - Account Name: 5 Sided Square Pty Ltd - The settlement amount must be received by 5pm AEST on the settlement date. 3. Reporting Requirements: - The First Party shall provide daily updates and veri ed proof of actions taken to ful l the settlement terms.

4. Contingency Actions: - In the event of failure to meet the terms of this agreement, contingency actions as outlined in the document “Panther Trading International Investigation Findings & Settlement O er” dated 13 December 2023 will be enacted.
5. Entire Agreement: - This document represents the entire agreement between the parties and supersedes all prior negotiations, agreements, and understandings, both written and oral, related to the subject matter herein. 6. Governing Law: - This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Australia and the applicable laws of the State or Territory where the Second Party is principally located.
