CALL TO ORDER Vice Chairman Reikenis called the meeting to order at 8:30 a.m.

PUBLIC COMMENTS Bruce Lewis requested to comment on New Business Agenda Item Tax Increment Financing. Reikenis advised that comments would be taken during Agenda item discussion.

CONSENT CALENDAR Minutes of First Public Budget Hearing of September 11, 2018 Board Action: Shabazz made a motion to approve the Minutes of September 11, 2018.

OLD BUSINESS Comcast Advertising Contract James explained that as directed by the board at Septembers board meeting she negotiated with Comcast Spotlight and is now requesting the board to approve the contract with a not to exceed amount of $165,000 from November 2018 to October 31, 2019. The cost covers annual agreement amount of $140,250 and video production fees of $24,750. Comcast Spotlight will also provide in-kind value of $41,600. The in-kind services include brand promotional units (175 per quarter), production for brand promotional units, and bonus schedule inserts ($5,000). proposed budget for this agreement if approved will be encumbered from Community and Cultural Promotions $82,500 and Advertising $82,500.

Board Action: Hurley Lane made a motion to approve the Comcast Spotlight Agreement.

Gerard seconded the motion. The motion passed unanimously.

PR/Marketing Presentations RFP 2018-001 James stated that in August, the Downtown Development Authority (DDA) released a Request for Proposals (RFP) for Public Relations and Marketing Services. The RFP was released via Demandstar, the DDA website and advertised in the Palm Beach Post. The current contract for these services was extended in March 2018 and ends this month. There were six agencies that submitted to the RFP: Aqua Marketing and Communications, Ryan Williams Agency, Sharp Communications, O’Donnell Agency, Moore, Inc. and The Mosaic Group. Members of the Selection Committee ranked the following proposers as the top three: Aqua Marketing and Communications, O’Donnell Agency, and Moore, Inc. Each presenter will have 12 minutes for presentation and 3 minutes of Q&A (not to exceed 15 minutes).

The DDA Board will evaluate each company after each presentation based on the following scale: _30_ points: Proposer’s experience in performing Public Relations and Marketing Services for related industry. _25_ points: Plan execution concepts (innovations). _25_ points: Knowledge of Area Market. _20_ points: In-House capacity to perform DDA Work Plan Elements.

Based on the scores the Board announced the O’Donnell Agency will be awarded the PR/Marketing Contract. Staff will negotiate the terms of the agreement within 14 days as stated in RFP 2018 -001.

NEW BUSINESS Saturday Soiree Muriente explained that she recently met with First Service Residential Management, which manage most of the condos in downtown to identify potential residential placemaking programs. Placemaking programs involve temporary activations of spaces that can provide new activities in open areas for the enjoyment of residents and visitors in a meaningful way. At the residential management meet up, Saturday Soiree was identified as a program to engage the western boundary residents, who have on average a 1:1 pet ownership ratio and few dining and entertainment options easily accessible, with a pop-up food truck, music, yoga, and pet-centric monthly activation. Bringing together residents of the Edge and Montecito, this is the first program of its kind to be held west of the Tri-rail station generating ideas for a new social and economic opportunity to the area. It is proposed that the DDA help organize and execute the first series, generating a toolkit on how to implement other residential placemaking programs for 2019.

Muriente plans on continuing efforts to connect with all residential management and then host quarterly meetings to brainstorm additional activations and obtain residential feedback.

Tax Increment Financing Clemente lead a discussion of Tax Increment Financing (TIF_ and the potential of other entities requesting a TIF arrangement. He explained the framing of the DDA Budget and the specific types of programs the budget supports. He went on to explain how the funding of the DDA is structured and the timing of funding in contrast to how the funding of a city or CRA is funded. Clemente then provided an example of how a TIF arrangement with an example project or projects would impact the overall service delivery from the DDA. He is seeking direction from the Board and recommend that at a minimum we draft a policy.

Bruce Lewis made a public comment requesting the board to consider a multiyear grant agreement for projects that provide an extraordinary public benefit. He also requested that the board consider putting a policy into place.

Chase stated that having a TIF policy in the DDA toolbox would be beneficial however to be cautious and aware that the DDA doesn’t provide an Economic Development purpose. The focus should be on outcomes that activate the downtown and are in line with the DDA’s mission and goals. He would like to see staff provide guidelines and draft a policy.

Shabazz agreed that a policy should be put into place and would prefer the terminology of grant versus TIF agreement.

Hurley Lane asked if there are other DDA’s in Florida with similar programs. Clemente stated that there are not any exactly this way.

Nalley and Gerard stated that very specific clearly defined stipulations would have to be included in the policy to protect the DDA from having every developer requesting funding and that additional staffing would be needed.

Reikenis stated that the CRA is better suited for this type of work because they are designed to service this purpose. DDA’s are better served to enhance the overall desirability of the downtown.

Lohman stated that the DDA cannot legally commit to funding for more than one year because we cannot budget for more than one Fiscal Year at a time. A fiscal funding out clause is included in every contract the DDA signs and protects the DDA from committing funding for more than one fiscal year.

The board directed Clemente to move forward on drafting a policy to setup guidelines for a funding mechanism.

ANNOUNCEMENTS Justice announced and invited the board to attend the Clematis Street 300 Block Grand Re- opening on Thursday November 1st at 5pm.

Ast announced that Holiday Lights will be installed in Mid-November after the Clematis Street 300 Block Grand Re-opening. She also invited the board to attend a lunch and learn hosted by The Lord’s Place on Thursday October 18th at 12pm in the DDA offices.

Faublas invited the board to attend On the Table on Wednesday October 24th at 5:30pm in the 500 block of Clematis Street.

ADJOURNMENT There being no further business to discuss, Reikenis called for a motion to adjourn.

As directed by the Board at the October 21st meeting, staff has prepared a framework and application for a proposed Tax Increment Grant Program to be administered by the DDA. Staff will present the details of the program during the board meeting.

DOWNTOWN WEST PALM BEACH TAX INCREMENT GRANT (TIG) PROGRAM DESCRIPTION The Downtown West Palm Beach Tax Increment Grant (“TIG”) Program (“Program” or “TIG Program”) is a financial incentive designed to encourage real estate development projects in Downtown West Palm Beach to incorporate specific amenities that enhance our downtown (“Qualifying Amenities”). The TIG Program will do so by reinvesting site-specific property taxes above the predevelopment level for a predetermined period into the project, site improvements, or adjacent public spaces.

A determination of what constitute Qualifying Amenities will be determined on a case by case basis. Qualifying Amenities may include, without limitation, publicly accessible open space, the installation of public art beyond the City’s Art in Public Places requirements, historic preservation and/or restoration of facades and structures, performance spaces such as theaters or live music venues, and publicly accessible sports facilities such as tennis courts or swimming pools.

The eligible amount of time during which each TIG will remain in place will be determined by use, cost, as well as other criteria.

A site specific TIG is not an entitlement. The Program is offered to developers and/or property owners with projects located in the Downtown Development Authority (“DDA”) boundary. Any project awarded a TIG must comply with the criteria and requirements set forth in the program application. For the avoidance of doubt and notwithstanding anything to the contrary in this document or in the application, the DDA Board will determine, in its sole discretion, whether to approve any application or award any TIG.

ELIGIBILITY REQUIREMENTS To be eligible for the Program, applicants must meet the following requirements: • • • •

The project must be located within the DDA boundary (Attachment I).

The value of the proposed building renovations, site improvements or new construction must be equal to or greater than 60 percent of the total project cost.

Applicant must own the property or have an option or other right to purchase the property.

Residential projects with 51 units or more must meet the affordable housing requirement as defined by the City’s Economic Development Plan and/or other criteria.

The following projects are not eligible for the Program: • •

Any development project that is under construction, excluding stabilization, site preparation or utility work.

Single family detached residential

TIG Eligible Costs: Incremental tax revenues may be used to finance only the following project costs (collectively, “TIG Eligible Costs”): • • • •

Capital costs with respect to the Qualifying Amenities, including, without limitation, costs incurred for construction and reconstruction of Public Infrastructure (as defined below), clearing, grading and excavating, site work, and other hard constructions expenses; Costs of obtaining permits for the Qualifying Amenities from governmental authorities; Capitalized interest for the Qualifying Amenities; and Professional fees for architectural and engineering services and legal expenses capitalized as project costs under generally accepted accounting principles with respect to Qualifying Amenities.

“Public Infrastructure” will include the following public facilities and Qualifying Amenities: a. Streets, roads, highways, curbs, gutters, water lines, sanitary sewer lines, storm drainage facilities, ramps, traffic signals, paving, driveways, sidewalks, mass transit and other public transportation facilities, retaining walls, tunnels, approaches, underpasses, artificial lighting, off-street parking improvements and structures, fencing, landscaping, public parks, site work and grading for such public infrastructure, walkways, signage, flood control improvements, and improvements for the supply, storage and distribution of water; and b. Electricity and telecommunications services, utility, and other similar site development infrastructure costs, that may include on- site, off-site, utility relocation and undergrounding.

TERM & PAYMENTS The maximum term that can be applied for is 15 years.

Each project must be complete with a certificate of occupancy issued prior to the DDA disbursing any incremental tax revenues. The DDA will require certification of the completion of the project from the City of West Palm Beach Development Services Director prior to the DDA disbursing any incremental tax revenues.

DDA Boundary Amendment

DATE: Tuesday, November 20th, 2018 _________________________________________________________________________________________ Previously the Board passed a resolution in support of amending the boundary of the DDA to include a larger section of the commercial properties that comprise CityPlace.

Since that time a small discrepancy in the boundary map and legal description was identified and corrected. The attached resolution and supporting documents formalize this correction and are necessary for the legislative process to continue.

RESOLUTION NO. 1-2019 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE WEST PALM BEACH DOWNTOWN DEVELOPMENT AUTHORITY SUPPORTING A SPECIAL ACT TO REVISE THE WEST PALM BEACH DOWNTOWN DEVELOPMENT AUTHORITY’S BOUNDARIES TO INCLUDE COMMERCIAL PORTIONS OF CITYPLACE; AND EXPRESSLY AUTHORIZING THE EXECUTIVE DIRECTOR OR DESIGNEE TO TAKE ANY NECESSARY STEPS TO REGARDING THE SAME; PROVIDING AN EFFECTIVE DATE AND FOR OTHER PURPOSES. WHEREAS, the West Palm Beach Downtown Development Authority has been approached by the representatives of Related Cos., the property management company for CityPlace, with the request to include commercial portions of CityPlace within the boundaries of the West Palm Beach Downtown Development Authority’s District (hereinafter “Development District”); and WHEREAS, after due deliberations, the Board of Directors of the West Palm Beach Downtown Development Authority has determined to support a Special Act to include commercial portions of CityPlace within the boundaries of the Development District; and WHEREAS, the Board of Directors of the West Palm Beach Downtown Development Authority, desires to authorize the Executive Director or designee to take any necessary steps to assist in the inclusion of CityPlace within the boundaries of the Development District; and WHEREAS, the Board of Directors of the West Palm Beach Downtown Development Authority has determined that the inclusion of certain commercial portions of CityPlace within the boundaries of the West Palm Beach Downtown Development is in the best interest of the Development District and the general public.

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE WEST PALM BEACH DOWNTOWN DEVELOPMENT AUTHORITY, THAT: Section 1: The recitals set forth above are true and correct and are incorporated herein and are a part hereof by this reference.

Section 2: The Board of Directors of the West Palm Beach Downtown Development Authority hereby directs the Executive Director or designee to take all steps necessary to assist the process for inclusion of CityPlace within the boundaries of the West Palm Beach Downtown Development Authority.

Section 3:

This Resolution shall become effective immediately upon adoption.
