Sun International Targets Growth With Peermont Acquisition In case you missed the late-breaking news in late December 2023, Sun International ended speculation around its cautionary note to shareholders, by announcing a surprise deal to buy out Peermont, a large competitor in a deal that will put Sun at the top of the heap in terms of African operations: • Unique opportunity to acquire the world-class and highly cash generative Peermont business • Purchase price enterprise value of R7 300 million • Implied acquisition EV/EBITDA multiple of 5.76x • Fully debt funded with comfortable pro-forma gearing • Expected to rapidly de-gear, allowing the combined group’s equity value to significantly inc ease • 62.5% of shareholders of Sun International have provided written indications of support for the proposed transaction Sun International has (18 Dec 2023) announced that it has entered into an agreement with the shareholders of Peermont Holdings Proprietary Limited, a leading hospitality and entertainment group which includes the flagship Empe ors Palace Resort, to acquire all of the issued ordinary shares and any claims on loan account against Peermont Group. The acquisition represents a unique opportunity for Sun International to acquire a group of gaming and hospitality assets of significant scale and qualit , together with operating one of the largest, most cash generative, high-quality casinos situated in a major metropolitan area. With its unique proximity to the OR Tambo International Airport, Emperors Palace offers a gateway to high net-worth customers from the rest of Africa and abroad. This customer base will drive opportunities for synergies with the rest of the Group’s operations, including hotels and resorts, as well as the online sports and gaming business, creating large-scale benefits fo Sun International. In alignment with Sun International’s strategy, the proposed acquisition will further enhance the Group’s online business platform with opportunities for growth by extending Sun International’s proven SunBet management team’s reach across the Peermont Group’s assets. In addition, extending the Group’s omnichannel strategy across a scaled customer base unlocks operating leverage across revenues, marketing reach, payment processing efficiencies and game liquidi . The exact purchase consideration payable in cash to the sellers will be determined with reference to an enterprise value of the Peermont Group of R7 300 million, less net debt and certain sellers’ transaction costs and subject to capital expenditure and working capital adjustments, if applicable, calculated at the closing date of the proposed transaction, estimated to amount to approximately R3 236 million as at 30 September 2023. Implementation of the agreement is subject to

Unmasking Fahfi: The Unchecked Illegal Gambling Plaguing Limpopo Province Abstract of an investigation by Dr MP Masongo, Senior Manager: Law Enforcement Unit Limpopo Gambling Board Introduction: Illegal gambling activities have been thriving in the townships and villages of Limpopo province, particularly with the pervasive influ nce of the Chinese number game, Fahfi, also known a mochaina. This underground industry poses a significant th eat to the economy, and despite its illegality, it continues to flourish. D . MP Masogo, Senior Manager of the Law Enforcement Unit at the Limpopo Gambling Board in Polokwane, sheds light on the challenges posed by Fahfi and the impe ative need for law enforcement to address its prevalence.

The Rise of Fahfi in Limpopo: Fahfi, a Chinese-originated number game, has becom the predominant form of illegal gambling in Limpopo province, operating mainly within townships and villages. The game cannot be regulated or licensed, and a staggering 95% of Fahfi ope ators are Chinese nationals, with a remaining 5% being South Africans seeking to capitalize on the lucrative nature of the illegal gambling market.

Legal Quandaries: In legal circles, debates have ensued over the resemblance of Fahfi o licensed casino games like roulette. However, Fahfis illegal status is unequivocal under Section 7 of the National Gambling Act (Act 7 of 2004). The conflict arises as ahfi in olves betting on numbers much like licensed casino games, yet it operates outside the bounds of legal oversight and regulation.

Criminality and Policing: The South African Police Service (SAPS), in accordance with the Constitution, is tasked with preventing, combating, and investigating crime. In the case of Fahfi the act of exchanging money between operators and runners constitutes a criminal offense. Dr. Masogo emphasizes the need for the SAPS to play a proactive role in investigating and arresting offenders involved in illegal gambling activities.

Fahfi’s Modus Operandi and Average Turnover: The mechanics of Fahfi in olve key players such as runners, operators, routes, spots, and punters. A single operator can visit up to 36 spots in a single trip, collecting R200 or more at each spot. The accumulated turnover from a single route can amount to substantial

sums, with some operators generating over R4.8 million per annum. A fahfi spot m y attract an average of twenty-fi e (25) to fifty (50) punters depending on the number o residents within which the spot is located. On average an operator visits thirty-six (36) spots on a single trip in the morning and afternoon to conduct draw. At each spot the operator will collect R200-00 or more, irrespective of a win or a total loss. When an operator arrives at spot number thirty-six (36), he will have collected more than R7 200-00. From spot number thirty-six (36), the operator will not drive back empty handed, but will start a draw again at spot thirty-six (36) driving back to spot number one, again the operator will be collecting R200-00 or more from each spot. When an operator arrives at spot number one where he had started in the morning, he has collected a total amount of R14 400-00. Fahfi ope ators operate from Monday to Saturday, and in certain area they operate until Sunday. For those operating until Saturday, one operator generates an amount of R100 000-00 per week on a single route, which amount to R403 200-00 per month. This amount allows an operator to have a turnover of more than R4 838 400-00 per annum with one motor vehicle. There are various Chinese and South African syndicates that operate fahfi within Limpopo p ovince. South African syndicates are commonly known as black mochaina. Some of these syndicates have more than fi e (5) motor vehicles on various routes. Fahfi illegal gambling has been a ound for a very long time in South Africa and many people are no longer considering its impact towards the economy, its consequences and illegality. The modus operandi within the nine provinces of RSA remains the same where huge amount of cash is collected and distributed among Chinese gang members with an aim of funding and furthering other serious offences. According to statistics South Africa, Limpopo province had been identified as the thi d poorest province, where many people are unemployed and live beyond

the required standard. The game cannot be controlled, regulated, or licensed since it is played along the streets, under a tree, next to a big rock or even around spaza shops. The game by its nature is not fair since the winning number is selected on the discretions of the operator and appears different from various betting spots. To protect the economy of the RSA, the illegal game must be prioritised and be investigated and prosecuted under serious offences. Members of the SAPS must be fully trained to understand all elements of the game as an offence and be able can investigate the offence thoroughly and present prosecutable evidence to either a magistrate or a judge in a court of law. The community must also be empowered and informed through crime awareness campaigns, about the impact and consequences of the game towards the economy and the risk of them been arrested, prosecuted, and jailed.

Economic Impact: The unchecked proliferation of Fahfi poses a g ave threat to the economy, especially in provinces like Limpopo, identifie as one of the country’s poorest regions. Fahfi ope ates in unregulated spaces, making it challenging to control or license. The game’s arbitrary nature, determined solely by the operator’s discretion, further underscores its inherent unfairness.

Call to Action: To safeguard the economy and curb Fahfis illicit operations, Dr. Masogo advocates for prioritized investigations and prosecutions of offenders under serious offenses. Additionally, he stresses the importance of comprehensive training for SAPS members to understand and investigate Fahfi tho oughly. Public awareness campaigns are also crucial to inform communities about the economic consequences and legal risks associated with participating in illegal gambling activities.
