The purpose of a business is to generate profits for owners and shareholders. This genuine and valuable reason that motivates the entrepreneurial spirit of individuals, acts as the motor that develops the economy of communities, towns, cities, countries, and the world. There are different business categories based on their size. There are small office/home office businesses (SOHO); small and medium size businesses (SMBs); big businesses, and enterprises. All of them share the same goal: to make profits. Small and medium-sized businesses are in constant need for growth. Some of them are fortunate to experience sudden growth, but all of them must keep their costs to a minimum in order to stay competitive. Reality shows that fixed and variable costs increase, making these companies lose their competitive advantage over time. The problem is that organization and dynamics in SMBs are very different than those in big companies and enterprises. Therefore, when big companies’ practices are applied to SMBs, the “copy and paste” methodology can drive them to failure. The question is: How can I improve my business using the experience and best practices of others?

The Profit and Loss Statement shows exactly what should be done: costs must be reduced for improvement of annual turnover to enhance the profit margin. What it does not tell you is how to do it.

You must be very cautious in this difficult task. The tools and methodologies to improve processes are known and can be found in the literature (Lean Six Sigma, Kaizen, TQM, 5S, Continuous Improvement, ISO 9001, Throughput, and TIRZ). Experts offer their take on how they successfully implemented these methodologies in big companies and offer several case studies; but none of them are related to SMBs.

The process of creating the plan is about half way finished and has included extensive input from residents and stakeholders on many planning issues. Municipal MINUTES All municipalities in the Chamber’s service area are welcome to provide information of interest to residents and businesses. We look forward to providing information about upcoming projects, plans, events and celebrations in all future issues!

AMBLER BOROUGH The 2nd Annual Ambler Arts & Music Festival will be held June 13-14th along the Avenue in Ambler. Ambler Restaurant Week will take place July 14-21st. First Fridays are held every first Friday through October. For further details on these community events visit AmblerMainStreet.org.

The Fire Marshall would also like to remind our residents that a limited number of smoke detectors are once again available. Please stop by the Township Building or one of the Fire Stations to obtain a new smoke detector.

LOWER PROVIDENCE TOWNSHIP New Directors Join Township Staff Lower Providence Township welcomed two new department directors to its staff in April. Michael Mrozinski came on board as Community Development Director and John Primus was hired to head the Public Works Department. Mrozinski previously served as Planning and Development Director for Warrington Township in Bucks County for four years. Prior to that, he held the position of Zoning Officer/Planning and Zoning Administrator for Warrington. Additionally, he gained knowledge of private sector challenges as a construction company manager. Mrozinski holds a master’s degree in Community and Regional Planning from Temple University and earned undergraduate degrees in political science and secondary education/social studies at Penn State University.

Primus brings 36 years of experience in municipal government to the Township. For the past 13 years, he served as Public Works Director for Upper Moreland Township. Previously, he held Public Works positions with Springfield and East Norriton Townships and was a construction representative with municipal engineering consultant, Chambers Associates. Primus also has 40 years of fire service experience, serving with the Wyndmoor Fire Company and Upper Moreland Township Fire Department.

EAST NORRITON TOWNSHIP

The 6th Annual Celebration 5K Run is scheduled for Friday July 4th. This 5K run is sponsored by East Norriton, West Norriton and Norristown Recreation Departments. Proceeds from the run will be provided to the Literacy Council of Norristown whose mission is to help address the problem of low literacy of residents in and around the Norristown area. Registrations are available at each recreation departments offices are can be downloaded from each municipal’s web site. Registrations will be accepted at each Recreation Department until July 3rd and then race day from 7 a.m. to 8:15 am at the Norristown High School. Fee for the race is $25. Race is slated to start at 8:30 a.m. leaving from the Norristown High School continuing through the trails of the Norristown Farm Park and returning to the High School.

The Greater Plymouth Community Center is a family friendly facility with personalized service located on Jolly Road in Plymouth Meeting. The GPCC offers something for everyone in your family, swim lessons, preschool, after school, youth fitness, group fitness, special events, trips and more! The fitness center includes strength training equipment, 10 ellipticals, 10 treadmills, 12 bikes, 4 steppers, a rowing machine, 5 plate loaded pieces and dumbbells, stability and medicine balls and Bosu trainers. Come in for a tour and see the new center!

East Norriton Township Summer Camp will run from June 23rd until August 1st 9 a.m. - 3 p.m. Join today and enjoy the benefits. All members have full access at the Paul Fly Elementary School. Camp is for boys and girls 5-13 years of age. Upper Merion’s new Assistant Manager says, “I am completely invested in the community and look forward to serving it for years to come.”

Since March 3, 2014, the MPA Villanova graduate rolled up her sleeves and has taken on such tasks as grant writing, coordinating a Rambler celebration, and assisting with new office space for township employees. Slook exudes vision, enthusiasm, and boldness. Her smile and contagious laugh are always present, and she is always up for a good challenge that will bring out the best in the staff who work for the betterment of the township. She isn’t a homegrown girl but she sure sounds like one. Slook’s admiration for the township began while she was here working as a student graduate intern. During that time she observed first-hand the employees’ dedication to Upper Merion. “I love this township because it’s a great community to serve and it is the gold standard in local government.” she says. In fact, Slook was so intrigued by the complexity of the municipality that she helped launch the Upper Merion Township Citizen Academy. The program is intended to provide residents with the necessary knowledge to understand their community and to become advocates for it. “After my internship, I didn’t want to leave Upper Merion but I knew it was time.” Slook accepted a position of Assistant Township Manager of Upper Gwynedd Township and then became township manager of Upper Makefield Township from December 2012 until February 2014. When the position of assistant manager for Upper Merion Township was posted on the Montgomery County Consortium of Communities website, Slook jumped at the opportunity to return to work under Township Manager David G. Kraynik. Slook assists the manager and the Board of Supervisors in implementing policies that will benefit the residents of Upper Merion. Slook concludes, “It’s a heartfelt opportunity to work in a township of this size with residents who care about the community they live in and with employees who genuinely like what they do.”

Shoppers visiting Plymouth Meeting Mall these days will notice a lot more has changed than just the weather! Since the holiday season, the mall has added two major national retailers (Kay Jewelers and J. Crew Factory Outlet), one new restaurant (Uncle Julio’s Fine Mexican Food) and a host of new and exciting events like the inventive Franklin Flea, a wildly popular, highly curated collection of 1520 top local vendors selling antiques, vintage and repurposed furniture, collectibles, vintage clothing, jewelry, and handmade goods. By sharing her passion for fashion, Lenny is becoming known throughout the community as the “go-to” style expert. “What better resource is there to find out what the teens are shopping for than asking a teen!” says Plymouth Meeting Mall marketing director Jessica Saphire. “The goal of our Shopper Haul Video project is to reach our teen shoppers on a personal level, but also a digital one, since technology has become their preferred method of communication. On February 10, 2014, the Obama Administration announced that “mid-sized” employers with 50 to 99 employees would have an extra year, until January 1, 2016, to comply with the Affordable Care Act’s (i.e. “Obamacare” or “ACA”) requirement that employers with 50 or more employees provide those employees with health insurance meeting the standard for “good coverage” defined by the ACA. Business groups such as the National Retail Federation widely applauded the delay. Employers initially had until January 1, 2014 to comply with the ACA but in July 2013, that requirement was delayed until January 1, 2015. Under the latest policy change, midsized employers who do not provide their employees with “good” health insurance coverage will not have to pay the ACA’s tax penalties until the January 1, 2016 tax year. Although the announcement may seem like a reprieve for mid-sized employers, the delayed compliance date created several

new issues for employers. First, the change widened the gap in time between the commencement of the ACA’s individual mandate and the employer mandate. Individuals must have health insurance in 2014 or they will be assessed tax penalties. Individuals whose employers do not have to provide coverage until 2016 will pressure employers to commence compliance now, but those employers likely will want to take advantage of the financial benefit that delayed compliance may provide. The conflict in the timing of the individual versus employer mandates has many calling for the delay of the individual man-

Second, the delayed mandate for mid-sized employers created a new requirement that mid-sized employers certify to the I.R.S., under penalty of perjury, that the employers did not lay off employees to reduce their workforce to 99 or less so that the employer could delay compliance with the ACA. Although such a mandate is difficult to enforce, it is likely that in the event of an audit, the I.R.S. will look for emails, internal memoranda, or other communications regarding staff cuts which contain any language indicating that ACA compliance was a factor in determining the number or timing of staff cuts.

HARD LESSONS on Letters Of

Did you know that letters of intent can be subject to enforcement as a final contract? Under Pennsylvania law, letters of intent are enforceable if they set forth the key terms of the deal, namely the purchase price, description of the property, the names of the buyer and seller and the time for closing. To avoid becoming enforceable, the letter of intent must state with absolute clarity that the parties do not intend for the letter to be binding. If the letter of intent merely provides that it is subject to a final agreement, that might not be sufficient to avoid a later lawsuit seeking to enforce the letter of intent. This is largely due to a decision issued by the Pennsylvania appellate court in 2010 called Trowbridge v. McCaigue, 992 A.2d 199 (Pa. Super. Ct. 2010). In Trowbridge, the purchaser made an offer to acquire real estate which the sellers accepted by signing the offer. After the sellers sold the property to someone else for a higher price, the buyer brought suit seeking to enforce the accepted offer. Although the trial court dismissed the lawsuit on grounds that the offer was not enforceable, the appellate court reversed, reinstating the complaint and allowing the parties to take discovery. We represented an owner who encountered a similar problem when he

Third, mid-sized employers must also certify to the I.R.S. that they will not drop health insurance plans that they currently offer. That mandate may prove troublesome and expensive for mid-sized employers as they renew their health insurance plans for 2015. Insurers are likely to transition midsized employer plans in 2015 to include the specific coverage mandated by the ACA. The expanded coverage required by the ACA will increase renewal rates for plans offered in 2015, but midsized employers cannot drop those plans.

The letter of intent provided that it was binding for thirty days while the buyer completed his due diligence and thereafter it was subject to a final agreement. The owner decided he wanted to sell the corporation which owned the land, rather than the land, for tax reasons. The parties negotiated past the thirty day period and could not come to a final agreement on a new price. Months after the deal fell through, the buyer brought suit seeking to specifically enforce the original letter of intent. The trial court declined to dismiss the complaint, even though the buyer had not paid a deposit due under the letter of intent. Eventually, we obtained summary judgment for our client on the basis that the buyer breached the letter of intent by not paying the deposit. Although the buyer appealed, the appellate court affirmed. While the lawsuit was pending, however, it placed a cloud on title, preventing the owner from selling or obtaining financing for the property. To avoid encountering a similar problem, make sure that your letter of intent clearly states that it is non-binding and that any deal is contingent upon the parties’ entering into a fully negotiated and executed final agreement. You should also include specific dates in the letter of intent by which due diligence should be completed, the deposit paid, and the date for closing to avoid the letter of intent being viewed as evergreen. My colleagues, Leslie Richards and Bruce Castor, and I sealed the deal to create a one-of-akind program, expanding the County’s innovative “one stop shop” approach to economic development. Dubbed the “MC2B” initiative, the partnership offers local businesses a single place in which to obtain and access a full range of business products and services. The Montgomery County Economic Development Corporation (MCEDC) approved a plan to transfer its economic development programs to the Montgomery County Development Corporation (MCDC). This represents the culmination of an 18-month process to restructure and streamline the Commerce Department and establish new programs to serve the county’s business community. The newly reconstituted MCDC is now a part of the Commerce Department program infrastructure, utilizing shared financial and operational resources to deliver financial programs, workforce development initiatives, and youth programs throughout the county. This unique partnership between Montgomery County, the MCDC, and the other independent authorities operating in the county establishes the Commerce

Department as one of the broadest, deepest organizations of its kind in the Commonwealth. For years, our county has struggled to establish a single source of economic development and workforce solutions for the business community. Now, we have broken down these silos and created a ‘win-win’ for businesses and residents by assembling in one place all of the tools needed to make that happen. With the completion of the transaction, the Bruce L. Castor, Commissioner county launched the “MC2B”initiative –Montgomery County (MC) is focused on serving Business (B). The approach draws directly from the experience of companies that provide business-tobusiness (B2B) products or services. The B2B model succeeds when businesses develop cost effective and highly valued products and services – and success in B2B often comes when businesses learn from each other and respond to changing market conditions together.

The agreement also allocated a portion of the MCEDC assets to the Montgomery County Community College Foundation. For businesses, there will be single recruitment team focused on reach-

ing out to existing businesses to help them grow, as well as attracting new businesses to the county. There is also a low-interest loan program, “Montco Opportunity Loan Program,” designed to help businesses expand in Montgomery County and create new jobs. The county will also leverage on-the-job training programs to help maximize job placement through the PA CareerLink® Montgomery County and Montgomery County Community College. -  I love this calendar. It is exactly the right size and is sturdy enough for me to drop down in my bag and carry it with me wherever I go. I keep an electronic calendar as well, but sometimes I just like to sit and jot notes without having to worry about using my battery. I looked at several different calendars at office supply stores but couldn't find what I wanted. Amazon seems to always have exactly what I want at a price that I'm willing to pay.

In 2010 colorectal cancer was the second most common cause of cancer deaths in men and the third most common among women in Pennsylvania. Colorectal cancer is cancer that starts in either the colon or the rectum. Colon cancer and rectal cancer have many features in common. Most colorectal cancers start as a polyp– a growth that starts in the inner lining of the colon or rectum and grows toward the center. Most polyps are not cancer. Taking out a polyp early, when it is small, may keep it from becoming cancer. While the exact cause of most colorectal cancers is unknown, there are certain known risk factors. A risk factor is something that affects a person's chance of getting a disease. Some risk factors, like smoking, can be controlled. Others, such as a person's age, cannot be changed. Risk factors you cannot change • Age: your risk gets higher as you get older • Having had colorectal cancer or certain kinds of polyps before

In 1885 counselor Sumner Dudley, long active in the YMCA movement, was asked to take YMCA members camping for the first Sumner F. Dudley, time. Camping was not a new idea, but was a supervised, organized, goaloriented trip. The first century of camping in the United States was one of pioneering, path finding and adventure. educational, social and religious activities. Emphasis was placed on friendly, personal attention. Today, the Audubon YMCA Summer Day Camp follows these same practices. But the core values remain the same: to provide a safe place where children gain confidence and self-esteem while enjoying a fun-filled summer.

Another concern of those against social media is the ability to assure safety to it’s users. Many people who use social media sites use them to connect with friends, as well as people they’ve never met before.
