AS A READER of Gaming for Africa magazine, and for that matter anyone remotely involved in the legalised gaming industry across the African continent, you will no doubt at this stage be aware of Gaming Africa - a free-to-attend industry event brought to Africa by Clarion Gaming, the professional team behind the world’s largest gaming gathering, namely ICE London. For far too long the African gaming landscape has been calling out for a unified, professionally-run gaming event that will draw all key customers and regulators, manufacturers and suppliers, investors and operators to a single event where industry peers can share knowledge, best-practices and thoughts on how to move the African gaming industry forward. Niveus Still Game for Tsogo Deal Despite having a proposed asset merger denied by the Competition Tribunal and a pending appeal to the Tribunal’s decision, Niveus Investments is still keen to pursue a deal that will see it sell its alternative gaming assets to Tsogo Sun.

CASINO GROUP Tsogo Sun and Niveus Investments, are both controlled by Hosken Consolidated Investments (HCI), and the planned deal will essentially see a R4.6bn transaction involving alternative gaming assets owned by Niveus of its limited payout machine (LPM) and Electronic Bingo Terminal (EBT) operations held in Vukani and Galaxy, respectively. Under the terms of the deal Niveus’s alternative gaming assets will be packaged into a new company, Gameco, which will be unbundled to shareholders. Tsogo will then acquire HCI’s more than 50% stake in Gameco and offer to buy out Gameco minority shareholders. The exchange ratio will be one Tsogo share for every 2.875 Gameco shares, with a cash alternative of R9.74 per Gameco share (equating to a floor price of R28 per Tsogo share). The Gameco shares retained by Niveus (roughly 225-million Gameco shares) will be acquired by Tsogo in exchange for 78-million Tsogo shares – representing a value of R2.184bn. There is an option for Niveus shareholders

to retain their stakes in an unlisted Gameco. Tsogo has undertaken to apply for a JSE listing for Gameco within 12 months if minorities retain more than 20% of the company’s issued share capital. Tsogo has limited the maximum cash payment to Gameco shareholders to R1.2bn. The casino group will therefore need irrevocable commitments from minority holders of at least 111.34-million Gameco shares to not accept the cash offer. It is generally believd that the LPM and EBT operations have been growing faster than the traditional casino operations. Vukani is the largest LPM operator in SA with more than 5,000 slots countrywide, while Galaxy has EBTs licensed in six provinces. Galaxy also operates the new Kuruman Grand Oasis casino in the Northern Cape. While HCI and Tsogo argued that the proposed transaction does not constitute a merger but a consolidation of its gaming interests, other than its sports betting and lottery interests, in Niveus into Tsogo, the Competition Tribunal felt differently. HCI

also argued that it already has a controlling shareholding in Tsogo and a controlling interest in Niveus and the transaction amounted to an internal restructuring. The applicants said they were not required to notify the transaction because HCI was, in their opinion, the ultimate sole controller of the two groups and that they had received approval in the 2014 transaction for achieving more than 50% in Tsogo. In its reasoning for denying the deal, the Commission advised the merger be notified because as HCI through Tsogo Investment Holding Company (Pty) Ltd (“TIHC”) would increase its shareholding in Tsogo from below 50% to more than 50% resulting in HCI beneficially owning more than half of the issued share capital of Tsogo within the contemplation of section 12(2)(a) of the Competition Act. The crossing of 50%, known as crossing the bright line, triggered the notification of a merger, it said. An appeal to the decision has been launched, but at the time of going to press, no particulars had been available.

A recent innovation provides a very specific solution for gaming operators that are faced with unreliable power supply issues. TSOGO SUN’S 2017 Dealer of the Year, Tando Guzana from Montecasino, says there’s great power in a smile – a genuine one from the heart. He’s convinced that his smile helped him make it to the top in the group’s annual National Dealer Championship. This is the second consecutive year that Montecasino has taken top honours in the hotly contested Championship. Last year, Montecasino tables dealer, Lwazi Valela, won the coveted title. The finals were held at Montecasino on 27 September, with 18 finalists from the group’s 14 casinos around the country (one each from the smaller casinos and two each from the major casinos – Silverstar, Gold Reef City, Montecasino and Suncoast) pitting their knowledge, dealing skills, customer service standards, and more, against each other in a series of tough challenges that followed unit semi-finals. According to Glenn Joseph, COO of Tsogo Sun Gaming, the 18 represented 1.2% of the total number of dealers employed by Tsogo Sun, making it a significant achievement to be selected as a finalist. The judges, represented by management from each unit, assessed technical skills and other aspects of the dealing cycle in American Roulette and Blackjack trials, and the top five were selected. They were given the same question and time to prepare their answers. At the awards dinner, the top five presented their answers on stage to a panel of judges, and answered an additional unprepared question. First place was awarded to Tando, who won R10 000 and a Vodacom phone valued at R6 000; second place went to Cheszine Muller from Suncoast, who won R5,000 and a R3 000 Vodacom phone; third prize was won by Boniwe Khumalo, also from Montecasino, who received R3 000 and a R3 000 Vodacom phone; and fourth and fifth places went to, Mbuso Dube (Suncoast), and Given Motaung (Hemingways), who each won R1 000. He grew up in the Eastern Cape and after matriculating, he started studying office management and soon realised it wasn’t for him. “I knew I couldn’t survive working behind a desk. I need to work with people – that’s my passion.” In 2008 he applied to GrandWest Casino in Cape Town to be a trainee dealer – and his career in gaming was launched. In 2014 he resigned with the aim of joining a cruise ship, but instead accepted a job at Montecasino and came to Johannesburg. “It was the best decision,” he says. “I joined Montecasino on 1 September 2015 and in two years I’ve grown a lot in my skills and abilities. It’s the best place for recognition, training, and growth.” He considers that his win can be partly attributed to his smile and his attitude. “All the finalists know how to deal very well. It was more about who we are. I decided to tackle all the challenges as if it were a normal day at work. I am always smiling, relaxed and friendly with the guests because I believe my smile is a key that can unlock their hearts. I engage in gamerelated conversation, and I try to make them feel special and happy. It works. Sometimes I see people looking around to choose a table and then when they see me smiling at them, they come to my table. I love working with people, interacting with them, and doing what I can to make their experience memorable.”

Building up to the final showdown was nerve-wracking, says Tando. But then when he was on stage, he felt he “owned it”. He was calm and relaxed and spoke from the heart. He has big plans for his cash prize. He wants to spoil his 4-year-old son, Khayome. “My brother will bring my son here from the Eastern Cape and the first thing I will do with them is take them tenpin bowling. National Gambling Board Annual Report shows increased Gaming Revenue Gaming revenue in South Africa increased by 3.8 percent in the 2016-7 year, says the country’s National Gambling Board in its recently-released annual report

Ms Caroline Kongwa, Accounting Authority of the National Gambling Board HOWEVER TAX revenue dropped by one per cent to R2.7bn with a total amount of R27bn collected. Casinos contributed the highest amount at 64 per cent, sports and horse betting revenues were up by 14.3 per cent and bookmakers’ GGR increased by 22 per cent, mainly due to the 2016 European Championships in football. The LPM (Limited Payout Machine) market increased by 14.1 percent reaching a total of R2bn, probably due to the installation of ma-

chines in all provinces. New operational bingo positions were installed in North West and Eastern Cape, leading to a 36.6 per cent increase in bingo revenues. In releasing the report, Ms Caroline Kongwa, Accounting Authority of the National Gambling Board said that this was the second consecutive financial year in which the NGB achieved a clean audit, and she expressed her gratitude to all the staff of the NGB for their effort, initiative and

enthusiasm demonstrated in achieving 100% of key performance areas and compliance with the PFMA (Public Finance Management Act). In January 2016 the NGB released its Strategic Plan 2016/21 to build upon the progress made in repositioning and transforming the organisation to become a regulator. “This serves as a roadmap for the organisation in response to South Africa’s dynamic and changing gambling landscape.” she said.

every year. The R11-million centre also assists students with job matching, providing significant relief to unemployment in the region. Childline KwaZulu-Natal: A quarter of the nation’s children live in KZN and the province and the province has highest prevalence of child abuse. Childline KZN has 11 centres and 51 staff. They receive 400 000 calls a year from abused kids. This makes them the most prolific humanitarian organization in KZN. The Trust has to date provided R9,5-million in funding to them. The Matric Academic Development Initiative: Initiated in 2016, MADI identified 11 schools that had performed badly in matric exams in the North Coast/Ilembe area. The Trust then created a unique recovery programme, which included undertaking Saturday classes, a Winter School and additional tuition. Total project cost for MADI was R10-million. Dainties for Dames: This R2-million programme educates young girls about private health. It has yielded excellent results with in excess of 10 000 sanitary pads being distributed to date. LIV Village: There are millions of orphaned and vulnerable children in South Africa, mostly due to HIV/AIDS. LIV, located near Verulam, places orphans in a family environment with a trained foster mother to love them and a school to educate them. The Trust contributed R5,5-million to this project. The KwaMashu Family and Child Welfare Society: This organisation has been in existence for 81 years and is recognized for doing outstanding work in the community. It has a staff complement of 57 individuals, who have outgrown their premises. The Trust is currently building new facilities and offices at a cost of R6-million. “Through these projects we believe we have made a telling difference to the lives of several underprivileged communities. We have worked in several areas and across variety of projects and will continue striving to assist the underprivileged, poor and disadvantaged,” he said. Fellow trustee, Vivian Reddy said in conceptualizing the celebratory function, they had adopted a theme, taken from an extract from Chief Albert Luthuli’s Nobel Peace Prize acceptance speech. “In it Chief Luthuli says: Happily, I am only one among millions who have dedicated their lives to the service of mankind, who have given time, property and life to ensure that all men shall live in peace and happiness. There are many in my country who are doing so.” “These very powerful words, were originally uttered in 1961 but Chief Luthuli could easily have been referring to several individuals sitting in this very hall today. It is for this reason that I refer to them as true champions of the less privileged in our province and I salute their efforts,” he said. To commemorate the achievement, the Trust presented a celebratory book to the King entitled “I am one among millions”. The book serves as a celebration of Trust projects and its partners and utilizes interviews and pictures from various initiatives. Sibaya Community Trust chairman Tristan Kaatze said this achievement placed the organization among the most prolific funders of community initiatives nationally. “To date we have funded 222 projects across a range of areas from education to health care and social development. “R63-million had been spent on social causes including poverty alleviation projects and caring for the elderly and infirm. R59-million had been allocated to educational projects for the development of infrastructure, tutoring of learners and the supporting of early childhood development initiatives and R21-million had been given to health-related projects including caring for the sick and dealing with the HIV/ Aids crisis in the province. “We have built close to 50 community spaces including classrooms, children’s homes, clinics and crèches, trained hundreds of teachers and facilitators at centres province-wide and provided several organisations with new vehicles. “R150-million is a significant sum of money but we believe that it has been well spent. Congratulations should go to the organisations we have supported, our staff and CSI manager Kudzai Mqingwana and my fellow trustees, Judge Vuka Tshabalala and Vivian Reddy. It has literally been a labour of love for all of us.”

Mike has a long history with Tsogo Sun and has come full circle in his career, having started out when Montecasino was nothing more than grazing land, taking him from the early days of Montecasino’s temporary license as the Sundome Casino to being General Manager of Hemingways in East London and later Gold Reef City.
